How to Evaluate the Financial Health of a Pickleball Facility Franchise Before Investing

Start with the current Franchise Disclosure Document (FDD), then verify it with franchisee interviews and a conservative, location-specific financial model. Those three checks answer different questions: whether the franchisor has the resources to support its network, whether the system’s reported outlet results are credible, and whether your proposed lease and operating plan can produce enough cash to justify the investment. A financially sound franchisor does not rescue an uneconomic site, and attractive projected outlet sales do not prove that the franchisor can provide continuing support.

The process below is designed for a U.S. franchise purchase. The Federal Trade Commission (FTC) materials are federal guidance; state registration, disclosure, relationship, and filing rules can add requirements where you live or where the facility will operate.

What “financial health” means in a pickleball franchise

Evaluate two financial subjects separately and only combine them at the final decision:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Franchisor health: Can the franchisor remain in business and deliver the training, marketing, technology, and operating assistance promised in the agreement?
  • Outlet health: Can this particular facility generate sufficient cash after occupancy, construction, labor, financing, royalties, and other costs?

The FTC describes a franchise purchase as an investment that carries risk and warns that some franchises never break even. A large sales number is not the same as owner income: rent, payroll, debt service, repairs, insurance, taxes, and other expenses can consume all of the revenue.

Use the FDD as the starting evidence, not as a substitute for independent verification. Ask an accountant to analyze the franchisor’s statements and your model, and have a franchise lawyer explain the contract before you sign.

Get the current FDD before spending heavily

Confirm delivery and the 14-day review period

The FTC Franchise Rule requires a disclosure document with 23 specific items. The franchisor must provide it at least 14 days before asking you to sign a contract or pay the franchisor or an affiliate. See the FTC’s Franchise Rule and A Consumer’s Guide to Buying a Franchise.

Request the newest FDD and any written updates before paying for architectural work, a feasibility study, travel, or a lease deposit. Check the issue date and ask whether lawsuits, management, fees, financial statements, or outlet counts changed after the document was prepared. Do not rely on a broker’s summary, a slide deck, or an older PDF.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Read every item and exhibit

Read all 23 items, the franchise agreement, development or area-development agreements, leases or lease templates, supplier requirements, software terms, and every addendum. Mark each obligation that affects cash, timing, territory, renewal, transfer, default, or personal liability. Build a question list while reading; unanswered questions should be resolved in writing before you commit.

Assess whether the franchisor can support the system

Item 4: bankruptcy and financial distress history

Item 4 reports specified bankruptcy information. A filing is not automatically disqualifying, but it requires context: which entity filed, when, what debts or assets were involved, and whether the current franchisor or its principals are connected to the event. Reconcile the explanation with the corporate entities named in the agreement and the audited statements in Item 21.

Item 21: three years of audited financial statements

Item 21 contains the franchisor’s three most recent audited annual financial statements, according to the FTC guide. Have an independent CPA compare the years rather than treating one profitable or loss-making period as decisive. Ask the CPA to examine:

  • Revenue growth and whether it comes mainly from recurring royalties and fees from operating outlets or from selling new franchises.
  • Gross margin, operating expenses, cash, debt, working-capital needs, and unusual or nonrecurring items.
  • Related-party transactions, deferred revenue, contingent liabilities, and auditor qualifications or emphasis paragraphs.
  • Whether available cash and borrowing capacity appear sufficient for training, field support, technology, marketing, and other promises as the network expands.

Rapid franchise sales can make a system look larger while stretching support staff and infrastructure. Growth by itself is not proof of financial strength; ask how headcount, training capacity, field visits, and help-desk or technology resources scale with outlet growth.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Read the agreement for support you can actually enforce

Compare marketing, training, site-selection, opening, and ongoing-support promises in sales conversations with the written agreement and FDD. Note service levels that are discretionary, extra-fee services, required vendors, technology charges, and circumstances in which the franchisor may change standards or manuals. A well-funded company can still provide limited practical support if its obligations are vague.

Use Item 19 without confusing sales with profit

Know what Item 19 is—and is not

Item 19 is optional. The Franchise Rule does not require a franchisor to provide sales or earnings information. If it makes a financial performance representation, the representation belongs in Item 19 with its data source, limitations, and material assumptions. Ask for written substantiation of every figure.

For each table or narrative, record:

  • The outlets included, their opening dates, ownership type, and geographic locations.
  • The measurement period and whether the result is historical, projected, annualized, or based on a partial year.
  • The number and percentage of outlets that achieved the stated result, not just the highest or average figure.
  • Definitions of revenue, gross profit, operating profit, owner compensation, and excluded expenses.
  • Whether the sample resembles your market, facility size, operator experience, seasonality, and planned opening schedule.

Handle earnings claims outside Item 19 as a warning

Sales staff, brokers, spreadsheets, emails, and conversations sometimes contain earnings claims that do not appear in Item 19. Preserve those materials and ask the franchisor to explain the discrepancy. Raise any oral or written representation outside Item 19 with your franchise lawyer before signing; do not put it into your model as if it were an authorized disclosure.

Build a profit model, not a revenue headline

Use Item 19 only as one input. Your outlet model should show monthly revenue, cash operating costs, debt service, taxes, owner compensation, capital replacements, and working-capital changes. Separate accounting profit from cash available to repay your investment. A facility can report positive operating income while running out of cash during construction, ramp-up, or a seasonal downturn.

Model the proposed pickleball facility at site level

Capture the full opening investment

Start with a sources-and-uses schedule. Include every cost needed to open and reach stable operations, not only the franchisor’s estimate:

  • Lease deposits, legal fees, rent during construction, common-area charges, and insurance deposits.
  • Design, permits, demolition, court surfaces, lighting, HVAC, plumbing, restrooms, accessibility work, fire protection, signage, furniture, and sound systems.
  • Equipment, point-of-sale and booking systems, security, networking, pre-opening payroll, training travel, launch marketing, and professional fees.
  • Franchise fees, required technology or vendor purchases, financing fees, interest during construction, and contingency reserves.
  • Working capital for the ramp period and personal living expenses if the business will not pay you immediately.

Obtain contractor bids and a landlord work-letter, then stress-test overruns and opening delays. The FDD estimate may omit local conditions, financing costs, or expenses outside the franchisor’s control.

Forecast pickleball-specific revenue drivers

Build revenue from operating drivers rather than applying a blanket growth rate. Identify assumptions for:

  • Paid court hours by day and hour, court count, booking duration, and the utilization ramp from opening to mature demand.
  • Membership enrollment, dues, initiation or enrollment fees, guest usage, cancellations, freezes, and bad debt.
  • Open play, leagues, tournaments, instruction, youth programs, corporate events, food and beverage, retail, and other ancillary services.
  • Peak-season and off-season demand, weather effects, holidays, and local calendar events.
  • Price changes, discounts, complimentary play, and the share of capacity reserved for members or events.

Use a monthly schedule so seasonality and the opening ramp are visible. A facility that appears attractive on an annual average can have several months of negative cash flow.

List recurring costs by operating behavior

Separate fixed, semi-variable, and variable costs. Your schedule should include local base rent and common-area charges; payroll and payroll taxes; insurance; utilities; cleaning; repairs and court maintenance; software and payment processing; local marketing; royalties and brand-fund contributions; property taxes or pass-throughs; accounting and legal work; financing; and replacement reserves. Add a management salary or market-rate owner wage even if you plan to work without pay. Otherwise the model measures a job you subsidize rather than an investment.

Calculate break-even and cash runway

For each month, calculate:

  1. Revenue by stream.
  2. Less variable costs to obtain contribution margin.
  3. Less fixed operating expenses, royalties, debt service, taxes, and owner compensation.
  4. Ending cash after capital spending and working-capital changes.

Break-even is the point at which recurring cash inflows cover recurring cash outflows under stated assumptions. Show the number of paid court hours, members, events, or revenue required to reach it. Then calculate how many months your cash reserve covers if revenue is below plan.

Run downside cases before trusting the base case

At minimum, model a slower opening, construction overrun, higher interest rate, lower utilization, weaker membership conversion, reduced event revenue, higher rent or utilities, and a delayed ramp to mature demand. Combine adverse assumptions in a severe case instead of changing only one variable at a time. Include personal living costs and taxes. If the business needs additional capital under a plausible downside, identify the source and terms before investing.

Use Item 20 to test what happens in the real network

Analyze openings, closures, transfers, and reacquisitions

Item 20 includes system charts and franchisee contact information. Track openings, closures, transfers, and outlets reacquired by the franchisor over the disclosed periods. A pattern deserves investigation, but do not assume one cause: closures can reflect lease problems, operator issues, strategic exits, or weak economics. Ask the franchisor to explain each material pattern and compare the answer with owner interviews.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Interview three groups of operators

Use the contacts in Item 20 and independently located operators where permitted. Ask the same questions so answers are comparable:

  • Newer owners: What was the actual total investment? How long did site approval, permitting, construction, training, and opening take? Which costs exceeded the FDD estimate? When did the first positive month occur?
  • Established owners: What are current occupancy, labor, royalty, and maintenance pressures? Has the owner recouped invested capital? What support is still useful, and would the owner invest again at today’s costs?
  • Former owners: What were actual sales and cash results? Why did the outlet close, transfer, or return to the franchisor? Were there lease, staffing, demand, or franchisor-support issues?

Request permission to review redacted operating statements where possible. Compare interview evidence with Item 19 definitions and the franchisor’s projections. Consistent answers across independent operators are more informative than one enthusiastic reference.

Compare franchises or locations on identical assumptions

When evaluating multiple systems or sites, use one worksheet and normalize the following:

Comparison axis What to standardize Questions to answer
Opening investment Franchise fees, build-out, equipment, pre-opening costs, financing, contingency, and working capital Which costs are outside the FDD range, and what happens if opening is delayed?
Recurring fees Royalties, advertising, technology, required suppliers, renewal, transfer, and audit charges Are fees based on gross sales, minimums, or another formula?
Item 19 evidence Sample size, period, calculation method, exclusions, ownership, and geography Does the sample resemble your proposed facility and operator profile?
Franchisor capacity Item 4 history, Item 21 trends, staffing, training, and field support Can resources keep pace with network growth?
System turnover Openings, closures, transfers, and reacquisitions over the same periods What explanations are supported by former-owner interviews?
Site economics Rent, lease term, build-out, competition, labor, demand, seasonality, and financing Does the location work without optimistic utilization or pricing?
Downside resilience Cash runway, delayed break-even, owner compensation, and capital calls How much additional money could be required, and when?

Do not rank an option because it has the highest projected sales. Prefer the opportunity whose assumptions are transparent, independently corroborated, and resilient under conservative conditions.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Use independent professional review before signing

What the accountant should do

Engage an independent CPA who understands franchise and multi-unit operating models. Ask for a review of Item 21, Item 19 calculations, your sources-and-uses schedule, monthly forecast, tax assumptions, debt service, and downside cases. The accountant can help develop a business plan and identify whether projected earnings depend on exclusions or accounting definitions that do not translate into cash.

What the franchise lawyer should do

Use a lawyer experienced in franchise matters and independent of the seller. Ask the lawyer to explain personal guarantees, territory, renewal, termination, default cure periods, noncompete provisions, required purchases, dispute resolution, transfer restrictions, supplier rebates, advertising-fund controls, lease obligations, and post-termination duties. Confirm that any negotiated change appears in a signed amendment; a sales promise that is absent from the contract may be difficult to enforce.

Professional review reduces interpretation errors; it is not a guarantee that the investment will succeed.

Red flags that should stop or slow the investment

  • You receive an outdated FDD, cannot review it for the required period, or are pressured to pay before receiving it.
  • Sales or earnings claims appear in presentations or conversations but are absent from Item 19 or cannot be substantiated in writing.
  • Item 19 uses a small, selective, geographically irrelevant, or partial-year sample without clearly showing how many outlets achieved the result.
  • Item 20 shows repeated closures, transfers, or reacquisitions and the explanations conflict with former-owner accounts.
  • Item 21 shows deteriorating cash, increasing dependence on franchise-sale fees, heavy debt, or audit qualifications that your adviser cannot reconcile.
  • The franchisor will not provide reasonable access to current and former franchisees or refuses to explain material differences between the FDD and the sales model.
  • Your base case requires unpaid owner labor, immediate mature utilization, or no reserve for construction and ramp delays.
  • The lease is short, lacks renewal certainty, permits large pass-through increases, or leaves you paying rent before the facility can open.

A practical decision sequence

  1. Obtain the current FDD, verify its date, and calendar the FTC 14-day period.
  2. Read Items 4, 7, 19, 20, and 21 plus the agreement and exhibits; flag every cash obligation and assumption.
  3. Engage an independent CPA and franchise lawyer before relying on projections or negotiating final terms.
  4. Build a monthly, site-specific model with sources and uses, ramp-up, seasonality, owner compensation, and downside cases.
  5. Interview newer, established, and former operators using consistent questions; reconcile answers with Items 19 and 20.
  6. Validate the lease, construction budget, permits, staffing plan, local competition, and financing commitments.
  7. Set a written investment threshold: maximum cash at risk, minimum reserve, acceptable downside, and conditions that would make you walk away.
  8. Recheck the FDD and written updates immediately before signing, because financial information, litigation, management, fees, and outlet data can change.

The decision is defensible only when the franchisor’s support capacity and the proposed facility’s cash economics each work on their own evidence. If either remains dependent on unverified claims or optimistic assumptions, delay the investment until the uncertainty is resolved—or decline it.
