How to evaluate private equity investment in Indian real estate

Evaluate an Indian real-estate private-equity opportunity as a legal, operational and cash-flow investment—not as a market-trend story. First identify exactly what you would own, then verify the governing rules and documents, the manager’s incentives, each property’s legal and commercial viability, the net return after all fees and taxes, and the realistic exit. If you are investing from outside India, add a transaction-specific review of foreign-investment eligibility, reporting and repatriation before committing capital.

Start by identifying what you are buying

The phrase “private equity in Indian real estate” can describe several legally different investments. Your rights, liquidity, reporting, valuation and diligence burden depend on the instrument, not on the marketing label.

As an Amazon Associate I earn from qualifying purchases.

Exposure What you own or hold Questions that change the risk
Alternative Investment Fund (AIF) interest Units or another interest in a pooled vehicle managed under its fund documents What strategy and assets are permitted? Who is the trustee, custodian and manager? How do capital calls, fees, valuation, extensions and distributions work?
Project or operating-company security Shares, debentures or another security issued by a company that owns or develops property What sits ahead of you in the capital structure? Are there shareholder agreements, guarantees, pledges, related-party transactions or debt covenants?
Co-investment A direct or parallel investment alongside a fund or sponsor Do you receive the same information, economics, governance and exit rights as the lead investor, or only a narrower side arrangement?
Direct property interest An ownership interest in land, a building or a contractual property vehicle Can you establish title, permitted use, approvals, access, utilities, taxes and enforceable transfer rights?
Real Estate Investment Trust (REIT) unit A listed or otherwise regulated interest in a portfolio of income-producing real estate How liquid is the unit, how diversified are the assets, what leverage and fees apply, and how transparent are valuations and distributions?

Write the answer to “what am I buying?” in one sentence before reviewing returns. Identify the issuer, the manager, the legal owner of every asset, the investment committee, the trustee and custodian where applicable, and all related entities. Do not assume that a fund, its sponsor and the property developer are the same legal person.

Map the regulatory perimeter before diligence

Use the current consolidated rules and circulars that apply to the actual structure. SEBI lists its AIF Regulations and REIT Regulations as last amended on April 18, 2026. That date identifies the listing status; it does not certify that a particular fund is compliant. Obtain the offering and constitutional documents and check them against the applicable regulation and later circulars with qualified counsel.

For an AIF, request the placement memorandum, contribution or subscription agreement, trust or company documents, side letters, investment-management agreement and any amendments. For a company or project investment, request the constitutional documents, shareholder or debenture agreements, security documents and intercreditor arrangements. For a direct property or development transaction, establish which entity owns the land and which entity holds each approval and contract.

If a non-resident or foreign vehicle is involved, the RBI Master Direction on Foreign Investment in India is a starting point. The direction is stated as updated on January 20, 2025 and distinguishes automatic and government routes and foreign-investment conditions. Its application depends on the investor, instrument, investee entity, sector and transaction facts. A broad statement that an investment is “real estate” or “private equity” cannot establish that a route is permitted.

  • Record the investor’s residence and status, the investing vehicle and beneficial owners.
  • Classify the instrument and the activity of the Indian investee entity.
  • Identify the applicable entry route, pricing and ownership conditions, reporting and downstream-investment issues.
  • Confirm whether dividends, interest and sale proceeds can be remitted and what tax and withholding rules apply.
  • Recheck rules and circulars immediately before signing; regulations and tax treatment can change.

Read the governing documents, not just the pitch deck

A presentation can describe a target return while omitting the provisions that determine when you contribute money, who controls decisions and how you are paid. Build a document checklist and reconcile every commercial promise to binding language.

Strategy and permitted investments

Check the stated strategy, geography, asset classes, development exposure, leverage limits, concentration limits, related-party restrictions and ability to change strategy. A fund authorised to invest in income-producing assets may have different risk from one permitted to undertake land aggregation or development. Note any “other investments” language that could expand the mandate.

Capital calls, commitment and fund life

Identify the commitment amount, notice period, default consequences, excuse and exclusion rights, recycling of proceeds, borrowing to fund calls and the initial tenure. Read extension provisions: determine who can approve an extension, for how long and with what investor vote. A stated five-year term may not be the date on which cash is returned.

Fees and the distribution waterfall

Calculate the investor-level burden, not only the headline management fee. Include management, acquisition, development, property-management, transaction and fund expenses; financing costs; carried interest; preferred return or hurdle; catch-up; taxes; withholding; and any fee offset. Map the waterfall with actual agreement language for several exit values and dates. Ask whether carried interest is calculated deal by deal or on the whole portfolio, whether clawback applies, and whether expenses can be charged by affiliates.

Governance, conflicts and removal

Review investment-committee authority, key-person triggers, no-fault removal, cause-based removal, suspension of investments, conflicts procedures, allocation among affiliated funds, co-investment rights, related-party transactions and the standard for approving them. Determine what information investors receive, how often, and whether they can inspect records. A conflict policy is not a substitute for specific consent, allocation and disclosure provisions.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Valuation and reporting

Ask how often assets are valued, which methodology is used, who performs and reviews the valuation, and how unrealised gains affect reported net asset value and carried interest. Reconcile performance reports to audited financial statements and actual cash distributions. For development assets, require assumptions for completion cost, sales velocity, rent, capitalisation or exit multiples and sensitivity to delay. Do not treat an appraisal or internal valuation as realised performance.

Assess the manager and alignment

Request a track record by fund vintage, strategy, asset type and city, separating realised from unrealised investments and gross from net results. Reconcile the schedule to audited accounts, capital statements and bank evidence of distributions. Ask for loss cases, write-downs, extensions, restructurings and investments that have not exited on the original plan. The available regulatory and market sources do not establish any manager’s performance; the offering’s own records must do that work.

  • People: Identify the professionals responsible for sourcing, underwriting, construction oversight, leasing and exits. Review departures, succession and key-person remedies.
  • Alignment: Confirm sponsor commitment, the priority of investor and sponsor capital, fee offsets, clawback and whether the manager can invest in competing vehicles.
  • Execution capability: Test experience with the relevant state, approvals, contractors, tenants, lenders and local partners rather than relying on a national brand or aggregate transaction count.
  • Controls: Understand segregation of duties, valuation review, cash controls, compliance reporting, audit qualifications and procedures for related-party payments.

Underwrite the property and its legal ability to operate

Independent property and legal diligence is the point at which a market thesis becomes a transaction decision. A regulatory framework or market report cannot confirm title or approvals for a particular asset.

Title, ownership and encumbrances

Obtain a current title chain and an opinion from counsel familiar with the relevant state. Check ownership, prior transfers, mortgages, charges, liens, easements, rights of way, acquisition claims, government notices, boundary issues, tenancy rights and pending litigation. Verify that the entity selling or contributing the asset has authority to do so and that releases can be obtained from existing lenders.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Land use, approvals and registration

Confirm zoning and permitted use, conversion or change-of-land-use orders, building and commencement approvals, environmental permissions, fire and safety clearances, utility and access rights, and occupancy or completion certificates where relevant. For a development, verify project registration and disclosures required in the applicable local regime, including the local RERA records where applicable. Match each approval to the correct survey number, phase, developer and legal owner.

Construction and completion risk

Obtain an independent quantity survey or engineer’s assessment of work completed, remaining cost, schedule and contingency. Review contractor capacity, payment disputes, performance security, design changes, procurement exposure, insurance, escrow or funding arrangements and the developer’s obligations to buyers or lenders. Model the cash need if completion is six, 12 or 18 months later than planned.

Operating-property diligence

For an income-producing asset, test tenant concentration, lease expiry and break clauses, rent escalations, vacancy, arrears, renewal probability, operating expenses, maintenance capital expenditure and property-management contracts. Verify rent rolls against executed leases and collections, not only management forecasts. A high occupancy figure can conceal short leases, concessions or one tenant whose departure would impair debt service.

Valuation discipline

Compare valuation inputs with achievable rents, observable transactions and realistic sale prices. Distinguish asking prices from completed transactions. Require sensitivity to vacancy, rent growth, construction cost, interest rate, exit yield or multiple and selling costs. An independent valuation should challenge assumptions; it should not be used as proof that an exit buyer will pay the indicated price.

Use market data as context, not a deal recommendation

A SEBI-hosted issuer prospectus market overview, published in 2025 and reporting 2024 data, estimated Indian institutional real-estate investment at USD 8.9 billion in 2024, with foreign institutional investors accounting for 63%. Treat this as a reported market estimate attributed to secondary research, not as a forecast, audited deal pipeline or evidence that foreign capital can enter any particular structure.

The same overview reported 350,893 residential units sold across seven major cities in 2024, up from 223,991 in 2021. The group comprises the Mumbai Metropolitan Region, Delhi NCR, Bengaluru, Pune, Hyderabad, Chennai and Kolkata. It also reported 14 months of inventory overhang in 2024, compared with 55 months in 2020. Overhang was defined as the estimated time needed to clear unsold stock at the prevailing sales velocity.

Those aggregates do not establish the value, solvency, title, affordability or execution prospects of an individual project. A city can have strong sales while a micro-market suffers from competing supply, weak transport links or unaffordable ticket sizes. Use the figures to frame questions about demand, then replace them with project-level evidence.

Build an investor-level cash-flow model

Model dated cash flows from the first call to the final distribution. Show both gross asset performance and what the investor actually receives. A credible model separates operating cash flow, development proceeds, debt, fees, taxes and the distribution waterfall.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Set the timing: enter each expected capital call, drawdown, interest payment, operating receipt, sale, refinancing and distribution by month or quarter.
  2. Include total cost: add purchase price, stamp and transaction costs, construction, design, contingency, leasing or sales costs, insurance, taxes and ongoing operating expenses.
  3. Model financing: specify loan-to-cost or loan-to-value, interest type, amortisation, covenants, fees, maturity, refinancing assumptions and consequences of a failed refinance.
  4. Apply fund economics: deduct management and other fees, then calculate preferred return, catch-up, carried interest and any clawback using the exact agreement.
  5. Calculate net outcomes: report net IRR, multiple of invested capital, total distributions and time to liquidity. Show the cash multiple separately from annualised return.
  6. Run sensitivities: vary sales price or rent, occupancy, cost to complete, interest rate, exit value, selling costs and the date of exit.
  7. Check funding authority: determine whether the manager can issue additional calls, borrow, extend the fund, recycle proceeds or distribute property in kind—and whether you can fund those actions.

Use at least three cases: a base case tied to documented assumptions, a downside case with slower sales or leasing and higher costs, and a severe case with a delayed exit, lower valuation and constrained refinancing. No dependable deal-specific expected IRR is established by the market sources; publishing one without the target’s documents and assumptions would create false precision.

Examine exit and liquidity before entry

Private real-estate returns depend on an exit that may be years away. Identify the intended buyer, sale process, transfer restrictions, consent rights, tag-along or drag-along provisions, lock-ins, secondary-sale mechanics and fees. Ask what happens if the preferred buyer does not appear: can the asset be refinanced, sold in parts, transferred to another vehicle or distributed in kind?

For a fund, understand extension votes, wind-down authority, valuation at liquidation and the manager’s ability to hold an asset after the stated term. For a company investment, review debt maturities, change-of-control provisions and the ranking of your security on a sale or insolvency. A projected exit multiple is an assumption, not liquidity.

Compare private exposure with REITs and listed securities

If your objective is diversified real-estate exposure rather than control of a private development, compare the structures on consistent criteria. SEBI maintains separate rulebooks for AIFs and REITs, but practical outcomes still depend on the specific product documents and investor eligibility.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Criterion Private fund or project REIT Listed real-estate security
Liquidity Usually limited by fund tenure, transfer restrictions and an uncertain exit Exchange liquidity may be available, subject to market depth and price volatility Generally exchange-traded, with liquidity and pricing determined by the market
Diversification May be concentrated in one project, city, borrower or development phase Typically portfolio-based, but concentration and sector exposure vary by trust Depends on the company’s assets, debt and business lines
Governance and control Investor rights are set mainly by negotiated fund or security documents Trust-level rules and disclosures apply, with limited individual control Shareholder rights apply, but management controls operations
Valuation transparency Periodic appraisals and manager reporting; unrealised values can be subjective Market price plus required disclosures and valuations, subject to trading conditions Continuous market price, although it can diverge from asset value
Fees and leverage Management, transaction, performance and asset-level fees; leverage is document-specific Trust and asset-management fees; leverage and distribution rules are disclosed Company expenses, debt and possible dilution; no private-fund waterfall
Distributions Often irregular and dependent on operating cash flow or exits Policy-driven distributions from eligible cash flows, not guaranteed Dividends depend on company policy and earnings
Investor control Potentially greater negotiated rights, but usually no day-to-day control Low direct control over individual properties Voting rights without operational control

Do not choose a structure solely because its historical return appears higher. Compare after-fee, after-tax cash flows, the chance and timing of liquidity, leverage, diversification and the amount of work required from you.

Checklist for a non-resident investor

Foreign-investment analysis is transaction-specific. Before signing, prepare a written memo covering:

  1. Your tax residence, status, beneficial ownership and source of funds.
  2. The investing vehicle, ownership chain and whether the holding is direct or through an investment vehicle.
  3. The exact instrument, issuer, investee activity and sector classification.
  4. Automatic versus government route, pricing, ownership, downstream-investment and sector conditions.
  5. Required filings, reporting, valuation certificates and timelines.
  6. Tax on income and gains, withholding, treaty treatment and local filing obligations.
  7. Repatriation of principal, dividends, interest and sale proceeds, including currency and bank documentation.
  8. Exit restrictions, transfer approvals and consequences if rules change.

The January 20, 2025 update date of the RBI direction does not answer the eligibility or tax position of a particular investor. Obtain current advice from Indian legal and tax professionals who have reviewed the actual documents.

Red flags that should stop or slow the investment

  • The seller cannot identify the legal owner of the land, the entity receiving your money or the party responsible for approvals.
  • Title, encumbrance, litigation, environmental or project-registration records are unavailable or limited to summaries.
  • Returns are presented only as gross IRR, with no cash-distribution history, fee schedule or waterfall example.
  • Unrealised valuations are supplied without methodology, independent review or sensitivity analysis.
  • The manager resists disclosure of related-party fees, allocation among affiliated funds, key-person remedies or extension powers.
  • Construction budgets omit contingency, financing costs, taxes, rehabilitation obligations or the cost of delay.
  • Sales or rent assumptions rely on asking prices, unexecuted letters of intent or city-wide statistics rather than signed contracts and collections.
  • Debt matures before the assumed exit and the model contains no refinancing downside.
  • A non-resident is told that a route is permitted without identifying the investor, instrument, entity and reporting analysis.

A practical decision sequence

Use staged gates so an attractive presentation cannot pull you past unresolved risks.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Gate 1—structure: write down the instrument, owner, manager, investor rights and applicable regulatory perimeter.
  2. Gate 2—documents: obtain the complete agreements, fee schedule, valuation policy, audited records and conflicts disclosures.
  3. Gate 3—manager: reconcile realised performance, team capacity, governance and alignment to independent evidence.
  4. Gate 4—asset: clear title, approvals, construction or operating diligence, tenant or buyer evidence and valuation sensitivities.
  5. Gate 5—economics: approve a dated net cash-flow model with base, downside and severe cases, including additional-call and extension scenarios.
  6. Gate 6—exit and legal sign-off: document the exit route, liquidity limits, tax treatment and, where relevant, foreign-investment and repatriation advice.

If a gate fails, pause rather than compensate for missing evidence with a higher projected return. A market with strong institutional flows and improving aggregate housing sales can still contain projects with defective title, insufficient funding or an unworkable exit.

What a defensible investment memo should contain

Before committing, your file should let another professional reproduce the decision. Include the structure chart; regulatory analysis; fund and security documents; title and approval reports; construction or lease diligence; independent valuation and assumptions; manager track record with realised cash evidence; complete fee and waterfall calculations; base and stress cases; tax and foreign-investment advice where applicable; and a written explanation of why the expected risk is acceptable.

Have an Indian real-estate lawyer review title and transaction documents, a tax adviser review investor-specific consequences, and an independent property or financial diligence team test the asset and model. The review should cover the actual property, fund and investor—not just the category.

Conclusion

Private equity can provide access to Indian development and income-producing real estate, but the investment is only as sound as the legal ownership, governance, asset execution and exit evidence behind it. Treat market statistics as context, insist on document-level verification, calculate net cash flows after every fee and tax, and stress a delayed or impaired exit. For non-residents, do not invest until the route, reporting and repatriation analysis is written for your exact facts and checked against current rules.
