How to Evaluate Private Credit Funds: Fees, Liquidity, and Risk

By Freedom251 Team · · 12 min read

Evaluate a private credit fund by reconciling three things in its current offering documents: your all-in investor cost, the contractual process for getting money out, and the probability and severity of losses in the loan portfolio. A low management fee or attractive distribution rate is not enough. Underlying-fund expenses, incentive fees, leverage costs, repurchase limits, valuation practices, borrower leverage, seniority, collateral and concentration can materially change the outcome.

The framework below is designed for comparing funds, share classes and distribution channels. It is general information, not individualized investment, tax or legal advice. Exact eligibility, fees, tax treatment and redemption rights are fund- and jurisdiction-specific.

First identify what you are buying

“Private credit fund” can describe materially different vehicles. Before comparing returns or fees, identify the structure and the documents that govern your investment.

  • Drawdown private fund: investors commit capital and fund it when called under the partnership or subscription agreement.
  • Evergreen private fund: the vehicle generally continues issuing and repurchasing interests under its governing terms rather than ending on a fixed liquidation date.
  • Non-traded business development company: a continuously offered vehicle that invests in private or thinly traded credit and has its own repurchase, leverage and valuation rules.
  • Interval fund: a closed-end fund that offers repurchases at stated intervals instead of daily redemptions.

Confirm the fund’s legal form, domicile, registration status, investor eligibility, minimum investment, share class and distribution channel. The same portfolio can have different expenses and rights for institutional, adviser-sold and retirement-account investors.

Documents to collect

Use the latest version of each document, not a presentation saved from a prior offering period:

  • Prospectus or private placement memorandum, including the fee table and risk factors.
  • Statement of additional information, limited partnership agreement or other governing agreement.
  • Subscription agreement and any class, platform or intermediary schedule.
  • Most recent shareholder report, portfolio schedule and valuation policy.
  • Repurchase-offer notice and the procedures for submitting, changing or cancelling a request.
  • Any side-letter or preferential-liquidity disclosure that applies to the class or investor channel.

Record the document date and the page or section supporting every number in your comparison sheet. Terms can change at a supplement, board action or new filing.

Calculate the total investor cost

Start with a fee inventory rather than the headline management fee. The number that matters is the amount that reduces your net return over the period you expect to hold the investment.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Cost category What to verify
Management fee Is it charged on gross assets, net assets, committed capital or another base? Does the base include borrowed money?
Incentive or performance fee Identify the hurdle, catch-up, crystallization date, treatment of realized and unrealized gains, and how realized or unrealized losses affect future fees.
Fund operating expenses Include administration, custody, audit, legal, insurance, directors or trustees, financing and other recurring expenses.
Acquired-fund expenses Look through to underlying vehicles. Their expenses may not appear in the fund’s management-fee line.
Placement, servicing and distribution charges Check whether the investor’s class or intermediary adds an upfront placement charge, ongoing servicing fee or distribution fee.
Borrowing and leverage costs Interest and financing fees can rise with rates and may sit outside an expense cap.
Waivers and caps Read the expiration date, excluded expenses and recoupment provisions. A waiver can be temporary rather than permanent.
Exit costs Check early-repurchase deductions, transfer restrictions and any other charge triggered by selling or requesting repurchase.

Read the fee base and incentive mechanics

A 1% fee on gross assets is not economically equivalent to 1% on net assets. If a fund borrows, a gross-asset base can charge a management fee on both investor equity and borrowed money. Incentive fees require equal care: a hurdle may delay the fee, a catch-up may accelerate it after the hurdle, and crystallization determines when an accrued amount becomes payable. Ask whether unrealized appreciation creates a fee and whether subsequent losses reverse or offset that amount.

Build a simple annualized model with separate rows for management fees, incentive fees, operating expenses, underlying-fund expenses, financing costs, intermediary charges and any expected exit deduction. Use the fund’s own assumptions in its expense example, then create a second case using the costs that the example excludes. Do not treat a prospectus illustration as a forecast of your return.

Expense caps can exclude major items

The 2026 prospectus for the First Trust Private Credit Fund illustrates why a cap is not necessarily an all-in ceiling. Its stated expense limits are 2.40% for Class A and 1.65% for Class I through April 29, 2027. The limits exclude specified costs, including taxes, leverage interest, brokerage commissions, acquired-fund expenses, certain transaction costs and extraordinary expenses. The prospectus says actual total annual expenses are expected to exceed the limits because of excluded items, and it describes conditions under which waived amounts may be recouped. These are that fund’s terms, not an industry-wide fee schedule; verify the latest filing before relying on the dates or percentages.

Share classes can change the answer

A dated SEC-filed fact sheet for the Fidelity Private Credit Fund (August 2026) reports different minimum investments, possible upfront placement fees, class-level service or distribution fees and different annual expenses. The reported total annual expenses are 7.92% for Class I, 8.78% for Class S and 8.17% for Class D. After the stated expense limitation, the figures are 7.75%, 8.61% and 8.00%, respectively. Those are reported figures for that fund and date, not market averages. Confirm that your subscription channel offers the same class and determine whether an intermediary adds a charge.

Fidelity example (August 2026 fact sheet) Class I Class S Class D
Total annual expenses 7.92% 8.78% 8.17%
Total annual expenses after expense limitation 7.75% 8.61% 8.00%

When comparing two funds, put each investor’s actual class in the same spreadsheet. A fund-level number that omits class-specific distribution or placement charges can produce a misleading ranking.

Translate “liquidity” into a contract

Private credit funds generally own loans or other instruments that cannot be sold immediately at a reliable price. Investor liquidity therefore depends on the fund’s repurchase mechanism, not simply on the word “quarterly” or on the ability to submit an online request.

Questions for the repurchase program

  • Is the vehicle a drawdown fund, evergreen fund, non-traded BDC, interval fund or another structure?
  • On which dates may a request be submitted, and how many days of notice are required?
  • How often are offers made, and what percentage of shares may be repurchased at each offer?
  • Is the amount guaranteed, discretionary, subject to board approval or subject to pro-ration when requests exceed the offer?
  • Can the board or adviser modify, suspend or terminate the program?
  • Is there an early-repurchase deduction, lock-up, transfer restriction or gate?
  • What happens if the portfolio cannot raise cash without borrowing or selling assets at unfavorable prices?

What two current examples show

The First Trust prospectus describes a closed-end interval fund with quarterly repurchase offers and no daily redemption. A quarterly offer is an opportunity to request liquidity, not a promise that every requested share will be purchased.

The Fidelity Private Credit Fund’s August 2026 fact sheet says it intends quarterly repurchases of up to 5% of shares at net asset value. It also states that the program is subject to board approval and may be modified, suspended or terminated. “Up to 5%” is a maximum for an intended offer under stated conditions, not immediate or guaranteed access to cash. Treat both examples as fund-specific illustrations and read the governing terms for any candidate fund.

Check for preferential liquidity terms

Ask whether any investor or affiliated vehicle has a side letter or other arrangement that changes redemption priority or timing. In its 2023 final rule release, the U.S. Securities and Exchange Commission wrote: “In general, we believe that granting preferential liquidity rights on terms that the adviser reasonably expects to have a material, negative effect on other investors in the private fund or in a similar pool of assets is a sales practice that is harmful to the fund and its investors.” The statement explains the Commission’s view in that release; it does not answer every legal question or establish that every preferential term is prohibited. Read the fund’s actual disclosure and obtain legal advice for a specific arrangement.

Assess credit risk at the borrower and portfolio level

A distribution rate or yield does not tell you the probability of default or the amount recovered after a default. Review the portfolio’s underwriting and concentration disclosures, then ask what would happen if several borrowers deteriorated at once.

Risk dimension Questions to answer
Borrower leverage How much total debt does each borrower carry, and how much debt ranks ahead of the fund’s claim?
Seniority and structural protection Is the fund’s loan senior secured, subordinated or otherwise junior? Are there guarantees, covenants or intercreditor limits?
Cash-flow resilience How variable are the borrower’s cash flows? Can interest and required amortization be paid under weaker operating conditions?
Collateral What assets secure the loan, how are they valued, and how much coverage remains after senior claims and liquidation costs?
Borrower and sponsor concentration What percentage of assets is exposed to the largest borrowers, sponsors or related groups?
Industry and vintage concentration Could a common economic or sector shock affect many loans originated in the same period?
Interest-rate exposure Are loan coupons fixed or floating, and how would rate changes affect borrower cash flow and the fund’s financing cost?
Asset quality and size How large and financially established are the borrowers, and what evidence supports the stated credit quality?

SEC-filed risk disclosures identify total borrower leverage, senior debt, cash-flow variability, borrower size, asset quality and collateral coverage as factors that affect credit quality. Use those factors alongside borrower, sponsor, sector and vintage concentration rather than relying on a single portfolio rating or average yield. See the SEC-filed private credit fund risk disclosure for an example of the issues funds describe.

Separate default probability from loss severity

A well-secured senior loan may still lose money if collateral values fall, enforcement is delayed or another creditor has priority. Conversely, a borrower can experience financial stress without an immediate realized loss if the loan is amended or repaid. Review both the likelihood of missed payments and the expected recovery after fees, restructuring and senior claims. Ask how non-accruals, payment-in-kind interest, amendments and restructurings appear in the portfolio report and incentive-fee calculation.

Understand valuation and NAV risk

Private loans are often restricted, privately negotiated and difficult to sell promptly. Their reported net asset value is therefore based on a valuation process rather than a continuously quoted market price.

Map the valuation process

  • Who performs the initial valuation and who reviews or approves it?
  • How often are holdings marked, and what observable market inputs or comparable transactions are used?
  • How are thinly traded or distressed positions valued when no recent trade exists?
  • How are valuation conflicts identified and managed when the adviser also originates, services or restructures loans?
  • How quickly are material events, covenant breaches and borrower updates reflected in NAV?

Compare the valuation policy with the repurchase calendar. If investors can request repurchases at periodic NAV while the underlying loans are hard to sell, the fund may need cash reserves, borrowings or asset sales. During stress, selling quickly can force an unfavorable price, while delaying sales can leave the fund with less cash for accepted requests. The First Trust prospectus discusses constraints associated with less-liquid underlying vehicles and shareholder repurchases; use its disclosure as a reminder to examine the liquidity-management section of every candidate fund.

Stress the NAV and liquidity together

Ask management to explain a scenario in which repurchase requests rise while borrower marks fall. Your analysis should identify which assets are liquid first, the borrowing capacity available, the cost of that borrowing, the order in which requests are reduced or pro-rated, and the circumstances in which the program can be suspended. A fund that reports a stable NAV in normal markets may still experience a sharp adjustment when new information changes a private loan’s estimated value.

Compare funds on the same five axes

Axis Evidence to collect
Net investor cost All-in cost by class after management and incentive fees, underlying-fund expenses, intermediary charges, leverage costs, waivers, recoupment and exit deductions.
Investor liquidity Request windows, notice periods, offer caps, pro-ration, board discretion, suspension rights, lock-ups and early-exit costs.
Portfolio credit quality Borrower leverage, debt seniority, cash-flow resilience, collateral coverage, non-accrual information and borrower, sponsor, sector and vintage concentration.
Valuation and transparency Marking frequency, valuation responsibility, conflict controls, portfolio look-through and timeliness of reporting.
Structure and alignment Use of leverage or underlying vehicles, incentive-fee treatment, expense recoupment, side-letter terms and whether investor rights differ by class.

Do not fill an unavailable cell with an assumption. Write “not stated” and request the missing document or explanation. A comparison that exposes an unknown is more useful than one that hides it.

A document-led evaluation workflow

  1. Define your constraints. Write down the amount, expected holding period, need for cash, tax residence, account type and tolerance for temporary loss. This determines whether a periodic repurchase structure is even compatible with your circumstances.
  2. Identify the exact class and channel. Record the class designation, minimum, eligibility requirements and intermediary. Obtain the class supplement and subscription schedule, not only the fund prospectus.
  3. Build the fee ledger. Enter every recurring and conditional charge. Separate costs inside and outside any cap, and note the waiver end date and recoupment conditions.
  4. Model at least two cost cases. Use the fund’s illustration as one case and a case that includes excluded leverage, acquired-fund and transaction expenses. Keep incentive fees separate so you can see how assumptions change the result.
  5. Rewrite liquidity in plain language. Convert the repurchase section into a timeline showing request deadline, NAV date, expected payment date, maximum percentage, pro-ration and suspension rights.
  6. Trace the portfolio to borrowers. Record the largest exposures, seniority, leverage, collateral and concentration. Mark every item that is reported only in aggregate.
  7. Test valuation and stress procedures. Ask how private positions are marked, who approves marks, and how the fund would meet requests during a simultaneous NAV decline and redemption surge.
  8. Compare alternatives side by side. Use the five-axis table above and preserve the document date for every entry. Do not compare a current term sheet with an outdated fact sheet.
  9. Resolve material unknowns in writing. Send specific questions to the adviser, administrator or intermediary and retain the answers with the documents. If a material term remains unclear, treat it as an unresolved risk rather than a favorable assumption.
  10. Confirm legal and tax implications. Have a qualified adviser review jurisdiction-specific eligibility, reporting, tax treatment, retirement-account rules and the enforceability of any side arrangement.

Red flags that warrant a pause

  • A headline management fee is prominent, but incentive, acquired-fund, financing or intermediary costs are difficult to locate.
  • An expense cap has a near-term expiration, broad exclusions or recoupment rights that could raise later expenses.
  • “Quarterly liquidity” is advertised without a percentage cap, notice deadline, pro-ration rule or suspension language.
  • The fund promises NAV repurchases while providing little information about cash reserves, borrowing capacity or the liquidity of underlying holdings.
  • Portfolio reporting gives an average yield but little information about borrower leverage, seniority, collateral or concentration.
  • Valuation responsibility and conflict controls are not clearly described.
  • Different classes have materially different expenses or minimums, but the subscription materials do not identify which class you will receive.
  • Sales materials imply that a fund-specific fee, repurchase percentage or expense figure is a market norm.

Questions to ask before committing capital

  1. What is my projected all-in annual cost in the exact share class, including underlying vehicles, financing and intermediary charges?
  2. Which expenses are excluded from the cap, when does the cap end, and can waived amounts be recouped?
  3. What percentage of shares may be repurchased at each offer, and what happens when requests exceed that amount?
  4. Who approves a repurchase, and can the board or adviser suspend, modify or terminate the program?
  5. What early-repurchase deduction, lock-up or transfer restriction applies to my investment?
  6. What portion of assets can be sold within days, and what borrowing capacity is available if requests rise?
  7. How are the largest borrowers leveraged, what debt ranks ahead of the fund, and what collateral supports the loans?
  8. How concentrated is the portfolio by borrower, sponsor, sector and origination vintage?
  9. Who values private holdings, how often are they marked, and how are conflicts managed?
  10. Which terms differ for my class, intermediary or account type?

How to make the decision

Proceed only when you can state, in one page, the exact cost you will bear, the earliest contractual exit date, the maximum amount the fund may repurchase, the circumstances that can delay or stop payment, and the portfolio risks that could produce a permanent loss. If any of those answers depends on a marketing description rather than a governing document, the comparison is incomplete.

There is no established industry-wide average fee, default rate or liquidity percentage in the sources cited here. The First Trust percentages, Fidelity expense figures and Fidelity’s intended 5% quarterly repurchase example are fund-specific and date-specific. Recheck current filings and subscription terms immediately before investing, because a new supplement, board action, class change or intermediary schedule can alter the economics.
