Evaluate Marvell stock as a chain of evidence, not as a reaction to one strong quarter. The key questions are whether data-center growth can remain durable, whether reported profits and adjusted profits converge, whether earnings become free cash flow after investment, whether debt and maturities are manageable, and whether the share price already assumes an unusually favorable future. Marvell’s latest reported quarter, Q2 fiscal 2027 (ended August 1, 2026), provides a useful starting point but does not by itself establish that the stock is cheap or attractive.
The latest quarter: what it proves and what it does not
Marvell reported record Q2 fiscal 2027 revenue of $2.739 billion, up 37% year over year. Data Center revenue grew 46% year over year, making it the clearest reported growth engine. GAAP gross margin was 53.1%, compared with 58.9% non-GAAP. GAAP net income was $308.0 million, or $0.33 diluted earnings per share; non-GAAP net income was $865.9 million, or $0.94 non-GAAP diluted EPS. Operating cash flow was $605.5 million.

These are company-reported quarterly figures from Marvell’s August 27, 2026 results release. They establish recent operating performance, not a valuation conclusion. A 37% sales increase can justify a premium multiple if it persists and converts into cash, but the same growth rate can be a poor investment if the market price already discounts several years of acceleration.

Management guided Q3 fiscal 2027 revenue to $3.150 billion, plus or minus 5%, and non-GAAP diluted EPS to $1.10, plus or minus $0.05. This is an August 2026 forecast, not realized performance. Compare it with the eventual quarter and record whether revenue, margins and cash flow move in the same direction.

Chairman and CEO Matt Murphy described demand across the Data Center portfolio as strong and said AI-related bookings were “exceptionally robust.” Those are management’s characterization and expectation; they are not independent confirmation or a guarantee of future sales.
Build a clean revenue-growth picture
Start with total-company growth
Calculate both year-over-year and sequential revenue growth for every reported quarter. Year-over-year growth reduces seasonality distortions, while sequential growth shows the current pace and the effect of program ramps or shipments that moved between quarters. Keep fiscal periods aligned: Marvell’s Q2 fiscal 2027 ended August 1, 2026, so compare it with the corresponding prior-year quarter and the immediately preceding fiscal quarter.
Record the numerical result, the reported period and whether it is actual revenue or guidance. Do not mix the $2.739 billion actual Q2 figure with the $3.150 billion Q3 outlook in a single historical growth calculation.
Separate Data Center from the rest of the company
Data Center revenue grew 46% year over year in Q2, faster than the 37% company-wide rate. That difference identifies the segment currently supplying most of the momentum, but it also creates concentration risk. A sustainable thesis needs evidence that customer programs are broadening, adjacent businesses are contributing and large ramps are not simply being pulled forward from later quarters.
For each release, make a table with total revenue, Data Center revenue growth, other disclosed end-market trends, sequential changes and management’s explanation for the movement. If a segment figure is not disclosed for a period, mark it as “not stated” rather than estimating it from company totals.
Test the quality of the growth

- Is growth coming from higher unit volume, pricing, product mix, acquisitions or a combination?
- Are custom silicon and connectivity programs reaching production, or are bookings still the main evidence?
- How much of the increase reflects customer inventory replenishment or unusual timing?
- Does faster revenue growth arrive with stable or improving gross margin and operating cash flow?
Management’s statement that growth should accelerate through the remainder of fiscal 2027 is a forecast. Track each subsequent quarter against that forecast and note whether misses or beats result from recurring demand or timing.

Do not combine the two margin bases
Q2 GAAP gross margin was 53.1%, while non-GAAP gross margin was 58.9%, a material difference. Present the measures in separate columns and preserve the company’s definitions. Non-GAAP results exclude items including stock-based compensation, acquired-intangible amortization, acquisition and divestiture costs, restructuring charges, certain legal matters and other specified expenses.
The difference is not an accounting error, but it changes what the number means. GAAP includes the full set of recognized expenses. Non-GAAP is intended to highlight ongoing operating performance after selected exclusions. Neither should replace the other in an investment analysis.
Understand acquired-intangible amortization
Marvell says acquired-intangible amortization is expected to recur until the acquired assets are fully amortized. Those assets contributed to revenue and are expected to continue doing so. Therefore, treating the amortization as permanently irrelevant can overstate the economic profitability of acquisitions. Examine the reconciliation and the remaining amortization period before deciding how much weight to give adjusted earnings.
Follow the margin bridge over time
For every quarter, record:
- GAAP gross margin and non-GAAP gross margin.
- GAAP operating income and margin.
- Non-GAAP operating income and margin.
- GAAP diluted EPS, non-GAAP diluted EPS and diluted share count.
- The dollar value and categories of exclusions in the reconciliation.
Q3 fiscal 2027 non-GAAP gross-margin guidance was 57.5% to 58.5%, below the top of the Q2 non-GAAP range represented by the 58.9% actual result. Compare the eventual result with that range rather than assuming that Q2’s margin is a new permanent level.

Check dilution as part of earnings quality
EPS depends on both net income and diluted shares. Track the share count alongside revenue and operating income. Stock compensation can be excluded from non-GAAP profit while still diluting shareholders when awards settle. A business can report rising non-GAAP EPS while per-share ownership grows more slowly than total earnings if dilution is controlled; the opposite is also possible.

Use cash flow to validate earnings
Start with operating cash flow
Marvell reported Q2 operating cash flow of $605.5 million. Compare that amount with GAAP net income over several quarters, not just one. Receivables, inventory, payables and other working-capital movements can make a single quarter unusually strong or weak.
A practical worksheet includes operating cash flow, GAAP net income, the operating-cash-flow-to-net-income ratio and the change in each major working-capital line. Explain a large ratio change rather than treating it as a permanent improvement in earnings quality.
Calculate free cash flow consistently
Free cash flow is generally operating cash flow minus capital expenditures, but use the exact capital-expenditure figure and classification reported in the filing. Do not substitute a data-provider estimate in one quarter and a company figure in another. Compare free cash flow with both GAAP and non-GAAP earnings, then ask whether growth requires rising investment in capacity, equipment, research or working capital.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minuteWhen free cash flow is lower than adjusted net income, identify the reason: capital spending, working-capital absorption, cash taxes, restructuring payments or another disclosed item. When it is higher, check whether the benefit comes from temporary working-capital release.
Look for conversion through a cycle
Three to six quarters usually provide a more useful pattern than one quarter. A durable thesis should show that revenue growth eventually produces cash after recurring investment and that cash generation is not dependent on repeated one-time releases. Use the August 28, 2026 Form 10-Q for the detailed cash-flow statement and capital-expenditure information.
Examine debt, liquidity and maturities in the 10-Q
The latest listed Form 10-Q covers the quarter ended August 1, 2026 and was filed August 28, 2026. Use it as the primary source for the balance sheet, debt note, interest expense and risk disclosures. The available quarterly release does not provide enough balance-sheet detail to support a specific net-debt figure, leverage ratio or “low debt” description.

Extract these figures before making a leverage claim
- Cash and cash equivalents, plus any separately disclosed short-term investments.
- Current portions of long-term debt and other borrowings.
- Long-term debt, including the carrying value and, where shown, face value.
- Contractual maturities by year.
- Interest expense and stated interest rates or hedging information.
- Current liabilities and any material purchase, lease or other financing commitments.
- Recent debt issuance, repayment, conversion or refinancing activity.
Calculate gross debt as current debt plus long-term debt. Calculate net debt as gross debt minus cash and cash equivalents, using consistent dates and definitions. If the filing separates restricted cash or other investments, explain whether you included them rather than silently treating them as cash.

Match obligations with cash generation
Compare scheduled principal maturities and cash interest with operating cash flow and free cash flow. A company can have manageable total debt but a difficult near-term maturity wall, or substantial cash but restrictions that reduce its availability. Read the debt note and liquidity discussion for covenants, guarantees and refinancing dependencies.
Do not infer leverage from the income statement alone. Interest coverage calculated from one unusually strong quarter can be misleading, particularly when Data Center shipments or working-capital timing are changing rapidly.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Value the shares with dated inputs
Operating performance does not answer whether Marvell stock is attractively priced. A valid valuation requires a timestamped share price, diluted shares, cash, debt and a clearly defined financial period. No point-in-time quote, market capitalization, enterprise value or verified multiple is established here, so do not publish a current P/S, EV/Sales or earnings multiple without retrieving and dating those inputs.
Price-to-sales
Calculate market capitalization as:
share price on the stated date × diluted shares
Then divide by trailing-twelve-month revenue or a clearly labeled forward-revenue estimate. State whether the denominator is GAAP revenue, which is normally the appropriate sales measure, and identify the fiscal periods included.
Enterprise-value-to-sales
Calculate enterprise value as:
market capitalization + gross debt − cash and cash equivalents
Best Value
Use balance-sheet figures from the same date or the closest available filing, and disclose the date mismatch if one exists. Divide enterprise value by trailing or forward revenue, labeling the choice. EV/Sales is useful for a company with meaningful debt or changing earnings, but it ignores differences in margins and capital intensity.
Earnings-based measures
Use P/E or EV/operating-income measures only when the earnings denominator is meaningful and consistently defined. Show GAAP and adjusted versions separately. A P/E based on $0.33 GAAP Q2 diluted EPS is not interchangeable with a ratio based on $0.94 non-GAAP diluted EPS. If you annualize one quarter, label it as an annualized scenario rather than a reported annual result.
Reverse the valuation into expectations
Instead of asking only whether a multiple looks high or low, ask what the price requires. Build scenarios for revenue growth, gross margin, operating margin, dilution and free-cash-flow conversion. A premium multiple may be defensible if 46% Data Center growth broadens, margins hold and cash conversion improves. It may be vulnerable if growth decelerates, the non-GAAP/GAAP gap persists, dilution rises or debt requires cash that would otherwise fund investment.
A repeatable Marvell stock-evaluation workflow
- Freeze the information date. Write down the share-price date, the latest fiscal quarter and the filing dates before calculating anything.
- Build the operating history. Enter at least six quarters of revenue, year-over-year growth, sequential growth and disclosed end-market growth.
- Separate accounting bases. Maintain distinct GAAP and non-GAAP columns for gross margin, operating income and EPS.
- Read every reconciliation. Quantify stock compensation, acquired-intangible amortization, restructuring, transaction and legal items instead of treating “adjusted” as a single standardized concept.
- Reconcile earnings to cash. Compare net income, operating cash flow and consistently calculated free cash flow, with working-capital explanations.
- Extract the balance sheet. Use the latest 10-Q to calculate gross debt, net debt, liquidity and maturities.
- Record guidance separately. Enter Q3 fiscal 2027 revenue of $3.150 billion plus or minus 5% and non-GAAP EPS of $1.10 plus or minus $0.05 as forecasts, then replace them with actuals when reported.
- Calculate valuation. Use same-date price, shares, cash and debt; show the formulas and denominator periods.
- Stress-test the thesis. Model slower Data Center growth, lower margins, higher dilution, weaker cash conversion and a refinancing need.
- Write a conditional conclusion. State which assumptions must hold for the current price to be reasonable and what evidence would invalidate them.
Common analytical mistakes and fixes
- Calling guidance a result: label every forecast with its publication date and replace it only after the quarter is reported.
- Using Data Center growth as total-company growth: keep the 46% segment rate separate from the 37% company rate.
- Mixing GAAP and non-GAAP margins: put them in separate rows and retain the reconciliation.
- Ignoring recurring acquisition costs: evaluate acquired-intangible amortization economically because the acquired assets produce revenue.
- Relying on one cash-flow quarter: inspect several quarters and working-capital movements.
- Claiming low leverage without the filing: extract debt, cash and maturities from the August 28, 2026 10-Q first.
- Quoting an undated multiple: provide the share-price date, share count, balance-sheet date and denominator period.
- Assuming a strong quarter proves a cheap stock: compare the implied expectations in the price with realistic growth and margin scenarios.
How to reach a disciplined conclusion
Marvell’s latest results support a description of a fast-growing, data-center-led semiconductor business: Q2 fiscal 2027 revenue rose 37%, Data Center revenue rose 46%, and operating cash flow reached $605.5 million. The next questions are durability and conversion. You need multiple periods showing whether the growth engine broadens, whether GAAP profitability improves relative to adjusted results, whether free cash flow keeps pace and whether debt maturities fit the cash profile.
The investment conclusion should therefore be conditional rather than a price target. The stock is more compelling when a dated valuation leaves room for slower growth, stable or improving GAAP margins, controlled dilution and reliable free-cash-flow generation. It is less compelling when the price requires management’s acceleration forecast to arrive on schedule, assumes the non-GAAP margin gap is harmless, or ignores refinancing and investment needs. This framework is general information, not individualized financial advice.
