Evaluate an international stock in six layers: the company, the quality of its disclosures, the country and market, currency effects, the way you will hold the shares, and your intermediary and tax position. International exposure can broaden access to companies and economies outside your home market, but it does not guarantee higher returns. The key question is whether you can understand the business well enough, trade it reliably, and estimate your after-cost, after-currency return with the investor protections available to you.
What makes an international stock different
A foreign company is not evaluated only by its share price or a familiar set of financial ratios. You are also evaluating the information system, legal environment, trading venue, currency and custody chain around that share.
As an Amazon Associate I earn from qualifying purchases.
- Information risk: Reports may arrive less often, contain less detail, be published in another language or use accounting standards that differ from those in your home market.
- Market risk: Trading volume, opening hours, settlement practices, foreign-ownership limits and the ability to move money across borders can differ materially.
- Currency risk: The share can rise in its local market while its value in your home currency falls.
- Legal and intermediary risk: A dispute may be harder to pursue in another jurisdiction, and an unregistered or unfamiliar broker may not provide the protections you expect.
- Structure and cost risk: An American depositary receipt (ADR), a fund and a directly traded foreign share can all give exposure to the same company while carrying different fees, reporting and custody arrangements.
These risks do not make every international investment unsuitable. They mean your due diligence must cover more than the issuer’s headline growth story.

Describe how the company makes money
Write a short description of what the company sells, who pays it, and where its revenue and costs arise. Break out major products, customer groups and geographic markets when the issuer provides that information. A company that reports in one country but earns most of its money elsewhere may be exposed to a different set of currencies, regulations and economic conditions than its listing location suggests.

Then examine its competitive position. Identify the assets or capabilities that customers would find difficult to replace, and ask whether those advantages are weakening. Review debt levels, cash generation and any dependence on refinancing, commodity prices, government contracts or a single market. The goal is not to predict every event; it is to identify which conditions must remain favorable for the business to fund itself and grow.
Build a primary-source document trail
List the issuer’s latest annual report, interim reports, earnings releases, investor presentations and material-event notices. Record the publication date for each document and the period it covers. Compare like periods—such as one financial year with the preceding financial year—and mark where a reporting gap prevents a clean comparison.
For each document, note:
- the language in which it is published and whether a translation is official or unofficial;
- the accounting framework used for the financial statements;
- the auditor’s name, opinion and the oversight regime that applies to that audit;
- whether the figures are consolidated or cover only a parent or local subsidiary; and
- whether important information is filed promptly, periodically or only when the company chooses to disclose it.
Foreign disclosure requirements can differ in nature, amount and frequency from U.S. requirements. A company that does not file reports with the U.S. Securities and Exchange Commission (SEC) is not automatically fraudulent; it may simply require you to rely on other sources and accept greater uncertainty. Treat missing, delayed or difficult-to-translate information as a risk that belongs in your decision, not as a gap to be filled with assumptions.
Test consistency instead of trusting a single presentation
Reconcile key figures across the annual report, interim filing and earnings release. Look for changes in the definition of revenue, operating profit, debt or cash flow. If management highlights an adjusted measure, locate the reconciliation to the reported accounting figure. Compare the narrative with the cash actually generated and the liabilities disclosed in the statements.
Where possible, check independent evidence such as regulator notices, exchange announcements, customer concentration disclosures and local-language filings. Keep a dated copy or note of the source you used; an online document can later be replaced or translated differently.
Step 2: Assess the country and the market where the shares trade
Map the forces that can move the company
Separate company-specific risks from country and regional risks. Consider political changes, economic conditions, social instability, regulation, taxes, sanctions and public-policy decisions that could affect demand, costs, ownership or the ability to operate. A sound company can still suffer if its market imposes a new restriction on foreign investors or if a currency-control rule blocks payments.
Check market mechanics before you plan an order
Confirm the exchange’s trading hours, regular and holiday schedules, typical volume and settlement conventions. Low volume can widen the spread between buying and selling prices and make a large order difficult to execute without moving the market. A quoted price is not the same as an immediately available price for the number of shares you want.

Find out whether your investor category is subject to foreign-ownership caps, registration requirements or approval procedures. Ask whether dividends and sale proceeds can be converted into your home currency and transferred out of the country. Restrictions may apply to the investor, the sector, the exchange or the amount held.
Consider the practical reach of legal remedies
Identify which country’s courts, regulators and exchange rules govern the issuer and the intermediary. Cross-border claims can be expensive, slow or difficult to enforce, particularly when documents, witnesses and assets are in another jurisdiction. A legal right that is hard to exercise has less practical value than one supported by an accessible regulator and clear process.
Step 3: Translate local performance into your home currency
Separate the two price movements
Your return has at least two moving parts: the share price in its local market and the exchange rate between that currency and your home currency. A gain in the local share price can be reduced or erased when the foreign currency weakens against your home currency. The reverse is also possible. As the SEC Investor.gov international-investing guidance puts it: “When the exchange rate between the U.S. dollar and the currency of an international investment changes, it can increase or reduce your investment return.”
Evaluate performance in both currencies. Record the local-market price change, the exchange-rate change over the same dates and the resulting value after translation. Do not compare a foreign stock’s local return directly with a home-market return stated in your own currency.

Estimate the net result after brokerage commissions, currency-conversion charges, exchange or transaction taxes, bid-ask spread and any account or custody charges. Dividends may be reduced by withholding tax before they reach you. The applicable rate can depend on the source country, your residence, the account type and treaty documentation.
Use separate scenarios rather than one precise forecast:
- Share rises, currency unchanged: isolates the company’s local-market performance.
- Share rises, currency weakens: tests how much of the gain survives translation.
- Share falls, currency strengthens: shows whether currency movement cushions a loss or merely delays it.
- Dividend received: subtract withholding and conversion costs before treating it as income.
This exercise makes currency exposure visible without pretending that exchange rates can be predicted reliably.

Step 4: Choose how to hold the exposure
The instrument you buy changes your access, diversification, information and costs. Compare the actual vehicle and broker terms rather than assuming that every route has the same risk.
Recommended Free Tools
| Holding route | What it provides | Questions and trade-offs |
|---|---|---|
| Direct share on a foreign exchange | Ownership or a market claim traded in the issuer’s home market. | Can require a foreign-market account, local-currency conversion and more research because the issuer may not file with the SEC. Check access, settlement, ownership limits and repatriation. |
| U.S.-traded foreign stock | Foreign-company exposure through a U.S. trading venue when the security is listed there. | Review the issuer’s U.S. reporting status, liquidity, trading hours and the exact security terms. A U.S. listing does not remove the company’s country or currency exposure. |
| American depositary receipt (ADR) | A U.S.-traded receipt representing foreign shares or a fraction of a share. | Find the receipt-to-share ratio, depositary bank, cancellation or conversion process and depositary fees. Ask your broker about ADR charges and review the relevant Form F-6 filing. |
| U.S.-registered mutual fund | A pooled portfolio that can provide country, regional, international or global exposure. | Review the fund’s mandate, holdings, expenses, dealing and pricing process, currency policy and tax documents. A fund reduces single-company concentration but does not remove market or currency risk. |
| U.S.-registered exchange-traded fund (ETF) | A pooled portfolio traded during the day at market prices. | Check the index or strategy, holdings, expense ratio, bid-ask spread, premium or discount to net asset value, creation and redemption structure and currency exposure. |
Understand ADR mechanics before buying
An ADR may represent one foreign share, several shares or a fraction of a share. That ratio affects the apparent price and the dividend amount. Depositary banks can pass through custody and other charges, sometimes described as ADR fees. Ask the broker how and when those fees are collected, then read the Form F-6 registration filing for the receipt arrangement.
Match the vehicle to the exposure you want
Decide whether you want one issuer, a single country, a region, a broad international portfolio or a global portfolio. The SEC distinguishes single-country, regional, global, international and index-fund approaches. A diversified fund may fit a reader who wants broad exposure without selecting one company; a direct share or ADR concentrates the result in one issuer and its listing structure.
Step 5: Compare financial strength and business exposure
Use comparable periods and definitions
Lay out several reporting periods side by side using the issuer’s stated accounting basis. Track revenue, operating result, debt, cash and cash generation, while noting acquisitions, disposals, currency translation and one-time items that make periods less comparable. If the company publishes figures in a local currency and another currency, identify which is the reporting currency and which is a translation.
Locate the sources of concentration
Check whether revenue, suppliers, financing or cash balances are concentrated in one country, customer, bank or commodity. A company may look geographically diversified by sales while relying on one factory, port, payment system or regulator. Record which country conditions affect each major revenue and cost stream.

Read the risk factors and contingent-liability notes, not just the growth discussion. Ask what would happen if demand fell, the local currency weakened, refinancing became more expensive, a dividend were restricted or a government changed the rules. The purpose is to identify failure modes that the market price may not fully reflect, not to manufacture a target price from incomplete data.
Step 6: Verify the broker, adviser and custody chain
For U.S. investors
Check whether the broker or adviser is registered with the SEC or the applicable state authority. The SEC directs investors to FINRA BrokerCheck for broker information and to the Investment Adviser Public Disclosure database for adviser records. Confirm the legal entity that will hold the account, the regulator overseeing it, the protections that apply if it fails and how complaints are handled.

A U.S. investor who works directly with an unregistered foreign broker may not receive the same protections available through an SEC-registered broker. Read the account agreement for governing law, arbitration, custody, securities lending, currency conversion and the treatment of cash and dividends.
For investors elsewhere
Use the securities regulator and investor-compensation framework in your own country. Confirm that the intermediary is authorized to serve residents where you live and that the foreign exchange or depositary structure is permitted. Do not infer protection from a familiar app or brand name; verify the legal entity and license.
Step 7: Check taxes and reporting before the trade
Separate source-country and home-country taxes
Foreign dividends may face withholding in the source country, while your home country may tax the dividend again subject to its own rules and any available credit. Capital-gains treatment, loss use, currency-conversion rules and transaction taxes vary by jurisdiction and account type. Fund distributions can have different reporting than a directly held share or ADR.
U.S. reporting questions
For U.S. readers, the IRS Form 8938 frequently asked questions explain that certain stock or securities issued by a non-U.S. person and held for investment outside a financial account may be reportable. Whether a filing is required depends on your residence, filing status, thresholds, account location and other facts. Review current IRS instructions and consult a qualified tax professional for your situation; do not assume that a broker statement answers every foreign-asset question.
Keep records that survive a currency conversion
Save trade confirmations, local-currency prices, exchange rates used, commissions, withholding statements, ADR-fee notices and fund tax documents. Record the home-currency cost basis and the date of each transaction. These records make later tax calculations and performance reviews possible when the security pays in a different currency.
A side-by-side due-diligence worksheet
Before placing an order, complete one row for each candidate security or fund. If an answer is unavailable, write “not established” and decide whether that uncertainty is acceptable.
| Area | Questions to answer |
|---|---|
| Business | What does the company sell? Where do revenue, costs, debt and cash arise? What competitive advantage and concentration risks are visible? |
| Information | What reports are available, in what language, how often and under which accounting and audit framework? Who oversees the audit? |
| Country | Which political, economic, social or regulatory events could change demand, ownership, taxes or operations? |
| Market access | What are the trading hours, volume, settlement rules, foreign-ownership restrictions, currency controls and repatriation procedures? |
| Currency | Which currency drives the share price and dividend? What happens to the home-currency result if that currency strengthens or weakens? |
| Costs | What commissions, spreads, conversion charges, transaction taxes, fund expenses, withholding and ADR depositary fees apply? |
| Structure | Is this a direct share, U.S.-traded foreign stock, ADR, mutual fund or ETF? What exactly does one unit represent? |
| Protection | Which broker or adviser is registered, where are assets held, and where would a dispute be resolved? |
| Tax | What source-country withholding and home-country reporting apply to this account and investor? |
Common mistakes and how to correct them
Assuming a U.S. listing removes foreign risk
A U.S. trading venue can simplify execution, but the issuer may still earn in a foreign currency, face local regulation and depend on a foreign depositary arrangement. Correct the mistake by reviewing the underlying business, country and receipt or listing terms.
Best Value
Reading an English summary as if it were the full record
A translated presentation may omit qualifications or use different definitions. Correct the mistake by locating the original filing, checking the translation date and comparing the numbers with audited statements.
Comparing local returns with home-market returns
This hides exchange-rate effects and transaction costs. Correct it by maintaining a local-currency return and a home-currency return, then subtracting all documented charges.
Treating no SEC filing as proof of wrongdoing
SEC coverage varies by issuer and listing. Correct the mistake by treating the absence as an information and verification issue, not as a verdict. Seek local filings, audit information and independent confirmation.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errorsIgnoring liquidity until it is time to sell
A thinly traded security can be difficult to exit at the displayed price. Correct the mistake by checking typical volume, spreads, market hours and order types before investing.
Assuming a dividend is received in full
Withholding, ADR charges, conversion costs and account fees can reduce the amount credited. Correct the mistake by tracing one dividend from declaration through settlement and recording each deduction.
Using a broker without checking registration
Cross-border marketing does not establish authorization or protection. Correct the mistake by verifying the legal entity in the relevant regulator’s database and reading the account agreement before funding it.
When the evidence is not strong enough to proceed
Pause the investment when you cannot obtain current primary disclosures, reconcile major figures, identify the accounting and audit framework, determine how money can be repatriated, or establish who regulates the intermediary. A clear “not yet” is a valid outcome. You can place the candidate on a watchlist and define the document, market-access answer or tax advice needed before reconsidering it.
Also pause when the instrument’s structure is unclear. If you cannot determine the ADR ratio, depositary fees, fund mandate, currency exposure or custody arrangement, you cannot estimate the investment’s net result or practical risk with confidence.
Final decision framework
- Explain the business: describe its revenue, costs, competitive position, debt and cash generation without relying on promotional language.
- Validate the evidence: record dated reports, accounting basis, language, audit oversight and unresolved gaps.
- Stress the setting: test country conditions, market liquidity, ownership restrictions, currency controls, repatriation and legal remedies.
- Translate the outcome: model local performance, exchange-rate changes, dividends and every cost in your home currency.
- Choose the structure: compare direct shares, U.S.-traded securities, ADRs, mutual funds and ETFs for the exposure and diversification you actually want.
- Verify the gatekeepers: confirm broker or adviser registration, custody, dispute venue and applicable investor protections.
- Resolve tax questions: identify withholding and reporting requirements for your residence, account and security before trading.
International stocks can expand the set of companies and economies available to an investor, but the additional research burden is part of the investment. Proceed only when the business, evidence, market access, currency impact, holding structure, intermediary and tax treatment are understandable enough for you to monitor after purchase.
