Start by identifying exactly what is being sold. A private-company liquidity offer may cancel unexercised options for cash, let you exercise and sell shares immediately, or purchase shares you already own. Those structures produce different tax reporting, costs, rights and risks. Before accepting, calculate your after-tax proceeds, confirm the option type and holding-period consequences, compare the offer price with the correct share-class values, and review transfer restrictions, deadlines and what you give up by selling.
This guide describes the U.S. federal baseline. State, local, non-U.S. and individual tax rules can change the result, so use the plan documents and transaction paperwork and obtain professional advice for a reader-specific calculation.

1. Determine what the offer actually does
The phrase “cash out my options” is not a single transaction. Read the offer memorandum and ask the company to describe the legal steps in plain language. The first question is whether you receive cash for the option itself or whether you must exercise the option and then sell the resulting shares.

In a direct cash-out, the company or a buyer pays you to cancel, surrender or otherwise settle an option. You may never become a shareholder. The payment can be treated as compensation, and the company may withhold payroll taxes, but the exact result depends on the grant, plan, offer terms and applicable law. A direct cash-out can also terminate the option immediately, including any portion that is not accepted or any future exercise right.

Exercise followed by an immediate sale
Some offers require you to exercise vested options as a condition of selling the shares in the same transaction. The purchase price is paid for stock, but you must fund the exercise price and satisfy withholding before receiving the balance. For an incentive stock option, selling immediately is generally a disqualifying disposition, so the expected long-term capital-gain treatment may not apply.
Sale of shares you already own
If you previously exercised and own shares, the offer may be a secondary sale. Your basis, holding period and any restrictions are different from those for an unexercised option. Confirm whether the offer accepts common stock, restricted stock, exercised ISO shares, NSO shares or several classes.
Documents to request
- The offer memorandum, tender or secondary-sale agreement and every amendment.
- The equity plan, grant notice, exercise agreement and any post-termination exercise provisions.
- The current capitalization and price information made available to participants, including the share class being purchased.
- A written explanation of exercise mechanics, withholding, fees, escrow, proration and closing conditions.
- The treatment of options or shares you do not sell, including expiration, forfeiture or future transfer rights.
PwC describes both direct option cash-outs and exercise-contingent sales; do not assume the tax form or net amount is the same merely because the headline price is identical.

2. Calculate net proceeds instead of relying on the headline price
For an exercise-and-sale transaction, begin with the number of shares accepted multiplied by the offer price. Then subtract every amount needed to close. A useful worksheet is:
| Item | Calculation | Why it matters |
|---|---|---|
| Gross sale value | Shares accepted × offer price | This is not your cash outcome. |
| Exercise cost | Shares exercised × strike price | Required before the shares can be sold. |
| Withholding | Company-determined payroll or tax withholding | May be deducted at closing and may not equal your eventual tax bill. |
| Estimated additional tax | Federal, state and local tax not covered by withholding, plus any AMT exposure | Reserve cash rather than treating the withheld amount as final. |
| Transaction costs | Brokerage, legal, wire, escrow or other disclosed fees | Small per-share charges can materially affect a large grant. |
| Net proceeds | Gross value minus all preceding items | Use this number when deciding whether to participate. |
Model more than one participation amount if the offer has a minimum, maximum or possible proration. A company might accept only part of a tender, leaving you with a different mix of exercised and unexercised options. Ask whether the cap applies per person, per grant or across all participants, and how fractional or prorated shares are handled.
Illustrative calculation
Suppose an offer accepts 10,000 shares at $8 each and the options have a $2 strike price. Gross value is $80,000 and the exercise cost is $20,000, leaving $60,000 before withholding, taxes and fees. If the company accepts only 60% of the amount tendered, the accepted share count falls to 6,000: gross value becomes $48,000 and exercise cost becomes $12,000. These figures are an illustration, not a prediction of any company’s value or tax rate.
Keep a separate line for the value you surrender by selling. Private-company stock can appreciate, remain flat, be diluted, or become worthless, and a future sale may never be available. The offer price is not a guaranteed fair value for every share and is not a forecast of an IPO or acquisition.

3. Identify whether the options are ISOs or NSOs
The grant label controls the starting federal tax analysis. The Internal Revenue Service distinguishes statutory options, including incentive stock options (ISOs), from nonstatutory or nonqualified stock options (NSOs). Read the grant notice and plan rather than relying on a payroll description.
Incentive stock options
ISOs generally do not create regular federal gross income at grant or exercise. However, the spread between the stock’s fair market value at exercise and the exercise price can enter the alternative minimum tax calculation. An exercise can therefore create a tax bill even when you have not sold the shares.
A sale before the ISO holding-period requirements is a disqualifying disposition. PwC describes immediate exercise and sale in a liquidity transaction as a disqualifying disposition and says the spread is ordinary income in that scenario. The statutory holding-period tests are commonly expressed as at least two years after grant and one year after exercise; confirm the dates for each grant and the current rules with a tax adviser. A qualifying disposition may preserve more favorable capital-gain treatment, but only if all requirements are met.
The $100,000 ISO limit
Internal Revenue Code section 422(d) limits the fair-market value of shares that first become exercisable as ISOs for an individual to $100,000 in a calendar year. Amounts above that ceiling are treated as options that are not ISOs. The limit is measured by fair-market value at grant, not by the eventual sale price. Check vesting and exercise schedules across all grants; an option can be labeled ISO while a portion is treated as non-ISO because of this limit.
Nonstatutory options
For most NSOs without a readily determinable fair market value at grant, there is generally no taxable event at grant. At exercise, the spread between the stock’s fair market value and the amount you pay is generally included in income. The later sale of the shares is another taxable event, with the result depending on basis, holding period and sale price.
In an exercise-and-sale transaction, the company may calculate withholding from the spread or from another compensation amount specified in the documents. In a direct option cash-out, the entire payment or another contractual amount may be reported as compensation. Ask for the company’s written calculation rather than estimating from the offer price alone.
4. Understand the tax treatment of the specific liquidity structure
Do not decide from the words “tender offer” or “secondary sale.” Ask the company and its tax counsel which event is treated as the exercise, which event is treated as the sale, and what forms will report each amount.

Questions for an ISO exercise-and-sale
- Is the option exercised before the buyer purchases the shares, and on what date?
- Will the immediate sale be reported as a disqualifying disposition?
- How will the spread be calculated if the offer price differs from the company’s common-stock value?
- Could any shares exceed the $100,000 annual ISO limit or otherwise lose ISO status?
- Was AMT considered for shares exercised earlier in the year?
PwC notes that offer duration or terms can cause ISO treatment to be lost in some structures. That is a transaction-specific warning, not a conclusion about every offer.

- What fair market value is used to compute the exercise spread?
- Is the spread included in wages at exercise, and what withholding rate is applied?
- Will the later sale produce a separate gain or loss because the sale price differs from the exercise value?
- Are any shares subject to a different basis because of an earlier exercise?
Direct cash settlement
PwC discusses direct cash payments for options and immediate exercise-and-sale proceeds as ordinary-income scenarios in the situations it covers. Your agreement may use different mechanics or reporting. Obtain a written statement of whether the payment is wages, another form of compensation, purchase consideration for stock, or a combination, and ask how the amount will appear on your tax forms.
Federal rules are only a baseline. State and local taxation, residency, employment location, nonresident sourcing, prior exercises, estimated payments and the timing of your departure can change the result.
5. Compare the offer price with the right valuation reference
A private-company offer price, a 409A common-stock valuation and a preferred financing price answer different questions. They cannot be compared without examining the share class, rights and transaction structure.
| Reference | What it usually describes | What it does not prove |
|---|---|---|
| Liquidity-offer price | The price offered in a specific purchase, to an identified seller group, on stated terms and date. | That all company shares have the same value or that another sale will occur at that price. |
| 409A valuation | A company’s fair-market-value analysis for common stock used principally for option-pricing and compensation purposes. | A guaranteed price at which you can sell, or the value of preferred rights and preferences. |
| Preferred financing price | The price investors paid for a preferred class with negotiated rights and preferences. | The value of common stock or an employee option on a one-for-one basis. |
Ask how the offer price was set, who is buying, whether the buyer receives a different class, whether the offer is limited to employees or former employees, and whether participation is voluntary. Compare the transaction date, liquidation preferences, voting and conversion rights, dilution, transfer restrictions and any escrow or indemnity obligations.

6. Check eligibility, restrictions and deadlines
Private-company equity is usually less transferable than public stock. Before planning around a sale, confirm that you are eligible and that the company, board, buyer and any other required party will consent.

Review these provisions
- Vesting: Separate vested, unvested and early-exercised awards. Unvested options may be excluded or forfeited.
- Post-termination exercise: A former employee may have a short exercise window, and an offer does not automatically extend it.
- Transfer restrictions: The plan or charter may prohibit assignment or require a permitted-transfer exception.
- Rights of first refusal: The company or existing holders may have a right to match a proposed sale.
- Company consent: Board, issuer or investor approval may be required before a transfer closes.
- Offer limits: Minimums, maximums, employee-category rules, proration and oversubscription procedures can change the accepted amount.
- Closing conditions: Financing, legal, regulatory, escrow or minimum-participation conditions may allow the buyer to delay or cancel.
- Nonparticipation: Determine whether declining leaves the option intact, shortens its life, changes exercise terms or has no effect.
Do not send money to exercise until the documents explain what happens if the buyer does not accept the shares or the transaction does not close. Ask whether your exercise can be reversed and who bears fees or taxes if closing fails.
7. Confirm tax reporting and retain records
Request a written tax-reporting schedule before signing. For an ISO exercise, the IRS says the employer should provide Form 3921. Keep it with the grant notice, exercise confirmation, payment record and sale statement. Ask the company how wages and withholding will appear on Form W-2, what basis will be reported, and what sale proceeds will be reported.
Maintain a file containing:
- Grant dates, vesting schedules, strike prices and option type.
- Exercise dates, shares exercised, fair-market values used and amounts paid.
- Form 3921 for each applicable ISO exercise and every Form W-2 received.
- The offer, acceptance, allocation or proration notice, settlement statement and fee schedule.
- Withholding calculations, estimated-tax payments and correspondence about corrections.
Reconcile the company’s figures with your own records. A payroll withholding amount is not necessarily your final liability, and a reported basis may need attention when an ISO disposition is disqualifying or when shares were exercised in separate lots.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.8. Decide whether selling fits your situation
Compare selling now with holding on the same assumptions and with the same time horizon. The decision is not simply “offer price versus strike price.” Use these axes:
| Decision axis | Sell now | Continue holding |
|---|---|---|
| Cash certainty | Provides liquidity after exercise cost, withholding, tax reserves and fees, subject to closing and proration. | Provides no immediate cash and may require future exercise funding. |
| Concentration | Reduces exposure to the employer and to an illiquid asset. | Leaves employment income and personal wealth tied to the company. |
| Upside | Gives up future appreciation on the shares sold. | Retains possible appreciation but also dilution, business failure and no-liquidity risk. |
| Tax timing and character | May accelerate compensation income, a disqualifying ISO disposition or AMT-related analysis. | May defer tax, but future exercise and sale rules can still change. |
| Liquidity | Depends on offer acceptance, closing and settlement. | Future transfers may be restricted or unavailable. |
| Price comparability | Uses a specific offer for a stated class and date. | Requires your own estimate of uncertain future value; 409A and preferred prices are not substitutes. |
Questions that make the choice personal
- How much cash do you need, and when?
- What percentage of your investable assets and future income already depends on this company?
- Could you pay exercise costs and a possible tax bill without borrowing or selling other assets?
- Would a complete loss affect essential goals, or is the position genuinely risk capital?
- How much future upside are you willing to exchange for a known, after-tax amount?
- Are you comfortable waiting indefinitely for a later sale that may be blocked by company consent or market conditions?
A partial sale can be a risk-management choice when the offer permits it: sell enough to meet a liquidity need or recover exercise and tax costs while retaining some exposure. Confirm that partial participation does not trigger a different tax or eligibility rule.
9. A practical evaluation procedure
- Label each award. Create a row for every grant showing ISO or NSO status, grant date, vesting, vested shares, strike price and expiration.
- Map the transaction. Mark whether each row is a direct cash cancellation, exercise-and-sale, or sale of already-owned shares.
- Request the company’s numbers. Obtain the offer price, common-stock value used for tax purposes, withholding calculation, fees, share class and proration method.
- Run net-proceeds scenarios. Calculate full participation, the stated maximum, and a prorated result. Include exercise cash, withholding, estimated taxes and fees.
- Check ISO consequences. Identify immediate sales, holding-period failures, AMT exposure and any shares above the $100,000 annual ISO ceiling.
- Verify legal ability to sell. Read transfer restrictions, rights of first refusal, consent requirements, post-termination deadlines and closing conditions.
- Compare against holding. Write down the upside you surrender, the downside you avoid, concentration, liquidity and the possibility that no later sale occurs.
- Confirm reporting. Get written answers about Form W-2, Form 3921, basis, proceeds and corrections before accepting.
- Obtain advice where the numbers are material. A tax CPA or adviser experienced in equity compensation can model federal, state and local effects; a securities or employment lawyer can review transfer, consent and disclosure terms.
- Accept only after checking the final version. Compare the signature copy with the offer you analyzed, including any revised price, deadline, allocation rule or tax language.
10. Common mistakes and how to avoid them
Assuming the offer buys the option
If the documents require exercise, you need cash and may trigger income before receiving sale proceeds. Confirm the sequence of exercise, withholding and settlement.
Treating 409A as a guaranteed sale price
A 409A value is not a promise that a buyer will pay that amount. Compare the actual share class, rights and transaction date.
Best Value
Using the preferred-round price as common value
Preferred investors may have liquidation preferences and other rights that common shares and options do not receive. Ask for the class and rights being purchased.
Ignoring proration
An attractive per-share price does not guarantee that all tendered shares will be accepted. Calculate the cash result under the stated allocation formula.
Forgetting the exercise window
A former employee can lose an option while waiting for a transaction. Verify the post-termination deadline independently of the offer deadline.
Budgeting only for withholding
Withholding may not cover your final federal, state, local or AMT liability. Reserve cash and ask how the company determined the amount.
Assuming an ISO label guarantees ISO tax treatment
Immediate sale, holding-period failures and the $100,000 annual limit can change the treatment of some or all shares.
Signing without understanding nonparticipation
Find out whether rejecting the offer preserves your option, changes its expiration, or leaves you with shares subject to new restrictions.
11. Disclosure and legal context
SEC staff interpretations discuss Rule 701 disclosure obligations for certain compensatory securities offerings and exercises. Whether Rule 701 applies to a particular liquidity transaction depends on the issuer, offering and facts. The existence of a disclosure document is not a determination that your offer qualifies or that the terms are fair. Use the company’s disclosures to understand the transaction and obtain legal advice when the documents are incomplete or inconsistent.
Free tools Windows power users keep installed

12. When professional advice is worth the cost
Consider an equity-compensation tax CPA or adviser before accepting when the transaction involves a large spread, multiple ISO grants, possible AMT, a recent move between states, non-U.S. residence, a former-employee exercise deadline, a direct option cash-out, unusual withholding or a disputed valuation. A securities or employment lawyer is appropriate when consent, rights of first refusal, transfer restrictions, escrow, indemnity or disclosure obligations are unclear.
Give the adviser the actual grant and offer documents, exercise history, prior Forms 3921 and W-2, state-residency timeline and the company’s written tax explanation. Advice is most useful when it is based on the exact transaction rather than on the headline offer price.
The Bottom Line
Accept a private-company option cash-out only after you can state, in writing, what asset is being sold, how many shares will actually be accepted, what you will receive after exercise costs, withholding, taxes and fees, and which rights and future upside you surrender. Verify ISO or NSO treatment, the $100,000 ISO limit, holding-period and AMT consequences, share-class valuation, transfer approvals and tax reporting before signing.
