How to Evaluate an NCD Before Investing: Credit Rating, Security, Yield and Redemption Terms

Evaluate a non-convertible debenture (NCD) as a specific debt contract, not as a generic product from an issuer. Before investing, verify the exact series, rating and outlook, whether the charge is secured and what assets it covers, the effective yield from dated cash flows, the redemption schedule and amount, and whether you could sell it if your plans change.

A rating is an opinion on creditworthiness, not a repayment guarantee. “Secured” does not promise full or timely recovery, and the coupon printed in an offer document is not the same as the return you earn at your purchase price. The current offer document, rating rationale and later issuer, exchange and rating-agency notices are the controlling sources for every decision.

What an NCD is and why the exact issue matters

An NCD is a debt security. You lend money to an issuer and, in return, the issuer agrees to pay interest under stated terms and return principal according to a schedule. “Non-convertible” means the security is not designed to convert into the issuer’s equity, but it can still differ from other NCDs issued by the same company.

Each series or tranche can have its own maturity, coupon frequency, redemption pattern, security package, seniority, listing arrangement and rating scope. A rating assigned to one instrument or borrowing programme should not automatically be applied to another. The first task is therefore to identify the instrument you would actually buy.

Record the instrument’s identity

Item to record Why it matters
Issuer’s legal name Prevents confusion between related entities or similarly named borrowers.
Issue, series or tranche identifier Terms and ratings can differ between series from the same issuer.
Face value and purchase price Coupon is normally stated on face value, while your yield depends on the price you pay.
Secured or unsecured status Determines whether the documents describe collateral and a charge; the label alone does not establish recovery.
Exchange and listing details Listing may provide a route to trade, but does not ensure a buyer or a particular sale price.
Rating agency, symbol, outlook, date and amount covered Shows exactly what was assessed and when.
Coupon, payment frequency and cash-flow dates These dates are needed to calculate an effective yield and plan income.
Redemption date, amount and pattern Shows when principal is due and whether repayment is in one sum or instalments.
Issuer call, investor put or other early-exit terms These options can change the date and amount of cash you ultimately receive.

Use the latest offer document for the series, together with subsequent issuer or exchange notices. An older prospectus, a summary page or a different tranche can be useful for orientation but cannot substitute for the current terms.

How to assess the credit rating

A credit rating is an agency’s assessment of the issuer’s or instrument’s creditworthiness. It is an analytical opinion about the likelihood of meeting debt obligations under the agency’s methodology; it is not insurance and does not promise that principal or interest will be paid.

Read the complete rating disclosure

Write down all of the following, rather than copying only the grade:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • the rating agency;
  • the exact symbol and any modifiers;
  • the outlook, such as stable, positive or negative, where provided;
  • the date of the rating or review;
  • the amount, tranche, instrument or programme covered; and
  • the agency’s rationale and key sensitivities.

A SEBI-hosted Tranche I prospectus from 2026 demonstrates why these details belong together: it presents agency ratings with dates and issue context. A search excerpt from that prospectus includes “Crisil AAA/Stable,” but that wording describes the particular disclosure in that prospectus. It is not a market-wide statistic, a permanent status or a recommendation for another NCD. Check the prospectus itself and its stated date before relying on any such example.

Read the rationale, not just the symbol

The rationale should explain the factors supporting the rating and the circumstances that could weaken it. Look for discussion of the issuer’s ability to service debt, refinancing needs, business or sector pressures, liquidity, leverage and structural features of the instrument where the agency provides them. Identify the assumptions and triggers behind the outlook.

Then check for later reviews, upgrades, downgrades, watch-list actions or changes to the outlook. A rating can change after an offer document was published. If a later agency notice covers a different series or programme, confirm that its scope includes the NCD you are considering.

Do not treat a rating as a guarantee

Even a high rating represents an opinion at a point in time. It does not remove default risk, market-price risk or the possibility that recovery will be delayed or incomplete. The rating also does not tell you whether the security fits your cash-flow needs or whether you could sell it at a satisfactory price before maturity.

How to examine “secured” status and recovery support

“Secured” is a starting point, not a conclusion about safety. Read the actual security language in the offer document and related trustee or security documents.

Identify the collateral

Find the description of the assets, receivables or other property charged in favour of investors. Determine whether the charge covers specific assets, a pool, future receivables or another defined support. Note any exclusions, substitutions, release provisions or limits described in the documents.

Check the charge and its priority

Establish how the charge is described and where it ranks against other creditors. A first-ranking charge, a pari-passu charge and a subordinated claim can produce very different outcomes in an insolvency. Do not infer priority from the word “secured”; use the legal description in the issue documents.

Understand the trustee and enforcement process

Locate the debenture trustee’s role, the security-creation and perfection requirements, monitoring obligations and the steps that may be needed to enforce the charge. Consider whether enforcement would require valuation, possession, court or regulatory action, and how those steps could affect timing. The documents, not a promotional label, determine what investors can claim.

Ask whether the support is meaningful for this issue

Security can be affected by asset values, senior claims, deterioration in receivables, documentation defects and the number of obligations sharing the same pool. Unless the current documents clearly establish a relevant cover measure, do not invent a security-cover ratio or assume that collateral will equal the amount owed. If the scope, priority or enforcement path is unclear, treat that uncertainty as a risk requiring clarification before investing.

The risk section of the cited 2026 prospectus states that its list is not exhaustive and asks investors to examine the issuer and issue themselves. That is a reminder to investigate the specific charge and repayment structure, not evidence that any particular security will be recovered.

Coupon, yield and the return you actually earn

The coupon is the stated interest rate applied to the instrument’s face value under its payment terms. Yield depends on the price you pay and the timing and size of every cash flow, including coupons and principal repayment. Comparing two NCDs by coupon alone can therefore produce the wrong ranking.

Build a dated cash-flow schedule

For the exact series and your intended purchase price, list:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • the cash paid to acquire the NCD, including any premium or discount and applicable transaction costs;
  • each coupon amount and its payment date;
  • each principal repayment and its date;
  • any staggered or amortising repayments;
  • any call, put or other contractual payment that could change the schedule; and
  • the amount you expect to receive if you hold to the relevant redemption event.

Use those dated amounts to calculate an internal rate of return or the yield convention specified for the instrument. Conceptually, the yield is the rate that makes the present value of all future coupons and redemption payments equal to your purchase price. A discount to face value generally raises the effective return relative to the coupon, while a premium generally lowers it, all else equal. The timing of payments also matters.

Apply the disclosure rules to the right series

SEBI’s May 2025 circular addresses yield-to-price computation and dated cash-flow disclosure for non-convertible securities. Use the latest applicable disclosure and verify every date for the series you are considering. If the quoted yield was calculated using a different price, settlement date, convention or cash-flow assumption than yours, it is not an apples-to-apples comparison.

Include costs and personal tax circumstances appropriately

Transaction costs, accrued amounts included in the purchase price, taxes and the way you hold the security can affect your net result. Account for them when they are relevant, but do not present a personalised after-tax return without knowing the investor’s tax position and applicable rules. A headline yield is a comparison input, not a guaranteed outcome.

Why a high yield demands investigation

A higher quoted yield can compensate investors for greater credit, liquidity, duration or structural risk. It does not by itself establish better value. Compare the reason for the yield difference with the rating rationale, security package, maturity and your ability to hold through redemption.

Redemption terms and the timing of your money

Redemption terms tell you when and how principal is scheduled to come back. Confirm each item in the current issue information rather than relying on a summary.

Coupon frequency

Check whether coupons are paid monthly, quarterly, half-yearly, annually or on another schedule stated in the documents. Frequency affects your cash-flow planning and the dates used in a yield calculation.

Redemption date and amount

Record the contractual redemption date and the amount payable at that event. Confirm whether the amount is at face value, at a stated premium or under another formula. The redemption amount can differ from the amount you paid in the market.

Bullet or staggered repayment

Determine whether all principal is repaid in one sum or in instalments. Staggered repayment returns cash earlier, which changes reinvestment needs and the effective yield. It also means that the amount outstanding declines over time.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Early redemption and issuer options

Look for issuer call rights, investor put rights, buyback provisions, step-up coupons or other options. Record the dates, notice requirements, prices and conditions. An issuer call can end your investment earlier than the final maturity date; an investor put may be available only under specified circumstances.

Liquidity and the possibility of selling early

If you may need the money before maturity, investigate the realistic secondary-market exit rather than assuming that a listing guarantees liquidity. Trading activity can be limited, and a buyer may not be available when you want to sell.

Bond prices can change after purchase as interest rates, credit perceptions, market conditions and the issuer’s circumstances change. You may have to sell for less than you paid, even if the issuer eventually pays the contractual redemption amount. The sale price can also reflect accrued interest, costs and the market’s assessment of the remaining cash flows.

There is a separate reinvestment risk: coupons or principal received before your planned end date may have to be invested again at a lower rate than the NCD’s original yield. Consider whether you can hold to the relevant redemption event and whether the scheduled cash flows match your liabilities.

A practical comparison framework for two or more NCDs

Compare the same fields for the exact instruments. A worksheet like the following prevents a prominent coupon or rating symbol from dominating the decision.

Comparison axis What to place side by side Question to answer
Credit Agency, rating, outlook, date, covered amount, instrument scope and rationale What risks does the agency identify, and has anything changed since the rating date?
Security Secured or unsecured status, collateral description, charge ranking, shared obligations and trustee arrangements What could investors claim, in what priority, and how would enforcement work?
Return Purchase price, coupon cash flows, principal cash flows, dates, costs and calculated effective yield What return follows from my actual price and holding period?
Repayment Coupon frequency, tenor, maturity, redemption amount, instalments and call or put terms When will cash arrive, and can the issuer or I change that timing?
Liquidity Listing information, observed or disclosed trading arrangements and likely need to sell early Could I exit at a fair price if my circumstances change?
Fit Cash requirements, concentration, risk tolerance and ability to hold to redemption Does this instrument belong in my plan, independent of its headline yield?

Where a value is not stated in the current documents, mark it as “not stated” and seek clarification. Do not fill a gap with a value from another series.

Step-by-step NCD due diligence workflow

  1. Collect the current documents. Obtain the offer document for the exact issue, the latest rating rationale and review, trustee or security disclosures, and subsequent issuer or exchange notices.
  2. Identify the series. Record the issuer, tranche, face value, listing information, secured status and every term that applies to the chosen series.
  3. Map the rating. Record the agency, symbol, outlook, date, covered amount and scope. Read the rationale and search for later reviews or adverse actions.
  4. Map the repayment support. Describe the collateral, charge and priority in your own worksheet. Note trustee duties, enforcement steps and any uncertainty.
  5. Construct dated cash flows. Enter your actual purchase price, all coupon dates and amounts, principal repayments, options and costs. Use the applicable yield convention and the May 2025 SEBI disclosure framework where relevant.
  6. Confirm redemption mechanics. Verify coupon frequency, final redemption date, redemption amount, instalments and early-redemption rights from the issue terms.
  7. Test liquidity. Decide whether you can hold through the relevant redemption event. If not, investigate the practical secondary-market route and the possibility of a loss on sale.
  8. Compare alternatives consistently. Apply the same worksheet to each candidate. Separate credit compensation from liquidity or duration compensation.
  9. Document unresolved questions. If a rating scope, security priority, cash-flow date or option is unclear, do not assume the most favourable interpretation. Obtain clarification or reject the comparison as incomplete.
  10. Monitor after purchase. Keep the issue documents and watch for rating changes, issuer notices, trustee communications and exchange disclosures that alter the risk or payment schedule.

Common evaluation mistakes and how to correct them

Transferring a rating from another issue

Mistake: Treating an issuer’s general rating or a different tranche’s grade as the rating for the NCD you want.

Correction: Match the agency notice to the exact instrument or programme, amount and date, then read the rationale and later reviews.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Assuming “secured” means guaranteed recovery

Mistake: Stopping the analysis after seeing the secured label.

Correction: Identify the assets, charge ranking, shared claims, trustee role and enforcement path. If those details are not clear, record the uncertainty.

Using coupon as the investment return

Mistake: Comparing stated coupon percentages while ignoring purchase price and timing.

Correction: Calculate yield from your actual price and all dated coupon and redemption cash flows, including relevant costs.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Ignoring redemption pattern

Mistake: Assuming the entire principal arrives on the advertised maturity date.

Correction: Check for instalments, call rights, put rights and any premium or formula used for redemption.

Assuming a listing guarantees liquidity

Mistake: Planning to sell at any time without considering market depth or price risk.

Correction: Treat early sale as uncertain, test whether you can hold to redemption and allow for a price below your purchase price.

Relying on stale or incomplete risk language

Mistake: Treating a prospectus risk list as exhaustive or current indefinitely.

Correction: Read subsequent disclosures and remember that the cited prospectus itself says its risks are not exhaustive and calls for the investor’s own examination.

Documents and checks to keep on file

  • The current offer document and the exact series or tranche page.
  • The rating letter or rationale, including agency, symbol, outlook, date and covered amount.
  • Trustee and security documents describing collateral, charge and priority.
  • The dated coupon and redemption schedule used in your yield calculation.
  • Issuer, exchange and rating-agency notices published after the offer document.
  • Your purchase price, costs, tax assumptions and the date on which you calculated the yield.

Keeping this record matters because ratings, prices, liquidity and issue terms can change or be interpreted differently when a later event occurs. It also lets you distinguish the original contractual terms from market prices observed after purchase.

Final decision test

Proceed only when you can explain, in plain language, what you are buying, who rated the exact instrument and when, what the rating does and does not mean, what assets and priority support repayment, how your effective yield was calculated, and when and how principal is scheduled to return. You should also be able to state what would happen if you needed to sell before maturity.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

If any of those answers depends on an assumption borrowed from another series, an outdated rating, an unexplained security label or a coupon used as a substitute for yield, the evaluation is incomplete. Treat the NCD as a contract whose risks must be understood from its current primary documents, not as a simple high-interest deposit.
