Evaluate an Indian IPO from the latest offer document outward—not from a grey-market premium (GMP) quote inward. Read the DRHP/RHP and final terms, understand the business, test at least two years of income-statement, balance-sheet and cash-flow data, assess valuation against genuinely comparable listed companies, translate risks into possible financial effects, and trace exactly where the issue money goes. GMP is not a substitute for any of those checks, and the official sources used here do not establish a standard definition or predictive record for it.
The result should be a decision based on evidence you can verify: what you are buying, at what post-issue valuation, with what risks, and whether the company—or selling shareholders—receives the capital.

How do I evaluate an IPO beyond GMP?
Use a repeatable sequence based on the issuer’s current disclosures. For an Indian book-built IPO, begin with the latest Draft Red Herring Prospectus (DRHP), Red Herring Prospectus (RHP), price-band notice and final issue terms. SEBI Investor explains that a DRHP contains issue details except the final price, while the RHP is issued before the IPO opens. Terms can change, so use the newest version available for the offer and confirm the final price, number of shares and allocation after pricing. See SEBI’s book-building guidance.

What should I check in an IPO RHP?
The RHP is the working document for an issue that is about to open. Read it with the DRHP and any subsequent addenda rather than relying on a summary, social-media post or broker graphic. The following sections answer different investor questions.
| Offer-document area | Question it should answer |
|---|---|
| Business and industry description | What does the issuer sell, to whom, and how does it make money? |
| Risk Factors | Which events could reduce revenue, increase costs, impair liquidity or dilute ownership? |
| Financial statements | How have revenue, profit, assets, liabilities and cash flows changed over multiple periods? |
| Basis for Issue Price | What valuation measures and peer comparisons does the issuer and lead merchant banker disclose? |
| Objects of the Issue | How much capital does the company receive, for which purposes, and with what discretion? |
| Shareholding and offer structure | How many shares are newly issued and how many are sold by existing holders? |
| Legal and regulatory disclosures | Are there pending proceedings, approvals, compliance matters or dependencies that could affect operations? |
Confirm the version and final terms
Track the document date and compare revisions. The price band in the RHP is not necessarily the final issue price. After bidding, verify the final price, total shares issued, allocation, post-issue share count and proceeds split from the issuer’s final announcements and applicable exchange filings. If a later document changes a risk, use-of-proceeds amount or share count, the later disclosure controls your analysis.
Use U.S. prospectus guidance only as a reading aid
The U.S. Securities and Exchange Commission’s IPO investor bulletin highlights useful topics such as risk factors, business dependencies, legal proceedings, dilution and use of proceeds. Its filing labels, exemptions and procedural rules are U.S.-specific. For an Indian IPO, do not substitute U.S. forms or reporting rules for the current SEBI, exchange and issuer documents.

Understand the business before calculating multiples
A cheap-looking multiple can be misleading if you do not know what produces the earnings. Describe the issuer in plain language before opening a valuation spreadsheet.
Map the revenue engine
- List each major product or service and the way it is priced.
- Separate recurring, contracted or subscription revenue from one-time sales.
- Identify the geographic markets and currencies that affect sales.
- Check whether growth depends on a new plant, a license, a platform, a distribution partner or another stated milestone.
Test concentration and bargaining power
Look for dependence on a small number of customers, suppliers, distributors, employees, lenders or government approvals. A customer concentration disclosure matters because losing one account can have a larger effect than the headline growth rate suggests. Supplier concentration can expose margins to price increases or interruptions. A business that depends on a license or regulatory permission faces a different risk from one that can freely add capacity.
Compare like with like
SEBI’s due-diligence checklist asks investors to understand the business model and compare the company with competitors. Choose peers with similar products, customers, geography, capital intensity and accounting economics. A large, diversified listed company may not be a valid comparator for a smaller, concentrated issuer even if both use the same industry label.
How should I read an IPO’s financials?
Read the income statement, balance sheet and cash-flow statement as one story across at least two years, the minimum period SEBI Investor recommends in its due-diligence guidance. A single year can be distorted by commodity prices, a tax event, a large contract, a pandemic effect or a working-capital release.

Income statement: quality and direction of growth
- Trace revenue by segment and geography where disclosed, not only the consolidated total.
- Calculate operating and net margins for each period and investigate material changes.
- Separate ordinary operating performance from exceptional items, fair-value movements or one-off gains.
- Check whether earnings growth comes from volume, price, acquisitions, accounting changes or lower expenses.
Fast revenue growth with falling margins may indicate an expansion phase that requires more capital. Rising margins with flat sales may reflect temporary cost relief rather than durable pricing power.

Balance sheet: obligations and funding needs
- Review total debt, maturities, interest costs and any security pledged.
- Track receivables, inventory and payables relative to revenue and cost of sales.
- Check whether working capital is absorbing more cash as the company grows.
- Identify contingent liabilities, guarantees, leases and other obligations described in the notes.
Debt is not automatically a flaw; the question is whether operating cash generation and the stated funding plan can service it under less favorable conditions.
Cash flow: the reality check
Compare cash generated from operations with reported profit over each period. Persistent divergence can arise from growing receivables, inventory build-up, advance payments or non-cash accounting items. Also examine investing cash flow for capital expenditure and acquisitions, and financing cash flow for borrowings, repayments, dividends and shareholder transactions. A company can report profit while needing repeated external funding if its operations consume cash.
Investigate changes instead of merely ranking them
For every large year-on-year movement, find the explanation in the management discussion, accounting notes and risk disclosures. Ask whether the cause is repeatable, contractually protected, cyclical or dependent on a single event. Treat management forecasts as assumptions to test, not as achieved results.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsHow do I check IPO valuation against peers?
Start with the issuer’s “Basis for Issue Price” section, then calculate the measures yourself using the final price and post-issue share count. SEBI Investor lists price-to-earnings (P/E) and intrinsic value among due-diligence factors, but neither is a conclusive test by itself.
Build the post-issue denominator
Use the final issue price multiplied by the fully diluted post-issue shares, where the offer document provides that information. Distinguish earnings attributable to existing shareholders from any pro forma or adjusted figure. If the company is issuing new shares, the denominator changes after the offer; using only the pre-issue share count can overstate or understate the multiple.
Use more than one lens
- P/E: Compare the price with sustainable earnings, checking whether the period contains unusual gains or losses.
- Price-to-sales: Useful when profits are small or volatile, but it ignores margin differences.
- Enterprise value measures: Consider debt and cash when capital structures differ, and make sure the operating metric is comparable.
- Cash-flow measures: Test whether accounting earnings convert into operating cash and whether maintenance capital expenditure is heavy.
- Intrinsic-value analysis: Use explicit assumptions for growth, margins, reinvestment and discounting; show how the conclusion changes when assumptions change.
The appropriate set depends on the industry and the issuer’s economics. Do not present a peer average as proof that the IPO is fairly priced.
Adjust the peer comparison
Explain differences in growth, margins, cash conversion, leverage, business mix, customer concentration and regulatory exposure. A company growing faster may justify a higher multiple, but only if the growth is credible and does not require disproportionate capital. A lower multiple may reflect weaker cash generation or greater risk rather than a bargain.
Do not compare issue prices per share
An issue price of ₹100 is not inherently cheaper than one of ₹20. The relevant variables are earnings, cash flow, share count, capital structure and risk. Compare valuation ratios and operating economics, not the rupee denomination of an individual share.

How do I translate IPO risks into investor consequences?
Read the entire Risk Factors section, not just the first page. The SEC bulletin’s checklist also points investors toward business dependencies, legal proceedings and dilution. For each material risk, write the possible mechanism and consequence.
| Risk type | Mechanism to examine | Possible investor consequence |
|---|---|---|
| Customer concentration | A major customer reduces orders or terminates a contract. | Lower revenue, capacity utilization and margin. |
| Supplier or input dependence | A key supplier raises prices or suffers an interruption. | Higher costs, delayed deliveries or lost sales. |
| Regulatory or licensing | An approval is delayed, restricted or withdrawn. | Inability to operate, added compliance cost or slower expansion. |
| Working-capital pressure | Receivables or inventory grow faster than sales. | Operating cash shortfall and additional borrowing. |
| Leverage and interest rates | Debt service rises or refinancing becomes difficult. | Lower profit, covenant pressure or liquidity stress. |
| Litigation or contingent liability | An adverse ruling or settlement creates a payment or restriction. | Cash outflow, provision, reputational damage or operational limits. |
| Promoter or shareholder dilution | New shares reduce existing ownership or future issues add supply. | Lower earnings per share or reduced voting influence. |
These are analytical categories, not predictions about a particular issuer. Match each category to the company’s disclosed facts, amounts and scenarios.
Check legal proceedings and dependencies
Read the litigation tables and notes for claims involving the company, promoters, directors and subsidiaries. Determine whether an amount is quantified, whether a provision has been recognized and whether an adverse result could affect a license, customer relationship or financing arrangement. Then inspect dependencies on related parties, key personnel, technology providers and distribution channels.

What does an IPO use of proceeds mean?
“Use of proceeds” describes what the company plans to do with money raised in the offer. In India, read the “Objects of the Issue” section and distinguish a fresh issue from an offer for sale (OFS). In a fresh issue, the company receives the issue proceeds, subject to disclosed expenses and allocations. In an OFS, existing shareholders sell their shares and receive the sale proceeds; the company does not receive that selling price. The exact split is offer-specific and must be verified in the current document.
Classify each stated purpose
- Debt repayment or reduction.
- Capital expenditure, such as a plant, equipment or technology.
- Working capital.
- Acquisitions or strategic investments.
- General corporate purposes.
- Issue expenses.
Record the rupee amount and percentage assigned to each purpose. A specific plant order with a timetable is easier to monitor than a broad general-corporate-purpose bucket, which gives management more discretion.
Ask whether the proceeds solve a demonstrated need
Compare the proposed spending with the balance sheet and operating plan. If debt repayment is the main use, determine the interest savings and remaining leverage. If expansion is the use, check capacity utilization, permits, customer demand and the additional working capital required. If the issue primarily sells existing shares, ask why current holders are monetizing and whether the company still receives enough new capital to fund its stated plans; do not infer motives beyond disclosed facts.
Define milestones before investing
For each material object, note an observable milestone: debt reduced by a stated amount, equipment commissioned, capacity added, acquisition completed or working-capital cycle improved. Later financial statements and company filings can then be compared with the plan. Broad purposes cannot be evaluated with the same precision, so reflect that uncertainty in your risk assessment.

Fresh issue, offer for sale and dilution: what changes?
A fresh issue creates new shares and raises capital for the company. An OFS transfers existing shares from selling holders. Many IPOs combine both, so calculate the proportion of each from the offer document rather than assuming that a large issue size means the company is well funded.
Measure dilution
Compare pre-issue and post-issue shares, promoter ownership and earnings attributable to each share. If profits do not rise in line with the new capital, earnings per share can fall even when total profit increases. Review any shareholder lock-ins, future issuance permissions and conversion rights disclosed in the offer document.
Trace who bears the costs
Issue expenses reduce the funds available for the stated objects. Selling shareholders’ transaction proceeds are not operating capital for the issuer. Keep those two cash flows separate when judging whether the IPO finances growth, repairs the balance sheet or mainly provides liquidity to existing holders.

Is GMP a reliable indicator of listing gains?
The official sources used for this guide do not provide a primary-source definition of GMP or establish evidence that it predicts listing gains. Treat any quoted premium as an informal, unverified market signal rather than a formal measure of fair value, guaranteed return or risk.
SEBI’s ICDR regulations make the broader point that the issue price, floor price or price band “should not be taken to be indicative of the market price” after listing and that there is no assurance of sustained trading or any particular trading price. Read the regulation text at SEBI’s ICDR Regulations. A premium or discount observed before listing cannot override that warning.
Why a market quote cannot replace due diligence
- It may be based on limited, opaque transactions rather than exchange-traded price discovery.
- It can change before listing and does not establish the company’s long-term earnings value.
- It says nothing by itself about cash conversion, leverage, litigation, concentration or proceeds.
- It does not remove the possibility of a weak listing, volatile trading or a decline after an initial move.
If you monitor GMP, label it explicitly as an informal observation, record the date and source, and keep it separate from your valuation and risk case. Do not turn it into a forecast or a target price.
A practical IPO comparison framework
When two or more offers compete for your capital, compare them on the same axes and use the latest terms for each. SEBI’s due-diligence guidance supports examining financial health, peers, P/E, intrinsic value and the risk-return profile.
Quick wins for a faster PC:
Repair Windows errors before they cause bigger problemsFix Now →Scan for outdated or missing drivers - takes under a minuteDriver Scan →- Growth and profitability: Compare multi-period revenue growth, margins and the durability of the drivers.
- Cash conversion: Compare operating cash flow with profit and the capital required to sustain growth.
- Balance-sheet strength: Compare debt, maturities, interest burden, working-capital intensity and funding needs.
- Valuation: Use appropriate peer metrics and the issuer’s Basis for Issue Price rationale, adjusted for business and risk differences.
- Concentration and operating risk: Compare customer, supplier, geographic, technology and regulatory dependencies.
- Offer structure: Compare fresh-issue and OFS proportions, dilution, post-issue ownership and the company’s proceeds plan.
- Offer mechanics: Confirm price band, lot size, dates, reservation categories, final price and share count from current filings.
Keep the comparison qualitative where the documents do not provide equivalent measures. Never fill an unsupported gap with a guessed number.

Common mistakes and how to correct them
Using an old DRHP after terms changed
Correction: Retrieve the latest RHP, addenda and final issue announcement. Recalculate valuation and proceeds using the final terms.
Reading only revenue and profit
Correction: Read income statement, balance sheet and cash flow together for at least two years, then explain the major movements.
Assuming a peer-average multiple proves value
Correction: Adjust for growth, margins, cash generation, leverage, concentration, business mix and regulatory exposure.
Confusing a large IPO with large company funding
Correction: Split fresh issue proceeds from OFS proceeds and subtract disclosed issue expenses when assessing funds available to the issuer.
Skipping the risk-factor details
Correction: Convert each material risk into a possible revenue, cost, liquidity, ownership or regulatory consequence, then identify which risks could break your thesis.
Treating the issue price as a downside floor
Correction: Apply SEBI’s warning that the issue price or band does not indicate the post-listing market price; there is no assurance of sustained trading at any particular price.
A final pre-application checklist
- I have the newest RHP, price-band notice and final terms available for this offer.
- I can explain the business model, main customers, suppliers, markets and competitors.
- I reviewed at least two years of income-statement, balance-sheet and cash-flow information.
- I understand the reasons for major changes in revenue, margins, debt, working capital and operating cash.
- I calculated post-issue valuation measures and selected genuinely comparable listed peers.
- I read the Basis for Issue Price and tested its assumptions rather than accepting a peer average.
- I identified the most consequential business, legal, regulatory, concentration and liquidity risks.
- I know the fresh-issue amount, OFS amount, post-issue share count and expected dilution.
- I can state each use of proceeds, its rupee allocation, its specificity and a milestone for checking progress.
- I treat any GMP observation as informal and non-predictive, not as a fair-value estimate or listing guarantee.
- I verified the final price and allocations after the issue rather than relying on the initial band.
For a current offer, repeat the checks against the latest issuer filing and applicable SEBI and exchange documents. IPO terms, disclosures, valuations and rules vary by issuer, offer type, jurisdiction and date.
