Before requesting IPO shares, read the issuer’s latest SEC filing, verify the final terms, test the business and valuation against the risks, and understand how ownership, dilution, lockups, and allocation affect you. SEC effectiveness permits an offering to proceed; it does not certify the investment. If the filing leaves key questions unanswered, waiting for public trading is a legitimate decision.
What you are deciding when you apply
An IPO gives a private company a first public sale of shares. You generally face two choices:
As an Amazon Associate I earn from qualifying purchases.
- Request an allocation through a broker participating in the offering, potentially at the stated offering price.
- Wait until exchange trading starts and buy (or decline to buy) at the market price.
These routes are not equivalent. The company and its underwriters control allocations, while the market sets the price after trading begins. A popular offering can attract requests for far more shares than are available, leaving a retail applicant with a partial allocation or none. The first trading price can also be materially above or below the offer price.

1. Confirm that you are reading the current filing
Find the registration statement and amendments
Start in the SEC’s EDGAR database and locate the issuer’s most recent registration statement and amendments. U.S. IPOs typically use Form S-1, although another registration form may apply. Do not rely on an old draft, a news article or a promotional presentation when the filing has changed.
After the registration statement becomes effective, the final prospectus is typically filed as Form 424B3 or Form 424B4. It generally includes the final offering price and share count. Compare the final document with earlier versions so you can identify changes to price, proceeds, risk factors, dilution, lockups and selling shareholders.
Understand what SEC effectiveness does—and does not—mean
SEC staff review a registration statement for compliance with disclosure requirements and may request revisions. Effectiveness allows the issuer to proceed with the offering. It is not an endorsement of the company, a finding that the shares are suitable, or a guarantee that every disclosure is complete or accurate.
The SEC’s Office of Investor Education and Advocacy states: “However, the review process is not a guarantee that a company’s disclosure is complete or accurate, and the staff does not evaluate the merits of any IPO or determine whether an investment is appropriate for any investor.” Responsibility for the filing remains with the company and the other parties involved in preparing it.
Record the terms that can change
Before making a decision, write down the latest:
- Expected or final price per share.
- Primary shares sold by the company.
- Secondary shares sold by existing holders.
- Total shares outstanding after the offering.
- Underwriter option, often called an over-allotment or greenshoe, if disclosed.
- Expected listing venue and ticker, if final.
- Dates for pricing, allocation and the start of trading.
If any of these appear only in an earlier filing or a marketing email, treat them as provisional.
2. Learn how the company actually makes money
Use the Business section as a map
Identify the products or services, target markets, geographic exposure, important suppliers and customers, competitive environment and material legal proceedings. Translate descriptions into operating dependencies. For example, ask whether growth relies on one distribution partner, a small number of customers, a particular supplier, a single product or a market that management expects to expand rapidly.
Reconcile the financial statements, notes and MD&A
Read the audited financial statements, the notes and the auditor’s opinion. Then read Management’s Discussion and Analysis (MD&A), where management explains changes in financial condition and results. Compare its explanations with the reported numbers instead of treating the narrative as a forecast.

Look for the drivers behind revenue, gross margin, operating expenses, cash use and losses. Useful questions include:
- Which products, customers or regions generated the reported growth?
- Did revenue rise because of more units, higher prices, acquisitions or a temporary factor?
- Are margins improving, flat or shrinking, and what does management say caused the change?
- How quickly is the company using cash, and what milestones must it reach before needing more capital?
- Are important assumptions—such as retention, utilization, pricing or capacity—supported by the historical record?
Check the reporting period and company category
Emerging growth companies and smaller reporting companies may present two years of audited financial statements rather than three. Other IPO companies generally provide three years under the SEC bulletin’s framework. A shorter history is a disclosure category, not evidence that the business is stronger or weaker; it means you have less reported history with which to test the story.
3. Read the risk factors for decision-changing risks
Separate specific risks from boilerplate
The Risk Factors section lists risks management believes could materially affect the business, performance or securities. Read it carefully, then connect each major risk to a financial line or ownership consequence. A customer-concentration risk matters more if losing one customer would remove a large share of revenue. A dependence-on-financing risk matters more when the company reports substantial cash burn and limited liquidity.
Prioritize risks that could change your decision:
- Demand, retention or pricing assumptions that have not yet been demonstrated.
- Dependence on a small number of customers, suppliers, products or markets.
- Regulatory, licensing, litigation or intellectual-property exposure.
- Large losses, negative cash flow or a stated need to raise additional capital.
- Restrictions, conflicts or control rights held by insiders.
Test management’s plan against the risks
Do not count risk factors and declare the company “safe” because the list is short, or “unsafe” because it is long. Public-company filings are required to describe material risks. Your task is to determine which ones could impair the business, the value of the shares or your ability to sell when you want.

Distinguish company proceeds from selling-shareholder proceeds
Use of Proceeds explains how the issuer plans to use money raised from newly issued shares. Compare those plans with the company’s disclosed needs: working capital, research, expansion, debt repayment, acquisitions or general corporate purposes.
Shares sold by existing holders are different. Money from a secondary sale goes to those shareholders, not to the company. A large secondary component can therefore provide less new capital than the headline offering size suggests.
Ask whether the capital plan fits the business
Check whether the proposed funds cover the stated cash needs for a reasonable period, and whether management has disclosed likely future financing. The prospectus does not decide whether the plan is adequate; it gives you the information to compare the capital request with cash use, losses and strategy.

5. Evaluate price and implied valuation
Understand how the offer price is set
The company and underwriters negotiate the offering price. Their work may consider revenue, customers, financial results, growth expectations and other metrics. They also compile an order book of indications of interest and requested quantities or prices. The resulting price reflects negotiation and competing interests, not an objective guarantee of value.
Build a simple valuation check
Use the final price and post-offering share count to estimate the implied equity value, then compare that value with the company’s disclosed revenue, margins, cash position, growth rate and risks. Select comparables that resemble the business model, scale and geography; a superficially similar company can have very different economics.
Make assumptions explicit. A valuation based on rapid growth is sensitive to slower demand, lower prices, higher costs or additional share issuance. The prospectus may present selected metrics, but it does not guarantee that a forecast will occur.
Do not treat the first-day move as proof
A first-day jump does not prove that the IPO was underpriced, and a decline does not by itself prove that the business is unsound. Early trading can be affected by limited supply, allocation decisions, market conditions and short-term demand. Compare the market price with the business and ownership facts rather than using the opening move as a verdict.
6. Measure dilution and the gap between investor groups
Read the dilution section line by line
Dilution shows how the IPO changes a new investor’s economic interest. Compare:
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minute- The IPO price per share.
- Pro forma net tangible book value per share, where disclosed.
- The price earlier investors paid for their shares.
- The increase in book value attributable to new money.
- The decrease, if any, in existing holders’ percentage ownership.
An earlier investor may have paid substantially less per share than the public offering price. That difference does not automatically make the IPO unfair, but it shows that new and existing holders entered at different prices and may have different incentives.
Include securities that can become shares
Review options, restricted stock units, warrants, convertible securities and other arrangements described in the filing. Their eventual exercise or settlement can increase the share count. Use the issuer’s disclosed basic and diluted share counts and the assumptions behind them; do not silently treat one figure as the other.

7. Check ownership, voting power and insider sales
Read the cover page and Principal and Selling Shareholders section
Identify how many shares each major holder is selling and retaining. Note relationships among directors, officers, investors, affiliates and the company, including transactions disclosed as related-party arrangements.
Look for dual-class voting
Some companies issue more than one class of common stock. One class may carry greater voting power than the class sold to the public. A founder or family can therefore retain voting control while owning a smaller percentage of the company’s economic value.

Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.8. Map future share supply and lockups
Find Shares Eligible for Future Sale
Search the prospectus for “Shares Eligible for Future Sale” or a similar heading. The section explains when founder, employee and early-investor shares may become freely tradable, and whether registration rights or other arrangements apply.
Understand the 180-day convention without assuming it applies
SEC guidance says most lockups prevent insiders from selling for 180 days, but lockup terms vary. Some agreements contain exceptions, staggered releases, early-release provisions or different restrictions for different holders. Use the actual issuer agreement and dates in the current filing, not the typical period alone.
Treat unlocks as potential supply events
When a large block becomes eligible for sale, the additional supply can create market overhang and the price may decline. That is a risk to monitor, not a prediction that insiders will sell or that the price must fall. Check who is eligible, how many shares are affected and whether insiders have stated any selling intention.

9. Decide between an allocation and buying after trading starts
If you request an allocation
- Confirm that your broker participates in this specific IPO.
- Read its eligibility, account, funding, deadline and order rules.
- Review whether the order is an indication of interest, a conditional request or a binding order under the broker’s terms.
- Check how the broker handles partial allocations, cancellations and pricing changes.
- Assume you may receive fewer shares than requested—or none.
Access and allocation vary by broker and offering. An eligible account does not guarantee shares. Underwriters and issuers determine allocations, particularly when demand exceeds supply.
Best Value
If you wait for public trading
Waiting lets you observe the actual market price, trading volume and public disclosures after listing. It also removes the possibility of buying at the negotiated offer price; the market may open much higher or lower. Early trading can be volatile, and a market order may execute at a price you did not expect. If you participate, understand your broker’s order types and consider a limit order where appropriate.
Use a written decision rule
Before pricing, write down the valuation, risks, ownership structure and maximum price or exposure that would make participation acceptable to you. A written rule helps separate the prospectus from social-media enthusiasm and the fear of missing an allocation. Diversified investments remain an alternative to concentrating money in one newly public company.
10. Keep a registered IPO separate from a pre-IPO pitch
Recognize the different transaction
A registered IPO has a current prospectus and a defined offering process. A promoter’s offer to sell supposed pre-IPO shares is a separate situation. The SEC warns that a pre-IPO investment may never become publicly traded, may create no resale market and can result in the loss of the entire investment.

- An unregistered or unlicensed seller.
- Social-media messages promising access to a “sure” or imminent IPO.
- Pressure to send money quickly.
- Claims that a future listing will deliver a specific return.
- Misleading comparisons with a famous public company.
Verify the seller, the security, the registration status and the exact resale restrictions before transferring funds. If you cannot independently confirm those facts, do not treat the pitch as equivalent to applying for a registered IPO.
A one-page IPO application checklist
- Filing: Locate the latest registration statement, amendments and final prospectus in EDGAR.
- Terms: Record the final price, share count, listing details, primary versus secondary shares and key dates.
- Business: Explain in your own words how the company earns revenue and what it depends on.
- Financials: Reconcile audited statements, notes, auditor’s opinion and MD&A; identify cash use and margin changes.
- Risks: Mark the risks that could change revenue, liquidity, control or your ability to sell.
- Proceeds: Check what new capital funds and how much of the offering goes to selling shareholders.
- Valuation: Compare implied value with disclosed performance, assumptions and suitable comparables.
- Dilution: Review book value, earlier purchase prices and securities that could become shares.
- Control: Measure insider ownership, voting power and dual-class rights.
- Supply: Map lockups, release dates and shares eligible for future sale.
- Participation: Compare uncertain allocation at the offer price with uncertain market pricing after listing.
- Fraud check: Reject unverified pre-IPO solicitations and pressure tactics.
How to reach a decision without false certainty
An IPO checklist cannot predict the opening price or guarantee an allocation. It can reveal what you would own, what you would pay, who controls the votes, how much new capital reaches the company and when additional shares may enter the market.
Apply only after you can explain the offering from the current prospectus rather than from headlines. If the valuation depends on assumptions you cannot evaluate, the ownership structure gives insiders disproportionate control, the company’s cash needs imply near-term financing, or the terms changed in a way you have not reviewed, waiting for public trading—or declining the offering—may better match your risk tolerance.
