Evaluate an exchange stock by examining what its businesses earn from transactions, clearing, listings, data and other services; how those revenues respond to activity and pricing; which regulators oversee each operation; and the risks tied to technology, clearing, competition and third parties. Then connect those business characteristics to cash generation, debt and the price investors are being asked to pay. This framework does not identify a preferred stock or provide a current valuation.
Start with the revenue engines
Read the company’s segment and revenue disclosures before treating “exchange” as a single business. Operators may combine futures and options trading and clearing, cash-equity execution, listings, market data, connectivity, technology and other services. Labels and segment groupings differ, so compare the underlying activities rather than relying on category names.

For example, Intercontinental Exchange (ICE) describes futures and options transaction and clearing fees, cash-equity execution fees, listing services, and data and connectivity services. It says data and connectivity services are primarily subscription-based. ICE’s 2025 Form 10-K provides the company-specific breakdown.

Check contract or trade volumes, the products being traded, fee schedules, volume discounts, rebates and pass-through costs. These can change the economics even when headline activity appears stable. CME Group says most of its revenue comes from clearing and transaction fees and that revenue and profitability fluctuate with contract volume. Its 2024 Form 10-K describes these fees as including electronic trading fees, surcharges for privately negotiated transactions, and other volume-related charges for exchange-traded and OTC contracts. That is CME’s description, not a universal formula for the sector. CME Group’s 2024 Form 10-K details its own business model.
#1 Best Overall
Listings
Look at new listings, renewals, delistings and fee terms, then check how the company recognizes the associated revenue. ICE describes original and annual listing fees and says listing-related obligations may be allocated across multiple performance obligations and recognized over time. A fee booked over a service period does not necessarily track cash collection or new listings in the same period.
Data, connectivity and other services
Determine what customers buy, whether pricing is subscription-based, and how renewals and usage affect growth. ICE says data subscriptions are recognized over the service period, generally ratably. For other services, inspect the issuer’s explanation of recurring versus activity-linked revenue rather than assuming that all non-transaction income is equally predictable.
Make reported revenue comparable
Revenue presentation and timing can obscure the underlying trend. Check whether transaction fees are presented net of rebates, whether subscription revenue is recognized over a contract period, and whether listing or technology arrangements span several obligations. These details matter when comparing growth rates, margins or business mixes across years and across companies.

ICE reported futures and options rebates of $1.6 billion in 2025, $1.3 billion in 2024 and $928 million in 2023, and says its relevant segment fees are reported net of rebates. These are figures for ICE in its 2025 Form 10-K, not a benchmark for other exchange operators. The disclosure is a reminder to examine rebates alongside volumes and gross activity when interpreting net fee revenue. See ICE’s 2025 Form 10-K.
Map the regulatory footprint
Identify the legal entity, activity, product and jurisdiction for each regulated operation. A group may run securities exchanges, derivatives venues and clearinghouses under different subsidiaries and oversight regimes. Do not assume that one regulator’s rules apply to every business in a global exchange group.
CME’s filings describe CFTC regulation of its U.S. futures exchanges and derivatives clearing business, as well as additional CFTC and Federal Reserve oversight associated with specified systemically important designations. CME also lists non-U.S. regulators relevant to its global operations. These are company-specific disclosures; consult each operator’s filings for its own footprint. CME Group’s 2024 Form 10-K explains its regulatory context.
For each regulated activity, ask which authorities supervise it and what registration, surveillance, reporting, capital, clearing or other obligations apply. Then consider whether proposed or actual rule and tax changes could affect costs, permitted products or customer behavior. The issuer’s regulatory disclosures and risk factors are the appropriate starting point, not a blanket assumption about all exchanges.
Assess the risks that can change the earnings picture
Trading volume and product mix
Lower activity can reduce transaction-linked income, while a shift between products can change fee revenue even if total volume holds up. Compare volumes and mix with the company’s own explanation of fee schedules, rebates and profitability sensitivity. CME explicitly describes revenue and profitability as fluctuating with contract volume.
Regulation and policy
Regulatory or tax changes may affect which products an operator can offer, the obligations it must meet, operating costs or customer behavior. CME and Cboe identify regulatory risks in their filings. Read the specific exposure disclosed for each business rather than treating regulation as a generic risk label.
Rank #4
Technology, cybersecurity and continuity
Exchanges depend on systems that must handle both ordinary and peak demand. Review disclosures about system capacity, security vulnerabilities, outages, recovery arrangements and cyber controls. Cboe lists capacity and security vulnerabilities among its risks. A technology incident can be relevant not only to service continuity but also to customer confidence and the ability to operate.
Clearing and counterparty exposure
If the group operates a clearinghouse, examine its risk management, member exposures, liquidity arrangements and default processes. Clearing and settlement bring obligations beyond matching buyers and sellers. CME describes oversight of clearing and settlement activities, while Cboe identifies clearinghouse exposures in its risk disclosures.
Competition and third-party dependence
Consider competing venues and services, possible substitutes for market data or technology offerings, and reliance on customers or external providers. Cboe names competition and third-party dependence among its risks. The key analytical question is how those dependencies could affect volumes, pricing, continuity or customer retention.

Compare operators on the same axes
For a useful comparison, apply the same questions to every company rather than comparing differently defined headline metrics.
| Comparison axis | What to check |
|---|---|
| Revenue mix | Transaction and clearing income versus subscriptions, listings and other services; note how each issuer defines and reports them. |
| Activity sensitivity | Volume and product-mix exposure, including the effect of fee schedules, discounts and rebates. |
| Revenue presentation | Net-versus-gross fee treatment, rebate accounting and timing of revenue recognition. |
| Clearing footprint | Which entities clear, the related member and counterparty exposures, and the disclosed risk arrangements. |
| Regulation | Relevant regulators, jurisdictions, activities and obligations for each business. |
| Operational and commercial risk | System resilience, cybersecurity, competition and dependence on customers or third parties. |
After comparing the businesses, connect those risks and revenue characteristics to margins, cash generation, debt and capital allocation. Only then assess whether the current share price offers an attractive valuation. That final judgment requires current company-specific financial and market data; a general framework cannot establish fair value.
