How to Evaluate an ERP Implementation Dispute Before Choosing a Remedy

By Freedom251 Team · · 12 min read

Do not select a remedy simply because an ERP project went badly. First establish what the signed agreement required, whether the acceptance and notice procedures were followed, what the evidence shows at each milestone, which failure layer caused the harm, and what losses can be proved under the governing law. Only then can you sensibly compare a cure plan, a negotiated reset, termination, arbitration, mediation, or court proceedings.

This sequence is a practical evaluation framework, not jurisdiction-free legal advice. A technology lawyer familiar with the contract’s governing law should review the documents before you issue a breach notice, suspend performance, terminate, or file a claim.

What does it mean for an ERP implementation to have failed?

A disappointing business result is not automatically a contractual breach. An implementation may be late, unpopular, or expensive while still meeting the obligations that were actually agreed. Conversely, a project can pass a formal “go-live” milestone while failing a specific contractual requirement.

Assess the alleged failure through four separate questions:

  • What was promised? Identify binding requirements in the master agreement, statement of work (SOW), work orders, specifications, service levels, acceptance criteria, warranty, and approved change orders. A sales presentation, estimate, or project plan matters only if the contract incorporated it or otherwise made it binding.
  • What was delivered and accepted? Compare the required deliverable with test results, defect records, waivers, acceptance certificates, rejection notices, and post-go-live support activity. Acceptance language can alter warranty rights and the time available to complain.
  • Who caused the shortfall? Separate supplier performance from customer decisions, unavailable personnel, late data, approved scope changes, third-party systems, and assumptions about organisational transformation.
  • What loss followed? Link each claimed cost or interruption to contemporaneous records and a causal chain. Contractual exclusions, liability caps, mitigation duties, and rules distinguishing direct from consequential loss may limit recovery even when a breach is established.

Keep facts, allegations, and later interpretations in separate categories. The same event can support a commercial escalation while remaining legally unproven.

Step 1: establish the contract and the procedural route

Collect the complete agreement set before debating remedies. A single ERP engagement commonly spans documents with different dates and entities. Read them together and verify which document prevails if terms conflict.

Document or clause Questions to answer Why it matters
Master services agreement Who are the contracting parties? What law, venue, liability limits, indemnities, confidentiality duties, and dispute procedures apply? It often supplies the legal framework for every later work order.
SOW, work orders, and schedules What scope, activities, assumptions, milestones, staffing, fees, and dependencies were stated? Which items are estimates rather than commitments? The SOW may define the performance obligation and the timetable.
Specifications and requirements Are requirements measurable? Were “fit,” performance, security, reporting, or regulatory criteria incorporated? Vague objectives are harder to test than an explicit acceptance requirement.
Change orders and amendments Who approved each change? Did price, schedule, resources, or acceptance criteria change? An approved variation may explain a delay or supersede an earlier promise.
Acceptance, warranty, and support terms What constitutes acceptance? Are there deemed-acceptance rules, warranty periods, severity definitions, response times, or service levels? These clauses can control notice, cure, and post-go-live rights.
Termination and cure provisions Is termination for convenience, material breach, insolvency, repeated service failure, or another trigger? What notice and cure period is required? Skipping a contractual step can create a new dispute or make termination ineffective.
Notices and dispute resolution Which address, email, officer, or method is valid? Is negotiation, executive escalation, mediation, expert determination, or arbitration required before court action? Deadlines and preconditions may be strict and can affect available forums.

Confirm the exact legal entity that signed, any assignment or novation, and whether the alleged breach is continuing. Check contractual claim periods and the applicable statutory limitation period; they are not necessarily the same. Preserve proof that notices were sent to the prescribed recipient and by the prescribed method.

Do not assume that court filing is permitted merely because the relationship has broken down. In a Philippines Supreme Court decision concerning a public software-procurement contract, the court read the component documents together and concluded that arbitration was the primary route before litigation. That interpretation was tied to that agreement and its Philippine procurement context; it is not a universal rule.

Step 2: build a dated milestone evidence map

Create one row for every contractual milestone, release, test cycle, and decision gate. Use original files and preserve their metadata where possible. A useful map contains these fields:

  1. Requirement: quote or identify the contractual obligation and its acceptance measure.
  2. Owner and dependency: record the party, team, data, environment, interface, or decision needed.
  3. Planned date and actual date: distinguish baseline, approved re-baseline, and actual completion.
  4. Deliverable: identify the version of the configuration, code, migration load, report, or document supplied.
  5. Test and acceptance: retain scripts, expected results, execution logs, sign-offs, rejection notices, waivers, and retest outcomes.
  6. Defects and exceptions: record severity, reproducibility, business process affected, owner, target fix, and whether the defect was closed or merely deferred.
  7. Changes and decisions: attach change requests, steering-committee minutes, risk acceptances, and approvals.
  8. Impact: state the operational consequence and the contemporaneous source supporting it.
Evidence group Examples to preserve Common evidentiary question
Requirements and design Requirements traceability, process maps, design decisions, assumptions, and gap logs Was the disputed function required, excluded, or changed?
Build and release Configuration workbooks, source or deployment records, release notes, environment inventories, and access logs Which version was tested and which version reached production?
Testing Scripts, datasets, results, defect severity, retest evidence, and business-owner sign-off Was a failed test accepted, waived, or left unresolved?
Migration and interfaces Data-cleansing rules, reconciliation reports, interface queues, mapping files, and error logs Did bad output originate in source data, transformation logic, or an integration dependency?
Governance Status reports, RAID logs, steering minutes, resource plans, escalation emails, and risk warnings Who knew about the risk, when, and what decision followed?
Go-live and operations Readiness assessments, cutover plans, incident tickets, workarounds, service reports, and user feedback Was deployment authorised despite a recorded exception?
Exit and continuity Backups, exports, data dictionaries, credentials, licences, repositories, and transition-assistance requests Can the customer operate, restore, or migrate without losing access?

Preserve repository access, test environments, system logs, and data before a termination or security change removes them. Keep the original and a read-only copy; record who collected each item and when. Issue a litigation hold where appropriate, including for collaboration tools and personal devices used for project communications. Do not alter production data merely to improve a later narrative.

Step 3: classify the failure layer and responsibility

Classify every material issue separately. “The ERP failed” is too broad to allocate responsibility or choose a cure.

Failure layer Diagnostic questions Evidence that helps
Software product defect Does the standard product fail a documented requirement in a reproducible way? Reproduction steps, vendor defect identifiers, version notes, and test results.
Configuration, customization, or integration Was the issue introduced by parameter settings, custom code, an interface, or an incompatible release? Configuration history, interface specifications, deployment records, and environment comparisons.
Data migration or data quality Were source records incomplete, incorrectly mapped, duplicated, or rejected? Profiling reports, mapping approvals, reconciliation totals, exception queues, and cleansing decisions.
Requirements and scope Was the capability omitted, misunderstood, or added through an unpriced request? Traceability matrix, signed change order, workshop minutes, and scope exclusions.
Planning, staffing, or governance Were key roles vacant, estimates unrealistic, risks suppressed, or decisions delayed? Resource plans, risk reports, escalation history, and steering decisions.
Testing and readiness Were scenarios representative, users trained, controls tested, and critical defects resolved? Test coverage, defect ageing, readiness criteria, training attendance, and go-live approvals.
Customer dependency Did the customer provide data, subject-matter experts, decisions, or access on time? Dependency logs, requested-by dates, reminders, and documented impact of non-delivery.
Third-party dependency Did a bank, tax service, carrier, hardware provider, or other system fail or change? Third-party notices, interface contracts, incident reports, and allocation clauses.
Adoption or transformation assumption Is the system operating as designed but the organisation has not changed processes, controls, or incentives? Process-performance data, training records, policy decisions, and benefit assumptions.

Assign each issue to the contract language that governs it and identify evidence supporting both sides. A business benefit that never materialised may be commercially serious without proving that the implementation partner breached a technical obligation. Conversely, a missed acceptance test can be actionable even if users eventually work around it.

Step 4: quantify operational and financial consequences

Build a loss register rather than a single headline number. For every item, state the amount, period, source record, causal link, mitigation, and contractual treatment.

Impact category Records to collect Checks before claiming it
Business interruption Downtime logs, missed transactions, service tickets, cancelled orders, and customer notices Was the interruption caused by the disputed failure, and is the loss direct or consequential?
Workarounds and internal remediation Overtime, temporary staff, manual-processing volumes, consulting invoices, and rework timesheets Were costs reasonable, necessary, and mitigated?
Replacement or transition New supplier proposals, extraction work, licence charges, data-conversion costs, and parallel-run expenses Does the contract allow these costs, and can they be separated from an upgrade chosen for other reasons?
Fees and payment disputes Invoices, payment records, credits, withholding notices, and disputed amounts What was accepted, invoiced, paid, or expressly reserved?
Delayed benefits Approved business cases, benefit baselines, launch dates, and management accounts Can the expected benefit be proved, and does the agreement exclude lost profits or delay damages?
Third-party or customer effects Claims, service-level credits, regulatory correspondence, and settlement records Are they recoverable under an indemnity or excluded as remote or consequential loss?

Test causation against alternative explanations: a late decision, an unrelated market event, a pre-existing data problem, or a scope change. Record mitigation steps and why a proposed mitigation was or was not feasible. Liability caps, baskets, exclusions, indemnity wording, insurance, and the counterparty’s ability to pay may matter as much as the gross loss.

Step 5: compare the available remedy paths

Use a written comparison rather than choosing the most emotionally satisfying option. Score each path against the contract, business continuity, evidence, cost, and reversibility.

Path Contract and process questions Operational advantages Principal risks
Cure or controlled remediation Is there a warranty, service-level remedy, or material-breach cure period? What acceptance tests apply? Can preserve data, knowledge, and continuity while fixing a bounded problem. May consume time and money without resolving a structural governance or trust failure.
Negotiated recovery or re-baselining Can scope, price, schedule, governance, and decision rights be amended in writing? Creates a practical reset and may secure extra resources or credits. Can waive claims or disguise a continuing breach if reservations and release language are unclear.
Termination and transition Is termination for cause or convenience? What notice, cure, data, licence, and transition duties apply? May stop recurring harm and enable a replacement plan. Access, knowledge-transfer, migration, and continuity gaps can make the exit more damaging.
Mediation or executive settlement Is it required or permitted, and does it pause any notice or limitation deadline? Private, flexible, and often faster than adjudication. It may fail if one side needs a binding ruling or refuses to disclose evidence.
Arbitration What clause, institution, seat, rules, number of arbitrators, and interim-relief mechanism apply? Can offer a specialised, confidential, enforceable process. Fees, limited appeal, emergency relief constraints, and document production vary by rules.
Litigation Does the contract permit court proceedings, and which court has jurisdiction? Public authority, broad procedural tools, and appeal rights may be valuable. Cost, delay, publicity, relationship damage, and jurisdictional fights can be substantial.

When a cure plan is sensible

Use a cure plan only when the defect is technically and organisationally bounded, the supplier has the necessary people and access, and the customer can operate safely during the work. Put the plan in a signed instrument that names deliverables, owners, dependencies, dates, test data, severity thresholds, reporting cadence, and what happens if a gate is missed. Define a stop decision before spending more money. A cure plan should not silently extend acceptance, waive known breaches, or release claims unless that is intentional and documented.

When to negotiate a recovery or re-baseline

A reset can be appropriate where requirements changed, assumptions proved wrong, or both parties need a different sequence. Separate undisputed work from disputed performance. State the revised scope, price, schedule, governance, change-control authority, and treatment of earlier delays. If rights are reserved, say so expressly; an informal “fresh start” can later be argued as a waiver.

When termination and transition deserve priority

Termination is a process, not an email. Verify the trigger, notice wording, cure period, effective date, payment obligations, ownership and licence rights, return or deletion of data, source or configuration access, escrow terms, subcontractor rights, and transition assistance. Prepare a continuity plan before notice: secure backups, identify replacement capability, maintain critical interfaces, and protect payroll, invoicing, inventory, and regulatory reporting. Do not disable access or withhold undisputed payments in a way that breaches the agreement or creates safety and compliance risks.

When formal dispute resolution is justified

Escalation is more defensible when the breach is material, evidence is preserved, cure has failed or is unavailable, and the contract’s prerequisites are satisfied. Compare confidentiality, speed, interim relief, expert evidence, discovery, appeal rights, enforceability, and total cost. Calendar every contractual and statutory deadline before entering settlement discussions; negotiations do not automatically suspend them.

What the cited disputes and audits actually show

PC Connection, Inc. v. IBM (U.S., 2023)

The U.S. District Court for the District of New Hampshire described an SOW estimating 17 months and approximately USD 9.2 million. Implementation began in October 2017 and deployment occurred in May 2020. After deployment, the customer alleged defects that disrupted operations. Those are case-specific facts and allegations, not ERP benchmarks.

At the motion-to-dismiss stage, contract and good-faith claims survived. The indemnity claim was dismissed because the wording covered third-party claims rather than losses between the contracting parties under the law applied in that case. Negligence was dismissed for failure to plead an independent tort duty; some fraud-based allegations and a state consumer-protection claim survived. The court applied New York substantive law by agreement. It did not make a final finding that IBM was liable.

“The court denies the motion as to the breach of contract claim because the claim is not barred under New York law or the statute of limitations.”

The practical lesson is issue spotting: read the claim language, limitation period, and indemnity text rather than assuming that every project loss fits every legal theory.

Amsterdam District Court SAP implementation (Netherlands, 2018)

A Rechtspraak listing describes an interim judgment concerning Ctac’s SAP implementation for LeaseWeb. Its summary says the agreement was rightly dissolved for contractor breach and that the customer had not benefited from the services, making their value nil on that record. This was a Dutch first-instance outcome. It does not establish that failed ERP services always have zero value or that every customer can terminate.

Australian Defence ERP audit (ANAO, 2021)

The Australian National Audit Office found administration of Tranche 1 largely effective overall while identifying room to improve governance, including probity and conflicts in contract-variation decisions. It recorded schedule changes and a November 2020 variation above AUD 14.5 million with the systems integrator, and said the program remained at an early stage as of May 2021. This public-program audit illustrates why governance, risk reporting, and variation controls matter alongside technical delivery; it does not predict the result of a private dispute.

UK PFI distress guidance

UK government guidance on distressed private-finance projects emphasises transparency, preparation, constructive dialogue, and use of contractual procedures. It notes that poorly managed disputes can persist for months or years and damage relationships. PFI guidance is process context for that procurement model, not a rule governing a commercial ERP contract.

  • Which exact clause and acceptance criterion is implicated by each issue?
  • What is the strongest contemporaneous evidence for and against responsibility?
  • Which customer, third-party, or approved-change dependency affects causation?
  • What business process is at risk if work stops tomorrow?
  • What data, credentials, licences, environments, and people are needed for continuity?
  • What cure can be tested, by what date, and what objective result ends the cure?
  • What notice, cure, arbitration, mediation, or limitation deadline is approaching?
  • Which losses are documented, mitigated, contractually recoverable, and realistically collectible?
  • What decision would be reversible if new evidence appears?

Keep the meeting record factual. Identify open assumptions, assign owners, and set a date to reassess. Avoid public accusations or destructive system changes while the evidence and continuity plan are incomplete.

When specialist help is necessary

Engage qualified technology counsel when the contract has conflicting documents, a termination trigger is being considered, a limitation or notice deadline is near, arbitration language is unclear, or a significant loss or regulatory exposure is possible. An independent ERP technical expert can reconstruct configuration, migration, testing, and causation without being the original implementer. A project-recovery or mediation professional may help where the relationship can still support a controlled cure. Give each adviser the complete agreement set and evidence map, not only the latest incident report.
