Evaluate an acqui-hire offer by comparing the signed employment terms, transaction-related payments, benefits, equity, and job protections—not just the new salary. First establish which documents bind the buyer and you; then separate guaranteed cash from payments that depend on continued service, performance, or closing. No general rule guarantees that an acqui-hired employee will keep a job for a set period.
How do I evaluate an acqui-hire offer?
Use the same time horizon and assumptions for the job you have now, the acquisition offer, and any realistic outside offer. Compare what is guaranteed with what is contingent, and judge equity and continued employment as separate risks. The offer is only as clear as its documents: a merger agreement may describe protections for a group of continuing employees without making every promise part of your individual offer.

Gather the documents that control the offer
Before comparing dollar amounts, make an inventory of the documents and identify which entity is making each commitment. Record the offer’s effective date, work location, governing-law language, and acceptance deadline.
- Collect the offer letter and any employment agreement, including documents it expressly incorporates.
- Collect the equity award, applicable equity plan, and any document describing what happens to existing startup awards.
- Collect separate bonus, sign-on, retention, or transaction-payment letters, plus applicable severance or change-in-control plans.
- Get benefit summaries or plan terms so you can compare coverage, employer contributions, leave, and employee-paid costs.
- Compare these documents with any transaction terms that are available to you. Do not assume a public announcement or general merger provision automatically overrides a signed offer or binds the employing entity.
A filed merger agreement is an example of negotiated terms for one transaction, not a standard acqui-hire promise. In that example, protections for some continuing employees covered specified salary and benefits for a stated period while excluding certain incentive and retention awards. Read the actual language applicable to you.

Compare recurring compensation and one-time payments separately
Build a side-by-side comparison, using the same 12- and 24-month periods for each alternative. Record guaranteed cash separately from amounts that may never be paid.
| Package element | What to record | What to verify in the documents |
|---|---|---|
| Base pay | Annual salary and when it begins | Whether the amount is guaranteed, who employs you, and whether any stated protection lasts only while you remain employed |
| Recurring bonus | Target amount and any guaranteed portion | Performance measures, discretion, payout date, and whether you must still be employed on that date |
| Sign-on, retention, or transaction cash | Each payment amount and date, listed separately | Closing, service, or performance conditions; proration; forfeiture; and treatment if you resign, are terminated without cause, or lose your role |
| Benefits | Coverage, employer contributions, leave, and your expected costs | Eligibility and waiting periods, plus what “comparable” means in the applicable plan or agreement |
| Severance and termination terms | Any stated cash, benefit continuation, or other protection | Eligibility triggers, required release or other conditions, and treatment of unpaid bonuses and equity |
Do not treat a target bonus as guaranteed compensation unless the documents make it guaranteed. A payment tied to a closing or retention period is not equivalent to salary simply because its headline amount is large. For every contingent payment, note the exact trigger and what happens if the company ends your employment without cause or eliminates your role before the payment date.
What happens to my stock options if my startup is acquired?
The transaction documents and your equity plan determine whether an award continues, is replaced, is cashed out, is canceled, or receives another treatment. Do not assume that a new buyer award replaces existing startup equity unless the documents say so. Equity can be compensation, but a share or unit count alone does not establish what it is worth or what you will receive.

Assess outcomes only to the extent the documents provide enough information to do so. Private-company equity may be illiquid, and this source set establishes no generally applicable valuation or tax method. For a complex award or a consequential tax question, have a qualified adviser review the actual plan and transaction documents.
How should I assess whether the job will last?
Distinguish a promise to provide specified pay or benefits for a period from a promise that you will remain employed for that period. Check the offer for an express minimum employment term, termination rights, and any conditions that could end protections early. Ask in writing what happens if your role is eliminated or materially changed, and what severance, bonus, and equity treatment would follow.
Ask the hiring manager or integration lead to describe the post-close team, your responsibilities, reporting line, location, success measures, and who has authority over the role. These answers help expose whether the role is defined or still depends on an integration plan.

Compare the alternatives on consistent terms
Use one comparison sheet and the same assumptions for your current position, the acquisition offer, and any outside offer you are genuinely considering.
| Comparison axis | Questions to answer |
|---|---|
| Guaranteed cash | How much base pay and guaranteed cash will you receive over 12 and 24 months? |
| Benefits and costs | What coverage, employer contributions, leave, and employee-paid costs apply? |
| Contingent cash | What bonus or retention amounts depend on service, performance, or closing? |
| Equity | What is the instrument, vesting schedule, and documented treatment at closing and after termination? |
| Employment protections | What happens to pay, benefits, bonus, equity, and severance if the role ends or changes? |
| Role and practical impact | How do responsibilities, manager, location, commute, relocation, and career path compare? |
| Post-employment obligations | What restrictions or other obligations apply after departure? |
For a salary benchmark, compare similar work at a similar seniority level, company size, industry, and geographic market. The Federal Acquisition Regulation says compensation for employees or job classes must be reasonable for the work performed, but that language concerns federal-contract cost allowability. It is not an employee entitlement or a universal rule for judging an acqui-hire offer.
Questions to resolve before accepting
- Which terms are guaranteed by my signed offer, and which appear only in an announcement or transaction document?
- Is there an express minimum employment period, or only specified pay and benefits for employees who remain employed?
- For each bonus, retention payment, or transaction payment, what are the amount, payment date, conditions, and forfeiture rules?
- What happens to each existing startup equity award at closing, and what are the exact terms of any replacement award?
- If my job is eliminated or I am terminated without cause, what severance, bonus, and equity treatment applies?
- Which entity employs me, what law governs the offer and equity plan, and what restrictions apply after departure?
- Can I review complete documents and get enough time to make an informed decision?
The EEOC’s guidance on early-retirement incentives and ADEA waivers states that inadequate time or information can undermine voluntariness in that specific setting. It should not be read as a blanket review-period rule for every acqui-hire offer. If you cannot reconcile the offer with the transaction or equity documents, or the consequences of a waiver or restriction are significant, consider having an employment or startup lawyer review the documents before signing.
