Do not treat a token’s name, a familiar stock ticker, the words “backed by shares,” or on-chain settlement as proof that you own the referenced company’s stock. Before depositing money, establish the token’s legal claim, the rights attached to it, every entity handling assets, and the conditions for transferring or redeeming it.
This guide uses U.S. investor-protection concepts as its main reference point and flags where jurisdiction and product structure can change the answer.

1. Establish what the token legally represents
The first question is not whether the token price follows a listed share. It is: what legal claim does the token give you? Investor.gov describes three broad structures, and they can produce very different rights and failure risks. Read the offering documents, token terms, customer agreement, and custody documents before sending funds. Identify the issuer and the obligation owed to you in plain language.

|---|---|---|---|
| Issuer-sponsored tokenized security | The issuer or its agent issues the security directly on a blockchain. | It may carry the same legal rights as a traditional share of the same class, although the token can be a different class. | The rights depend on the security’s governing terms, issuer, transfer system, and applicable law. |
| Custodial tokenized security | An indirect interest in an underlying security through a security entitlement, similar to holding through a securities intermediary. | Check whether voting, dividends, corporate actions, and redemption are passed through and by what procedure. | You rely on the intermediary and custody chain, not solely on the company whose share is referenced. |
| Synthetic tokenized security | A linked security, derivative, or other contractual exposure issued by a third party. | The token may track the reference share economically without granting shareholder rights. | The third-party issuer owes the obligation. You may have no claim against the issuer of the referenced share and may face the third party’s bankruptcy risk. |
The SEC divisions’ January 28, 2026 statement explains that a linked security is an obligation of its third-party issuer, not of the issuer of the referenced security, and does not itself confer benefits from that referenced issuer. “Tracks the share price” therefore describes an economic relationship, not necessarily ownership.

SEC Commissioner Hester M. Peirce wrote in a July 9, 2025 statement, Tokenized securities are still securities.
That is Commissioner Peirce’s statement, not a new Commission-wide rule or a guarantee that every product has the same legal status.
If the documents never clearly say whether you receive a share, a security entitlement, or contractual price exposure, treat the omission as a major diligence concern. Do not fill the gap with a marketing label.
Read the regulator explanations of these models at Investor.gov’s tokenized-securities guidance and the SEC divisions’ January 28, 2026 statement.
2. Collect the documents before opening an account
Save the current version of each document, including schedules and fee pages. A platform’s website description is not a substitute for the contract that determines your rights.
- Offering document: Find the issuer, security description, class, jurisdiction, registration or exemption, and material risk factors.
- Token terms: Determine whether the token itself is the security, represents a security entitlement, or is a separate linked instrument. Look for minting, burning, transfer, suspension, and correction provisions.
- Customer agreement: Check which entity contracts with you, governing law, dispute procedures, account ownership, fees, lending permissions, and what happens after a default.
- Custody agreement: Identify who holds the underlying security, cash, and private keys; whether assets are segregated; and whether rehypothecation, lending, liens, or omnibus accounts are permitted.
- Issuer and transfer-agent disclosures: Confirm how official ownership records are maintained, how corporate actions are processed, and whether the issuer recognizes the token holder directly.
- Technology and venue terms: Record the blockchain, smart contracts, wallet rules, transfer restrictions, trading venue, settlement process, and authority to pause or upgrade contracts.
Make a one-page map naming every party and the promise each party makes. If the platform will not provide the documents or uses undefined terms such as “backed,” “equivalent,” or “fully collateralized,” stop until the legal meaning is established.

3. Verify the rights attached to the token
Rights must be checked in the governing documents, not inferred from the underlying company’s ordinary shares. The SEC Investor Advisory Committee recommends clear disclosure of ownership rights, legal arrangements, supporting infrastructure, transfer restrictions, and redemption mechanics. Its recommendation is guidance from an advisory committee, not a binding rule.
| Right or event | Questions to answer | Evidence to locate |
|---|---|---|
| Ownership and class | Is the token the share itself, an entitlement against an intermediary, or a separate instrument? Is it the same class as the referenced share? | Security terms, cap-table or transfer-agent language, and the issuer’s disclosure. |
| Voting | Can you vote directly, through a custodian, by proxy, or not at all? What record date, deadline, and instruction process applies? | Voting provisions, proxy procedures, and corporate-action notices. |
| Dividends | Who receives the dividend, when is it passed through, in what currency or asset, and what deductions apply? | Dividend and fee clauses; examples of payment timing. |
| Splits and mergers | How are balances adjusted in a split, merger, consolidation, or reverse split? Can the platform suspend trading during the event? | Corporate-action policy and token-adjustment rules. |
| Spin-offs and tender offers | Will you receive the new security or tender proceeds? Who makes the election and by what deadline? | Election, notice, and pass-through provisions. |
| Bankruptcy | What claim do you have if the platform, custodian, token issuer, or referenced company fails? | Insolvency clauses, segregation language, and legal opinions if supplied. |
A token can have some economic exposure while lacking direct voting, dividend, or corporate-action rights. Conversely, an issuer-sponsored security may provide rights similar to a conventional share. The instrument’s terms decide which case applies.

4. Map every regulated function and counterparty
For a U.S. investor, identify the legal entity performing each function rather than relying on an app name or an exchange label. Investor.gov explains that a securities offering generally must be registered with the SEC or qualify for an exemption. Broker-dealers, investment advisers, alternative trading systems, and exchanges can have registration or membership obligations involving the SEC, a state regulator, or a self-regulatory organization such as FINRA. The applicable requirement depends on the product, activity, jurisdiction, and any exemption.
Create a counterparty table with these roles:
- Token issuer or special-purpose entity.
- Referenced company and its transfer agent.
- Broker-dealer or other intermediary handling orders.
- Trading venue or alternative trading system.
- Custodian holding securities or cash.
- Wallet provider and blockchain operator.
- Market maker or liquidity provider.
- Entity responsible for updating official ownership records.
For each entity, record its legal name, home jurisdiction, function, regulator, registration or exemption, and the exact product covered. Search the relevant regulator’s records for the entity and activity; a registration for one business line does not prove authorization for another.
Investor.gov warns that crypto-asset businesses may combine exchange, broker-dealer, and custodial roles. Combining roles can create conflicts, even where a particular entity has regulatory obligations such as recordkeeping, financial-responsibility, disclosure, or examination requirements. An offshore registration or a platform’s use of the word “exchange” does not answer whether a U.S. investor may lawfully access the specific offering.
Use the regulator’s overview at Investor.gov’s crypto-asset securities alert as a starting point, then verify each entity and product in the applicable records.

5. Find out who holds the assets and what failure would mean
Ask two separate custody questions: who holds the underlying securities and cash? and who controls the token and wallet keys? A platform can answer one without answering the other.
Custody facts to confirm
- Whether the underlying shares are registered to customers, a nominee, an omnibus account, or the platform.
- Whether customer assets are segregated from the platform’s property and reconciled regularly.
- Whether the platform may lend, pledge, rehypothecate, or transfer assets without a customer-by-customer instruction.
- Who controls wallets and signing keys, including multi-signature arrangements and recovery procedures.
- Whether withdrawals are available in the same asset, as cash, or only through a conversion or redemption process.
- How discrepancies, lost keys, forks, chain outages, and unauthorized transactions are handled.
Failure scenarios to model
| Failure | Questions for the contract | Possible consequence to investigate |
|---|---|---|
| Platform insolvency | Do you own segregated assets or only an unsecured contractual claim? | Withdrawals may be suspended and recovery may depend on insolvency proceedings. |
| Custodian failure | Are assets held for customers, and how are records reconciled? | Access can depend on custody records, segregation, and applicable insolvency law. |
| Token issuer failure | Who owes payment or redemption on a synthetic or linked instrument? | You may face the issuer’s credit and bankruptcy risk even if the referenced company remains healthy. |
| Blockchain or smart-contract failure | Who can pause, freeze, upgrade, or replace the contract? Is there a recovery plan? | Transfers or redemptions may stop, or balances may require a documented migration. |
| Market-maker withdrawal | Is liquidity guaranteed or merely expected? | Spreads can widen, orders can go unfilled, and an exit can become impractical. |
Investor.gov warns that customers of crypto-asset entities might lose legal ownership of deposited assets, face suspended withdrawals, or fail to recover holdings after bankruptcy. It also identifies volatility, illiquidity, disappearing markets, opaque control, unauthorized lending or transfers, fraud, hacking, and malware as risks.
Do not assume FDIC deposit insurance or SIPC protection applies. Those protections depend on the exact institution, account, asset, and legal structure; a crypto-asset or tokenized product does not automatically receive either one.
“Proof of reserves” is also limited. Investor.gov describes it as a voluntary method that can provide evidence about aggregate assets at a point in time. It does not, by itself, establish your individual legal claim, continuous liquidity, segregation, or a guaranteed withdrawal right.
6. Test transfer, redemption, and real-world liquidity
A token that can technically move at any hour is not necessarily liquid. Liquidity requires an eligible counterparty, executable prices, functioning settlement, and a reliable way to exit.

Transfer questions
- Can you send the token to a personal wallet or another venue, or must it remain on the platform?
- Are transfers limited by whitelist, geography, investor category, lockup, issuer consent, or holding period?
- Can the platform freeze or reverse transfers, and under what stated conditions?
- Does the recipient need an account, identity check, or approval before receiving the token?
Redemption questions
- Is redemption into underlying shares a contractual right or a discretionary facility?
- Who must honor the redemption: the token issuer, custodian, broker, or another party?
- What minimum size, fees, notice period, market hours, settlement cycle, and identity restrictions apply?
- What happens if the underlying market is closed, suspended, delisted, or subject to a corporate action?
- Can redemption be halted when a market maker or platform stops operating?
Market questions
- Where does the token actually trade, and who is eligible to participate?
- What are the recent bid-ask spreads, displayed depth, executed volume, and price differences from the reference share?
- Are trading suspensions, partial fills, minimum orders, or operating-hour limits disclosed?
- How do token settlement times and fees compare with settlement of the underlying security?
Ask for dated, product-specific information rather than a claim that the blockchain is always available. The SEC Investor Advisory Committee identifies transferability and redemption restrictions as material issues, and Investor.gov warns that a market can disappear or an asset can cease to be tradeable. Review those discussions at the SEC Investor Advisory Committee recommendation and Investor.gov’s alert.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.7. Examine technology and operational controls
Technology can improve recordkeeping or settlement, but it does not replace a legal ownership analysis. Treat the technical design as a separate diligence layer.
- Blockchain and contract identity: Record the network, contract addresses, deployment authority, and whether the published code matches the terms.
- Administrative powers: Determine who can pause, freeze, blacklist, mint, burn, upgrade, or force-transfer tokens, and whether those powers require notice or multiple approvals.
- Key management: Ask how signing keys are stored, who can access them, how transactions are approved, and how compromised keys are replaced.
- Recovery: Find the procedure for lost credentials, chain reorganizations, forks, outages, incorrect transfers, and a migration to a replacement contract.
- Incident handling: Look for security audits, vulnerability disclosure, incident notices, customer communication, and an allocation of loss after a hack or software error.
- Reconciliation: Establish how on-chain balances are matched to custody records and official ownership records, and how often exceptions are corrected.
These questions are diligence prompts, not proof that any particular platform has a vulnerability. A technically sophisticated contract can still leave the holder with an unsecured claim, restricted transfer rights, or no practical redemption route.

8. Compare platforms using the same evidence
If you are considering two or more platforms, complete the same worksheet for each. Do not let a polished interface compensate for missing legal or custody information.
| Comparison axis | Evidence to collect | Decision question |
|---|---|---|
| Legal structure and rights | Instrument type, issuer, class, voting, dividends, corporate actions, and bankruptcy claim. | What exactly do you own, and which entity owes you performance? |
| Regulation and accountability | Entity-by-entity registrations, exemptions, memberships, jurisdictions, and covered activities. | Is each regulated function performed under an applicable authorization or exemption? |
| Custody and failure treatment | Custodian, segregation, lending permissions, reconciliation, withdrawal rights, and insolvency provisions. | What happens to your assets if each counterparty fails? |
| Disclosure and conflicts | Financial information, fees, conflicts, counterparties, risk factors, and accessible governing terms. | Can an independent reader understand the arrangement without relying on marketing language? |
| Transfer, redemption, and liquidity | Venue, eligibility, restrictions, spreads, volume, settlement, fees, and redemption conditions. | Can you realistically exit at a price and time you can accept? |
| Technology and operations | Blockchain, contracts, administrative controls, key custody, recovery, audits, and incident process. | Who can stop or change the system, and what is the recovery path? |
Mark an item “not established” when the documents do not answer it. Do not award a platform credit for an unanswered question or treat a reserve statement as proof of customer ownership.

9. Keep the jurisdiction and product scope precise
Registration, custody rules, investor protections, tax treatment, transfer restrictions, and access eligibility differ by country and by product. This article’s regulatory examples are primarily U.S.-oriented; a non-U.S. investor must apply the rules of the investor’s residence, the issuer’s jurisdiction, the venue, and the place where custody occurs.
The UK Financial Conduct Authority’s fund-tokenisation page describes a UK context in which a fund share or unit is represented as a blockchain-recorded token. It also notes that commercial, legal, and technological challenges may limit widespread use. That discussion concerns funds and should not be generalized to every company share or to an offering in another jurisdiction. See the FCA’s fund-tokenisation information.
Recommended Free Tools
Ask the platform to state, in writing, which residents may buy, which entity serves them, what law governs the token, and whether the product is available in the investor’s location. A platform available in one country may restrict transfers or redemption for residents elsewhere.
10. Use a stop-or-proceed decision rule
Proceed only when the documents and regulator records let you answer every core question without inference:
- What legal instrument is the token?
- Who is the issuer and who owes the investor?
- Is the referenced share the same class, and which ownership rights are actually included?
- Who receives and passes through dividends and corporate actions?
- Which entity performs brokerage, venue, custody, wallet, and recordkeeping functions?
- What registration, exemption, or local authorization covers each relevant activity?
- Where are the underlying securities, cash, and keys held, and are customer assets segregated?
- Can assets be lent, pledged, rehypothecated, frozen, or transferred without the investor’s instruction?
- Is transfer or redemption a contractual right, with stated costs, timing, eligibility, and failure procedures?
- What realistic market depth, spread, settlement process, and exit route exists?
- Who can pause, upgrade, or replace the technology, and how are incidents and losses handled?
- What claim remains if the platform, custodian, token issuer, technology provider, or referenced company becomes insolvent?
If a material answer is missing, contradictory, or available only in promotional language, do not describe the product as equivalent to owning the referenced share. A tokenized instrument adds intermediary, custody, technology, and liquidity questions to the investment risk of the underlying company; it does not remove them.
