Evaluate a tokenized-asset platform in this order: identify the legal claim represented by its token, trace the authoritative ownership record, map custody and control of the asset and keys, verify the regulatory perimeter, and test the real path to transfer, sell, or redeem. A token moving on a blockchain proves only technical transferability. It does not, by itself, prove direct ownership, securities-law compliance, safe custody, or a liquid market.
The most important evidence is in governing documents and operating disclosures—not the user interface. You should be able to explain who owes the holder what, which record establishes ownership, who can move or freeze assets, which laws cover each activity, and how a holder exits during ordinary and stressed conditions.

Start with the legal claim, not the blockchain
“Tokenized asset” is a technology description, not a complete description of an investment. A token may be the security itself, an indirect interest held through a custodian, or a separate instrument that merely tracks another security. Those structures can produce very different voting, dividend, redemption, insolvency and enforcement rights.

The SEC’s January 28, 2026 staff statement defines a tokenized security as “a financial instrument enumerated in the definition of “security” under the federal securities laws that is formatted as or represented by a crypto asset, where the record of ownership is maintained in whole or in part on or through one or more crypto networks.” The same statement says, “The format in which a security is issued or the methods by which holders are recorded (e.g., onchain vs. offchain) does not affect application of the federal securities laws.”

Three structures that must not be treated as interchangeable
| Structure | What the token represents | Possible holder rights | Primary diligence question |
|---|---|---|---|
| Issuer-sponsored | The issuer or its agent issues the security directly on a blockchain. | Rights may include ownership, voting, dividends or other rights attached to the particular class of security. | Does each token transfer update the issuer’s authoritative master securityholder file, and how is the holder’s identity associated with the on-chain address? |
| Custodial | An indirect interest in an underlying security through a security entitlement or similar relationship with a securities intermediary. | Rights flow through the intermediary and the governing account and custody agreements. | What exactly does the intermediary owe the token holder, and what happens to the underlying security and customer claim if the intermediary fails? |
| Synthetic | A linked security or derivative issued by a third party that tracks a referenced security. | The holder may have contractual payment or performance rights against the token issuer, but may have no claim against the issuer of the referenced security. | Who is the obligor, what collateral or hedge supports the obligation, and can the holder enforce against the reference issuer at all? |
Investor education materials distinguish these models because the same price exposure can conceal different legal relationships. Obtain a plain-language description and then confirm it against the operative documents. If marketing calls a token “shares” or “ownership” but the contract describes only a cash-settled derivative, treat the contract as controlling.
Map ownership and the authoritative record
Ownership is not established merely because an address appears in a block explorer. Determine which record legally controls and how that record is reconciled with the token ledger.
Questions for an issuer-sponsored token
- Who is the legal issuer and obligor, and which class or series of security is represented?
- What document makes a blockchain address the registered holder or the holder’s agent?
- Does a transfer automatically update the issuer’s master securityholder file, or is an administrator required to approve and record it?
- How are identity details linked to addresses while preserving privacy and meeting transfer restrictions?
- How are lost keys, compromised addresses, court orders, sanctions blocks and erroneous transfers handled?
- Which record prevails if the blockchain, transfer agent’s ledger and platform database disagree?
In the SEC’s issuer-sponsored example, transferring the token results in a transfer recorded in the issuer’s master securityholder file, while on-chain records are associated with off-chain identity information. Treat that as a design pattern to verify, not as an assumption about every platform.
Questions for custodial or synthetic structures
- Is the token holder a beneficial owner, a security-entitlement holder, an unsecured creditor, or a derivative counterparty?
- Which entity holds the underlying security or hedge, and is that asset segregated from the entity’s own property?
- Can the holder demand delivery, only cash settlement, or neither until a specified event?
- Are voting, dividend, information and corporate-action rights passed through, and on what timetable?
- What law governs the contract, where can disputes be brought, and which insolvency regime would apply?
Do not infer direct ownership from a token’s name, ticker, price correlation or ability to move between wallets. The enforceable claim is defined by the instrument and the relationships among issuer, intermediary and holder.

Build a custody and control map
List every party between the issuer and investor: issuer, transfer agent, broker-dealer, qualified or other custodian, wallet and key operator, administrator, settlement provider, blockchain or smart-contract operator, and critical technology vendors. For each party, record its role, contract, legal entity, jurisdiction and regulatory status.
Evidence to request for each custody layer
| Control area | Evidence or question | Why it matters |
|---|---|---|
| Asset segregation | Are underlying securities, cash, cryptoassets and customer claims held separately from house assets? How are omnibus and individually identified balances recorded? | Segregation affects whether customers can claim specific assets or face a general creditor recovery. |
| Authoritative records | Which ledger controls ownership, how often are on-chain and off-chain balances reconciled, and who investigates breaks? | A token balance is not useful if the legal register cannot be reconciled to it. |
| Transfer authority | Who can initiate, approve, pause or block a transfer? Are multiple approvals, hardware controls or policy rules required? | Concentrated authority increases key-compromise and insider risks. |
| Key management | Where are signing keys generated and stored? What is the recovery process after loss, compromise or an unavailable signer? | Irreversible transactions make recovery design essential. |
| Insolvency treatment | Could customer assets or token claims be exposed to platform creditors? Which entity’s insolvency law applies, and how would a customer file and prove a claim? | Operational possession does not guarantee property rights in a failure. |
| Continuity and incidents | What independent controls, audit reports, incident history, recovery objectives and contingency arrangements are disclosed? | A platform can remain solvent yet be unable to process transfers after an outage. |
Basel’s prudential framework addresses operational-risk and supervisory considerations for custody involving safekeeping or administration of client cryptoassets on a segregated basis. It is a framework for banks, not a universal customer-protection guarantee. Its treatment of tokenized traditional assets should therefore be used as a diligence reference, not as proof that a particular platform or custodian is safe.
Ask for the contractual sequence after a custodian, transfer agent, wallet provider or platform becomes insolvent. A credible answer names the party that can identify customers, reconcile balances, release or transfer assets, and communicate a timetable. “The blockchain is immutable” does not answer any of those questions.
Identify the regulatory perimeter
Securities law and offering exemptions
The SEC’s January 2026 statement makes clear that tokenization and on-chain recordkeeping do not remove U.S. federal securities-law obligations. Offers and sales generally require registration unless an exemption is available. Determine the legal classification of the instrument, the issuer, the offering pathway, resale restrictions and the jurisdictions in which investors are solicited.

This is a U.S.-specific statement. A platform serving investors elsewhere must identify the relevant securities, financial-promotion, market-infrastructure and custody rules in each jurisdiction. A license in one country does not automatically authorize solicitation, custody or trading in another.
Intermediary roles and alternative trading systems
Separate the platform’s functions. It may be acting as an issuer, broker, venue, transfer agent, custodian, clearing or settlement provider, technology vendor, or more than one of these. For each function, identify the legal entity performing it and the rule set that applies.

AML, sanctions and virtual-asset obligations
FATF standards call for countries to understand sector risks, license or register virtual-asset service providers (VASPs), and supervise them. VASPs may need customer due diligence, recordkeeping, suspicious-transaction reporting, and originator and beneficiary information for transfers. National implementation varies, and whether a platform is a VASP depends on its activities and legal classification.

FATF’s July 9, 2024 update reported that 75% of jurisdictions were partially or not compliant with Recommendation 15 and its Interpretative Note, based on 130 mutual evaluation and follow-up reports. That is a dated measure of assessed jurisdictional implementation, not a 2026 estimate and not evidence about any particular platform.
Access, eligibility and conflicts
- Which investor categories may onboard: retail, professional, accredited, institutional or residents of specified countries?
- What identity, beneficial-owner, sanctions and source-of-funds checks are performed, and who performs them?
- Are wallets allowlisted, and must every recipient pass screening before a transfer?
- Which geographic, concentration, holding-period or resale restrictions apply?
- Which service providers are affiliates, and how are proprietary trading, order handling and confidentiality conflicts controlled?
- What records must the customer provide, how long are they retained, and how can an account be closed?
Test liquidity as a complete exit chain
Technical transferability is only the first link in an exit. A holder needs eligibility to transfer, an approved destination wallet, access to a venue or counterparty, a matching buyer, a settlement asset, and a mechanism to receive cash or the underlying asset. Any link can make an apparently transferable token practically illiquid.

- Confirm that the holder is permitted to transfer or redeem under the instrument and applicable law.
- Check whether the recipient must be identified, approved or placed on a transfer whitelist.
- Identify the venues and counterparties that actually accept this asset, not merely the networks on which it can be sent.
- Document order types, minimum sizes, trading hours, fees, quote currency and settlement steps.
- Establish when legal ownership changes, when proceeds become final and who bears failed-settlement risk.
- For redemption, record the notice period, cut-off time, required documents, price methodology, fees, payment currency and exceptions.
Demand evidence of market depth
| Liquidity question | Evidence to request |
|---|---|
| Where can it trade? | Named venues or counterparties, eligibility rules, supported jurisdictions and current operating status. |
| How much can be sold? | Asset-specific volume, order-book depth, quoted spreads and typical trade sizes over a stated period. |
| What happens in stress? | Observed or modeled liquidation time, depth and price impact during a downturn; assumptions must be disclosed. |
| Can it be redeemed? | Contractual redemption rights, timetable, gates, suspension powers, fees and settlement asset. |
| What can stop settlement? | Banking hours, stablecoin or cash availability, chain congestion, allowlist review, counterparty limits and corporate actions. |
Basel notes that tokenized assets can have different market-liquidity characteristics from their traditional equivalents. Its collateral guidance directs institutions to consider liquidation period and depth during downturns and to verify that volatility and distressed holding periods are not materially worse before recognizing collateral. Tokenized form alone does not make an asset liquid or eligible as a high-quality liquid asset.
IOSCO’s 2025 report summary highlights interoperability across blockchains and access to high-quality settlement assets as structural scaling challenges. It says the economic substance of risks remains similar to conventional financial assets—especially legal, operational and technology risks, with credit and liquidity risks also relevant—although tokenized structures can change how those risks appear.

Examine the technical and market structure
Network and smart-contract controls
- Which blockchain or permissioned network records transfers, and who can validate, pause or upgrade it?
- Are there transfer hooks, freeze functions, forced-transfer powers or address allowlists in the smart contract?
- Can a contract upgrade change economic rights, supply, redemption or fee terms, and who approves upgrades?
- What independent code review, change-management and incident records are available?
- What is the procedure if the chain halts, reorganizes, loses validators or becomes unavailable?
Interoperability and settlement dependencies
A token may be confined to one network, bridge or settlement asset. Ask whether it can move to another approved venue without changing the legal owner record, and whether bridges create a separate failure or custody layer. Confirm which cash, bank money or other settlement assets are accepted and what happens when that asset is unavailable.
Reconciliation and operational resilience
Require a documented reconciliation frequency and break-resolution process. The platform should explain how it handles duplicate records, delayed finality, chain reorganization, incorrect metadata, lost credentials, sanctions blocks and vendor outages. Business-continuity plans should identify recovery objectives and a way for customers to access records and assert claims if the primary interface disappears.
Do these 3 things before closing this tab:

| Axis | Minimum questions | Decision signal |
|---|---|---|
| Legal claim and issuer | What is the token, who is the obligor, what rights attach, and which record establishes ownership? | Reject or pause if the contract cannot be obtained or conflicts with the description. |
| Custody and control | Who holds assets and keys, are balances segregated, who authorizes transfers, and what is the insolvency path? | Require named entities, contracts and reconciliation evidence. |
| Regulatory perimeter | Which classification, registration or exemption covers the offer and each intermediary function? | Check every jurisdiction and function separately. |
| Access and compliance | Who may trade, what KYC and sanctions controls apply, and what transfer restrictions exist? | Model whether your intended wallet, country and investor status qualify. |
| Exit and liquidity | Where can you sell or redeem, to whom, at what cost and timetable, and with what stressed-depth evidence? | Treat “can transfer” without a buyer or redemption route as an incomplete exit. |
| Technical and market structure | Which network, contract controls, settlement assets and dependencies are involved? | Document failure modes, upgrade authority and recovery procedures. |
A practical due-diligence workflow
- Collect primary documents. Obtain the token terms, offering memorandum or equivalent disclosure, custody and account agreements, privacy and transfer policies, fee schedule, redemption rules, and current risk disclosures.
- Draw the legal and operational map. Put every entity, contract, ledger and wallet role on one page. Mark which party is issuer, obligor, custodian, transfer agent, broker, venue and technology provider.
- Reconcile the records. Ask for a sample lifecycle showing issuance, a permitted transfer, a blocked transfer, a corporate action and redemption. Identify the controlling record at each step.
- Verify permissions. Check registrations, exemptions, VASP status, geographic limits and the scope of each authorization with the relevant regulator or official register where available.
- Walk through failure scenarios. Require written procedures for key compromise, chain outage, custodian insolvency, platform insolvency, sanctions freeze, failed settlement and loss of a critical vendor.
- Test the exit before committing. Confirm your eligibility, destination wallet, venue account, settlement asset, fees, notice periods and realistic sale or redemption timetable.
- Record unresolved gaps. A missing answer is a risk finding. Set a condition for proceeding, such as receiving a contract, independent control report or venue evidence, rather than silently assuming the most favorable interpretation.
Red flags that change the decision
- The platform calls a token an “ownership” interest but will not identify the issuer, obligor or governing document.
- It relies on a block explorer as proof of legal ownership while declining to explain the master register or reconciliation process.
- One undisclosed party controls keys, transfer approvals and the customer database.
- Customer assets are described as “held securely” without segregation, insolvency treatment or recovery procedures.
- A registration or compliance logo is shown without naming the licensed entity, jurisdiction, activity and scope.
- Liquidity claims cite network transfer volume rather than asset-specific buyers, order-book depth or redemption capacity.
- Transfers are technically possible but every recipient requires manual approval with no stated service level.
- Smart-contract upgrade, freeze or forced-transfer powers are absent from the risk disclosure.
- The platform cannot explain which settlement asset is accepted when banking, stablecoin or chain services are disrupted.
How to reach a defensible decision
Proceed only when the legal claim, authoritative record, custody chain, regulatory basis and exit route are documented well enough for you to identify the exact right you are buying and the practical steps to enforce or liquidate it.
Proceed conditionally when the structure is understandable but a material control—such as an independent audit, transfer-agent agreement, venue-depth data or insolvency procedure—remains outstanding and you can limit exposure until it is supplied.
Do not proceed when the platform cannot identify the obligor, refuses to provide governing terms, combines custody and transfer powers without meaningful controls, or offers no credible route to sell or redeem. A polished interface and an on-chain transaction cannot cure an undefined claim, an unprotected custody position or an absent market.
