Random freezes, missing sound and display glitches usually trace back to one bad driver. Find and replace yours safely.Free scan · under a minuteTo evaluate a startup through a growth-stage fund, underwrite two connected investments: the fund manager and the companies the manager selects. You are buying a limited-partnership interest in a pooled vehicle, not a direct share in each startup. The adviser decides which securities the vehicle buys, when it invests, how it values positions and when it sells.
Start with the fund’s legal documents and actual portfolio, then test each material company with evidence on customers, product, market, growth quality, economics, people, legal risks, financing terms and exit options. At the same time, verify the manager’s decision process, attribution, valuation policy, conflicts, reporting and ability to call capital. A “growth-stage” label is only a strategy claim until those facts line up.

What you are actually buying
A private fund pools commitments from investors and gives the adviser authority to invest that capital on the vehicle’s behalf. Your exposure is therefore an interest in the fund, with returns determined by the fund’s portfolio, fees, expenses, carry, cash-flow timing and governing agreement. You do not choose individual startups, set their valuation or decide when a position is sold.
Private-fund interests are generally illiquid. Capital is commonly called in stages rather than paid entirely on day one, and withdrawals are limited. You may have to meet a capital call when public markets are weak or your own cash needs have changed. Transfers usually require consent and a fund can remain invested for many years.

“Growth-stage” does not establish a universal company age, revenue level or ownership percentage. Traditional venture funds can invest across stages through a public offering. Check the limited partnership agreement, offering memorandum, subscription materials and portfolio schedule for the fund’s actual stage, sector, geography, check size, ownership target, concentration limits and follow-on policy.
Step 1: Test the manager and the stated strategy
Identify who makes each decision
Ask for the investment committee’s composition, voting rules and approval thresholds. Determine which partners can approve a new investment, a follow-on round, a sale or a write-down. Map the person responsible for every material historical investment and ask whether that person remains on the team. A polished team biography is not a decision map.
Request a deal-by-deal record that identifies who sourced, led, negotiated, supported and monitored each investment. Ask what happened after the fund invested: which milestones were reached, which were missed, whether the manager changed the board or operating plan, and why the position was held, sold or written down. This separates repeatable capability from a portfolio that happened to contain one exceptional company.

Examine sourcing and access
Have the manager explain how opportunities arrive, what proportion is proprietary or referred, how the firm wins competitive rounds and how long the team has worked with founders. A strategy that depends on a single partner’s relationships is vulnerable to departure. Compare the claimed edge with evidence such as repeat founder relationships, co-investor references and the manager’s role in competitive financings.
Reconcile the mandate with the portfolio
Build a schedule of every current and realized company. For each, record entry stage, sector, headquarters, initial check, total invested, ownership at entry and today, follow-on amounts and exit status. Compare those observations with the fund’s stated mandate. If the fund says it targets late growth companies but repeatedly invests at earlier stages, that is a strategy mismatch even if the label remains unchanged.
Ask how the manager defines a growth company, what revenue or financing signals qualify an investment, and whether exceptions require committee approval. Confirm whether geography means incorporation, headquarters, principal operations or customer location. Clarify whether sector limits apply to the whole fund or only to a marketing target.
Use references as evidence, not decoration
Speak with current and former founders, co-investors and, where available, prior limited partners. Ask founders how quickly the manager made decisions, whether support matched promises, how disagreements were handled and whether the partner stayed engaged after a difficult quarter. Ask co-investors about information sharing, allocation and follow-on behavior. Former founders can reveal how the relationship ended, not just how it began.

It is a useful starting list, not a replacement for direct dialogue. As the PRI states: “A questionnaire can never replace the dialogue between investor and manager: this DDQ is designed to act as a starting point for such dialogue by providing a baseline list of questions that limited partners (LPs) can ask GPs during the fundraising process.”
Step 2: Understand portfolio construction and fund mechanics
Model the number of bets and the concentration
Ask how many companies the fund expects to own, the target initial ownership, the reserve percentage for follow-ons and the maximum exposure to one company or sector. Then model outcomes with the manager’s actual ownership and dilution assumptions. A portfolio of many companies can still be economically concentrated if a few positions receive most of the reserves or drive nearly all expected value.

Do not treat planned diversification as protection against loss. Early and growth companies can fail, require more capital than planned or become difficult to finance. The relevant question is whether the fund can support its highest-conviction companies without starving the rest, and whether the partnership agreement permits the manager to change reserves or concentration limits.
Trace commitments, calls and distributions
Request the fund’s capital-call history, projected deployment schedule and distribution policy. Compare the planned pace with the opportunity set and the team’s capacity to source, diligence and monitor companies. Confirm whether the investment period has begun, when it ends, what extensions are possible and how recycling of proceeds works.

Plan liquidity for the full commitment, not merely the amount called so far. A commitment can become due while your other investments are down.
Check whether fund size fits the strategy
A larger vehicle may need larger checks, later-stage companies or a higher ownership target to deploy capital efficiently. A smaller vehicle may struggle to reserve enough for follow-ons. Ask how many investments are required each year, how much partner time each company receives and what happens if the fund cannot invest at the advertised pace. Compare the fund’s size with the number of qualified companies the team can realistically underwrite.
Step 3: Underwrite each material startup
For every significant current or expected holding, request a company-level diligence file. Tailor the questions to the sector and business model; there is no single checklist that proves a growth company is sound.
Customer problem and product evidence
Define the urgent problem, the buyer, the user and the event that triggers a purchase. Ask for customer references that can confirm implementation, use in production, renewal or repeat purchasing. Distinguish a signed letter of intent from recurring revenue and a pilot from a deployed product.
Document what is built, which features customers actually use, how long implementation takes and what would make a customer switch. Test differentiation against the customer’s alternatives, including internal development, incumbent vendors and doing nothing. A technically impressive roadmap is not evidence of adoption.
Market, competition and reachable demand
Rebuild the market from identifiable customers and use cases. Separate the total theoretical market from the portion the company can serve with its current product, price, geography and sales capacity. List direct competitors, substitutes and incumbent responses. Ask what happens if a large incumbent copies the feature, cuts price or bundles it with an existing contract.
Require bottom-up assumptions: number of target accounts, expected contract value, sales capacity, conversion rate and time to deployment. Stress-test the plan if the addressable market is smaller, sales cycles are longer or a major customer delays a decision.

Growth quality and revenue durability
Separate reported growth from durable demand. Examine gross and net retention, expansion, churn, cohort behavior, customer concentration, contract duration, backlog quality and the share of revenue dependent on discounts or a few large deals. Ask whether growth comes from more customers, higher prices, usage expansion, acquisitions or one-time contracts.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsReview the sales funnel from qualified opportunity to signed contract and cash collection. Compare bookings, billings, recognized revenue and deferred revenue so that a large contract is not mistaken for immediate, recurring demand. For usage-based businesses, inspect the relationship between customer activity and revenue rather than relying on a headline growth rate.
Unit economics, burn and future capital
Review revenue quality, gross margin, contribution margin and customer-acquisition payback where those measures fit the business. Reconcile the model to bank statements and board reporting. Identify cash burn, runway, debt maturities, working-capital needs and minimum cash requirements.
Ask when the company is expected to raise again, how much it may need, which milestones are required for that financing and what happens if the round is delayed. Model a down round, flat round and no-round scenario. Include dilution from employee equity, convertible instruments, warrants and the fund’s own follow-on decisions.
People, incentives and governance
Assess founder and executive capability against the next stage of complexity. Identify hiring gaps in sales, finance, security, regulatory affairs and operations. Review the option pool, vesting, refresh grants and incentives for key employees. Determine whether compensation encourages durable growth or merely short-term bookings.
Examine board composition, meeting cadence, information rights and escalation procedures. Ask how the company handles a founder departure, a missed plan or a conflict between preferred and common holders. Key-person dependence should be explicit, with a credible succession plan.
Legal, technical and regulatory exposure
Confirm corporate formation, capitalization and ownership of intellectual property. Review employment and contractor agreements, material customer and supplier contracts, change-of-control clauses, litigation, insurance and outstanding claims. Check that code, data and inventions were assigned to the company.
For data-heavy products, examine privacy notices, data-processing agreements, access controls, incident history, penetration testing and breach-response plans. For regulated sectors, identify licensing, clinical, financial, export, safety or other sector obligations. Use qualified legal, tax, technical or regulatory specialists when the fund’s own expertise is insufficient.
Security, rights and exit assumptions
Determine exactly what the fund buys: preferred shares, common shares, a convertible instrument, debt or another security. Record liquidation preferences, participation, conversion rights, anti-dilution provisions, voting rights, information rights and registration or transfer rights. A company headline valuation does not reveal the value of the fund’s specific security.

Map plausible liquidity routes: a strategic sale, a public offering, a secondary transaction, refinancing or continued private ownership. Assign realistic timing ranges and identify what must happen for each route. Do not treat an ambitious exit multiple as a plan. Consider debt seniority, liquidation preferences, dilution and the possibility that no buyer appears.
Step 4: Scrutinize valuation and performance reporting
Understand how private marks are produced
Private-company values are not continuously established by public trading. Request the written valuation policy, the person or committee preparing marks, the reviewer who challenges them and the standards required by the limited partnership agreement. Ask which financing rounds, comparable companies, transactions and operating forecasts are used, and how stale positions are reviewed.
Find out when write-downs occur, whether a financing at a lower price automatically changes the mark and how the manager handles a round with different rights. A new preferred round may not be directly comparable with an older security that has different liquidation preferences, conversion terms or seniority.
Separate realized cash from unrealized estimates
Require performance reporting that separates cash distributions and realized proceeds from unrealized value. Compare the fund’s net asset value and unrealized returns with later financing prices only after adjusting for security rights, dilution, preferences and transaction conditions. A high paper mark is not cash available to you.

The National Venture Capital Association’s operating principles call for periodic fair-value determinations and reporting under the standards in the partnership agreement, along with reasonable diligence and legal review before investments and divestments. Ask for the policy, examples of valuation changes and the audit trail supporting a material mark.
The SEC has cautioned in issuer risk disclosure that startup valuations can be difficult to assess and may lead to overpayment; other equity classes can have superior rights. That warning is illustrative rather than a universal finding about every fund. Apply it by examining the security the fund owns, not by treating a financing headline as a definitive value.
Test attribution and benchmark definitions
Request gross and net performance, cash-flow dates, paid-in capital, distributed capital, residual value and the methodology for calculating internal rates of return and multiples. Compare funds only when vintage, fund age, fee treatment, carry, cash-flow timing and unrealized valuation methods are aligned. Ask how much of the result depends on one outlier and what performance looks like without it.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Step 5: Review operations, conflicts and reporting
Examine the operating platform
Request audited financial statements, the audit firm, fund administrator and custodian details where applicable. Review cash controls, bank-authority procedures, expense-allocation policies, compliance testing, cybersecurity safeguards, business-continuity plans and valuation procedures. Ask for a sample investor report showing capital activity, portfolio values, fees, expenses, reserves and material events.

Check reporting frequency, delivery deadlines and the process for correcting errors. Determine who answers investor questions and whether the same information is provided to all limited partners. Weak administration can obscure a sound investment process; strong administration cannot repair poor underwriting.
Best Value
Surface conflicts before committing
Ask how opportunities are allocated among related funds, co-investment vehicles, separately managed accounts and the manager’s own balance sheet. Clarify who pays broken-deal costs, how fees are offset, how affiliated transactions are approved and whether portfolio companies can transact with one another or with the manager’s affiliates.
Review conflicts involving board seats, follow-on allocations, continuation vehicles, secondary sales and a manager’s decision to support one company over another. The NVCA principles call for identifying and disclosing conflicts and seeking to mitigate inherent conflicts. Look for written policies, advisory-committee involvement and actual examples, not only a statement that conflicts are managed.
Check key-person and succession protections
Read key-person triggers, suspension of the investment period, removal rights, no-fault divorce provisions and advisory-committee powers. Identify what happens if the lead partner leaves, becomes unavailable or changes roles. Confirm whether the manager can raise a successor fund while deploying the current vehicle and how competing priorities are handled.
SEC staff guidance issued in 2025 for registered closed-end funds of private funds emphasizes disclosure of costs, strategies, risks and investment-process diligence, including operational, legal and, where applicable, tax considerations. That guidance is specific to those structures; do not assume it applies identically to every private fund. Use the underlying topics as questions for your own vehicle.
Step 6: Read the contracts and confirm eligibility
Review every governing document
Read the limited partnership agreement, subscription agreement and offering memorandum with legal and tax advisers suited to your circumstances. Confirm management fees, carried interest, fund expenses, the general partner’s commitment, distribution waterfall, fund term, extensions, investment period and recycling provisions.
Also check transfer restrictions, capital-call default remedies, key-person triggers, removal rights, reporting obligations, amendment powers, indemnification, exculpation and the manager’s ability to create parallel or continuation vehicles. Ask which provisions require investor consent and which can be changed by the manager or advisory committee.
Verify U.S. offering eligibility
For a U.S. offering, eligibility depends on the exemption used and your circumstances. The SEC describes different accredited-investor routes and different verification standards for Rule 506(b) and Rule 506(c). Self-certification alone is not sufficient where the applicable rule requires verification. Confirm the current rule, the offering’s exemption, required documentation and any state-law requirements with counsel.
Private funds generally cannot publicly offer their securities, and interests can be subject to restricted withdrawal or transfer. Treat eligibility and liquidity as legal and financial constraints, not administrative details. Rules change and are jurisdiction-specific, so rely on the current offering documents and professional advice rather than a general summary.
Use a consistent scorecard when comparing funds
When two or more funds appear similar, compare them on the same definitions and time periods. A headline return is not comparable until you align vintage, fund maturity, fees, cash-flow timing and the treatment of unrealized holdings.
| Comparison axis | Evidence to place side by side |
|---|---|
| Mandate | Stage definition, sectors, geographies, initial check size, ownership target and follow-on authority |
| Team and attribution | Decision makers, partner tenure, sourcing method, role in each investment and succession protections |
| Portfolio construction | Number of companies, concentration limits, reserve percentage, actual ownership and deployment pace |
| Performance | Paid-in capital, distributions, residual value, realized proceeds, net returns and valuation policy |
| Economics | Management fees, carried interest, fund expenses, GP commitment and distribution waterfall |
| Liquidity and timing | Capital-call schedule, investment period, fund term, extensions, transfer limits and default remedies |
| Governance and conflicts | Key-person triggers, removal rights, allocation policy, co-investment rules and advisory-committee powers |
| Operations and reporting | Audit arrangements, administrator, cash controls, cybersecurity, valuation process and investor-reporting examples |
| Investor fit | Eligibility, ability to meet calls, tolerance for illiquidity, tax position and need for portfolio diversification |
A practical diligence workflow
- Define your constraints. Record the maximum commitment, liquidity reserve, expected holding period, tax considerations and the types of exposure you will not accept.
- Request the complete data room. Obtain the offering memorandum, partnership agreement, subscription materials, portfolio schedule, capital-call history, financial statements, valuation policy, conflicts policy and sample reports.
- Build a fact sheet. Reconcile the manager’s strategy claims with actual stages, sectors, geographies, checks, ownership and reserves. Mark every item as documented, independently confirmed or still unresolved.
- Interview the team. Ask the same core questions of the investment committee, operating partners and finance staff. Differences in answers often reveal unclear responsibility or weak controls.
- Call references. Use current and former founders, co-investors and prior LPs. Ask for specific episodes rather than general ratings.
- Underwrite material holdings. Follow the customer, market, growth, economics, people, legal, technical, financing and exit prompts. Escalate specialist issues to independent advisers.
- Reconcile performance. Tie reported NAV and cash flows to statements, separate realized from unrealized results and inspect the support for major valuation changes.
- Model adverse cases. Include slower sales, churn, down-round dilution, additional capital calls, delayed exits, write-downs and a key-person departure.
- Negotiate or decline. Ask for clarification or document changes where possible. If a material answer remains unsupported, treat that uncertainty as a reason to reduce or reject the commitment.
Warning signs that deserve a pause
- The manager cannot identify who sourced, led and monitored successful investments.
- The actual portfolio does not match the stated stage, sector or geography mandate.
- Performance is presented mainly as an unrealized multiple with little cash-distribution history.
- Valuation marks are stale, unsupported or changed without a documented policy.
- Customer growth depends on a few contracts, discounts, pilots or uncollected invoices.
- The company needs another financing before reaching the milestones used to justify its valuation.
- Capitalization, intellectual-property ownership or liquidation preferences are unclear.
- Conflicts, allocation rules, broken-deal costs or affiliated transactions are described only verbally.
- The partnership agreement gives the manager broad amendment, extension or expense powers that you have not modeled.
- The commitment would force you to sell liquid assets or miss other obligations if a call arrives at a bad time.
Make the decision on evidence and fit
A sound process does not require certainty about every startup. It requires a documented view of what must go right, what can go wrong, who controls each decision and how much loss or illiquidity you can withstand. The manager should be able to explain its edge, show who did the work and provide records that distinguish cash outcomes from estimates.
Before signing, make sure the fund’s legal terms match the strategy you evaluated, the startup evidence supports the underwriting assumptions, valuation marks are explainable and your own liquidity is sufficient for the full commitment. If the manager resists basic questions, cannot reconcile its portfolio with its mandate or relies on unsupported paper gains, the uncertainty is itself an investment risk.
