To evaluate a public company that holds bitcoin on its balance sheet, look beyond its bitcoin total. Establish what the company owns and can access, how the holdings are financed, what they amount to per diluted common share, and whether the operating business can meet its obligations if bitcoin falls. Then rebuild the company’s value from its assets and every claim against them. This is a filing-based framework, not a stock recommendation.
Start with the company’s strategy and operating business
Classify the issuer before comparing its bitcoin holdings with its share price. Bitcoin might be a reserve held alongside a conventional operating business, the core treasury asset, a product of mining operations, or an asset the company lends, pledges, trades, or holds for customers. Those arrangements create different sources of risk and cash flow.

Read the latest 10-K, 10-Q, 8-K, earnings materials, and the company’s description of its treasury policy. Treat management’s stated intention to hold bitcoin indefinitely as a policy statement, not proof that it can or will avoid sales. Strategy’s 2025 annual report describes purchases funded with capital-raising proceeds. MARA Holdings’ 2025 Form 10-K describes treasury holdings as well as lending and permissions to sell bitcoin.

How much bitcoin does it hold, and can it access it?
Record the bitcoin quantity and the date it applies to. Reconcile changes since the prior reporting date through purchases, mining production, sales, lending, collateral pledges, and transfers. A headline quantity does not by itself show how much bitcoin is available to the company.
- Ownership and control: Identify the legal owner, custody arrangements, wallet structure, and who controls the private keys. A blockchain address alone does not establish that the company has the right and ability to use the assets.
- Encumbrances and third-party holdings: Separate assets pledged as collateral, lent to another party, or held for customers from unencumbered treasury bitcoin. Check recall rights, restrictions on sale, and counterparty exposure.
- Evidence in the filing: Look for the quantity reconciliation, custody disclosures, and auditor discussion. In Block, Inc.’s 2025 Form 10-K, its auditor identified existence and control of bitcoin as a critical audit matter. The described procedures included examining blockchain evidence, testing management’s reconciliation to the blockchain, and observing a bitcoin movement to test private-key control. That is an example of audit work, not proof that every issuer’s custody arrangements are equivalent.
As historical examples, MARA Holdings reported 53,822 bitcoin at December 31, 2025, including 15,315 that were loaned or pledged as collateral. Block reported a $777.5 million fair value for its bitcoin investment at the same date. These are issuer-specific figures from their 2025 Form 10-K filings, filed in 2026; they are not current holdings or a comparison of the companies’ total value.
Does bitcoin per share increase?
Total bitcoin held and bitcoin exposure per common share are different measures. Calculate bitcoin per diluted common share using holdings and a share-count measure from a consistent date. Compare the result over time, and investigate what drove the change: purchases, sales, mining, share issuance, or changes in the diluted share count.

Do not stop at basic common shares. Read the terms of convertible debt, preferred shares, warrants, and other securities that could dilute common holders or rank ahead of them. A useful analysis distinguishes the bitcoin attributable to common equity from assets that also support senior claims. Review dividend, redemption, liquidation, conversion, and dilution terms rather than relying on management’s name for a financing instrument.
Strategy’s 2025 annual report says its BTC per share rose from 158,826 satoshis at the beginning of 2025 to 194,986 at year end, and reports 22.8% BTC Yield. These are Strategy-defined, period-specific measures—not an industry standard, a direct measure of common-stock value, or a guarantee of shareholder return. The same report describes multiple preferred securities and capital raising, so the common-share claim must be considered alongside those financing terms.
How does the company fund purchases and meet its obligations?
Build a dated cash-needs and financing schedule rather than assuming that a large bitcoin balance means the company is liquid. Include cash and short-term investments, operating cash flow, debt principal and interest, preferred distributions, leases, capital expenditures, and other material commitments. Then identify which bitcoin can be sold or used promptly and which is pledged, lent, or otherwise difficult to access.

For borrowings secured by bitcoin, inspect the collateral terms, borrowing base, triggers for posting additional collateral, and the lender’s rights if prices fall. For loans of bitcoin, check counterparty risk and the company’s ability to recall the assets. Consider how management would respond to a sharp price decline: use cash, raise equity or debt, sell bitcoin, reduce spending, or refinance. Each route has different costs for existing common shareholders.

MARA Holdings’ 2025 Form 10-K reported a $422.2 million decrease from fair-value changes in bitcoin during 2025. It also described changes permitting sales of bitcoin produced by operations and, in 2026, bitcoin held on its balance sheet. Read these disclosures together: quantity, access, financing role, and price-driven accounting changes each affect the company’s financial profile.
Bitcoin is not equivalent to cash. A 2026 annual report warns that the issuer’s holdings are less liquid than cash and may not provide liquidity to the same extent; it also describes how falling prices can affect collateralized borrowing and lead to liquidation. Treat those as issuer-specific disclosures, while checking each company’s own liquidity and borrowing terms.

How does bitcoin accounting affect reported results?
Confirm the accounting framework, jurisdiction, policy, and rules applicable to the reporting period before comparing earnings or balance sheets. For covered bitcoin holdings under U.S. GAAP, the cited filing describes ASU 2023-08 as requiring fair-value measurement on the statement of financial position, with fair-value gains and losses recognized in net income each reporting period and related interim and annual disclosures. The issuer also warns that price volatility can affect carrying values, earnings, and taxes.
Read the company’s accounting policy and fair-value hierarchy disclosures alongside its quantity reconciliation, realized and unrealized gains or losses, tax disclosures, and any transition explanation. A change in accounting treatment can make period-to-period comparisons misleading. Distinguish non-cash fair-value movements from operating cash generation, but do not assume accounting movements are irrelevant: they can affect taxes, covenants, investor perceptions, or reported capital measures.

Check exactly what any quoted NAV or mNAV includes. BTCT’s investor-relations page says its indicative NAV/mNAV figures exclude cash, liabilities, and other corporate assets, and are not audited financial statements or official valuations. A metric with that scope cannot substitute for a complete net-asset bridge or be compared fairly with a differently calculated multiple.
| Comparison area | What to compare | Why it matters |
|---|---|---|
| Operating business | Cash-flow source and durability, capital needs, and business concentration | Shows whether operations support corporate costs independently of bitcoin appreciation or security issuance. |
| Treasury exposure | Bitcoin quantity, disclosed cost basis, current fair value, and bitcoin per diluted share | Separates total holdings from exposure attributable to each common share. |
| Capital structure | Debt, preferred claims, conversion terms, maturities, dilution, and financing track record | Shows who has claims on assets and how future funding may change the common-equity claim. |
| Liquidity and custody | Cash runway, pledged or loaned bitcoin, custodian concentration, key control, and access rights | Tests whether stated holdings can actually support operations or obligations when needed. |
| Valuation | Equity value against a complete net-asset bridge, including operating value and senior claims | A simple market-cap-to-bitcoin ratio can omit material assets, liabilities, and claims. |
| Downside resilience | Ability to withstand lower bitcoin prices and weaker capital markets without forced sales or distressed refinancing | Highlights paths by which a price decline can affect solvency, financing costs, or common holders. |
What risks and governance should you check?
Read the issuer’s own risk factors rather than treating all corporate bitcoin exposure as alike. Relevant risks include price volatility, concentration, custody and counterparty failure, access to private keys, lending and collateral arrangements, liquidity, leverage, dependence on capital markets, tax consequences, regulation, and exposure to other digital assets.
MARA Holdings’ 2025 Form 10-K states, “Bitcoin is a highly volatile asset.” That is the company’s risk-factor language, not an independent assessment. A 2025 SEC-filed annual report from another issuer warns that if a custodian becomes insolvent, ownership could be disputed or access delayed; it also states that the company is not registered as an investment company. Those disclosures describe that issuer’s circumstances and should not be generalized to every bitcoin holder.

A practical filing review
- Define the issuer and date: Note its operating model, treasury strategy, reporting period, and the latest filings available.
- Reconcile the asset: Record bitcoin quantity and fair value; trace purchases, production, sales, lending, pledges, custody, and control.
- Measure the common-share claim: Calculate bitcoin per diluted share and review debt, preferred securities, convertibles, warrants, and other senior or dilutive claims.
- Stress the funding plan: Match cash and operating inflows against maturities, interest, distributions, leases, capital spending, and other commitments; test what changes if bitcoin falls.
- Rebuild valuation: Make a dated bridge from bitcoin and other assets to liabilities and diluted equity, with clearly stated scenarios and assumptions.
- Check the governance record: Compare policy with actual decisions and read the company-specific risk disclosures.
Holdings and financing terms change. The figures cited here come from 2025 annual reports filed in 2026 and are historical, issuer-specific examples. Before applying this framework to a named company, update holdings, diluted shares, financing terms, and market valuation using its latest filings and dated market data.
