Evaluate a minority power-project investment as both a project-finance underwriting exercise and a shareholder-rights exercise. First identify the exact entity and instrument you will own, then verify that the project can build, operate and generate contracted or market revenue. Rebuild the cash waterfall, stress the assumptions, inspect the debt and support obligations, and price the risk of being unable to control or readily sell your stake.
A general framework cannot determine fair value or legal enforceability without the project documents and jurisdiction-specific advice. Obtain independent technical, financial, legal, tax, insurance and environmental-and-social diligence before signing.

What a minority equity investment actually gives you
Your stake is a residual claim on the project company. Revenue first pays operating costs, taxes, insurance, maintenance and reserve requirements; then debt service and other senior claims; only the remaining cash can be distributed to equity. If cash is insufficient, common equity absorbs losses before lenders. In project-finance terminology, equity is “first in, last out,” a phrase used by the World Bank PPP Resource Center when describing the loss waterfall.
Most power projects use a special-purpose vehicle (SPV) that owns the relevant contracts, permits, accounts and assets. A new SPV may have no operating history, no construction-period revenue and little or no recourse to its sponsors. That isolation can protect investors from unrelated sponsor liabilities, but it does not make your exposure automatically limited to the subscription price. Guarantees, completion support, shareholder undertakings, covenant breaches and local law can create additional obligations.

Before reviewing returns, establish the legal chain from your subscription or share purchase to the generating asset. A minority stake in an operating company, a development SPV, a holding company above the SPV, and a secondary purchase from an existing shareholder are different risks even when they reference the same plant.
1. Define the stake, instrument and investment case
Identify what you are buying
Obtain the term sheet, subscription or sale agreement, articles, shareholder agreement and capitalization table. Record the exact entity, share class, percentage on a fully diluted basis, voting rights, liquidation preference, dividend priority, conversion terms and ranking against other equity.
| Instrument or transaction | Questions that change the risk |
|---|---|
| Ordinary equity | Are distributions discretionary? Is there any preference ahead of this class? How can future issuances dilute you? |
| Preferred equity | Is the preference cumulative, participating, convertible or redeemable? Can unpaid dividends block common distributions? |
| Quasi-equity or convertible instrument | When does it convert, at what price, and what happens if milestones, financing or commercial operation are delayed? |
| Primary subscription | Where does the money go: development, construction, reserves, debt repayment or sponsor liquidity? |
| Secondary share purchase | Are you buying an existing holder’s rights and liabilities, and do transfer consents or pre-emption rights apply? |
Map every party and obligation
Prepare a diagram showing the project SPV, direct and indirect shareholders, beneficial owners, lenders, offtaker or power purchaser, grid company, landholders, EPC contractor, equipment suppliers, O&M provider, insurers and public authorities. Search for related-party contracts, common directors, sponsor affiliates and shareholder loans. Confirm whether any party can require additional equity, subordinated debt, guarantees, letters of credit or completion support from you.
Clarify stage, cheque and holding period
State whether your investment funds development, construction, commissioning, completion or an operating asset. Confirm the equity cheque, draw schedule, minimum funding commitment, conditions to fund, future capital calls, dilution if you do not participate, expected commercial-operation date and intended holding period. A development-stage price may embed permitting and construction risk that an operating-asset price does not.
2. Rebuild the operating and financial model
Do not accept a sponsor’s headline internal rate of return (IRR), multiple or valuation as the conclusion of diligence. Obtain the editable model and trace each material input to a contract, engineer’s report, historical operating record or transparent market assumption. Reconcile the model to the legal documents and debt term sheet.

Follow the cash waterfall
- Start with gross generation or contracted availability and the applicable tariff or market price.
- Deduct grid charges, balancing costs, fuel or resource costs, operating payroll, maintenance, insurance, property taxes and other operating expenses.
- Deduct income taxes, required major-maintenance and decommissioning reserves, debt-service reserve funding and any cash-trap requirements.
- Apply scheduled principal, interest, hedging payments and lender fees.
- Check distribution tests, lockups, cure rights and restricted-payment covenants.
- Calculate cash legally and contractually available to each equity class, then model dividends, reinvestment and shareholder-loan payments.
Confirm that the model distinguishes accounting profit from cash available for distribution. A project can report profit while cash is trapped for debt service, reserve replenishment, defects, taxes or future capital expenditure.
Run decision-useful scenarios
| Scenario | What to change | What to observe |
|---|---|---|
| Construction delay | Push commercial operation and revenue dates; add interest during delay and extended overhead. | Funding need, debt-service start, completion-test exposure and equity IRR erosion. |
| Cost overrun | Increase EPC cost and financing fees; test who funds the gap. | Contingency sufficiency, sponsor support and dilution or default risk. |
| Lower output | Reduce resource, availability, efficiency or degradation assumptions. | Debt-service coverage, reserve draw and distributable cash. |
| Price or volume reduction | Apply tariff cuts, merchant-price changes, curtailment or lower contracted quantity. | Revenue concentration and covenant headroom. |
| Payment delay | Extend offtaker receivable days or impose a temporary payment interruption. | Working-capital requirement and liquidity support. |
| Higher rates or refinancing failure | Increase floating rates, remove assumed refinancing or shorten tenor. | Debt-service burden, maturity balloon and equity value. |
| Foreign-exchange movement | Stress mismatches between revenue, debt, equipment and operating costs. | Hedge effectiveness and unhedged equity cash flow. |
Use a base case, a downside case and severe-but-plausible cases suited to the technology and market. Ask for the break-even tariff, output, availability and construction cost at which debt service or distributions fail. Examine leverage, amortization, reserve accounts, cash sweeps, refinancing assumptions and the date at which distributions are expected to begin.

3. Test revenue, offtake and counterparty credit
For a contracted project, inspect the executed power-purchase agreement (PPA) or offtake agreement and every credit-support document. A term sheet or sponsor summary is not a substitute for the signed contract.
Review the revenue mechanics
- Buyer identity, ownership, financial strength and payment history where available.
- Tariff, escalation or indexation formula, currency and tax treatment.
- Contracted quantity, availability tests, dispatch obligations and performance tolerances.
- Curtailment rules, deemed-energy payments and grid-outage treatment.
- Change-in-law, force-majeure, political-force-majeure and termination compensation.
- Assignment, lender step-in, direct agreements, dispute forum and governing law.
- Credit support such as guarantees, letters of credit, escrow or sovereign support, including expiry and claim conditions.
A single offtaker or PPA can concentrate both payment and contract risk. For a merchant or partly merchant project, identify the market-price, dispatch, congestion, balancing and regulatory assumptions that produce revenue. There is no universally superior contract form; jurisdiction, market design and counterparty quality determine whether a provision is valuable.
Check interfaces between contracts
Compare the PPA’s required commercial-operation date and performance tests with the EPC schedule and completion tests. Align fuel or resource availability with the offtake volume. Check whether grid-connection delays excuse the EPC contractor, the offtaker or neither. Confirm that termination payments under the PPA are sufficient to repay debt and address equity, and that insurance proceeds are treated consistently across the PPA, financing documents and shareholder agreement.

4. Verify technical and delivery readiness
Use an independent engineer rather than relying solely on the sponsor, EPC contractor or equipment vendor. Match the diligence depth to the project stage: preliminary information may be all that exists in development, while a financed project should have detailed designs, permits and contracts.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsCore technical questions for any technology
- Is the resource, fuel supply or feedstock assessment independent, current and supported by an appropriate measurement period?
- Is the design mature enough to support a fixed schedule and cost? Identify unresolved interfaces and change-order assumptions.
- Does the grid study confirm capacity, protection, interconnection works, outages and curtailment exposure?
- Are production, efficiency, availability, degradation and useful-life assumptions supported by comparable operating evidence?
- Does the construction schedule include procurement lead times, weather, testing, commissioning and permitting dependencies?
- Do completion tests, performance guarantees and liquidated damages cover the losses caused by delay or underperformance, and are caps and exclusions acceptable?
- Can the contractor provide parent guarantees, bonds, insurance and experienced personnel in the project jurisdiction?
- Does the O&M agreement specify availability, response times, spare parts, warranties, cybersecurity where relevant and long-term maintenance pricing?
Solar-specific diligence
For solar projects, examine land rights, irradiation and resource studies, environmental-impact assessment (EIA), planning permits, grid connection and PPA status, plant sizing, electrical design, component integration, supplier track record, warranties, design life and degradation. These questions are not a complete checklist for hydro, thermal, wind, storage or transmission projects; each technology needs its own resource, equipment, safety and operating analysis.
Insurance and lifecycle costs
Review construction all-risk, delay-in-start-up, operational property-damage, business-interruption, liability and political-risk coverage where relevant. Compare exclusions, deductibles, policy limits, lender requirements and claims control. Model inverter, turbine, transformer, battery, turbine-generator or other major-component replacement, not just routine O&M.
5. Understand financing, recourse and additional capital
Read the common terms agreement, facility agreements, security documents, intercreditor arrangements and direct agreements. Identify senior, mezzanine, shareholder-loan and preferred-equity claims, their payment priority and remedies. Determine whether lenders can block distributions, require reserve top-ups, sweep excess cash or replace the sponsor after default.
Questions that expose hidden exposure
- Is the project truly limited recourse, and what carve-outs apply to fraud, environmental breaches, taxes, insolvency, willful misconduct or shareholder undertakings?
- Must shareholders fund cost overruns, debt-service shortfalls, reserve deficiencies or completion obligations?
- Can a lender enforce a pledge over your shares or require a transfer to a replacement sponsor?
- What happens if you decline a capital call: dilution, loss of voting rights, shareholder-loan subordination or default?
- Are distributions prohibited until debt-service coverage, reserve and completion tests are met?
- Does refinancing assume a future valuation or interest rate that has no committed lender support?
Limited recourse is a structural description, not a promise that no shareholder liability exists. Have counsel review every guarantee, undertaking and local-law exception before relying on the headline limitation.

6. Secure usable minority governance rights
Minority protection is effective only when rights are written clearly, survive financing arrangements and can be exercised with timely information. Review the shareholder agreement, articles, financing documents and governing law together.
| Right or protection | What to negotiate or verify |
|---|---|
| Board seat or observer | Appointment method, voting status, access to papers, committees, conflicts and replacement after a transfer. |
| Information and audit | Monthly or quarterly accounts, budgets, operating data, compliance reports, inspection rights, auditor access and delivery deadlines. |
| Reserved matters | Changes to business plan, budget, debt, equity issuance, distributions, material contracts, acquisitions, disposals, related-party deals, litigation, insolvency and changes to technology or site. |
| Pre-emption and anti-dilution | Notice, price, timing, permitted issuances, carve-outs and consequences if you do not subscribe. |
| Related-party protections | Independent approval, arm’s-length terms, disclosure, procurement rules and recusal of conflicted directors. |
| Transfer rights | Lockups, rights of first refusal or offer, permitted transfers, sponsor consent and lender consent. |
| Tag and drag | Whether you can join a majority sale, what warranties you must give and when a drag can compel your sale. |
| Deadlock | Escalation, expert determination, mediation, buy-sell process and a timetable that prevents indefinite paralysis. |
Match vetoes to decisions that could fundamentally alter your risk. A veto over every operational decision may protect you on paper but create deadlock and impair financing. Pair reserved matters with objective thresholds, response deadlines and a workable resolution mechanism.
Assess board competence and independence, financial reporting, internal controls, audit, risk and compliance, procurement and the sponsor’s record on comparable projects. IFC’s governance evaluation identifies six areas: effectiveness of the board of directors; internal controls, audit, risk management and compliance; financial and non-financial disclosures; shareholder rights; stakeholder-engagement governance; and the client’s commitment to good governance.

What the Karot case illustrates
In a 2026 account of its Karot hydropower investment, the International Finance Corporation reported a 15 percent equity investment of US$125 million, approved in 2014. The 720-megawatt project began commercial operation in June 2022, and IFC exited its equity in 2023 after construction was complete. The Compliance Advisor Ombudsman found that IFC had not adequately assessed contextual labor risks or sufficiently assessed the client’s labor policies against IFC Performance Standard 2, with shortcomings in timely resolution during supervision. Those findings concern that case; they are not evidence that another project has the same deficiencies. They do show why implementation records and supervision evidence matter as much as policy documents.
8. Price illiquidity and establish a credible exit
An unlisted minority stake may have no ready buyer. Underwrite the exit at entry rather than assuming an IPO or sponsor sale. Identify whether returns are expected from dividends, refinancing, a sponsor buyout, a sale to a new investor or a listing, and model a delayed exit and a forced sale at a discount.
Exit provisions to examine
- Permitted transfers, lockups, rights of first refusal or offer and consent standards.
- Tag-along and drag-along mechanics, including warranties and liability allocation.
- Put and call options: trigger, price formula, timing, funding source, security, dispute process and enforceability.
- Sponsor buyout obligations and whether the sponsor has the balance sheet and financing to perform.
- Listing commitments: distinguish a binding legal obligation from a best-efforts promise.
- Lender, regulator and offtaker consents required for a change of control or shareholder.
A put option can reduce downside only if its trigger is objective, its price is calculable, its funding source is credible and local law permits enforcement. A promised listing does not create liquidity unless the obligation and remedies are legally binding.

When comparing opportunities, separate a higher expected return from a higher risk or weaker control position. Use a consistent scorecard rather than ranking technologies or countries in the abstract.
| Comparison axis | Evidence to compare |
|---|---|
| Stage | Development, construction, commissioning or operating history; remaining permits and completion risk. |
| Revenue | Contracted, merchant or mixed; tariff, term, escalation, volume, curtailment and termination protection. |
| Counterparty | Offtaker credit, payment security, sovereign exposure and dispute enforceability. |
| Technology and resource | Resource certainty, design maturity, supplier record, degradation, availability and replacement needs. |
| Grid | Interconnection status, congestion, dispatch rules, outages and curtailment compensation. |
| Financing | Leverage, tenor, amortization, rates, reserves, cash traps, refinancing and ranking. |
| Delivery and operations | EPC price and guarantees, schedule, O&M scope, insurance and interface allocation. |
| Jurisdiction and currency | Permitting, tax, convertibility, political risk, governing law and currency mismatch. |
| Governance and capital | Board, information and veto rights; future funding, dilution and related-party controls. |
| Exit | Transfer restrictions, buyer obligation, put or call terms, sale process and likely holding period. |
For investment structures, compare ordinary, preferred and quasi-equity ranking; primary versus secondary use of proceeds; board and information rights; reserved matters; dilution duties; transfer restrictions; exit rights; and recourse or support obligations. The available evidence does not establish one universally ideal structure.
10. Run a disciplined diligence process
- Set the investment perimeter. Obtain the capitalization table, ownership chart, instrument terms, funding schedule and all support obligations.
- Create a data-room index. Request corporate, land, permit, technical, commercial, financing, insurance, tax, legal, environmental, social and integrity records.
- Engage independent advisers. A technical adviser tests resource, design, construction and operating assumptions; a financial adviser rebuilds the model and valuation; counsel reviews ownership, contracts, security, governance and enforceability; tax and insurance specialists test their respective exposures; environmental-and-social specialists verify implementation.
- Reconcile contracts to the model. Trace dates, quantities, prices, penalties, termination payments, escalation, currency and reserve requirements.
- Run scenarios and covenant tests. Include delay, overrun, output, price, payment, rate, refinancing and FX cases, then identify capital calls and distribution lockups.
- Negotiate rights before pricing. Set information, reserved-matter, anti-dilution, transfer, tag, drag, deadlock and exit terms before treating the proposed valuation as final.
- Document conditions precedent. Make funding contingent on permits, land rights, executed offtake, financial close, independent-engineer acceptance, insurance and required consents.
- Record unresolved items and walk-away triggers. Assign an owner and deadline to each issue; do not convert an unknown into an optimistic model assumption.
Red flags that should stop or reset the investment
- The seller cannot identify the entity that owns the asset or provide a fully diluted capitalization table.
- Revenue depends on an unsigned PPA, an uncreditworthy buyer or an unexplained merchant-price forecast.
- Construction cost, schedule or contingency is unsupported, while completion support is described only verbally.
- The model assumes refinancing, an IPO or a sponsor buyout without a binding commitment or credible funding source.
- Shareholder agreements permit broad dilution, capital calls or related-party transactions without minority protections.
- Debt documents allow distribution lockups or enforcement actions that the equity presentation omits.
- Permits, land rights, grid studies, labor records or grievance data are incomplete or inconsistent.
- Management resists independent technical, financial, legal or environmental-and-social review.
Decision standard
Proceed only when you can explain, in documents, how the project will earn cash, who receives it first, what can require more money from you, which decisions you can influence, and how you can transfer or sell the stake. Require a return premium for construction, contract, financing, governance and illiquidity risks rather than accepting a headline IRR in isolation. If a material assumption remains unverified, treat it as a condition to close or reduce the price and exposure; do not treat it as established project value.
