Test that plan under weaker conditions and against the actual loan agreement. A headline leverage ratio or projected EBITDA alone cannot establish repayment capacity.
Start with the documents that define the deal
Use the merger agreement and proxy or prospectus, financing commitment letters and term sheets, each company’s latest annual and quarterly filings, credit agreements and indentures, pro forma financial statements, and subsequent-event filings. Record both filing dates and financial period ends so figures from different periods are not mistaken for a single snapshot.

Distinguish binding commitments from expected financing and management plans. A commitment letter may be conditional, amended, reduced, or replaced; also check whether the merger itself is conditioned on financing. The Nexstar–Media General filing, for example, describes an acquisition package combining a revolver, term loans, and bridge financing, with availability subject to conditions: Nexstar–Media General merger filing. In FOX’s 2026 proposed Roku transaction, FOX disclosed up to $12.0 billion of senior unsecured bridge loans, subject to customary conditions, for part of the cash consideration and related fees; FOX also said completion was not conditioned on obtaining debt financing: FOX financing disclosure. These examples show why financing execution and transaction conditions must be checked deal by deal, not used as benchmarks for another merger.

Build a sources-and-uses schedule rather than repeating the financing headline. Include purchase consideration, fees and expenses, debt assumed, existing debt repaid or retained, cash contributed, and each new financing source. Mark facilities as committed, drawn, or undrawn. Deduct only unrestricted cash that is genuinely available for debt repayment; restricted or operationally necessary cash may not be available.

Reconcile the result to the pro forma balance sheet, then update it against the first actual post-close balance sheet. FOX’s 2026 pro forma filing includes assumed borrowings and interest-related adjustments, while warning that the presentation is illustrative rather than actual results and is not necessarily predictive: FOX pro forma financial information.
For every borrowing, capture principal, ranking and collateral, fixed or benchmark-linked rate and spread, maturity, amortization, optional prepayment terms, mandatory repayment triggers, and any bridge takeout or refinancing plan. Include material commitment fees, original issue discounts, debt issuance costs, and interest during the relevant period. A bridge commitment is not the same as permanent financing: identify how and when it is expected to be replaced, and what happens if that takeout is unavailable.

Measure cash available for debt service, not just EBITDA
Use several years of historical cash flow alongside a forecast that makes its assumptions visible. Start with operating cash flow and account for working capital, cash taxes, capital expenditure, cash interest, and scheduled principal. For a media company, also identify recurring content and programming commitments and the spending needed to maintain production, distribution, or broadcasting capacity. The relevant question is whether cash left after necessary operations and investment can meet debt obligations while preserving enough liquidity for the business.

Do not treat EBITDA, including an adjusted or pro forma measure, as cash. Reconcile adjustments and examine whether savings are realized, recurring, and net of the cash costs required to achieve them. Treat projected synergies as assumptions until they appear in cash generation. Test whether repayment still works without asset sales, incremental borrowing, or repeated refinancing—and how much remains for working capital, content, strategic investment, and shocks.

Read the loan agreement’s definitions and remedies
Calculate covenant ratios using the agreement’s definitions, not a generic debt-to-EBITDA formula. Check the EBITDA measurement period and permitted add-backs, caps on synergies, cash-netting limits, excluded debt, lease treatment, cure rights, testing dates, and whether tests are springing or continuous. Compare covenant headroom with a more conservative measure that removes unsupported adjustments.
Then identify the consequence of a breach: it may trigger a waiver process or fees, higher rates, restricted borrowing, acceleration, or other remedies, depending on the contract. MediaCo Holding’s 2025 annual report describes facility-specific covenants, collateral, interest, and amortization: MediaCo 2025 annual report. Its report for the quarter ended June 30, 2026 says an Audio Adjusted EBITDA covenant failure led to $63.3 million of debt being classified as current, increasing near-term liquidity needs; it also describes uncertainty around refinancing and other liquidity initiatives: MediaCo June 2026 quarterly report. This illustrates how covenant compliance can become an immediate cash and liquidity issue.

Nexstar’s June 2026 quarterly filing reported pro forma first-lien net leverage of 3.21x against a 4.75x covenant test, and total net leverage of 4.22x, calculated under its credit agreements: Nexstar June 2026 quarterly filing. These are company- and definition-specific figures, not universal safe thresholds. Do not compare ratios across companies without checking the underlying definitions, dates, and adjustments.

Lay out maturities and the refinancing plan by year
Schedule required amortization and bullet maturities by year, alongside cash interest, expected cash on hand, and revolver availability. Highlight concentrated maturities, short-term bridge loans, takeout milestones, and any debt coming due before projected synergies or asset-sale proceeds. For an undrawn facility, count it as liquidity only if its conditions permit a draw in the downside scenario.
A statement that debt will be refinanced at maturity is an assumption to test, not a repayment source by itself. Assess whether the company is likely to meet lender conditions then, given its leverage, covenant headroom, collateral, market access, and interest-rate assumptions. If repayment depends on asset sales, new equity, or discretionary cash, state that dependence and whether the proceeds are committed or uncertain.
Compare a base case with a downside case
Use a consistent model in both cases, changing explicit assumptions rather than relying on a single summary ratio. A useful comparison covers:
- Debt and cash: pro forma gross debt, net debt, and the amount and quality of cash counted against debt.
- Debt service: cash available after necessary operating investment compared with cash interest and scheduled principal.
- Credit tests: leverage, interest coverage, covenant headroom, and adjusted versus unadjusted results under the agreement’s definitions.
- Liquidity: minimum cash and available facilities, plus the point at which outside financing would be needed.
- Timing: annual maturities, bridge takeout requirements, and reliance on refinancing or asset-sale proceeds.
- Operating capacity: cash remaining for content, programming, capital spending, and other strategic needs.
Stress the forecast for weaker revenue, advertising or subscription economics, higher rates, delayed integration savings, customer or audience losses, and increased working-capital needs. Separate contractual amounts from management estimates and analytical assumptions. A downside case should show when the plan first fails—whether through a cash shortfall, covenant breach, or maturity that cannot be refinanced—not merely report a lower EBITDA figure.
State what the evidence can and cannot establish
Pro forma information is an illustration based on stated assumptions, not a record of actual combined performance or a guarantee of future results. Before closing, the analysis depends on disclosed financing terms and assumptions; after closing, update it with actual balances, cash flow, covenant disclosures, and any amended financing. For any specific merger, the conclusion should name the key repayment assumption, when it must prove true, and the consequence if it does not.
