How to evaluate a gaming and esports company before investing

Evaluate a gaming or esports company by tracing one complete chain: the legal entity and segments you are buying, the activities that create revenue, the cash left after operating and development costs, the funding required to keep the business running, and the valuation under realistic downside scenarios. A game publisher, free-to-play operator, competitive platform, esports team, league, and mixed holding company can all use the word “gaming” while having entirely different economics.

Start with the latest annual filing and interim update. Confirm the reporting perimeter, rebuild revenue from its underlying drivers, test engagement and cohort economics, reconcile profit with operating cash flow, assess product and platform dependencies, and only then compare valuation. No single user count, sponsorship headline, bookings figure, or launch announcement establishes that a company can compound value.

1. Define exactly what the company is reporting

A brand name may cover a publisher, studios, a mobile-game portfolio, an esports team, a media arm, or unrelated businesses. Before reading a multiple, identify the legal entity, subsidiaries, reportable segments, and operations outside games and esports. Record the fiscal year-end, accounting standard, currency, and whether figures are consolidated.

Business model Primary economic driver Useful operating measures Questions to resolve
Developer or publisher Full-game sales, downloadable content, licensing, and recurring purchases Units, net bookings, digital mix, franchise concentration, live-service retention Who owns the intellectual property, and how much future revenue depends on a few launches?
Free-to-play operator Repeat in-game purchases, advertising, and sometimes subscriptions DAU, MAU or QAU, payer conversion, spending per payer, retention, cohort payback Are older titles still producing cash, or is acquisition spending masking churn?
Competitive gaming platform A share of contest entry fees after prizes, incentives, and other contractual deductions Contest activity, paying players, take rate, cohort contribution, acquisition cost Does additional activity create contribution profit after prizes, promotions, and developer shares?
Esports team Sponsorship, media or league distributions, merchandise, ticketing, content, and prize-related income Recurring commercial revenue, audience reach, player costs, league fees, event costs Who controls league access, game rights, roster costs, and the team’s ability to renew sponsors?
League or tournament operator Rights, sponsorship, ticketing, advertising, licensing, and participation fees Event-level margin, rights contracts, attendance, viewership, production cost Are rights contracts multi-year and profitable after production and prize obligations?
Diversified parent A combination of the above, often with corporate overhead and investments Segment revenue, segment profit, cash by unit, intercompany items Can you value the target segment separately, or is group revenue hiding weaker businesses?

Never use consolidated revenue as a proxy for an esports team’s revenue unless the filing reports that team as a separate segment. Likewise, a publisher’s total bookings do not tell you what a particular game contributes unless the company discloses the title or portfolio economics.

2. Rebuild revenue and judge its durability

For every revenue line, write down the activity that produces it: a one-time game sale, downloadable content, repeat virtual-item purchases, advertising impressions, a subscription, licensing, services, contest fees, sponsorship, merchandise, tickets, or media rights. Then determine when the company recognizes that activity as revenue.

Bookings, billings, gross merchandise value, cash collections, and recognized revenue are not interchangeable. A booking may represent a user’s purchase before the company delivers the related service, while recognized revenue follows the accounting policy for that product. Read the revenue-recognition note and any reconciliation from a company-defined metric to generally accepted accounting measures.

Concentration is a revenue-quality test

Measure the share of revenue generated by the leading game, franchise, platform, territory, sponsor, publisher, league, and paying-user cohort. A large total can be fragile if one title or a small group of high spenders supplies most of it. Review disclosed changes in platform fees, refunds, chargebacks, deferred revenue, foreign exchange, and revenue-share arrangements.

Example: a free-to-play portfolio

Playtika Holding Corp. reported that in-game purchases represented 97.7% of its 2025 revenue and 98.4% of its 2024 revenue in its 2026 Form 20-F. Those percentages describe Playtika’s mix, not a gaming-industry standard. The filing also describes dependence on a limited number of games and a small percentage of users, so an investor should test title concentration, payer behavior, content cadence, and platform distribution rather than assume that a large user base is diversified.

Revenue versus bookings in VNG’s disclosures

VNG Group’s 2025 annual report states revenue of VND 7,054 billion, up 8%, and total bookings of VND 8,162 billion, up 13%. VNG defines bookings as a non-GAAP operating metric reflecting cash spent by users during the period. The two figures answer different questions: revenue follows accounting recognition, while bookings indicate the value of user spending measured under the company’s definition. Use the reconciliation and period definitions before applying a growth rate to either figure.

3. Test engagement, monetization, and cohorts together

Use the issuer’s definitions for daily, monthly, or quarterly active users, paying users, retention, average revenue per user, bookings, and cohort contribution. Record whether a measure is an average, an end-of-period count, or a cumulative total. A change in definition can make a trend appear stronger or weaker without any change in the underlying business.

Read activity and conversion as a pair

VNG reported 57.3 million quarterly active users in 2025, down from 65.8 million in 2024, while its paying ratio rose from 3.7% to 4.6%. VNG defines QAU as the average of quarterly active users during the period. The combination shows why one metric is insufficient: a smaller audience can produce more monetization per active user, but that outcome must be checked against revenue, margin, cash flow, retention, and acquisition spending.

For a free-to-play game, calculate payer conversion, spend per payer, repeat purchase frequency, retention by cohort, and the time required for a cohort’s gross profit to recover user-acquisition cost. Ask whether growth comes from broad participation or a narrow group of heavy spenders, and whether promotions or virtual currency changes are pulling spending forward.

Competitive-platform economics

Skillz describes revenue as its share of contest entry fees after deducting player prizes, incentives treated as a reduction of revenue, and developer profit share. That structure means gross contest entry fees are not platform revenue. Investigate acquisition cost, cohort returns, incentive intensity, repeat contest activity, and contribution after all deductions. A rising volume of entries can destroy value if the platform must spend more to attract and retain players than the resulting net revenue supports.

Separate management explanations from evidence

When management attributes a change to retention, longer-lived titles, pricing, or a new content cadence, verify the explanation against several periods and the cash-flow statement. A stated strategy is a hypothesis to test, not proof that the strategy will work for another company.

4. Examine gross profit, operating costs, and cash funding

Build a bridge from revenue to gross profit, operating income, net income, and operating cash flow. Include capitalized development costs, capital expenditure, working-capital movements, stock compensation, debt interest, taxes, and acquisitions. Reconcile adjusted metrics to reported figures and identify what the company excludes.

Game-company cost drivers

  • Development salaries, external studios, technology, and quality assurance.
  • User acquisition, advertising, app-store or console fees, payment processing, and customer support.
  • Licensing or royalty payments to intellectual-property owners and distribution partners.
  • Live operations, servers, content updates, fraud prevention, and community management.
  • Capitalized development costs and the amortization or impairment that follows.

Esports cost drivers

  • Player, coach, and staff compensation, including signing payments and bonuses.
  • League participation fees, revenue-sharing obligations, event production, travel, and accommodation.
  • Facilities, content production, marketing, merchandise inventory, and central corporate overhead.
  • Roster transfers, prize-related costs, and spending required to remain competitive.

Separate recurring operations from one-time acquisitions, impairments, restructurings, financing transactions, asset sales, and unusually large prize results. A reported profit after a disposal gain is not evidence that the underlying team or game is profitable. Conversely, a temporary launch-year loss may be reasonable only if the filing shows committed funding, a credible pipeline, and a path to cash generation.

Check liquidity before profitability

List unrestricted cash, restricted cash, revolver availability, debt maturities, interest expense, lease obligations, minimum contractual payments, and expected development commitments. Compare operating cash flow with capitalized development and capital expenditure. A company can report positive adjusted earnings while consuming cash and issuing equity to fund its next title.

5. Assess the pipeline and product longevity

For each announced title or event, record the development stage, expected launch window, committed spending, ownership of the intellectual property, distribution plan, and evidence from testing or early engagement if disclosed. Treat an unreleased pipeline as a set of execution risks, not as booked revenue.

For live-service games, examine retention of older titles, repeat spending, update cadence, server and content costs, and the risk that a new release cannibalizes an existing one. For esports, assess whether the underlying game remains popular, whether the league will renew access, and whether competitive results are required to retain sponsors.

VNG’s stated long-life strategy

VNG’s 2025 annual report says long-lifecycle titles in its portfolio grew more than 40% and together contributed 46% of revenue. Its Head of Publishing, Mr La Xuan Thang, said: “We invest in games built to last. In 2025, that paid out: bookings grew 13% across the segment, and the long-lifecycle titles in our portfolio grew over 40% on their own, together contributing 46% of revenue. The strongest evidence for our strategy is not the launch slate. It is the players still playing titles we shipped years ago.” This is an attributed company view and company-specific result; test it against the report’s definitions, cash generation, and future periods.

VNG’s Managing Director and Head of Global Game Development, Mr Bui Minh Phuong, described making fewer, larger bets, using 3D shooting as a spearhead, embedding artificial intelligence across development, and pursuing international co-development for releases from 2026 onward. Treat that statement as a plan. Review milestone spending, staffing, launch evidence, and the consequences if a major title is delayed or cancelled.

6. Map dependencies and control points

Document every outside party that can change economics without the company’s consent.

Dependency What to inspect Potential downside
App stores, consoles, and PC platforms Fee rates, ranking rules, payment restrictions, refund policy, and termination rights Lower take rate, reduced discovery, delayed launches, or forced changes to monetization
Publishers and licensors Territory, renewal, exclusivity, minimum guarantees, approval rights, and royalty formulas Loss of a title, higher royalties, or inability to update content
Payment providers Reserve requirements, chargeback exposure, settlement timing, and prohibited-content rules Cash interruption or higher processing cost
Esports leagues and game owners Slot rights, revenue sharing, rule changes, calendar, and termination provisions Loss of access to the competition that supports sponsors and audience
Sponsors and broadcasters Contract duration, renewal rates, audience guarantees, category exclusivity, and concentration A single non-renewal can remove a material share of recurring commercial revenue
Key talent and developers Retention, non-compete limits, vesting, and dependence on named creators or players Departure can delay a title, weaken results, or reduce sponsor appeal
Regulators Loot-box disclosure, age and minor protection, advertising, gambling, privacy, and data-transfer rules Product redesign, market restrictions, fines, or higher compliance cost

Review geographic exposure and currency risk alongside regulation. A platform-fee change or local rule can affect a business even when player demand is unchanged.

7. Analyze esports at the team or league level

Sponsorship and media headlines do not establish profitability. Where the filing permits, isolate recurring commercial revenue from prize money, one-time sponsorships, merchandise launches, and owner funding. Compare that revenue with player and staff costs, league fees, travel, event production, facilities, content, and central overhead.

Ask who controls the underlying game, tournament rules, team slots, broadcast rights, and revenue-sharing formula. Determine whether a team can remain solvent through a period of poor competitive performance or sponsor loss. An owner’s willingness to fund losses is a financing source, not operating profitability; quantify the amount, terms, and dilution or repayment obligation.

A 2022 SEC filing by FaZe Clan, Inc. cited approximately US$5 of average annual revenue per user in 2018 and approximately US$2 in 2014. Those were the issuer’s dated historical figures and claims, not current market benchmarks or a universal esports ratio. Use such statements to ask how “user” is defined, which revenue is included, and whether the comparison remains relevant—not to set a present valuation.

8. Choose valuation measures that fit the business

Only compare companies with similar business models, segment scope, accounting periods, currencies, and metric definitions. A revenue multiple can be useful for a rapidly growing publisher with temporarily depressed earnings, while a mature live-service operator may warrant an earnings or cash-flow analysis. A competitive platform may need cohort contribution and take-rate analysis before any sales multiple is meaningful. An esports team may require a scenario model because recurring revenue and costs are both uncertain.

Situation Possible valuation lens Essential adjustments
Established profitable publisher or live-service portfolio Enterprise value to operating profit or operating cash flow; revenue as a cross-check Normalize launch cycles, stock compensation, capitalized development, impairments, and net debt
Fast-growing free-to-play operator Revenue or gross-profit multiple plus cohort payback Test payer concentration, acquisition cost, retention, platform fees, and cash conversion
Competitive platform Net revenue, contribution profit, or cohort-based scenarios Deduct prizes, incentives, developer share, payment costs, and marketing required for activity
Esports team or league Recurring commercial revenue and cash-flow scenarios Exclude one-time prizes or sponsorships, model roster and league costs, and include owner support
Pre-profit company with a pipeline Probability-weighted launch and financing scenarios Include delay, cancellation, dilution, debt maturities, and additional capital needs

For a public company, update share count for options, restricted awards, convertibles, and planned issuance; subtract cash and add debt to obtain enterprise value. For a private company, review security rights, liquidation preferences, governance, protective provisions, dilution, and exit assumptions. A headline valuation without these inputs is incomplete.

Build explicit downside cases

  • Player retention falls and payer conversion weakens.
  • A major launch is delayed, cancelled, or fails to reach target engagement.
  • User-acquisition cost rises while cohort payback lengthens.
  • Platform fees, payment costs, or licensing royalties increase.
  • A sponsor leaves, a league changes its rules, or a team loses access to a key title.
  • Debt must be refinanced when rates or market conditions are worse.
  • Foreign-exchange movements reduce reported results or cash available to service debt.

Show the effect on revenue, gross margin, operating cash flow, liquidity, share count, and implied valuation. Use a base case only after the downside case demonstrates that the company can survive.

9. Compare two companies without creating a false ranking

Use a like-for-like worksheet rather than a league table built from incompatible metrics.

Comparison axis Questions to answer for each company
Business model Is it a publisher, free-to-play operator, platform, team, league, content business, or mixed group?
Revenue durability What share comes from launch-driven sales, repeat spending, advertising, subscriptions, licensing, sponsorship, or contest fees?
Concentration How much depends on the leading title, franchise, platform, league, sponsor, territory, or payer cohort?
Player or audience economics Are activity, retention, payer conversion, spend, cohort recovery, and acquisition efficiency defined consistently?
Profit and cash What are segment margins, operating cash flow, development and marketing needs, capital requirements, debt, and dilution?
Execution and control How credible is the pipeline, how long do titles last, and who controls platforms, rights, league access, and talent?
Valuation and downside Are capitalization, net debt, financing needs, accounting, and scenario assumptions comparable?

If a cell cannot be supported by a filing, label it “not stated” and investigate rather than filling the gap with an industry average.

10. A filing-led due-diligence workflow

  1. Set the perimeter. Download the latest annual filing and interim update. List the legal entity, subsidiaries, segments, fiscal periods, currencies, and non-gaming operations.
  2. Build the revenue map. Tie every line to a product or contract, then record whether it is recognized revenue, bookings, billings, gross merchandise value, or cash collected.
  3. Reconcile engagement. Copy the company’s definitions for active users, paying users, retention, bookings, and cohorts. Compare at least several periods and note definition changes.
  4. Calculate unit economics. For games, estimate payer conversion, spend, retention, acquisition cost, and cohort payback. For platforms, start with entry fees and subtract prizes, incentives, developer share, payment costs, and marketing. For esports, separate recurring commercial revenue from prize and one-time income.
  5. Bridge to cash. Compare revenue, gross profit, operating expenses, operating cash flow, capitalized development, capital expenditure, cash, debt, interest, and maturities. Identify one-time adjustments.
  6. Audit control and concentration. Read platform, publisher, league, sponsor, licensing, geographic, regulatory, and key-person disclosures. Quantify the largest dependencies.
  7. Model value and survival. Use a comparable metric only after normalizing scope and definitions. Run base, downside, and severe cases through liquidity, dilution, debt service, and implied valuation.

11. Red flags that warrant more work

  • Management highlights bookings or audience growth but does not reconcile those figures to revenue and cash.
  • Consolidated results are presented while the investor thesis depends on an unreported team, game, or segment.
  • Adjusted profit excludes recurring user acquisition, stock compensation, development, or league costs.
  • Growth relies on incentives, a few high-spending users, one sponsor, or one platform.
  • A pipeline is valued as though every announced title will launch on time and reach its target.
  • Cash flow is weak despite positive earnings, or debt maturities arrive before the next credible launch.
  • Historical user-revenue claims lack a current definition, period, geography, or reconciliation.

Resolve each red flag with a filing note, contract, segment disclosure, or explicit scenario assumption. If the company cannot provide the information, widen the margin of safety or stop the analysis.

12. The decision memo to write before investing

Finish with a one-page memo that states the entity and reporting perimeter, the revenue model, the three most important concentration risks, cohort or audience evidence, normalized gross and operating margins, operating cash needs, debt and dilution, pipeline milestones, outside dependencies, valuation method, and the precise assumptions behind the downside case. Include what evidence would invalidate the thesis and the date on which each assumption should be rechecked.

This process does not produce a universal “good” gaming or esports company. It tells you whether the reported activity can become durable revenue, profit, and cash for the specific entity you are considering, and whether the price compensates you for execution, concentration, platform, regulatory, and financing risk.

Product prices and availability are accurate as of the date/time indicated and are subject to change. Any price and availability information displayed on Amazon at the time of purchase will apply.
