A shareholder should evaluate the transaction documents, the exact consideration, the probability of closing, the board’s negotiating process, conflicts, and realistic alternatives before choosing to tender, vote, hold, or sell. This guide is for shareholders of U.S. public companies; the controlling answer always comes from the latest filing and the law governing the deal.
Investor.gov describes a tender offer as “an active and widespread solicitation by a company or third party (often called the ‘bidder’ or ‘offeror’) to purchase a substantial percentage of the company’s securities.” A merger, exchange offer, and going-private transaction use different documents and may give shareholders different rights, deadlines, and remedies.

1. Identify the transaction structure and controlling documents
Start by determining exactly what is being proposed. The structure controls what you must do, which document contains the material terms, and whether you are making a tender decision, a voting decision, or both.
| Structure | What it generally means | Documents to locate |
|---|---|---|
| Tender offer | The bidder solicits shareholders to sell securities on fixed terms for a limited period. | Schedule TO, the Offer to Purchase, the target’s response, and every amendment. |
| Merger or vote | Shareholders vote on a transaction under which the target will be merged or acquired. | Proxy or information statement, merger agreement, board recommendation, and amendments. |
| Exchange offer | Shareholders receive securities or a combination of securities instead of, or in addition to, cash. | The exchange-offer materials, Schedule TO or related filings, and the target’s response. |
| Going-private transaction | The transaction is intended to reduce or eliminate public ownership. | Check whether Schedule 13E-3 applies, along with the proxy, merger, or tender documents. |
Read the latest amendment, not just the first announcement. Amendments can change price, the percentage sought, conditions, deadlines, recommendations, or disclosures about conflicts. Keep a copy of the merger agreement or Offer to Purchase open while reading summaries; the summary is not a substitute for the operative terms.

2. Write down exactly what you will receive
Convert the offer into a single per-share description before judging whether it is attractive. Record every component, including items that are easy to miss in a press release.
| Consideration | Questions to answer | Why it matters |
|---|---|---|
| Cash | What is the cash amount per share, and are dividends or other payments included? | Cash has a clear face value, but it is still subject to closing risk, timing, taxes, and deal conditions. |
| Stock | What is the exchange ratio, what bidder security is issued, and is there a collar? | Your value changes with the bidder’s share price. Analyze volatility, dilution, pro forma ownership, and downside. |
| Mixed cash and stock | How is the mix calculated, and can it be prorated? | The cash and stock portions carry different price, market, and tax risks. |
| Contingent value right or earn-out | What event triggers payment, when can it occur, and what conditions or caps apply? | Contingent payments are not equivalent to cash at closing; value depends on uncertain future events and enforcement terms. |
| Debt assumption or other obligations | Which liabilities are being assumed, and do they affect the economics attributed to each share? | An announced enterprise value may not equal the value delivered to common shareholders. |
| Fractional shares | Are fractions paid in cash, rounded, or handled through a sale agent? | The treatment can change the amount you actually receive. |
For stock consideration, calculate the implied value using the bidder’s current share price, then test that value at several plausible prices. A fixed exchange ratio is not a fixed dollar price. A collar may limit how much the ratio changes, so read its upper and lower boundaries rather than assuming complete protection.
3. Test the offer against realistic alternatives
A premium over the pre-announcement price is a useful starting point, not a universal fairness test. The relevant comparison is what your shares could reasonably be worth under the available alternatives, adjusted for risk and time.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsUse an unaffected price carefully
Identify the target’s trading price before credible deal rumors or announcement speculation. The document may identify the comparison date. If the stock had already moved on rumors, the quoted premium may overstate the premium to the last genuinely unaffected value.
Value the company as a standalone business
Read management’s projections and the board materials for the target’s expected cash flow, growth, capital needs, and risks if no deal closes. Consider whether the offer gives up a credible standalone plan or merely pays for a business whose prospects are deteriorating. Do not treat an optimistic projection as a fact; check the assumptions, periods, and sensitivity cases disclosed in the materials.

Compare companies and precedent transactions
Fairness materials often present selected public companies and selected precedent transactions. Check whether the companies actually match the target’s business, growth, margins, size, geography, and risk. Examine the valuation ranges and the point within each range represented by the offer. A range is evidence to weigh, not a mechanical answer.
Consider a competing bid
Determine whether another bidder has made a credible proposal, whether the target solicited alternatives, and whether deal protections make a topping bid harder. A rumored bid with no financing or signed terms should not be valued like a binding offer. Conversely, a credible competing proposal may materially change the value of holding or voting.

Why no premium percentage is automatically adequate
Premiums are common in takeovers, but the governing materials do not establish a universal adequate percentage. A high premium can still be unattractive if the target was undervalued, the consideration is volatile stock, closing is doubtful, or the board accepted restrictive terms. A smaller premium can be defensible when the target’s unaffected price already reflected strong expectations or the offer provides unusually high closing certainty.
4. Read conditions, deadlines, and closing risk
Headline value must be adjusted for the chance and timing of receiving it. Build a list of every condition and ask what happens if it is not satisfied.
- Minimum tender or vote threshold: How many shares must be tendered or votes cast for approval? Are non-voting, abstaining, or broker-held shares counted?
- Financing: Is funding committed, and can the bidder withdraw if financing is unavailable?
- Regulatory approvals: Which antitrust or other approvals are required, and can the parties extend the timetable?
- Material-adverse-effect clause: What events permit the bidder to refuse to close, and are ordinary business fluctuations excluded?
- Termination rights: Who can terminate, on what dates, and after which failed conditions?
- Matching rights and no-shop terms: Can the target consider a superior proposal, and must it give the bidder time to match?
- Break-up and reverse termination fees: How much is payable if the target accepts another offer or the bidder fails to close?
- Extension mechanics: When can the offer be extended, and will you be able to withdraw during an extension?
For covered tender offers, SEC guidance requires the offer generally to remain open for at least 20 business days and for at least 10 business days after a change in the price or the percentage of securities sought. The document’s stated expiration time controls your practical deadline, including time-zone details and any automatic extensions.

A simple probability-weighted framework
Use a range rather than a single prediction. Conceptually, expected value equals the value received if the deal closes multiplied by the estimated closing probability, plus the value of the shares if the deal fails multiplied by the probability of failure, less the cost of waiting and taxes. The inputs are judgment calls, not a promise of precision. A higher cash offer with a serious regulatory obstacle may be worth less than a lower offer that is well financed and nearly unconditional.
5. Audit the board’s process and conflicts
The process can affect whether the price is credible. Read when negotiations began, how the board responded to approaches, and whether independent directors or a special committee led the negotiations.
Questions about the process
- Were independent directors or a special committee appointed, and what authority did they have?
- How many potential bidders were contacted, and were standstill agreements used?
- Did the board run an auction, a targeted solicitation, or no market check? What reason is given?
- Does a no-shop clause restrict further inquiries, and does a fiduciary-out permit consideration of a superior proposal?
- What matching period does the incumbent bidder receive?
- Did management participate in negotiations while expecting continued employment, a rollover investment, retention payments, or change-in-control benefits?
Deal protections can increase execution certainty but also reduce the chance that another bidder will emerge. Assess them together with the break-up fee, matching rights, and the quality of the market check rather than treating any one provision as decisive.
Financial-adviser compensation
Find the adviser’s fee arrangement and the events that trigger payment. Separate retainers, opinion fees, success fees, and discretionary amounts. SEC staff has stated that generic language such as “customary compensation” is ordinarily insufficient because shareholders need specificity to evaluate the merits of the recommendation and the objectivity of the adviser’s analysis. Look for other material incentives or conflicts, including prior relationships with the bidder or target.
6. Use the fairness opinion as evidence, not a verdict
A fairness opinion is an adviser’s analysis prepared for the board. It is not a guarantee that the price is fair to every shareholder, a prediction that the deal will close, or investment advice tailored to your tax and risk position.

Read the methods and assumptions
- Discounted cash flow: Review projected cash flows, discount rates, terminal growth or exit assumptions, and sensitivity tables.
- Selected companies: Check the inclusion criteria and whether the comparison set reflects the target’s actual business and risk.
- Precedent transactions: Examine transaction dates, market conditions, size, and whether the deals were genuinely comparable.
- Premiums paid: Understand the period, industries, and transaction types used; a broad premium study may not match this target.
- Excluded analyses: Note methods the adviser considered but did not use, and the stated reasons for exclusion.
SEC takeover rules require specified disclosure about materially related reports, opinions, and appraisals, including whether the opinion addresses the fairness of the consideration and where the materials can be inspected. Use that disclosure to reconstruct what the adviser actually analyzed, not merely the board’s one-sentence summary.

If it is a tender offer
Compare tendering now with holding, selling in the market, or waiting for a revised offer. Confirm the expiration time, the procedures for changing or withdrawing instructions, and the treatment of shares held through a broker. Investor.gov identifies three core protections for covered offers: withdrawal rights, the requirement that the offer be open to all holders of the class, and the best-price rule. The exact scope and exceptions are document- and rule-specific, so read the Offer to Purchase and any amendments.
If it is a merger requiring a vote
Read the record date, meeting date, voting threshold, quorum rules, vote instructions, and treatment of abstentions, broker-held shares, and non-voting classes. A vote against the deal may not prevent it if the required threshold is met. Determine what happens to your shares after approval and whether dissenters’ or appraisal rights are available under the governing state law and the merger documents.
If you sell in the market
Compare the current market price with the after-tax cash or stock value you expect, the probability of closing, and the downside if the deal fails. Selling may provide immediate liquidity but gives up any benefit from a higher revised offer or a successful competing bid.
If you hold
Holding leaves you exposed to deal failure, price volatility, time value, and the possibility that the offer will not improve. It may preserve voting, tender, withdrawal, or appraisal options, but those rights can be lost at specified deadlines.
Best Value
8. Check who is soliciting your vote
Proxy materials identify participants so shareholders can understand the interests of people asking for approval. Review directors’ and officers’ ownership, change-in-control payments, retention arrangements, rollover interests, and other benefits. Compare those interests with the interests of ordinary shareholders receiving the stated consideration. A director’s recommendation is information to evaluate, not a substitute for reading the terms.
9. Account for taxes, securities, and jurisdiction
Tax treatment can differ for cash, stock, mixed consideration, contingent value rights, earn-outs, and fractional-share payments. Your holding period, cost basis, account type, and tax residence may change the result. Options, restricted stock, and other equity awards often have separate treatment that must be read in the plan documents and transaction agreement.
Appraisal or dissent rights, voting mechanics, fiduciary standards, and remedies depend on the company’s state of incorporation and the transaction documents. Foreign takeover codes can impose different rules. For a live transaction, verify the latest SEC filing and amendments and obtain individualized tax or legal advice when those issues affect your decision.

10. A practical shareholder checklist
- Identify whether the deal is a tender offer, merger, exchange offer, or going-private transaction.
- Download the latest Schedule TO, Offer to Purchase, proxy or information statement, merger agreement, board recommendation, and amendments that apply.
- Write down the per-share cash amount, exchange ratio, collar, contingent payments, debt assumptions, dividends, and fractional-share treatment.
- Record the expiration, record date, meeting date, minimum tender or vote threshold, and withdrawal or revocation deadline.
- List financing, regulatory, material-adverse-effect, termination, matching, break-up, and reverse termination provisions.
- Compare the offer with the unaffected price, standalone prospects, comparable companies, precedent transactions, and any credible competing bid.
- Read the board process, market check, no-shop terms, special-committee role, management incentives, and adviser fee triggers.
- Review every fairness-opinion method, assumption, sensitivity, selected set, premium analysis, and excluded approach.
- Calculate the value and risk of tendering, voting yes or no, holding, and selling in the market under both closing and failure scenarios.
- Check tax, appraisal, equity-award, broker-custody, and jurisdiction-specific issues before the applicable deadline.
Common mistakes to avoid
- Treating the announced premium as proof that the offer is fair.
- Valuing stock consideration as though it were cash.
- Ignoring the chance that financing, regulatory approval, or a threshold condition will fail.
- Reading only the press release and not the operative agreement or amendments.
- Assuming a fairness opinion guarantees value or protects against a falling bidder stock price.
- Overlooking adviser success fees, management benefits, matching rights, or restrictive no-shop provisions.
- Waiting past a tender, voting, withdrawal, or appraisal deadline while assuming the market will preserve your options.
Bottom line
The primary evidence is the offer document and its amendments, not the headline premium. Establish what you receive, test it against realistic standalone and competing values, probability-weight the closing conditions and timing, inspect the board and adviser conflicts, and then choose the action that fits the structure and your own tax and risk position. No single fairness opinion, premium percentage, or board recommendation can make that decision for you.
