Separate recurring contracts from sale, leasing and financing commissions; examine segment margins and cash conversion; assess talent, clients, debt and acquisition risks; and value the shares with peers and scenarios that match the company’s actual service mix.
Start with the business model, not the ticker
A CRE services company can look like a stable professional-services business or a highly cyclical brokerage, depending on its mix. Before reading a valuation multiple, map the activities that produce revenue and the point at which the company gets paid.

- Investment-sales and leasing brokerage: commissions generally become payable when a transaction closes or another contractual milestone is met.
- Financing and capital markets: fees depend on arranging debt or equity and therefore on lending conditions, rates and completed financings.
- Property and facilities management: contracts can create recurring fees, although renewal, occupancy, staffing and client budgets still matter.
- Project management: revenue follows construction, fit-out or development assignments and may be tied to project stages.
- Valuation and advisory: fees may be recurring under a mandate or one-time for an appraisal, transaction or strategic assignment.
- Investment management: base management fees can recur on assets under management, while incentive fees depend on performance and realization.
Segment names are not standardized. Compare the underlying services rather than assuming that similarly named segments have the same economics. CBRE reports four segments—Advisory Services, Building Operations & Experience, Project Management, and Real Estate Investments—and describes a combination of resilient and non-recurring revenue. JLL operates a broad global platform and includes LaSalle Investment Management. Those disclosures illustrate why two companies described as “CRE services” can have very different risk profiles.
Step 1: Build a fee-trigger map
Create a worksheet with one row for each material service. Record the customer, contract, fee basis, payment trigger, timing of recognition, direct costs and renewal characteristics. The purpose is to answer a practical question: what has to happen before this revenue appears?

| Revenue source | Typical trigger to investigate | Questions for the filing |
|---|---|---|
| Brokerage commission | Sale or lease closing, sometimes a contractual milestone | Is payment contingent on closing? Are commissions shared with outside producers? How concentrated are listings and clients? |
| Financing fee | Loan, refinance or capital-market transaction closing | Does revenue depend on credit availability, interest rates or investor demand? Are fees reported gross or net of third-party amounts? |
| Property or facilities management | Monthly or annual service contract | What is the contract term, renewal rate and margin? Can clients terminate or rebid work? |
| Project management or development fee | Project stage, cost incurred or completion milestone | Are fees fixed, percentage-based or incentive-based? Who bears cost overruns and delays? |
| Valuation and advisory | Report delivery, mandate period or transaction event | Is work repeatable? How sensitive is demand to transaction volume and regulation? |
| Investment-management base fee | Assets under management over a period | Are assets tied to market values, commitments or invested capital? What are redemption and fundraising trends? |
| Incentive or performance fee | Performance hurdle, realization or other contractual condition | When can the fee reverse? How volatile has it been, and what assumptions determine recognition? |
CBRE’s 2025 Form 10-K says its most significant revenue-recognition judgments include sales and lease commissions, incentive management fees, development fees, and third-party fees for occupier outsourcing and property management. It applies the FASB ASC Topic 606 five-step framework. The filing also cautions: “The timing and amount of revenue recognition in a period could vary if different judgments were made.” Treat that as a reminder to inspect contract terms and estimates, not as evidence of misconduct.
Check gross-versus-net presentation
A company may arrange services performed partly by subcontractors or other third parties. Determine whether reported revenue includes the full customer charge or only the company’s net fee. Gross presentation can make revenue look larger without creating equivalent economics; net presentation can make a substantial operating platform appear smaller. Use the accounting policy and disaggregation notes, then compare margins on a consistent basis.
Step 2: Measure transaction exposure and diversification
Do not label a company defensive simply because it sells “services.” Brokerage and financing fees are tied to transactions, while contracted management work may be steadier. Read segment revenue and operating profit for several years and classify each line as recurring, repeatable but discretionary, or closing-dependent.

Use multiple lenses
- Service mix: percentage of revenue and profit from brokerage, financing, management, projects, advisory and investment management.
- Geography: exposure to countries or regions with different rates, property cycles, currencies and regulations.
- Property type: office, industrial, multifamily, retail, hotels, healthcare and alternatives can move through different cycles.
- Client concentration: dependence on a few owners, occupiers, funds or government contracts.
- Transaction size: a few large assignments can create sharp quarterly variability even when annual demand appears healthy.
Marcus & Millichap’s 2025 filing explicitly says results are significantly affected by the number and size of commercial-property sales and financing transactions it closes. Those transactions in turn reflect economic conditions, CRE supply and demand, capital markets, investor sentiment and investment activity. Use the statement as a model for the questions to ask of any issuer, not as an industry-wide forecast.
Compare unlike periods
Place a strong transaction year beside a weak one. Look for changes in closed deals, average fee per deal, backlog, listings, financing volume and management-fee assets. A revenue decline caused by fewer closings has different implications from a loss of recurring contracts or a deliberate exit from a low-margin business. Separate organic growth, acquisitions, currency translation and price or mix effects in management’s discussion and analysis.

Step 3: Read the financial statements for quality, not just growth
Build a five-year (or longer, where available) series for revenue, operating income, operating margin, net income, operating cash flow, capital expenditure, working capital, debt and share-based compensation. Then reconcile management’s non-GAAP measures to GAAP.
Revenue and margin tests
- Does revenue growth come from higher transaction volume, higher prices, acquisitions, currency or a one-time contract?
- Do margins expand because of durable operating leverage or because a high-margin transaction fee happened to close?
- Are incentive fees, development fees or other estimates creating volatile quarterly results?
- Does the company disclose segment operating profit consistently enough to compare years?
Cash-conversion tests
Compare operating cash flow with operating income and free cash flow after capital expenditure. Investigate large swings in receivables, contract assets, payables and accrued compensation. Brokerage businesses can show strong accounting income before commissions are collected; project businesses can consume cash while work is in progress. A recurring-services platform should still be tested for client billing terms and renewal-related working-capital changes.

Balance-sheet and acquisition tests
List debt maturities, floating-rate exposure, available liquidity, covenant requirements and refinancing dates. Then identify goodwill and acquired intangible assets by reporting unit. CBRE’s impairment discussion describes public-company multiples and discounted-cash-flow approaches using assumptions such as growth, profit margins and discount rates. This demonstrates how sensitive carrying values—and potentially investor valuation models—are to assumptions. It is not a prescribed fair-value method for the shares.
For acquisitions, calculate the portion of growth and margin change attributable to acquired businesses, the purchase price paid, integration costs, earn-outs and any subsequent impairment. A roll-up can increase scale while reducing per-share value if it requires expensive equity issuance or persistently overpays.
Step 4: Examine the people and client engine
Relationships and producers are core assets in brokerage, but they can leave. Review headcount, productivity, compensation, recruiting, retention and the legal status of workers. Check whether revenue is generated by employees, partners, independent contractors or a combination.

- [Easy Disassemble] Making incidental repairs quick and easy! Very nice, flexible cable
- [Dont Hesite to Order] 24 hours customer services and professional technology team are standing by
As a company-specific example, Marcus & Millichap reported 1,808 investment-sales and financing professionals at December 31, 2025, primarily commission-based independent contractors. Its filing identifies retention, property contracting and transaction closings as factors affecting results. Do not treat that staffing model or count as an industry norm; use it to show why a company’s producer economics must be analyzed directly.
Questions to answer
- How much revenue depends on the top producers, teams, offices or clients?
- What happens to listings and client relationships when a producer departs?
- Are compensation guarantees, sign-on payments or deferred awards pressuring margins?
- Does management disclose retention or turnover trends, and are they consistent with hiring claims?
- Can technology improve productivity without weakening the relationship advantage?
Step 5: Read risk factors alongside the strategy
Risk-factor sections are most useful when tied to a measurable exposure. Translate each risk into a line in your model and a monitoring indicator.
| Risk | What to measure | Possible warning sign |
|---|---|---|
| Interest rates and capital availability | Financing volume, spreads, refinancing pipeline and floating-rate debt | Falling closings or rising interest expense despite stable reported revenue |
| Property-market conditions | Listings, vacancy, rents, transaction prices and buyer demand by property type | Longer marketing periods and repeated valuation reductions |
| Client and employee retention | Renewals, producer turnover, concentration and backlog | Revenue loss following a team or account departure |
| Competition | Fee rates, win rates, producer compensation and market share | Revenue growth accompanied by sustained margin compression |
| Regulation and litigation | Contingencies, licensing, disclosure and settlement history | Large or recurring charges not reflected in adjusted results |
| Cybersecurity and technology interruption | Incidents, downtime, recovery controls and vendor dependence | Operational disruption or rising remediation costs |
| Acquisition execution | Organic growth, integration costs, retention and impairment | Frequent “one-time” charges and weakening acquired-unit results |
Marcus & Millichap’s 2025 filing lists economic conditions, interest rates, retention, competition, technology, regulation and acquisitions among relevant risks and warns that forward-looking statements are not guarantees. Compare such statements with realized results rather than treating forecasts as promises.
Step 6: Compare peers on a common basis
Choose peers with similar service mix, geography, growth, margins and balance-sheet risk. A brokerage-heavy company should not automatically receive the same assumptions as a platform with substantial contracted management revenue.
| Company-reported context | What the figure represents | Qualification |
|---|---|---|
| CBRE | Described itself as the world’s largest commercial real estate services and investments firm based on 2025 revenue. | Company description in its 2025 Form 10-K; scale does not establish investment value. |
| JLL | Reported $26.1 billion of annual revenue, operations in over 80 countries and a workforce of more than 113,000 at December 31, 2025. | JLL-reported figures; definitions and consolidation may differ from peers. |
| Marcus & Millichap | Reported 1,808 investment-sales and financing professionals, 8,818 sales, financing and other transactions, and approximately $50.8 billion of sales volume during 2025. | 2025 company-reported counts and volume; transaction count and sales volume are not revenue. |
| Marcus & Millichap | Approximately 84% of 2025 revenue from real-estate brokerage commissions, 14% from financing fees and 2% from other revenue. | Company-reported mix; strongly transaction-linked and not comparable to a diversified platform without definition adjustments. |
| Marcus & Millichap | Approximately 64% of brokerage commissions from the $1 million to less than $10 million private-client market in 2025. | Company-reported estimate; its filing cautions that market-size information can be imprecise and generally uses data available through the first nine months of 2025. |
These measures are not interchangeable. A workforce count, transaction count, transaction sales volume, segment mix and consolidated revenue answer different questions. Check periods, definitions, acquired businesses and consolidation before calculating peer ratios.

Peer metrics worth normalizing
- Recurring or contracted revenue as a percentage of total revenue and operating profit.
- Organic revenue growth, reported growth and growth after currency effects.
- Segment and consolidated operating margins through different transaction environments.
- Operating cash flow and free-cash-flow conversion.
- Net debt, lease liabilities, pension obligations and near-term maturities.
- Share-based compensation and diluted share-count growth.
- Acquisition spending, goodwill and impairment history.
- Client, property-type and geographic concentration.
Step 7: Build a valuation that survives different market conditions
Start with a base case tied to observed service-line economics, then create at least two alternatives. A useful scenario table changes transaction volumes, fee rates, recurring-contract growth, margins, interest expense and acquisition contribution together rather than applying one arbitrary haircut.
| Scenario | Transaction assumption | Recurring-services assumption | Margin and balance-sheet question |
|---|---|---|---|
| Downcycle | Lower sales, leasing and financing closings; longer recovery | Renewals hold but discretionary projects slow | Can liquidity cover maturities without distressed issuance or cuts? |
| Base case | Volume normalizes toward a multi-year average | Contracts grow with modest pricing and stable retention | Does cash conversion support debt service and reinvestment? |
| Upside | Capital returns and transaction activity improve | Management wins share and expands higher-value services | Are producer capacity, hiring and technology sufficient without margin erosion? |
Use more than one valuation method—such as enterprise value to operating profit, price to free cash flow and a discounted-cash-flow model—only after normalizing the numerator and denominator. A transaction-heavy firm may deserve a cycle-normalized earnings measure rather than a peak-year multiple. A management-heavy firm may support a different margin and cash-flow profile. Show how discount rates, terminal growth, margins and transaction assumptions change the result; do not present a single precise target price when the inputs are uncertain.
A practical filing-and-model workflow
- Download the latest annual report and the preceding years. Start with the business description, segment note, revenue-recognition policy, MD&A, risk factors, debt note, cash-flow statement and acquisition disclosures.
- Copy segment data into a consistent spreadsheet. Preserve the issuer’s definitions and mark reclassifications, discontinued operations and acquired periods.
- Tag each revenue line by fee trigger. Use recurring contract, transaction closing, performance incentive, project milestone or other categories.
- Reconcile adjusted measures. Bridge every non-GAAP figure to GAAP and decide whether recurring restructuring, acquisition or stock-compensation costs are truly exceptional.
- Calculate cash conversion and leverage. Include working-capital movements, capital expenditure, lease obligations and debt maturities.
- Map concentration and talent risk. Record disclosed client, geography, property-type, office and producer information, noting where the issuer does not provide a figure.
- Build downcycle, base and upside cases. Change transaction volume, recurring growth, margins, rates and acquisitions explicitly.
- Compare only normalized peers. Explain every definition difference before relying on a multiple or margin comparison.
- Write an investment thesis with disconfirming evidence. State what must go right, what would falsify the thesis and which quarterly or annual indicators you will monitor.
Red flags that deserve follow-up
- Reported revenue grows while operating cash flow repeatedly lags without a clear working-capital explanation.
- “Recurring” revenue is subject to short contracts, rebidding or client termination and is treated as permanent in the valuation.
- Margins depend on incentive fees or a few large closings but are modeled as normal.
- Producer turnover rises, yet management gives no evidence that client relationships remain with the firm.
- Acquisitions drive most growth, goodwill rises quickly and integration charges recur each year.
- Debt maturities cluster near a weak transaction cycle or refinancing costs are omitted from the downside case.
- Peer comparisons mix gross and net revenue, different fiscal periods or different definitions of assets under management.
- Management’s forward-looking claims repeatedly exceed realized volume, margin or cash-flow outcomes.
What a high-quality conclusion should say
Your conclusion should identify the company’s fee engine, the share of earnings exposed to closings, the durability of contracted work, the main balance-sheet constraint and the assumptions supporting valuation. It should also state what evidence would change your mind. Without a target issuer, purchase price, valuation date, time horizon and risk tolerance, no responsible analysis can determine fair value or suitability for a particular investor.
Refresh the filings, segment definitions, market conditions, interest-rate outlook and share price before acting. The framework is designed to make those updates mechanical: when a new annual report arrives, change the fee map, operating history, risks and scenarios rather than relying on an old headline multiple.

How many years of financial history should I review?
Use at least three to five years, including a period with materially different transaction conditions. Extend the history when the company has undergone major acquisitions, segment reclassifications or a structural change in its service mix.
Best Value
What if the company does not disclose recurring revenue separately?
Do not estimate a precise recurring percentage from memory. Classify disclosed service lines by their contracts and payment triggers, label the uncertainty, and use retention, backlog, contract duration and segment-margin disclosures as supporting evidence.
Can I compare a brokerage specialist with a global CRE platform?
Yes, but only after normalizing service mix, geography, accounting presentation, acquisition effects and the cycle represented by each period. Treat the comparison as a range of business models, not proof that one deserves the other’s multiple.
Does a large transaction-sales volume mean the company is profitable?
No. Sales volume is the value of properties transacted, not the company’s revenue or profit. Fee rates, splits, expenses, financing costs, working capital and taxes determine the economics.
Is this framework an investment recommendation?
No. It is a due-diligence method. A buy, hold or sell decision requires current issuer data, a price and valuation date, plus your objectives, time horizon and ability to tolerate loss.
