Document intercompany pricing as an examiner-traceable chain: commercial facts and transaction terms, functions/assets/risks, the selected transfer-pricing method and rejected alternatives, source data and calculations, and a reconciliation to the books and tax return. Have the file substantially complete when the income-tax return is filed, then maintain a retrieval system that can deliver the requested records within the applicable examination deadline.
This guide is general U.S. federal tax information for multinational businesses and their tax, finance, and legal teams. The applicable regulations, exceptions, and the taxpayer’s facts control.

Why the IRS examines intercompany pricing
Section 482 authorizes the IRS to adjust the income, deductions, credits, or allowances of commonly controlled taxpayers to prevent tax evasion or clearly reflect income. The governing concept is the arm’s-length standard: controlled taxpayers should report results that unrelated parties would have achieved in the same transaction and circumstances.

Documentation is therefore not just a description of a number on an invoice. It must show why the transaction was priced as it was, whether the legal agreements match what the entities actually did, and how the chosen method produces the most reliable result under the best-method rule.
A well-organized report can help an examiner understand material transactions and focus the examination. It does not guarantee acceptance, issue deselection, penalty protection, or a particular adjustment.
Timing requirements and the current examination framework
The IRS FAQ describes the penalty-related documentation rule as follows: with certain exceptions, the documentation should exist when the income-tax return is filed and must be provided within 30 days after an IRS request made in connection with an examination of that year. Confirm the current regulation, any applicable exception, and the exact request terms for the taxpayer before relying on that summary.

| Before the return is filed | Complete the principal report, calculations, supporting schedules, and review of material information available at that time. | Record the completion date, reviewers, open items, and version of every data file used. |
| After year-end and before filing | Capture relevant information that became available and assess whether it changes the analysis, comparables, projections, or conclusion. | Maintain a dated log explaining what was received, how it was evaluated, and whether the report was updated. |
| When an examination begins | Read the initial information-document request (IDR), identify years and transactions covered, and map each request to an indexed file. | Assign one response owner, preserve the original request, and maintain a request-to-document tracker. |
| When records are requested | Produce the responsive report, source records, and calculations in a usable format by the applicable deadline. | Run a completeness check and legal review before release; retain exactly what was produced. |
Publication 5300, the IRS Transfer Pricing Examination Process (TPEP), is the agency’s current framework for planning, conducting, and resolving transfer-pricing examinations. The IRS says it replaced the former Transfer Pricing Roadmap and emphasizes that each case is fact-specific. Internal Revenue Manual 4.61.3 describes examination procedures, including issuing an initial transfer-pricing IDR early in an examination; confirm the current revision before relying on procedural details.
Build the file in the order an examiner will follow
1. Define the scope and materiality
Start with the tax years, legal entities, countries, currencies, transaction types, and accounting periods covered. Identify which controlled transactions are material individually or in aggregate, and explain any exclusions. Scope should match the return, agreements, trial balances, and the years named in the IDR if an examination is underway.
- List every related counterparty and its tax residence.
- Separate goods, services, financing, licenses, guarantees, cost-sharing or other arrangements rather than combining unlike transactions.
- State the pricing policy, invoicing currency, payment terms, and any true-up or year-end adjustment policy.
- Identify the preparer, reviewers, approval date, and document version.
2. Explain the business and economic context
Describe the group’s products or services, customers, supply chain, value drivers, industry conditions, regulatory environment, and relevant economic events. Explain how each entity contributes to value creation. A short chronology is useful when market disruption, a restructuring, a product launch, capacity constraints, or unusual losses affected the year.

Place an organization chart and a transaction map near the front. For each flow, show seller, buyer, product or service, ownership or license rights, delivery point, payment terms, volume, and annual amount. Identify the intercompany agreement and amendments, and cross-reference invoices, purchase orders, and logistics records.
Do not assume the contract settles the analysis. Flag provisions that differ from actual conduct, such as a party bearing inventory risk in practice although the agreement assigns it elsewhere, or a service provider making decisions that the contract reserves to the recipient. Explain the discrepancy and how the analysis treats it.
4. Perform a functions, assets, and risks analysis
For every participant, describe the people and systems performing material functions; tangible and intangible assets used; and risks that the entity controls and has the financial capacity to bear. Cover procurement, manufacturing, quality, logistics, marketing, research, financing, credit, inventory, foreign exchange, product liability, and market risk when relevant.
Tie each conclusion to conduct and records, not labels. Identify decision makers, approval thresholds, insurance, risk-monitoring reports, and evidence of who actually incurred costs or made strategic decisions. Explain any change from prior years and its effect on compensation.

State the selected method, the tested party where applicable, the profit-level indicator or other metric, and why the method is the most reliable for these facts. The report should explain the data available, the quality of internal and external comparables, required adjustments, and the way the method allocates returns among all controlled participants.

List methods considered but not selected. For each rejection, give a fact-specific reason: no reliable internal uncontrolled transaction, insufficient product comparability, unavailable segment data, material unique intangibles, or adjustments too uncertain to quantify. “The method was not appropriate” is not an explanation.
| Method family | When it may be informative | Documentation questions |
|---|---|---|
| Comparable uncontrolled price | A controlled price can be compared with a sufficiently comparable price paid between independent parties. | Are product, volume, market, contractual, currency, and timing differences measurable? Were internal transactions searched first? |
| Resale-price approach | A distributor resells without materially transforming the item and a reliable gross margin can be observed. | Do functions, accounting classifications, marketing spend, and market level match the comparables? |
| Cost-plus approach | A routine manufacturer or service provider performs comparable activities and a dependable mark-up can be derived. | Which costs form the base, how are pass-through costs treated, and are assets and risk profiles comparable? |
| Transactional net-margin approach | Net margins provide more reliable comparability than product-level prices, often where detailed gross-margin data are unavailable. | Why is the tested party less complex, which profit-level indicator is used, and how are accounting differences and working capital handled? |
| Profit-split approach | Both parties make unique, valuable contributions or operations are highly integrated. | What contributions and allocation keys are used, how are routine returns separated, and how is residual profit divided? |
These method families are not interchangeable or universally preferred. The conclusion must follow the actual functions, assets, risks, reliable data, and the adjustments that can be supported.
6. Preserve the comparable search
Document the databases, search dates, search strings or filters, geographic and industry screens, rejection reasons, final set, and acceptance criteria. Keep the full population or a reproducible record of it when permitted by the data license. Explain why each comparable is sufficiently similar and identify differences in scale, geography, accounting, products, functions, and risk.
For every material adjustment, show the formula, source, period, units, and rationale. If an adjustment cannot be reliably quantified, explain the resulting limitation and how it affects method reliability or the range.
7. Show the economic analysis and calculations
Include the tested party selection, assumptions, projections, currency conversions, working-capital or other adjustments, profit-level indicator, arm’s-length range or point result, and sensitivity to material assumptions. Preserve the underlying spreadsheets in a format that retains formulas, links, and cell logic when the IRS requests functional calculations.
Use clear labels for actuals, budgets, estimates, and post-year-end information. Lock a filed-return version while retaining a controlled working version; document every change and approval.

8. Reconcile segmented results to the books
Show how revenue, cost of goods sold, operating expenses, assets, and other relevant items were assigned to each transaction or segment. Reconcile those totals to the trial balance and financial statements, and explain allocations, eliminations, foreign-exchange effects, and accounting reclassifications.
Recommended Free Tools
Address unexpectedly high or low returns, losses, year-end true-ups, and any divergence between the written pricing policy and the tested method. A bridge from statutory accounts to the tested-party result lets an examiner reproduce the conclusion without guessing which ledger accounts were included.
9. Add information available before filing
The principal file should identify relevant data obtained after year-end but before the return was filed, including updated financials, revised forecasts, new contracts, litigation, restructuring decisions, and material market events. Explain whether each item was incorporated, why it was not relevant, or how it changed the conclusion.
10. Create an index and an examiner-facing summary
Maintain a document index with a unique identifier, description, period, owner, location, confidentiality status, and relationship to the analysis. The recordkeeping description should explain naming conventions, retention, access controls, and how a reviewer can retrieve the original file.
Begin the report with a concise transaction table that identifies the parties, transaction, annual amount, agreement, selected method, tested party, result, and principal supporting documents. This is an orientation aid, not a compliance safe harbor.

- Preserve the request. Save the signed IDR, attachments, correspondence, and any agreed extensions in the examination file.
- Build a request matrix. For each item, identify the responsive document, custodian, period, privilege status, production format, and reviewer.
- Reconcile before producing. Tie amounts in the report to ledgers, tax returns, invoices, and agreements. Resolve unexplained differences or disclose them with a clear explanation.
- Supply usable calculations. Provide functional schedules with formulas and source references rather than only a PDF if the request calls for calculations.
- Separate facts from advocacy. Label assumptions, estimates, management judgments, and legal analyses. Route privileged material through counsel and do not waive privilege accidentally.
- Quality-check the package. Confirm that links work, formulas calculate, pages are legible, translations are identified, and no draft or unrelated personal data is included.
- Record the production. Keep the final index, hash or equivalent file-control record if used, transmittal letter, delivery confirmation, and any follow-up commitments.
Common weaknesses and how to correct them
| Weakness | Why it creates risk | Correction |
|---|---|---|
| Method named without a reliability analysis | The examiner cannot tell why the result is the best available arm’s-length measure. | Compare data quality, comparability, adjustments, assumptions, and rejected alternatives. |
| Contract-only functional analysis | Actual conduct may allocate functions or risks differently. | Interview operators, inspect approvals and systems, and explain every contract-conduct difference. |
| Unreproducible comparable search | A reviewer cannot test inclusion, exclusion, or adjustments. | Retain search criteria, populations, rejection reasons, dates, and adjustment formulas. |
| Segment totals do not tie to the ledger | The tested result may appear to depend on selective accounting. | Provide a ledger-to-segment bridge and explain allocation keys and reclassifications. |
| True-up with no explanation | A year-end entry can look like an after-the-fact target rather than a policy result. | Show the policy, forecast, calculation, journal entry, and reason actual results differed. |
| Ignoring material information available before filing | The analysis may omit facts relevant to the return position. | Maintain a post-year-end information log and document the effect of each item. |
| Only a polished PDF is retained | Formulas, source links, and data lineage are lost. | Retain controlled native workpapers and a read-only report version. |
| Overpromising penalty protection | Adequate documentation alone does not cure inaccurate inputs, ignored material information, or an unreasonable method. | Test accuracy, completeness, and reasonableness independently and disclose limitations. |
A practical transaction-summary template
Use a one-page table at the front of each material transaction file. The values below are fields to complete, not assumptions about a particular taxpayer.
| Field | What to state |
|---|---|
| Parties and jurisdictions | Legal names, tax residences, ownership relationship, and role in the transaction. |
| Transaction | Goods, services, financing, intangible, guarantee, or other flow; agreement date and amendments. |
| Annual amount | Amount, currency, accounting period, and tie-out reference. |
| Commercial terms | Price formula, volume, payment, delivery, warranty, and adjustment terms. |
| Functions, assets, risks | Short description for each participant and any contract-conduct difference. |
| Method | Selected method, tested party, indicator, range or result, and reliability rationale. |
| Alternatives | Methods considered, data reviewed, and fact-specific reasons for rejection. |
| Key evidence | Agreement, invoices, source ledger, comparable file, calculations, approvals, and financial reconciliation. |
Assign ownership and maintain the file each year
Tax should own the technical method and conclusion; finance should own ledger mappings, segment construction, and reconciliations; operations should validate functions and actual conduct; legal should review agreements, privilege, and dispute posture; and information-governance staff should control retention and access. One person should own the index and response tracker.
Use a recurring calendar that begins before year-end close: refresh the entity and transaction map, test whether functions or risks changed, collect agreements and operating evidence, run the comparable search, close the financial tie-out, review post-year-end information, obtain sign-offs, and lock the filed-return version. A short annual change memo is valuable when the conclusion remains the same because it shows that the facts were reconsidered rather than copied forward.
Limits of the documentation exercise
The IRS FAQ states that documentation does not automatically protect against penalties. Inaccurate inputs, failure to consider material information, or an unreasonable selection or application of a method can undermine a position even when a report is timely. Best-practice suggestions may improve examination efficiency but are not a safe harbor.
An advance pricing agreement (APA) can provide an alternative dispute-resolution path for complex international transfer-pricing cases, but it is not a substitute for documenting the return position and the transactions actually reported.
The practical test is simple: could an independent reviewer, using the indexed agreements, source records, calculations, and reconciled financials, understand what happened, why the method was chosen, and reproduce the result? If not, the file is not ready for an IRS audit.
