A token lock-up agreement is only as reliable as the records and controls behind it. Document the parties, exact token class, wallets, restriction period, release conditions, permitted transfers, exceptions, remedies, and any smart-contract enforcement. Then maintain one dated schedule and reconcile it regularly with allocations, wallet balances, transfer events, and administrator actions.
“Lock-up” can describe different arrangements: a contractual promise not to transfer, a token-level restriction enforced by code, an escrow or vesting schedule, or a combination. Treat the legal obligation and the technical control as separate layers. A blockchain record can show what happened on a network; it does not by itself determine the legal substance of the offering or guarantee a remedy.

What a token lock-up agreement actually covers
Before drafting, decide which arrangement you are documenting. The word lock-up is used for materially different controls:
- Contract-only restriction: a holder promises the issuer or another party not to transfer specified tokens for a stated period or until conditions are met. A breach may create contractual consequences, subject to governing law and the agreement’s remedies.
- Smart-contract restriction: token code blocks transfers, permits only approved addresses, or releases balances according to configured rules. The code may enforce a technical condition, but it does not automatically supply every legal right, remedy, or correction process.
- Escrow or vesting arrangement: tokens are held, delivered, or released in tranches after a cliff, on a recurring cadence, or when objective conditions occur.
- Hybrid arrangement: written terms create the obligation while a contract, custodian, administrator, or allow list provides technical and operational controls.
Your document should say which layer does what. If the written agreement and token code differ, identify which document governs, who can correct the mismatch, and what happens while the issue is investigated.

Why a written record matters
The SEC Chair’s December 11, 2017 statement made the substance-over-form point directly: “Said another way, replacing a traditional corporate interest recorded in a central ledger with an enterprise interest recorded through a blockchain entry on a distributed ledger may change the form of the transaction, but it does not change the substance.” A token entry therefore does not replace the need to identify the contracting parties, the rights being granted, and the restrictions that apply.
The same statement frames two practical diligence questions: “Who exactly am I contracting with?” and “Can I resell the coin or token, and if so, are there any limitations on my ability to resell?” Your lock-up file should allow an investor, administrator, auditor, or regulator to answer both questions from dated source documents and traceable transaction records.
Documentation checklist
1. Identify every party and capacity
Name the issuer, holder, administrator, custodian, escrow agent, and any entity that controls a token contract or allow list. State each party’s legal capacity and authority to sign. Identify the entity responsible for issuing, delivering, or administering the tokens. Record signing dates, effective dates, notice addresses, and the authority under which a representative acts.
Do not describe an unnamed “project” as the counterparty. The agreement should state who owes the restriction, who may enforce it, and who can approve an exception or amend the schedule.
2. Define the covered token precisely
Record the blockchain or network, token identifier, contract address where applicable, token class, quantity, decimals, and allocation source. A ticker symbol alone may not uniquely identify an asset. Link the quantity to the subscription, purchase, grant, allocation ledger, or other source document.
Where tokens can migrate, wrap, bridge, split, or be replaced, define whether the lock-up follows the original units, an equivalent asset, or a successor contract. State who determines equivalence and how the decision is recorded.
3. Identify wallets and the approved-holder model
List every wallet or account covered by the restriction and the quantity assigned to it. Explain how a new address is requested, independently verified, approved, and recorded. Address changes should require evidence of control of the new wallet and a dated approval by the person or group authorized under the agreement.

If transfers are limited to eligible holders, describe the allow-list owner, eligibility test, approval evidence, and removal process. In guidance for UK authorized funds using distributed ledger technology, the FCA discusses allow lists, incomplete registers, and the risk that units reach ineligible holders. That material is specific to its regulated-fund context, but the control problem is relevant whenever eligibility matters.
4. State the start, end, and release mechanics
Write the schedule in operational terms:
- when the lock-up starts and which event establishes that date;
- when it ends, including the time zone and whether the end is inclusive or exclusive;
- whether there is a cliff followed by installments;
- the amount or percentage released at each event;
- the cadence, rounding rule, and treatment of fractional units;
- which date controls if a chain timestamp, business day, or administrator clock differs; and
- how network congestion, a paused contract, or a service outage affects a release.
A filed SAFT example ties token delivery to a written lock-up schedule. It is evidence that the schedule should be written and connected to delivery mechanics, not a universal schedule or benchmark.
5. Define conditions, acceleration, pauses, and termination
Separate objective triggers from discretionary decisions. Define events that accelerate, pause, extend, or terminate the restriction, such as a specified financing, change of control, breach, regulatory event, insolvency, or failure of a condition precedent. For each event, identify the evidence required, the decision-maker, notice period, and effective time.
Do not give an administrator an undefined power to “modify the schedule.” State the permitted range, approval threshold, audit trail, and whether a change affects already released tokens.

List the actions covered by “transfer”: sale, gift, pledge, lending, delegation, bridge transaction, staking, movement to a custodian, and movement between a holder’s own wallets. State whether transfers to affiliates, successors, custodians, or legal-process recipients are allowed.
For every exception, identify who may approve it, what evidence is required, whether prior notice is needed, and where the approval is retained. A contractual permission should not be inferred from a transfer that happened to pass a technical check.
7. Add governing law, forum, notices, and remedies
State governing law, dispute forum, notice mechanics, contractual remedies, indemnities, and treatment of conflicts between the agreement, allocation record, and token code. Include the method for signing amendments and the version that controls.

Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitches8. Document technical enforcement and privileged access
If code enforces the restriction, record:
- contract address and network;
- source-code version, compiler or build identifier where relevant, and deployment transaction;
- the schedule and parameters stored on-chain;
- administrator, upgrade, pause, mint, burn, and allow-list permissions;
- key holders, custody arrangements, and approval thresholds;
- the process for rotating keys and revoking access;
- independent review or audit reports and their dates; and
- the procedure for correcting an erroneous entry or handling a chain interruption.
An audit demonstrates that code was reviewed against a defined scope. It is not a guarantee of security, legal compliance, or correct operation after later upgrades.
Build one authoritative lock-up register
Use one controlled register as the operational source of truth, with links to the signed agreement, allocation evidence, wallet verification, approvals, and on-chain references. Give every version an effective date and preserve prior versions rather than overwriting them.
| Register field | What to record | Why it matters |
|---|---|---|
| Participant and capacity | Legal name, role, signing authority, and agreement identifier | Shows who is bound and who can act |
| Token definition | Network, contract address or identifier, token class, decimals, and allocation source | Prevents a ticker or label from being mistaken for a unique asset |
| Wallet or account | Address, custody type, verification evidence, and approved-holder status | Connects a person or entity to the balance being restricted |
| Schedule | Start, cliff, release dates, quantities, cadence, time zone, and rounding rule | Creates a testable release obligation |
| Current restricted amount | Original allocation, released amount, transfers, and remaining restricted balance | Allows reconciliation after each event |
| Conditions and exceptions | Trigger, evidence, approver, decision date, and expiration | Separates authorized exceptions from unexplained movements |
| Technical controls | Contract version, parameter values, privileged keys, and audit reference | Shows how written terms map to code |
| Change history | Old value, new value, reason, approver, effective time, and source document | Preserves an auditable chain of decisions |
A practical record can be represented in a controlled data structure such as:
{
"agreement_id": "...",
"participant": "...",
"token": {"network": "...", "contract": "...", "class": "..."},
"wallet": "...",
"allocation": "...",
"restricted_amount": "...",
"schedule": [{"release_at": "...", "amount": "...", "condition": "..."}],
"exceptions": [],
"source_documents": [],
"version": "...",
"effective_at": "..."
}
The values are placeholders for your records, not a legal template. Store the signed agreement and immutable evidence separately from editable operational fields.
Monitoring workflow
1. Establish a baseline before the first release
Reconcile the signed allocation to the register, the approved wallet, and the on-chain balance. Capture the deployment transaction, current contract parameters, allow-list state, and the block or transaction references that establish the starting point. Have a reviewer who did not enter the data confirm the baseline.
2. Reconcile at a risk-based cadence
At a cadence appropriate to the value, holder risk, release frequency, and technical design, compare:

- the contractual allocation and remaining restricted amount;
- the register’s wallet and eligibility status;
- on-chain balances and transfer events;
- release transactions and schedule parameters; and
- administrator, upgrade, pause, or allow-list actions.
No source reviewed establishes a universal daily, weekly, or monthly frequency. Document why your cadence is suitable, increase it around a release or incident, and retain the review timestamp, reviewer, data sources, block or transaction references, exceptions, and resolution.
3. Alert on events that can change exposure
Configure alerts for completed and attempted transfers, unexpected balance changes, schedule edits, allow-list changes, privileged calls, contract upgrades, pauses, and failed releases. Distinguish an attempted transaction from a settled transfer. Confirm the relevant network’s finality before marking an event complete; the appropriate confirmation threshold depends on the network and is not set by the sources used here.
4. Recheck identity and eligibility
For every address change or transfer to a controlled holder, verify the address, the holder’s eligibility, and the approval evidence. A technically valid transfer can still violate the written agreement or an eligibility rule. Review whether the internal register has become stale after corporate changes, wallet migrations, or custody arrangements.
5. Review code and permissions
Before deployment and periodically afterward, review the code relied on for restrictions, the configured schedule, and all privileged permissions. Compare the deployed bytecode or verified source to the approved version. Confirm that key holders and multisignature thresholds remain current. The FCA’s authorized-fund guidance describes regular smart-contract audits as a relevant control in that context; treat an audit as evidence of review, not as a complete assurance.
6. Preserve evidence and close exceptions
For each discrepancy, preserve the agreement version, register snapshot, wallet evidence, logs, transaction hashes, block references, screenshots where useful, and reviewer notes. Record whether the event is an unauthorized transfer, data error, delayed release, stale allow list, chain reorganization, or service interruption. Escalate to the designated authority, suspend or pause only where the agreement and system permit it, notify affected parties, correct the authoritative record, and document the final disposition.

Handling mismatches and incidents
Balance differs from the register
Freeze the affected reconciliation item, not necessarily every account, while you compare the last approved snapshot, release events, transfers, burns, mints, and pending transactions. Check whether the difference is a decimal conversion, a chain migration, a custodian ledger issue, or an unauthorized movement. Correct the register only after the evidence and approval are recorded.
Best Value
A transfer bypasses the intended restriction
Preserve the transaction and agreement versions immediately. Determine whether the transfer was technically blocked, technically allowed but contractually prohibited, or within an approved exception. Notify the contractual decision-maker, assess any notice or remedy requirement, and avoid retroactively rewriting the schedule without a documented amendment.
The contract or allow list is wrong
Use the emergency procedure defined in the agreement and technical design. Identify who can pause, upgrade, or correct the control; require the stated approval threshold; capture the before-and-after parameters; and communicate the impact to affected holders. FCA material on authorized funds emphasizes procedures for identifying and remedying incorrect register entries and considering network interruption. Those controls are especially important where an erroneous entry could send units to an ineligible holder.
Legal and regulatory scope
The SEC interpretive release issued March 17, 2026, with an effective date of March 23, 2026, addresses specified crypto assets and transactions under U.S. federal securities laws. It does not decide the legal status of every token or agreement. The SEC Division of Corporation Finance crypto-asset FAQ, updated September 28, 2026, states that its answers are staff views, not rules or regulations, and have no legal force or effect.

The FCA material discussed above concerns authorized UK funds using distributed ledger technology. Its observations about registers, eligible holders, allow lists, audits, and network interruption should not be presented as a universal rule for token projects in other sectors or jurisdictions. The older 2017 SEC statement remains useful for investor-diligence and substance-over-form principles, but it should not be treated as proof that the law has remained unchanged.
Before relying on a lock-up, obtain advice on the issuer’s and holders’ jurisdictions, offering exemptions, securities or financial-promotion rules, transfer restrictions, tax, reporting, privacy, sanctions, custody, and insolvency treatment. Keep that advice with the agreement and record the date and scope of the legal review.
Common documentation failures
- Ticker-only identification: two contracts or networks can use similar symbols. Record the network and contract identifier.
- Undated spreadsheets: an unexplained change cannot show whether a release was authorized. Version every schedule.
- Wallets without ownership evidence: an address is not a person. Record verification and custody status.
- Code treated as the whole agreement: technical behavior may not express remedies, notices, or legal exceptions.
- Undefined administrator powers: state who can change schedules, keys, and allow lists and what approvals are required.
- Ignoring failed or pending transactions: distinguish attempts, confirmations, reversals, and final settlement.
- Audit as a guarantee: an audit has a scope and date; later upgrades or configuration changes may fall outside it.
- No correction path: define how an incorrect register entry, key compromise, chain interruption, or legal-process transfer is handled.
Operational sign-off checklist
- Every party, capacity, authority, and notice address is identified.
- The token network, identifier, contract address, class, quantity, and allocation source are recorded.
- Each wallet has ownership or custody evidence and an eligibility status where required.
- Start, cliff, installment dates, time zone, rounding, conditions, and chain-delay treatment are explicit.
- Permitted transfers, prohibited actions, exceptions, approvers, and retained evidence are defined.
- Governing law, forum, amendment process, remedies, and document precedence are stated.
- Contract address, deployed version, privileged keys, upgrade and pause powers, and allow-list ownership are documented.
- The authoritative register has a version, effective date, reviewer, and preserved history.
- Monitoring alerts cover transfers, releases, schedule edits, permissions, and discrepancies.
- Incident, correction, communication, and escalation procedures have named owners.
- Legal review covers the relevant jurisdictions and is dated to show its scope.
Bottom line
Document the lock-up as both a legal commitment and an operational control. A precise schedule, verified wallet and allocation records, permission governance, dated evidence, and risk-based reconciliation make it possible to detect a mismatch before it becomes an untraceable release. Keep the written rights, the technical implementation, and the monitoring record linked—but never assume that one substitutes for the others.
