UK and US companies do not use one shared fiscal-year timetable. A company chooses (or is assigned) its own year-end, quarter dates and reporting schedule. To compare two issuers, ignore the labels “Q1”, “H1” and “FY” until you have recorded the exact start date, end date and length of each period. Then keep three separate dates: the period end, the regulatory filing or publication deadline, and the company’s voluntary investor-relations earnings-announcement date.
December 31 is a common US year-end, but it is not universal. In the UK, a Companies House accounting reference date, a tax accounting period and a market-reporting period can be related without being identical. The process below gives you a consistent way to line up periods and earnings events without treating unlike reporting periods as comparable.

What “fiscal year” means in the UK and the US
A fiscal year (also called a financial year) is the 12-month accounting period a company uses to prepare annual financial statements. The name of a quarter is only a label; the dates behind the label control what the reported revenue, profit, cash flow and balance-sheet figures actually cover.
Companies can select a year-end that suits their operations. Retailers often prefer a week-based calendar that ends on a consistent weekday, while other businesses use a month-end or December 31. A year can also be shortened or lengthened when a company changes its year-end, although the resulting transition period must be identified before you compare it with a normal year.

| Question | UK issuer | US issuer |
|---|---|---|
| What establishes the year-end? | Companies House accounting reference date (ARD) for statutory accounts; the issuer’s own reporting policy for market announcements. | The closing date adopted by the issuer. If no closing date has been adopted, SEC guidance presumes calendar year-end. |
| Normal year length | Usually 12 months for annual accounts. | No more than 12 months for a fiscal year. |
| Can the period differ from the tax period? | Yes. HMRC’s Corporation Tax accounting period is normally the same as the annual-accounts financial year, but it can differ when a period is lengthened or shortened. | The SEC reporting period and tax year are separate questions; use the issuer’s filed reporting dates rather than assuming they match. |
| Are quarterly labels standardized? | No. “Q1” may cover any three-month interval selected by the issuer. | No. “Q1” is defined by the issuer’s adopted fiscal year and may not be January–March. |
| What date matters for comparison? | The exact beginning and end of the reported period, plus the publication date. | The exact beginning and end of the reported period, plus the SEC filing date and any separate earnings-release date. |
Companies House describes the usual financial year as “a 12 month period for which you prepare accounts.” That description is a starting point, not permission to infer a calendar year from a quarter label.
How UK fiscal years are set
Companies House accounting reference dates
A UK company’s statutory accounting timetable is anchored to its accounting reference date. For a new company, the first accounting reference date is the last day of the month in which the anniversary of incorporation falls. For example, a company incorporated on 14 May will normally have an initial accounting reference date of 31 May in the following year. The company can later change its accounting reference date, creating a shortened or extended accounting period that must be treated as a transition period.
Companies House permits accounts to be made up to a date up to seven days before or after the accounting-reference-period end. Therefore, an accounts period ending near an ARD may not end on the exact nominal date you expected. Store the actual “period ended” date shown in the accounts.

HMRC states that a Corporation Tax accounting period cannot be longer than 12 months. It is normally the same as the financial year in the annual accounts, but it can differ when a company lengthens or shortens a period or has a closing period. A tax return can consequently have a different end date from the annual report you are using for an investor comparison.
When your question concerns earnings, revenue growth or an annual report, use the issuer’s financial-reporting period. When it concerns a Corporation Tax filing deadline or taxable profits, use the HMRC accounting period. Do not substitute one for the other.

UK market-reporting periods
A listed UK issuer may present “Q1”, “H1” or “nine months” in an investor announcement using a timetable that follows its financial year but is not itself a statutory Companies House filing. The issuer’s results announcement should state the period covered. Capture that date rather than normalizing it to calendar quarters.
How US fiscal years are set
Adopted closing date
US companies select a fiscal-year closing date in their governing and reporting documents. SEC guidance says, “Fiscal year-end is presumed to be calendar year-end if no closing date has been adopted.” That presumption matters when a filing or data record does not show an explicitly adopted alternative. It does not make December 31 a universal US year-end.
SEC guidance also limits a fiscal year to 12 months. A company that changes its year-end can therefore produce a transition report that is shorter than a normal year; a period longer than 12 months is not a normal fiscal year and should not be compared with one.
Calendar-year and week-based US calendars
Many US issuers report on a December 31 year, making their quarters resemble January–March, April–June, July–September and October–December. Others use a month-end or a 52/53-week calendar, often ending on a particular weekday. A 53-week year adds an extra week to one quarter or to the annual period, so growth rates may reflect both business performance and the extra days.
Step-by-step method for comparing two issuers
- Identify each issuer and reporting basis. Record the legal entity, exchange or market, reporting framework disclosed by the issuer (such as UK-adopted IFRS or US GAAP), and the document date. A parent and a subsidiary can have different reporting calendars.
- Write down each fiscal-year end. Use the exact date in the annual report or regulatory filing. Do not infer December 31 from a US company’s nationality or infer March 31 from a UK company’s domicile.
- Record every period’s start and end dates. For each Q1, Q2, Q3, Q4, H1, nine-month and FY figure, store both boundaries and the number of days or months covered. A US EDGAR record exposes “Fiscal Year End” and “Period of Report” as separate fields, illustrating why a period end must not be confused with a filing date.
- Check the period length. Match three months with three months and six months with six months. Flag 52/53-week periods, 4-4-5 calendars, 13-week quarters, 53-week years and any period shorter or longer than the issuer’s usual interval.
- Flag transition periods. If the issuer changed its year-end, label the first report after the change as a transition period. Do not call a five-month transition report “Q1” merely because it is the first report in the new cycle.
- Adjust for corporate changes. Acquisitions, disposals and discontinued operations can change what a period contains even when the dates line up. Keep the reported dates comparable first; then read the accounting notes for scope changes.
- Add publication deadlines. Put the regulatory deadline beside, not in place of, the period end. UK in-scope issuers have an annual-report deadline under FCA DTR 4.1; US domestic issuers have filer-specific Form 10-K and Form 10-Q deadlines.
- Add the issuer’s announced earnings date. Treat an investor-relations announcement as a separate event. Verify it on the company’s investor-relations site and, for US issuers, against the EDGAR filing. For UK issuers, check the relevant regulated-news announcement where applicable.
- Normalize time zones. Store the issuer’s stated time zone and convert the event to your calendar’s zone. “Before market open” and “after market close” can fall on different UTC dates for readers in Europe, North America and Asia.
Why Q1, Q2, H1 and FY labels can mislead
Quarter labels describe position within an issuer’s year, not a universal calendar interval. Consider this illustrative comparison:

| US company (illustrative) | 31 December | 1 January–31 March | 1 April–30 June | 1 January–30 June |
The UK company’s Q1 overlaps the US company’s Q2 for part of the calendar, while their H1 periods do not cover the same six months. Comparing “Q1 revenue” without the date ranges would produce a false like-for-like comparison.
Even when both issuers use December 31, one may report calendar months and the other may use 13-week quarters. Check the number of days and the comparative period printed in the financial statements.
Regulatory deadlines versus earnings-announcement dates
UK annual financial reports
For an issuer within FCA Disclosure Guidance and Transparency Rules (DTR) 4.1, FCA DTR 4.1.3R requires the annual financial report to be made public at the latest four months after the end of each financial year. The report includes audited financial statements, a management report and responsibility statements. The four-month rule is a latest publication deadline; it is not a promise that the company will release earnings on that date.
For example, if an in-scope issuer’s financial year ends on 30 September, the four-month outer limit falls at the end of January, subject to the applicable rules and calendar conventions. The issuer may publish much earlier, and its preliminary results announcement may precede the complete annual report.
US Form 10-K and Form 10-Q deadlines
US domestic issuers report annually on Form 10-K and quarterly on Form 10-Q. The SEC’s acceleration framework describes Form 10-K deadlines of 60, 75 or 90 days and Form 10-Q deadlines of 35, 40 or 45 days, depending on filer category and the relevant fiscal-year period. Because the category determines the applicable number, record the deadline shown for that issuer rather than applying one number to every US company.

These are filing deadlines, not universal earnings-release dates. A company may issue a press release, hold a conference call or publish presentation materials before filing, after filing or on a separate schedule.

How to build a reliable UK–US earnings calendar
Use a three-date record for every event
Create one record per reporting period with these fields:
- Issuer and ticker or identifier: identify the legal reporting entity, not only a brand name.
- Fiscal year-end: the issuer’s adopted closing date.
- Period start and end: exact dates and duration, such as 13 weeks, three months or six months.
- Regulatory document: annual report, interim report, Form 10-K, Form 10-Q or another applicable filing.
- Regulatory deadline: the latest date by which the filing or report must be public.
- Announced release date and time: the voluntary investor-relations event, including time zone and “before open” or “after close” wording.
- Verification timestamp: when you last checked the issuer’s notice, because announced dates can change.
Verify rather than trust a calendar feed
Third-party calendars can normalize dates incorrectly when they treat every Q1 as January–March or every annual report as a filing deadline. Use the issuer’s investor-relations announcement as the primary evidence for an earnings date. For US issuers, compare it with the EDGAR filing once available. For UK issuers, check the regulated-news announcement where the issuer uses one. If the issuer has not announced a date, mark the event as unconfirmed instead of presenting an estimate as fact.
Separate expected, announced and filed statuses
| Status | Meaning | Safe display |
|---|---|---|
| Expected | A forecast from a data provider or historical pattern. | “Estimated; not confirmed by issuer.” |
| Announced | The issuer has published a date or time. | “Issuer-announced earnings date.” |
| Filed or published | The regulatory report or annual report is available. | Show the actual filing/publication timestamp and period end. |
Special cases that break simple comparisons
52- and 53-week years
A 52/53-week calendar divides the year into weeks rather than calendar months. A 53-week year contains an extra week, usually assigned to one quarter. Compare the number of weeks and use the issuer’s stated comparable period before calculating growth, margins or per-share figures.

A 4-4-5 calendar groups months into four weeks, four weeks and five weeks. Its “month” and quarter boundaries will not coincide with calendar month-ends. The label Q2 still means the second quarter of that company’s year, not April–June.

Year-end changes and stub periods
Changing from a March year-end to a December year-end, for example, can create a nine-month transition period. Treat that report as a stub period, show its exact dates and avoid annualizing its revenue without an explicit, justified method. The first full year under the new year-end may also have a non-matching comparative period.
Acquisitions, disposals and discontinued operations
Two periods can have identical dates but different business scope. An acquisition may contribute only part of the current period; a disposal may remove a business from continuing operations. Use the issuer’s restated comparative figures and segment notes when available, and label any scope break in your dataset.
First, final and closing periods
A newly incorporated company, a company entering liquidation or a company changing its year-end can have an initial or closing period that is not a normal 12-month cycle. UK tax accounting periods can also be split or shortened. Do not force those periods into a standard Q1–Q4 sequence.
Time zones, weekends and market conventions
An announcement dated 31 January in London may appear as 30 January in a North American calendar if it was released late in the UK evening, while a US “after market close” release can arrive on the next UTC date for readers elsewhere. Preserve the issuer’s local timestamp, then store a converted timestamp for your audience.
Regulatory deadlines that fall on a weekend or holiday may be governed by the applicable filing system’s business-day convention. Use the deadline published for the issuer and filing type rather than moving it manually. For an earnings calendar, display both the local date and the time-zone abbreviation when the time is known.
Common mistakes and how to correct them
- Assuming every US company ends on December 31: read the adopted fiscal-year end in the filing.
- Assuming a UK company’s tax year equals its reporting year: check whether HMRC’s accounting period was lengthened, shortened or otherwise split.
- Comparing Q1 labels directly: align exact start and end dates and period length first.
- Using a filing date as the period end: store “Period of Report” separately from the submission or publication date.
- Treating a preliminary-results date as the annual-report deadline: keep the voluntary announcement and the regulatory publication deadline as separate events.
- Ignoring 53-week years: flag the extra week before computing growth rates.
- Hiding a transition period: label the stub period and explain why it is shorter or longer than normal.
- Publishing an unconfirmed earnings date as certain: mark estimates clearly and update them when the issuer announces the date.
- Dropping time-zone information: retain the issuer’s local time and the converted calendar time.
A practical comparison worksheet
For each UK–US pair, fill in the following worksheet before drawing a conclusion:
| Field | UK issuer | US issuer |
|---|---|---|
| Legal reporting entity | Enter issuer name | Enter issuer name |
| Fiscal-year end | Exact date from annual or interim report | Exact date from SEC filing |
| Calendar type | Month-end, calendar, 52/53-week or other | Month-end, calendar, 52/53-week or other |
| Comparable period | Start date, end date and duration | Start date, end date and duration |
| Transition or stub period? | Yes/no and explanation | Yes/no and explanation |
| Regulatory deadline | Applicable FCA or other deadline | Applicable SEC filing deadline |
| Issuer-announced earnings date | Date, time and time zone, or unconfirmed | Date, time and time zone, or unconfirmed |
| Source document date | Date checked | Date checked |
Bottom-line decision rule
Two companies are comparable only after their exact reporting intervals, durations, accounting basis and business scope have been checked. Build the calendar in layers: period end first, regulatory deadline second, and issuer-announced earnings event third. That method prevents the most common errors—treating December 31 as universal, matching Q1 labels instead of dates, and confusing an earnings release with the date a report is legally due.
