Compare companies on the same fiscal year and the same definition of total compensation, then read CEO pay, median-employee pay, the disclosed pay ratio, and company scale side by side. The CEO-to-median-employee ratio is useful context, but it is not a size-adjusted score: SEC rules allow flexibility in employee selection, calculations, estimates, and exclusions, so ratios from different companies may not be directly comparable.
Why company size makes executive-pay comparisons difficult
A large multinational and a smaller specialist can report very different CEO compensation for legitimate reasons. Their revenue, market value, geographic reach, risk profile, business model, workforce mix, and use of equity incentives may all differ. A comparison that looks only at the largest dollar figure can therefore mistake scale or compensation design for overpayment.

The commonly cited pay ratio adds another layer. It compares a CEO’s reported annual total compensation with the annual total compensation of the company’s median employee. The result describes the relationship between two reported figures; it does not automatically adjust for company size, industry, geography, job mix, part-time work, or the way the company selected its median employee.
- CEO total compensation can include salary, bonus or non-equity incentives, stock awards, option awards, pension changes, and other compensation.
- Median employee compensation depends on which workers are included and which compensation measure the company uses to identify the midpoint.
- The ratio can change because of a one-time equity award, a different employee population, a different fiscal year, or a different calculation method.
- Company size should be shown as separate context—such as revenue, market capitalization, or employee count—not silently built into an invented “correct” ratio.
What public companies disclose under Item 402(u)
For registrants covered by Item 402(u) of Regulation S-K, the proxy disclosure includes the CEO’s annual total compensation, the annual total compensation of the median employee, and the ratio between them. The ratio is calculated as CEO compensation divided by median-employee compensation.

The requirement does not apply to emerging growth companies, smaller reporting companies, or foreign private issuers. A missing ratio therefore does not, by itself, indicate that a company failed to file a required disclosure; first check whether the issuer is in a covered category.
| Issuer or disclosure item | What to expect | Why it matters in a comparison |
|---|---|---|
| Registrant covered by Item 402(u) | CEO annual total compensation, median employee annual total compensation, and the ratio | Provides a common starting point, subject to each company’s methods |
| Emerging growth company | Item 402(u) is not required | Do not treat a missing ratio as evidence of unusually low or high pay |
| Smaller reporting company | Item 402(u) is not required | Use other disclosed compensation data, if available, and label the gap |
| Foreign private issuer | Item 402(u) is not required | Disclosure may not be directly comparable with a domestic registrant’s table |
The SEC Division of Corporation Finance’s September 21, 2017 guidance states:
Item 402(u) of Regulation S-K sets forth the disclosure requirements and provides registrants with substantial flexibility to determine the pay ratio.

Start with a genuinely comparable sample
Match the business context
Begin with companies that have broadly similar products, business models, and labor structures. A software company staffed mainly by highly paid engineers is not an obvious peer for a retailer with thousands of hourly workers, even if their market capitalizations are close. If you must compare different sectors, make that difference explicit and treat the result as descriptive rather than a peer ranking.
Align fiscal years and disclosure dates
Record each company’s fiscal year, the year-end date, and the date of the proxy or annual filing. A 2025 compensation figure at one company should not be compared with a 2024 figure at another without a clear explanation. If one company has a non-calendar fiscal year, use the company’s stated period rather than relabeling it as a calendar year.
Keep a comparison record
For every company, record the issuer name, filing type, fiscal year, currency, CEO identity for that period, employee count if disclosed, and the exact page or table where each figure appears. This audit trail prevents a ratio from being detached from the assumptions that produced it.
Use the same compensation definition
Like-for-like work starts with annual total compensation, not salary alone. Item 402 uses the executive-compensation definition of annual total compensation. A salary figure from one company cannot be fairly compared with a total-compensation figure from another.
| Component | What to examine | Comparison warning |
|---|---|---|
| Salary | Base cash salary reported for the fiscal year | Usually only one part of total compensation |
| Bonus and non-equity incentives | Annual or long-term cash incentive amounts recognized for the year | Payout timing and performance thresholds can make annual values volatile |
| Stock awards | Grant-date or otherwise reported value under the company’s compensation table | A large grant can dominate total compensation even though it is not current cash |
| Option awards | Reported option value under the applicable compensation disclosure | Valuation assumptions and vesting schedules affect the reported amount |
| Other compensation | Pension changes, perquisites, severance, or other listed items | One-time items can distort a single-year comparison |
| Annual total compensation | The reported total used for the CEO and, where applicable, the median employee | Use the same definition for every company in the set |
Separate level from mix
Show both the total and its components. Two CEOs can have the same total while one receives mostly salary and the other receives mostly equity and incentives. Conversely, a sharp year-over-year increase may reflect a scheduled equity grant rather than a permanent increase in annual cash pay. Explain which measure drives your conclusion.

Keep units and currencies consistent
State whether figures are in dollars, another currency, or millions of currency units. If conversion is necessary, disclose the exchange-rate date and method. Do not combine converted figures with unconverted figures in one ranking.
Inspect how each company found its median employee
The median employee is not necessarily the person at the middle of a simple payroll list. Companies have flexibility in defining the employee population and identifying the midpoint. They may use a consistently applied compensation measure, statistical sampling, and reasonable estimates when appropriate.
Employee population
Read whether the population includes full-time, part-time, temporary, seasonal, and overseas employees. Note the selected date used to establish the population. A company with many part-time or seasonal workers can produce a very different median from a company with a mostly full-time professional workforce.

Record the measure used to rank employees before selecting the median. It may differ from the final annual total-compensation calculation. Do not assume that every company uses identical payroll fields simply because each reports a pay ratio.
Geographic adjustments and permitted exclusions
Identify any cost-of-living or geographic adjustments, exclusions, de minimis treatments, or other permitted choices described in the filing. These details can materially affect the employee pool and the resulting midpoint.
Sampling and estimates
Note whether the company used statistical sampling or estimated compensation for some workers. SEC staff guidance allows reasonable estimates and sampling in appropriate circumstances. An estimate is not automatically unreliable, but it is a reason to avoid presenting the resulting ratio as precisely comparable with a ratio calculated from a full payroll census.
| Method detail to capture | Question to ask | Effect on interpretation |
|---|---|---|
| Population date | Which date determined who was included? | Workforce changes near year-end may shift the median |
| Worker categories | Were part-time, seasonal, temporary, and international workers included? | Different labor mixes can move the median substantially |
| Ranking measure | What consistently applied measure identified the midpoint? | It may not equal the final annual total-compensation definition |
| Sampling | Was a sample used instead of the entire population? | Sampling introduces methodological choices that need disclosure |
| Estimates | Were reasonable estimates used for missing or unavailable values? | Estimated values should not be treated as identical to audited payroll data |
| Exclusions and adjustments | Did the filing describe exemptions or geographic adjustments? | These choices can limit cross-company comparability |
Calculate and interpret the CEO-to-median-employee ratio
Use this formula:
Pay ratio = CEO annual total compensation ÷ median employee annual total compensation
Recommended Free Tools
If a CEO’s reported total is $10 million and the median employee’s reported total is $100,000, the ratio is 100:1. The arithmetic is simple; the interpretation is not. The denominator reflects the company’s selected population and method, while the numerator may include equity and one-time awards.

A company-specific worked example
Dropbox’s 2026 proxy reported an 8:1 ratio for its 2025 compensation year, with CEO compensation of $2,166,622 and median employee compensation of $286,151. Those figures illustrate the calculation: $2,166,622 divided by $286,151 is approximately 7.57, which the company reported as 8:1 after rounding. They are company-specific figures, not a representative benchmark for technology companies or a target ratio.
What a high or low ratio can and cannot tell you
- A higher ratio may reflect higher CEO compensation, a lower median employee compensation, or both.
- A lower ratio may reflect a lower CEO total, a higher-paid workforce, or both.
- A one-time equity award can raise the numerator sharply for one year.
- A change in workforce composition or employee-selection method can move the denominator without a comparable change in ordinary wages.
- The ratio alone does not establish fairness, executive performance, pay adequacy, or whether a board made a sound compensation decision.
A company proxy statement warns that permitted differences in methodology, exemptions, estimates, and assumptions can make one company’s ratio incomparable with another company’s ratio. Treat that warning as a core part of the disclosure, not as a footnote to be ignored.
Add company-size context without inventing an SEC standard
The SEC materials do not establish a universal formula for normalizing executive pay by company size. You may calculate additional measures, but they are analytical choices and must be labeled as such.
Free tools Windows power users keep installed
One-click scans. No signup required.
| Context measure | How to use it | Limit |
|---|---|---|
| Revenue | Show CEO total compensation alongside the same-period revenue, or calculate compensation as a percentage of revenue | Revenue recognition, margins, and business models differ; the percentage is not an SEC-required measure |
| Market capitalization | Compare compensation with the market value measured on a stated date | Market value changes daily and reflects investor expectations, not just current operating scale |
| Employee count | Display CEO compensation and median compensation with the workforce size | Headcount does not describe skill mix, hours, geography, or contractor use |
| Enterprise value or assets | Use when those measures fit the business model and are clearly defined | Different capital structures and accounting policies limit comparability |
| Peer-group position | Compare a CEO’s total with a deliberately selected, similar peer group | Peer selection and percentile calculations are judgment calls, not universal standards |
Disclose every analytical choice
For any additional ratio, state the numerator, denominator, period, currency, sample, and reason for using it. For example, “CEO annual total compensation divided by fiscal-year revenue” is reproducible; “pay adjusted for size” is not. Keep the official pay ratio in its own column so readers can distinguish company-reported data from your calculations.
Do not force one denominator to answer every question
Revenue may be useful for comparing operating scale, employee count for workforce intensity, and market capitalization for investor valuation. None is a complete measure of organizational complexity. Showing several context measures is more transparent than declaring one to be the correct size adjustment.
Analyze changes over time before comparing companies
A one-year cross-company snapshot can hide the reason compensation changed. Build a short time series for each company when filings permit.
- Record CEO total compensation for each fiscal year.
- Break the total into salary, incentives, stock, options, and other compensation.
- Record median employee compensation and the reported ratio for each year.
- Check whether the employee population, selected date, or calculation method changed.
- Identify one-time grants, severance, sign-on awards, or unusually large incentive payouts.
- Compare the timing of compensation changes with the company’s stated performance measures, without assuming correlation proves causation.
This approach distinguishes a persistent compensation pattern from a single grant or a denominator change. It also prevents a company with a newly appointed CEO from being treated as if the reported year represented a settled long-term package.

Comparing salary with total compensation
Problem: Salary is treated as the CEO’s entire pay while another company’s equity and incentives are included.
Correction: Use annual total compensation for the primary comparison, then show salary and other components separately.
Ignoring fiscal-year mismatch
Problem: Figures from different periods are presented as if they were contemporaneous.
Correction: Label the fiscal year and year-end date in every table and explain any unavoidable mismatch.
Assuming the median employee is calculated identically everywhere
Problem: A ratio is treated as standardized because the same disclosure label appears in several proxies.
Correction: Read the population, date, ranking measure, sampling, estimates, exclusions, and geographic adjustments for each filing.
Calling an invented size adjustment an SEC rule
Problem: A per-revenue or per-employee figure is presented as an official normalization.

A reproducible workflow for an analyst or editor
- Define the question. Decide whether you are comparing absolute CEO pay, workforce distribution, compensation mix, or a size-context measure. One table can contain several answers, but each column needs a defined purpose.
- Set inclusion rules. Choose the sector, fiscal-year window, issuer categories, currency, and treatment of companies without Item 402(u) disclosure before collecting figures.
- Collect the filings. Use the proxy or annual disclosure for the relevant year and record the filing date and fiscal period.
- Extract like-for-like totals. Capture CEO annual total compensation and median employee annual total compensation exactly as reported, then capture every major component.
- Document the median method. Summarize population date, worker categories, ranking measure, sampling, estimates, exclusions, and geographic treatment.
- Recalculate the ratio. Divide the reported CEO total by the reported median total and check rounding against the company’s displayed ratio.
- Add scale columns. Include revenue, market capitalization, employee count, or another measure only when its period and definition are stated.
- Run a comparability check. Flag fiscal-year mismatches, different currencies, one-time awards, workforce differences, and methodological changes.
- Write the interpretation. Describe what the figures show, identify plausible drivers, and separate documented facts from analytical judgment.
- Preserve the audit trail. Keep the source filing, page reference, extraction date, formulas, and any conversion assumptions with the published dataset.
How to present the final comparison
A useful table puts the disclosure and its context together rather than burying methodology in a footnote.
| Column group | Include |
|---|---|
| Period | Fiscal year, year-end date, filing date, and currency |
| CEO pay | Annual total compensation plus salary, incentive, stock, option, and other components |
| Employee pay | Median annual total compensation and the company’s definition or selection method |
| Ratio | Reported CEO-to-median ratio and, if recalculated, the unrounded arithmetic |
| Workforce context | Employee count, worker mix, geography, and any stated population exclusions |
| Scale context | Revenue, market capitalization, or another clearly defined measure for the matching period |
| Caveats | One-time awards, estimates, sampling, fiscal-year mismatch, currency conversion, and method changes |
Use a narrative that answers three separate questions: How much did the CEO receive under the reported definition? How much did the median employee receive under the company’s stated method? What company scale and workforce facts help explain the relationship? Keeping those questions distinct prevents a descriptive ratio from becoming an unsupported judgment.

What a defensible conclusion looks like
A defensible conclusion might say that one company reported higher CEO total compensation, that its median employee compensation was lower or higher, and that its resulting ratio was calculated under a particular population and estimation method. It can then state how revenue, market capitalization, or headcount differ, while making clear that those additional measures are analytical context rather than SEC standards.
A conclusion should not declare a company’s compensation fair or excessive solely from the ratio. Those judgments require a defined framework that can include performance, retention, governance, incentive design, and longer-term outcomes—evidence not captured by the pay-ratio disclosure alone.
The most reliable cross-company comparison is therefore layered: align periods and definitions, inspect the median-employee method, separate pay components, show scale measures independently, and disclose every calculation and limitation. The ratio is one evidence point within that framework, not a universal size-adjusted score.
