How to Compare Crypto Prime Brokers on Counterparty Risk, Custody, and Reporting

Compare crypto prime brokers by tracing each asset and obligation through the actual contracts—not by relying on the “prime broker” label. Identify which legal entity executes, finances, settles, and safeguards assets; where client assets are held; what happens if a provider or affiliate fails; and whether reports can be reconciled to independent records.

Start with the legal and service map

“Crypto prime broker” is a commercial description, not a uniform legal status. Providers may bundle execution, financing, settlement, custody, and reporting differently, and a single offering may involve several legal entities. Compare the services and agreements actually applicable to your account, not the marketing category.

  1. Identify the contracting entities. Record the legal name, jurisdiction, and role of each entity involved in execution, financing, settlement, custody, and reporting. Confirm regulated status and permissions against the relevant official registers, for the specific activity and geography.
  2. Trace each asset and transaction. Map where assets move, which entity receives them, who controls transfers, and who owes you cash or crypto at each stage. Include venues, affiliates, lenders, custodians, and technology providers.
  3. Match each service to its governing documents. Review executed master agreements and service-specific terms, including custody, collateral control, give-up, settlement, default, close-out, netting, and reuse provisions. Do not assume one agreement governs every leg.
  4. Compare equivalent scenarios. Use the same assets, venues, settlement timing, collateral assumptions, and stress events for every provider. A protection available for one asset, entity, or jurisdiction may not apply to another.

Keep an entity-and-service map as the front page of the comparison. It prevents protections described for one affiliate or service from being mistakenly attributed to the entire platform.

Trace counterparty risk through the transaction

Counterparty exposure follows the legal structure of the transaction. For every trade, determine who becomes obligated to you, when that obligation attaches, and whether it survives the failure of an exchange, venue, affiliate, or settlement provider.

FinCEN describes an OTC foreign-exchange and derivatives prime-broker arrangement in which a trade accepted for give-up becomes binding between the executing dealer and prime broker, exposing the dealer to the prime broker’s credit risk. That guidance is not about crypto; its useful lesson is to inspect the crypto contract’s acceptance, settlement, and default mechanics rather than infer them from the service name. See FinCEN’s guidance on executing dealers.

  • Principal and acceptance: Which entity is principal for each execution? What event constitutes acceptance, and can a trade be rejected, amended, or left pending?
  • Payment and delivery: Who owes the client each leg of settlement? What happens if an exchange or venue fails after execution but before delivery?
  • Credit and collateral: Which exposures are unsecured? How are credit limits monitored? What collateral is accepted, how is it valued and haircut, and who controls it?
  • Reuse and liquidation: Can the provider rehypothecate or otherwise reuse collateral? Is consent explicit? Can it change terms or liquidate assets, and under what triggers and notice provisions?
  • Default and netting: What events of default apply? How are positions valued and closed out, and what netting or set-off rights exist across entities, accounts, and products?

Request executed master agreements, give-up and settlement terms, default provisions, and available close-out and netting opinions. Pair these with the credit and margin methodology, collateral schedule, control agreement, reuse consent, and stress or concentration limits. A provider’s credit and collateral promises are difficult to compare without knowing which entity owes them and what remedies the documents permit.

Test custody and insolvency treatment asset by asset

Custody diligence asks more than where a wallet is hosted. Establish who holds each asset and its keys, how the client’s interest is characterized, whether holdings are segregated, and what happens if the custodian or another entity in the chain becomes insolvent. The answer can vary with asset classification, jurisdiction, account structure, and contract.

In the United States, SEC staff FAQs say that non-security crypto assets are not protected by SIPA and may not be covered by another specific insolvency regime. Do not infer that broker-dealer status or SIPC membership protects every crypto balance. The SEC staff FAQs address specific broker-dealer custody and SIPA questions; the SEC’s 2026 interpretation provides further interpretation on certain crypto assets and transactions. Classification and legal consequences remain fact-specific.

For covered EU crypto-asset custody providers, MiCA Article 75 requires client holdings to be segregated from the provider’s own holdings and legally and operationally from its estate. It also addresses custody agreements, records, policy, periodic statements, return procedures, and liability for attributable loss. These requirements do not automatically cover every service sold as prime brokerage: establish the provider’s authorization and whether the particular service, client, and asset fall within scope. See MiCA Article 75.

  • Asset and legal interest: Is the client’s interest proprietary, custodial, contractual, or otherwise characterized? Ask for the analysis applicable to the asset and jurisdiction, not a generic platform statement.
  • Account and wallet structure: Are assets individually attributed or held in omnibus arrangements? How are client entitlements reflected in books and, where relevant, on-chain?
  • Insolvency and return: What contractual process governs asset return, and what could delay or prevent it? Request jurisdiction-specific legal analysis and any bankruptcy-remoteness opinion that is available.
  • Recovery and network events: Who can authorize transfers and recover access? How are key loss, network upgrades, forks, airdrops, and chain disruptions handled?

Do not treat segregation language as a complete answer to insolvency risk. Compare the contract, the practical account and wallet structure, and the legal treatment under the relevant jurisdiction together.

Verify key control, operational resilience, and outsourced custody

Separate three questions: who controls signing keys, whether the provider can actually transfer the asset, and whether the provider can recover or return it after disruption or insolvency. A description such as “institutional custody” does not answer those questions by itself.

In a December 17, 2025 statement, SEC Trading and Markets staff described conditions under which staff would not object to a broker-dealer deeming itself to have physical possession of customer crypto asset securities. The conditions discussed include direct access and transfer capability, a documented ledger and network assessment, controls against unauthorized key access, and plans for disruptions and insolvency-related transfers. This is a staff position in a stated broker-dealer context involving crypto asset securities, not a universal custody standard for all crypto providers. See the SEC staff statement.

Outsourcing does not remove the need to know who is responsible or to oversee the chain. FINMA’s January 12, 2026 release warns that foreign custody can create complex legal issues, particularly if a custodian becomes insolvent, and says responsibility remains with authorized financial institutions using providers. EU delegated rules also call for information about third-party custodians, delegated functions, sub-delegation, conflicts, and supervision. See FINMA’s release and linked Guidance 01/2026 and EU Delegated Regulation 2025/303.

Compare reporting by its contents and reconciliation value

A dashboard is not a control unless its data is timely, defined, and reconcilable. Request redacted sample reports and field definitions. Check whether the reports show timestamped positions, transfers, collateral, liabilities, margin, valuation sources, reconciliation status, and the route for escalating discrepancies.

Regulatory reporting intervals differ by regime and scope. FCA CASS 9 requires a daily statement to be made available by covered prime-broker firms subject to the relevant custody rules. MiCA Article 75 requires covered crypto-asset custody providers to issue a position statement at least every three months and on client request; the statement identifies assets, balance, value, and transfers. Neither interval should be generalized to every crypto prime-broker service. See FCA CASS 9 and MiCA Article 75.

  • Positions and transfers: Are asset balances and movements timestamped and attributable to the correct entity, account, and service?
  • Credit exposure: Do reports show liabilities, collateral, margin, open obligations, and available credit in a way treasury and risk teams can reconcile?
  • Valuation: Are valuation sources and methods disclosed, with enough detail to explain differences from venue or internal marks?
  • Reconciliation and escalation: Can entries be checked against venue, custodian, and on-chain records? How are breaks identified, assigned, and resolved?
  • Usability: Can the data be exported in a stable format, and do reports distinguish pending from settled activity?

Apply the rules only within their jurisdiction and scope

Jurisdiction What to verify
United States SEC staff FAQs distinguish crypto assets that are securities from those that are not for specific broker-dealer custody and SIPA questions; non-security crypto assets are not protected by SIPA and may not have another specific insolvency regime. Asset classification, contracting entity, account structure, and the exact service and legal protections applicable. Consult the SEC FAQs and the SEC’s 2026 interpretation.
European Union MiCA Article 75 sets custody requirements for covered crypto-asset service providers and activities; not every prime-broker service is necessarily in scope. Provider authorization and whether the client, asset, and specific service fall under the article. Review MiCA Article 75.
United Kingdom FCA CASS 9 daily statements apply to prime-broker firms within the relevant custody-rule scope. Whether the particular firm and activity are covered; do not export the interval to all crypto providers. See FCA CASS 9.
Switzerland FINMA’s January 2026 release highlights technology and infrastructure risks and legal issues around foreign custody and insolvency; it states that responsibility remains with authorized institutions using providers. The underlying Guidance 01/2026 and its application to the regulated institution and activity. See FINMA’s release and linked guidance.

Make the decision evidence-led

For each provider, mark every material question as supported by executed documents or independently checkable evidence, answered only by representation, or unresolved. Treat unresolved issues as diligence items rather than assumptions. Escalate gaps affecting who owes settlement, control or return of assets, insolvency treatment, collateral reuse, or reconciliation before relying on the service.

This framework compares structures and evidence; it does not establish the creditworthiness, legal protections, or operational quality of any named provider. A commercial decision requires review of the actual contracts, entity-specific permissions, asset mix, and jurisdictions involved, with legal and credit analysis appropriate to the account.
