Choose a sell-side advisor by the work its proposed team has actually completed—not by whether it calls itself an investment bank, boutique, or M&A advisor. Compare recent closed deals of similar size and sector, the lead banker’s involvement, the buyer universe, execution support, references, and engagement-letter terms. Those checks help you decide whether a candidate fits your sale; no pitch alone can establish the price or outcome your business will achieve.
Start by defining the sale you need help with
Before meeting advisors, outline the likely enterprise value, industry, potential transaction structure, and types of buyers you would consider. Be clear about the support you expect: for example, whether you want a broad market process, a targeted approach to a short list of buyers, or help with a negotiated conversation already under way. These factors determine which past transactions are genuinely comparable.

Labels are not reliable categories. A commercial July 2026 guide describes business brokers as commonly using a listing approach for smaller companies, lower-middle-market advisors and boutique banks as often preparing a business for confidential outreach to researched buyers, and larger banks as tending toward larger transactions and teams. The guide also cautions that firms blur these boundaries. Treat the distinctions as questions for candidates, not fixed definitions or regulatory thresholds. Ask each candidate for recent, completed sell-side mandates that resemble your company in transaction scale and sector. For each example, ask what the firm did, which buyer type acquired the business, and which members of the proposed team worked on it. Where confidentiality limits disclosure, ask for the approximate scale and a reference who can discuss the work.
#1 Best Overall
| What to compare | What to ask or verify |
|---|---|
| Comparable closed deals | How recent were the mandates, how similar were their size and sector, and what was the candidate’s specific role? |
| Sector knowledge | Which completed mandates demonstrate knowledge of this market, its likely acquirers, and relevant transaction issues? |
| Proposed team | Who will lead, contact buyers, manage diligence, and remain involved after the pitch? How much time will the lead banker commit? |
| Buyer access | Can the lead explain why each proposed buyer is plausible for this business and how outreach will be sequenced confidentially? |
| Execution support | What work is included for marketing materials, bid management, management presentations, diligence, and transaction coordination? |
| References | Can you speak with clients from completed deals and engagements that did not close about responsiveness, candor, senior attention, and changed terms? |
| Contract and conflicts | How do fees, expenses, exclusivity, termination, the tail, registration or exemptions, and conflicts apply to this mandate? |
Ask to meet the people who will do the work, not only the senior bankers presenting the pitch. Confirm in writing who leads the mandate and what happens if that person or another key team member becomes unavailable. A strong firm-wide reputation is not a substitute for knowing who will handle buyer questions and diligence day to day.
Ask what the advisor will actually do
Sell-side work can include reviewing transaction structures and market, regulatory, or tax considerations with the seller; coordinating with legal and tax advisers; valuation analysis; assessing buyers and their capacity; preparing confidentiality agreements and marketing materials; setting bidding procedures; evaluating offers; and assisting through definitive transaction execution. FINRA’s Series 79 content outline covers these as components of sell-side activity, but it is a qualification outline—not a promise that every engagement includes every task. Confirm the scope in the engagement letter. FINRA Series 79 Content Outline, October 2025

Ask what work the seller must provide or arrange, including legal, accounting, tax, and quality-of-earnings support. Clarify whether the advisor coordinates with those specialists or expects you to manage them directly. Agree on the expected deliverables and who is responsible for each stage before signing.

Scrutinize buyer claims and performance statistics
Request a buyer universe tailored to your business, not merely a large list. Ask the proposed lead to explain why each buyer belongs on it, whether the firm has direct relationships, and how it will protect confidentiality while testing interest. References can reveal whether the advisor communicated reliably, prepared the seller for diligence, and handled negotiations when proposed terms changed.

Be cautious with claims of a premium valuation, high close rate, or exceptional speed. Ask for the underlying population, time period, comparison group, and methodology. CT Acquisitions reports that sector-specialized advisors achieve 8 to 18 percent higher closing multiples, attributing the claim to Capstone Partners 2026 data; its guide also attributes a 7.2-month median process from CIM launch to closing to SRS Acquiom 2025. Those figures are secondary attributions in a commercial guide, and the underlying studies were not reviewed here. They should not be treated as independently confirmed outcomes for your company. Ask how the firm and relevant individuals are registered, or what exemption they rely on, as applicable to the proposed transaction and jurisdiction. Check relevant regulatory information using appropriate official sources, and ask the firm to disclose conflicts that could affect its advice or buyer outreach. The right questions depend on the specific structure and circumstances; the sources cited here do not determine the legal requirements for a particular sale or verify any firm’s status.
Choose the process that serves your objectives
An advisor may prepare the business for a sale, approach buyers under confidentiality protections, manage proposals and bidding, support management presentations and diligence, and coordinate execution. A broader process can create competitive alternatives and a market check, but requires preparation and engagement with potential buyers. A direct negotiated sale can be sensible in some situations; it does not provide the same market check or competitive alternatives a broader process may offer. Ask candidates to explain the tradeoffs for your objectives and what each approach would require from you.
For a final comparison, ask every finalist the same questions and request the same materials: comparable closed deals, the proposed team and responsibilities, a tailored buyer universe, references, a draft engagement letter, and a written outline of scope and process. This makes differences in fit and contract terms easier to see than comparing pitch decks or headline claims alone.
