How to choose a digital asset custodian for institutional token holdings starts with legal scope, not a provider shortlist. Identify the contracting entity, your institution’s jurisdictions, the tokens and networks involved, and the exact services required. Then test segregation, insolvency treatment, key controls, resilience, records, sub-custody and exit rights with documentary evidence. A custodian that is suitable for one institution, asset or jurisdiction may be unsuitable for another.

Start with the custody arrangement you actually need

“Custody” can describe several different arrangements: holding private keys for clients, administering client positions, providing wallet technology while the institution controls keys, settling trades through an exchange, or combining those services with cash management. The legal and operational risks differ materially. Write the intended arrangement in plain language before contacting providers.

Define the assets and workflows

  • List every token, network and token standard that may be held, including whether assets can be staked, bridged, wrapped, lent, pledged or used in smart-contract transactions.
  • Describe expected deposits, withdrawals, internal transfers, trading settlement, redemptions and corporate actions.
  • State whether the institution needs segregated wallets, an omnibus structure with client-level books, or a combination.
  • Specify who must be able to initiate, approve and execute transactions, and whether emergency procedures are required.
  • Set reporting requirements: position statements, transaction history, valuation feeds, reconciliation files, audit evidence and incident notices.

Do not assume that a provider supports an asset merely because its public interface displays a ticker. Confirm network, contract address, deposit format, withdrawal controls, confirmation policy, maintenance windows and treatment of chain upgrades in the contract and technical documentation.

Identify every relevant jurisdiction

Record the institution’s incorporation and operating jurisdictions, the location of each custody entity, the place where wallets or signing infrastructure are operated, the location of sub-custodians and critical technology providers, and the governing law of each agreement. A European Union arrangement subject to the Markets in Crypto-Assets Regulation (MiCA) is not interchangeable with a United States bank safekeeping arrangement or a Swiss cross-border custody structure.

MiCA Article 75 addresses crypto-asset service providers that provide custody and administration on behalf of clients. U.S. banking guidance addresses safe-and-sound bank safekeeping and compliance with applicable law. Those regimes answer different questions and do not function as universal certifications. Verify the exact legal entity and its current status in the relevant regulator’s register; never infer authorization from a brand name or from words such as “qualified,” “regulated” or “institutional.”

What should an institution check before selecting a crypto-asset custodian?

Use a written request for information and require answers from the legal entity that will sign the custody agreement. Marketing material can explain a service, but it cannot establish who owns an asset, who controls a key, or who bears a loss after an incident.

Request the provider’s legal identity and permissions

  • Full legal names, registration numbers and addresses of the contracting custodian, parent, wallet operator and any settlement entity.
  • The precise services supplied: custody and administration, technology-only services, exchange-linked settlement, staking, lending, collateral management or other activities.
  • Regulator, authorization or registration details that apply to the specific entity and service in each jurisdiction.
  • Governing law, dispute forum, limitation-of-liability language and any obligation to comply with local asset-protection rules.
  • A list of activities performed by affiliates or subcontractors rather than by the contracting entity.

Have internal or external counsel map each service to the rules that actually apply. A license for one activity does not automatically authorize another, and a technology supplier may not be the regulated custodian named in a sales presentation.

Prove how client assets are segregated

Segregation is a legal and operational question, not simply a different wallet label. Ask the provider to explain how client holdings and the access means controlling them are distinguished from the provider’s own holdings and from other clients’ interests.

Questions about wallet and account structure

  • Are wallets dedicated to one client, shared by multiple clients, or used in a hybrid model?
  • If wallets are omnibus, how is each client’s entitlement recorded, reconciled and protected from another client’s shortfall?
  • Which ledger, database or register is authoritative when the blockchain balance and an internal position record differ?
  • How are deposits, withdrawals, fees, forks, airdrops, burns, migrations and contract upgrades posted to the client record?
  • Can the institution obtain evidence linking its contractual entitlement to on-chain addresses or to a legally enforceable account record?

MiCA’s custody provisions address legal segregation from the provider’s estate under applicable law and require records of client positions. European implementing rules describe procedures for separating client and provider wallets, including procedures for omnibus accounts. Those requirements must still be applied to the particular entity, assets and agreement; they are not a conclusion about every jurisdiction.

Analyze insolvency at every level

Ask counsel to analyze what happens if the custodian, a wallet operator, a sub-custodian or a critical technology provider becomes insolvent. The analysis should cover whether clients have a proprietary claim, a contractual claim, a trust or similar interest, or only an unsecured claim; how pooled assets are allocated; and who pays the cost of identifying and returning property.

Cross-border custody can introduce conflicts between the law governing the contract, the law where an account or wallet is maintained, and insolvency law at the provider’s place of incorporation. FINMA has noted that foreign custody can create complex legal issues, particularly if a custodian becomes insolvent. Do not generalize that observation into a universal result. Obtain a jurisdiction-specific opinion and preserve the relevant legal analysis with the approval record.

Examine private-key and transaction controls

A custody review should show who can create, access, use, recover and destroy the means of controlling assets. Request policies, diagrams and sample evidence rather than a statement that keys are “secure.”

Map the key lifecycle

  1. Generation: Ask where and how keys or key shares are generated, what randomness and trusted hardware are used, and who witnesses or approves the process.
  2. Storage: Identify online, offline, warm and backup locations; physical access controls; encryption; geographic distribution; and the people or systems that can reach each component.
  3. Use: Document signing workflows, transaction-policy checks, address allowlists, velocity limits, sanctions screening and time delays.
  4. Recovery: Review backup creation, restoration testing, quorum requirements, lost-share procedures and the authority needed to invoke recovery.
  5. Rotation and retirement: Establish when keys are rotated, how old keys are revoked or retained for historical access, and how compromised material is quarantined.

Determine whether the institution can verify that the documented process was followed. Useful evidence can include access logs, approval records, test results, exception reports, independent control reports and dated recovery exercises, subject to appropriate confidentiality controls.

Separate initiation, approval and execution

For every transaction type, identify the person or system that proposes a transfer, the independent approver, the signer and the operator who releases it. Ask how dual control works, how privileged access is reviewed, and what happens when an exception is requested. A multisignature wallet can support separation of duties, but multisignature alone does not prove that signers are independent, that policy checks cannot be bypassed, or that recovery is workable.

EU implementing rules call for a detailed description of key approval and safeguarding, including multisignature wallets. U.S. banking-agency materials identify review of a sub-custodian’s key-management policies, processes and internal controls as a diligence consideration. Ask for the same level of specificity from a direct custodian.

Test resilience, incidents and the service boundary

Digital-asset custody can fail without a blockchain failure. A provider outage, compromised administrator account, defective software release, unavailable network, corrupted internal ledger or failed third party can all interrupt access or produce an incorrect position. Your diligence should define the service boundary and the recovery obligation for each failure mode.

  • [Dont Hesite to Order] 24 hours customer services and professional technology team are standing by

Build an incident scenario set

  • Suspected key compromise or unauthorized signing.
  • Ransomware, cloud outage, data corruption or loss of a critical internal system.
  • Ledger reorganization, chain halt, hard fork, token migration or unsupported network change.
  • Incorrect address, failed transaction, stuck transaction or accidental double submission.
  • Smart-contract exploit affecting a token, staking contract, bridge or other supported application.
  • Failure, cyberattack or insolvency of a sub-custodian or technology provider.
  • Regulatory action, sanctions event or legal order requiring a hold or transfer restriction.

For each scenario, request detection time, notification channels, decision authority, containment steps, recovery objectives, evidence preservation and the conditions for resuming withdrawals. Clarify whether the custodian may pause transactions unilaterally and what notice, review and appeal process applies.

Use supervisory priorities as a diligence checklist

ESMA announced a custody-focused Common Supervisory Action covering governance, key and storage management, transaction controls, incident detection and response, smart-contract risks and third-party dependencies. The exercise is scheduled to run from the second half of 2026 through the first half of 2027, with findings to be consolidated after it concludes. It is a supervisory work program, not a completed finding about all custodians. Its focus areas are nevertheless useful prompts for evidence requests.

Ask for recovery time and recovery point objectives, continuity locations, dependency failover arrangements, recent exercise summaries and the date of the last material change to the control environment. If a provider gives only a generic uptime figure, ask how that figure treats withdrawal pauses, degraded signing capacity and reconciliation outages.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Trace sub-custodians and technology dependencies

The entity in your contract may not operate every wallet, signing service, node, screening engine or cash account. Require a dependency map that names each material provider, its function, location, access to keys or records, replacement options and contractual accountability.

Due-diligence questions for sub-custodians

  • What legal entity holds the assets or controls the key material?
  • What segregation, dual-control and separation-of-duty controls apply?
  • How are records synchronized with the primary custodian and reconciled after an outage?
  • What laws govern the sub-custodian, and how would insolvency or operational disruption affect return?
  • Can the primary custodian replace the sub-custodian without your consent, and will you receive advance notice?
  • Who investigates incidents and who pays for remediation, transfer and legal costs?

An OCC-hosted interagency statement identifies due diligence before selecting a sub-custodian as important and lists key-management effectiveness, applicable legal requirements, insolvency or operational-disruption treatment, risk management and recordkeeping among the areas to evaluate. It also gives segregation, dual control, separation of duties and technical or physical controls as examples of risk-management measures.

Verify records, reconciliation and communications

A custody relationship is only as defensible as the records supporting each client entitlement and movement. Ask for a sample reporting pack, data dictionary, reconciliation timetable and escalation contacts before signing.

Minimum records to examine

  • Client-level positions by token, network, account and wallet model.
  • Complete deposit, withdrawal, internal-transfer, fee and adjustment history.
  • Blockchain transaction identifiers and the internal approval record for each movement.
  • Daily or otherwise agreed reconciliation between on-chain balances, internal books and sub-custodian records.
  • Exception queues, unresolved breaks, correction approvals and an immutable audit trail.
  • Statements, valuation methodology, corporate-action treatment and retention periods.

MiCA Article 75 describes a register of client positions and necessary return procedures. For an institution outside that regime, treat those elements as useful control questions rather than an automatic legal requirement. The contract should state which records you receive, in what format, at what frequency and for how long the provider retains them.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Set communication rules

Name operational, security, legal and executive contacts. Define the severity levels that trigger immediate telephone notification, written notice or a scheduled report. Require notice of material changes to key architecture, sub-custodians, supported networks, insurance, authorization status and financial condition. Confirm how authentication works for support requests and how the provider prevents social-engineering attacks on withdrawal instructions.

Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Support on Ko-Fi

Read the custody agreement as an operating manual

Do not treat the contract as a formality after the technical review. It allocates responsibility when the facts are disputed.

Clauses that deserve line-by-line review

  • Service description: Exactly which assets, networks, actions and jurisdictions are included or excluded.
  • Control and title: The nature of the institution’s interest in assets and access means, and whether the provider may reuse, pledge, lend or stake them.
  • Segregation: Wallet/account model, client-level records, omnibus allocation and reconciliation duties.
  • Loss allocation: Liability for unauthorized transfers, employee error, sub-custodian failure, blockchain events and force majeure.
  • Subcontracting: Approval, notice, flow-down controls, audit rights and responsibility for subcontractors.
  • Security and incidents: Control commitments, notification deadlines, cooperation, evidence and remediation.
  • Records and audit: Statements, data export, inspection rights, independent reports and retention.
  • Fees: Custody, transfer, network, recovery, legal, termination and extraordinary-incident charges.
  • Termination and return: Notice periods, transfer approvals, data delivery, wallet or key handover, fallback arrangements and cost responsibility.
  • Governing law: Conflict rules for assets, wallets, records and insolvency, especially in cross-border structures.

For EU MiCA custody providers, Article 75 identifies agreement subjects including the nature of the service, custody policy, authentication and communications, security systems, fees and governing law, and describes return procedures. Use the article as a jurisdiction-specific checklist, not as a substitute for reviewing the executed contract.

Design and test the exit plan before onboarding

Exit is a control, not an event to improvise after a dispute. Create a written transfer plan for an orderly termination, a provider outage and an insolvency scenario.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Identify the destination custodian or institution-controlled wallet and verify its supported networks and addresses.
  2. Define who approves the transfer, who validates addresses and who can release it under normal and emergency procedures.
  3. Specify the records, transaction history, audit logs and reconciliation files that must be delivered with the assets.
  4. Set deadlines for return of assets or access means, subject to lawful holds and network conditions.
  5. Test a small-value transfer and confirm that balances, metadata and approvals reconcile on both sides.
  6. Record how fees, taxes, legal work, blockchain congestion and failed-transfer costs are allocated.

Ask what happens if the provider can return tokens but not historical records, or records but not a particular access component. Require a remediation path and an executive escalation route. An exit clause that says “upon request” without a process, data format or responsible party is not an operational plan.

Compare shortlisted arrangements on the same evidence

Do not award points for an undefined “institutional grade” label. Compare each provider or structure against identical questions, then document which differences matter to your mandate.

Comparison axis Evidence to request
Legal entity and regulatory status Entity names, authorization or registration records, service scope, governing law and jurisdiction-specific counsel analysis.
Asset segregation and insolvency Wallet/account model, omnibus procedures, client-level books, sub-custody chain and contractual and legal insolvency analysis.
Key and transaction controls Key lifecycle, access roles, approval rules, separation of duties, signing controls, exception handling and test evidence.
Operational resilience Incident detection and response, recovery and continuity plans, dependencies, smart-contract controls and exercise results.
Records and client service Position records, movement evidence, statements, reconciliation, authentication, communications and response procedures.
Scope and fit Supported assets, networks, transaction workflows, staking or other features, reporting requirements and contractual service boundaries.
Exit and total cost Return procedures, notice periods, transition assistance, transfer and extraordinary-event fees, and separately contracted services.

Use a “not established” finding when evidence is missing. Do not fill an unknown with a favorable assumption. Keep the provider’s written answer, the document version and the reviewer’s conclusion together so the decision can be reproduced later.

Common selection mistakes and how to correct them

Choosing by brand or interface

A polished dashboard does not establish legal ownership, segregation or recovery capability. Correct this by evaluating the contracting entity and demanding an evidence pack.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Treating a certification as a complete answer

Audits and certifications may cover a defined system and period. They do not automatically answer how a particular token is treated in insolvency or who controls a sub-custodian. Map every assurance report to the risks in your arrangement and note exclusions.

Assuming multisignature means secure

Multisignature can reduce single-person risk, but signer independence, policy enforcement, backup recovery and operational availability still require testing.

Ignoring omnibus accounting

An omnibus wallet can be workable when client-level records, reconciliation and legal allocation are strong. Refusing to ask how shortfalls are handled leaves the central risk unanswered.

Leaving the exit until termination

Without tested addresses, approvals, data formats and cost allocation, a contractual right to return may be slow or unusable. Test the process while the relationship is cooperative.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Overlooking third parties

A direct contract does not eliminate sub-custody, cloud, node, screening or cash dependencies. Require a current dependency map and a clear allocation of responsibility for each material service.

A defensible approval sequence

  1. Map the arrangement: List entities, jurisdictions, assets, networks, services, workflows and dependencies.
  2. Confirm legal scope: Verify authorizations and obtain counsel’s analysis of custody, segregation and insolvency treatment.
  3. Request evidence: Collect policies, control descriptions, reports, recovery tests, records samples, contracts and sub-custody details.
  4. Interview control owners: Ask operations, security, legal and incident-response staff the same scenario questions.
  5. Run practical tests: Complete onboarding, authentication, a controlled transfer, reconciliation and an incident or recovery exercise where available.
  6. Score documented fit: Compare alternatives on the same axes and mark every unresolved item as a condition, not an assumption.
  7. Negotiate protections: Fix service scope, liability, reporting, notification, audit, sub-custody, fees and exit language in the agreement.
  8. Approve and monitor: Assign an owner, review trigger events and set a recurring reassessment of legal status, controls, dependencies and financial condition.

This framework supports a procurement and governance decision; it is not legal advice or a ranking of custodians. The legal effect of a custody agreement, asset segregation, insolvency remoteness and licensing depends on the entity, jurisdiction, asset and service details. Verify current rules, regulator records, contracts, sub-custody relationships and operational evidence before committing institutional holdings.
