Short answer: A tokenized stock can be redeemed for ordinary shares only when its current governing documents give the holder that right, identify the party required to honor it, and explain the eligibility, restrictions, fees, timing, and settlement process. A ticker match, 1:1 backing statement, or price that tracks a stock does not prove redeemability.
Start with the exact token and the entities behind it. Determine whether it is an issuer-sponsored security, a custodial security entitlement, or a synthetic linked instrument, then trace the legally operative ownership record and find an express route that delivers shares rather than cash or another token.
What “redeemable” means in this context
Redemption is a legal and contractual process, not a description of how closely a token follows a stock’s market price. A redeemable product gives an eligible holder a defined way to request delivery of the underlying shares, identifies the obligor that must process the request, and states what happens if conditions are not met. The shares may be delivered into a brokerage or registered account rather than to a blockchain address, and the request may be subject to identity checks, jurisdiction limits, minimum amounts, fees, notice periods, business-day windows, transfer restrictions, or temporary suspension.

The answer belongs to the named token and its current contracts. The company whose stock is referenced may not be the token issuer, may not hold the relevant records, and may have no obligation to a token holder at all.
“Backed,” “linked,” “pegged,” and “1:1” are marketing or structural descriptions, not a complete redemption promise. They can describe a custodial claim, a security entitlement through an intermediary, or a synthetic instrument that merely references a stock’s return. Read the legal terms before treating any of those words as evidence of ownership.

Identify the token’s legal structure first
The SEC staff’s January 28, 2026 explanation groups tokenized securities into structures with materially different rights. Classifying the product prevents you from assuming that a blockchain record automatically changes the rights attached to a share.
Issuer-sponsored security
In an issuer-sponsored model, the company or its agent issues the security in token form. One design uses the network as part of the issuer’s master securityholder file: a valid transfer on the network updates the official ownership record. Another design issues the security off-chain while the token acts as an instruction or notice to the issuer or transfer agent to update that off-chain record. In the second design, possessing or transferring the token may not itself constitute possession of the share; the contract must explain when the legal record changes.
Even when the referenced company is involved, check the issuance documents, transfer-agent procedures, and any limits on who may hold or transfer the token. The words “issuer-sponsored” do not, by themselves, disclose the redemption route.
Custodial token or security entitlement
Here, a broker, custodian, or other intermediary holds the underlying shares. The token represents an indirect interest or a security entitlement through that intermediary. Your rights come from the account, custody, and entitlement agreements and from the records maintained by the intermediary, not simply from the token’s existence on a network.
This structure can expose you to intermediary and custody risks. If the intermediary fails, access to the shares and the treatment of customer entitlements depend on the applicable legal arrangement, segregation practices, and insolvency rules. A custodian holding shares somewhere in the chain does not automatically give every token holder an individual right to withdraw those shares.
Synthetic linked security or derivative
A synthetic product is an instrument issued by a third party whose value or return references a company’s stock. It is not an obligation of the referenced-stock issuer and does not confer that issuer’s voting, dividend, or other shareholder benefits merely because the price follows the stock. Your counterparty is the token issuer under its own terms.
A synthetic token may provide cash settlement, another token, or a contractual payment on specified events. Unless the documents expressly create a share-delivery right, synthetic exposure is not ownership of the referenced company and is not a redemption claim against it.

| Structure | What you may legally hold | Where the operative record sits | What can establish redemption | Main risk to investigate |
|---|---|---|---|---|
| Issuer-sponsored | The security itself, or a token that triggers an off-chain security record update, depending on the documents | The issuer’s master securityholder file, transfer-agent records, or a linked on-chain record | An express share-delivery or conversion procedure naming the responsible issuer or agent | Unclear relationship between token transfers and the official ownership record |
| Custodial entitlement | An indirect interest or security entitlement through an intermediary | Custodian, broker, or other intermediary account and entitlement records | Terms that let an eligible holder withdraw or receive the underlying shares | Intermediary restrictions, custody failures, and bankruptcy exposure |
| Synthetic linked instrument | A claim against the token issuer based on a stock-linked return | The issuer’s contractual and account records, not the referenced company’s shareholder register | An explicit contractual obligation to deliver shares; without one, assume the remedy is whatever the contract states, often cash or another asset | Counterparty credit risk and no direct company-shareholder rights |
A document-check workflow
Use the following sequence for one specific token. Save the version and date of every document you rely on, because terms, eligible jurisdictions, and processing rules can change.
1. Record the exact instrument and all parties
Write down the token’s full name, contract or product identifier, blockchain network, and any class or series designation. Then identify:
- the legal issuer of the token or security;
- the platform through which you acquire or hold it;
- any broker, custodian, transfer agent, or settlement agent;
- the company whose stock is referenced; and
- the account or wallet in which your interest is recorded.
Do not label the referenced company as the issuer unless the governing documents say so. A third-party arrangement can track a company’s stock without creating any claim against that company.

2. Locate the controlling documents
Collect the token terms, offering memorandum or product disclosure, custody agreement, user agreement, broker terms, and redemption or withdrawal policy. Search each document for redeem, withdraw, convert, underlying shares, security entitlement, transfer, suspension, and corporate actions.
Determine which document controls if two documents conflict. A marketing page may summarize a product, while the contract limits eligibility or allows the issuer to pause requests. The SEC Investor Advisory Committee has identified transferability and redemption restrictions as material information that investors need to understand.

3. Find an affirmative redemption promise
Look for an operative sentence that gives a holder a right to request shares, not merely a statement that assets are held in reserve. The clause should identify:
- who may make the request;
- which entity must honor it;
- what form the request takes;
- what asset will be delivered; and
- which conditions can cause rejection or delay.
If the documents only promise price tracking, collateral, or a claim against the token issuer, you have not found a share-redemption right. Ask for the missing clause in writing rather than inferring it from a ticker symbol or a reserve statement.
4. Extract every condition and settlement detail
Make a checklist from the actual terms:
- eligible customers, countries, and account types;
- minimum token or share amounts;
- identity, anti-money-laundering, tax, or suitability checks;
- fees, spreads, network charges, and custody charges;
- notice periods and business-day processing windows;
- transfer, lock-up, or holding-period restrictions;
- events that permit a pause, suspension, or forced cash settlement;
- issuer or intermediary discretion to reject a request; and
- the exact delivery destination and settlement asset.
Confirm whether settlement puts registered shares into a brokerage account, records an entitlement in another account, or pays cash or a different token. The cited SEC materials do not establish universal minimums, fees, deadlines, or processing times; those details must come from the product’s current terms.
5. Verify custody and the legally operative record
Ask where the underlying shares are held and which record determines ownership or entitlement. The SEC staff describes both on-chain master-file arrangements and products in which a token transfer merely prompts an update to an off-chain record. Those are not interchangeable.
Find out whether transferring the token itself transfers the security or entitlement, whether an approved intermediary must register the transfer, and whether a wallet transfer can leave the legal record unchanged. Obtain the name of the custodian and the account structure in which the shares are held. A reserve assertion without a clear recordkeeping chain is not enough to establish your personal claim.

6. Check rights beyond redemption
Read how the product handles voting, dividends, stock splits, mergers, spin-offs, tender offers, delistings, and other corporate actions. Also check whether you may transfer the interest freely or only through an approved platform. The Investor Advisory Committee has emphasized that these rights and limitations should be disclosed clearly because they can differ substantially between tokenized arrangements.
7. Treat gaps and discretion as unresolved
If the documents do not state a clear right, responsible obligor, eligibility rule, and settlement method, do not claim that redemption is available. Request the controlling written terms and ask the issuer or platform to identify the custody and recordkeeping parties. Until those answers are documented, classify the redemption question as unresolved rather than relying on customer-support assurances or social-media explanations.
How to test whether the delivered asset is really a share
A redemption process can use familiar language while delivering something different. Before submitting a request, identify the legal form of the outcome.
| Outcome described in the terms | What it means for your question |
|---|---|
| Shares registered or credited to your brokerage or registered account | This is the clearest form of delivery of the underlying shares, subject to the account and registration conditions stated in the contract. |
| A security entitlement credited by an intermediary | You may receive an indirect entitlement rather than direct registration. Review the intermediary’s custody and insolvency terms. |
| Cash equal to the stock value | This is cash settlement, not conversion into shares. |
| Another token representing value or collateral | This is not share delivery unless the new instrument itself creates a documented share claim. |
| A request to sell the token and withdraw proceeds | This is a secondary-market sale, not redemption from the underlying share pool. |
Custody, records, and what bankruptcy could change
The party that owes you something matters as much as the party that holds assets. In an issuer-sponsored structure, the issuer or its agent may maintain the master securityholder file. In a custodial structure, your claim can run through the intermediary’s account and entitlement records. In a synthetic structure, your counterparty is the token issuer, while the referenced company is not your debtor.
If a custodian or platform becomes insolvent, the result depends on the agreements, segregation arrangements, applicable law, and the records that establish customer entitlements. The fact that shares existed somewhere in custody does not settle how an individual token holder will be treated. If a synthetic issuer fails, your recovery is generally governed by that issuer’s contract and insolvency estate rather than by the referenced company’s shareholder protections.

Ask specifically whether customer assets are segregated, whose name appears on the issuer or intermediary record, and what claim a token holder has if the platform is unavailable. Do not describe custody as a guarantee of redemption without a contractual withdrawal right.

SEC statements and the limits of regulatory explanations
Investor.gov staff material and the SEC Division staff statement dated January 28, 2026 explain issuer-sponsored, custodial, and synthetic tokenized securities. Those materials are useful for understanding structures, but the Investor.gov page states that staff content has no legal force or effect. Neither an educational page nor a staff explanation replaces the contract governing a particular token.
On July 9, 2025, SEC Commissioner Hester M. Peirce wrote: “As powerful as blockchain technology is, it does not have magical abilities to transform the nature of the underlying asset.” That is a commissioner’s statement, not a binding rule. Its practical point is that putting a representation on a blockchain does not by itself turn a contractual claim into a company share.
On September 17, 2026, SEC Chairman Paul S. Atkins described temporary, conditional exemptive relief for certain Tokenized Securities Venues and liquidity providers. The described conditions include permissioned access, no synthetic products, equal rights and privileges for qualifying tokenized NMS stock holders—including dividends and voting—and an opportunity for the issuer to object. This is a venue-level framework. It does not establish that an unnamed token qualifies, that a particular venue operates under the relief, or that any holder can redeem a token for shares.
How to compare two tokenized stocks
Use the same questions for each product and record the answers from the current documents. A product with a familiar ticker can have a completely different legal structure from another token referencing the same company.
| Comparison axis | Question to answer | Why it matters |
|---|---|---|
| Structure | Is it issuer-sponsored, custodial, or synthetic? | The classification determines whose obligations and records control your interest. |
| Legal interest | Do you hold the share, an intermediary entitlement, or only a claim against a token issuer? | It defines the asset you can enforce and the counterparty you face. |
| Recordkeeper | Who maintains the master securityholder or entitlement record? | A blockchain transfer may or may not update the legally operative record. |
| Redemption | Is there an express share-delivery right, and who must honor it? | Without an affirmative promise and an obligor, redemption is unproven. |
| Conditions | What are the eligibility rules, minimums, fees, timing, suspension rights, and delivery method? | These conditions determine whether a theoretical right is usable in practice. |
| Insolvency | What happens if the issuer, custodian, or platform fails? | Your recovery may depend on a different party from the referenced company. |
| Shareholder rights | How are voting, dividends, transfers, and corporate actions handled? | Price exposure alone does not provide the rights of a shareholder. |
Questions to send the issuer or platform
When the documents are incomplete, ask for written answers to these focused questions:
- What is the legal name of the token issuer, and is the referenced company a party to the arrangement?
- Which document grants redemption, and what clause identifies the holder’s right to receive shares?
- Who is legally required to process the request?
- Where are the underlying shares held, and whose records establish ownership or entitlement?
- Does transferring the token transfer the security or entitlement, or only notify an off-chain recordkeeper?
- What eligibility, jurisdiction, minimum, identity, fee, notice, and timing conditions apply?
- Can the issuer, custodian, or platform suspend, reject, or cash-settle a request?
- Where exactly are delivered shares credited, and how will I receive confirmation?
- What voting, dividend, split, merger, spin-off, and tender-offer rights attach to the interest?
- What contractual remedy applies if the issuer or custodian becomes insolvent?
Keep the response with the version of the terms you reviewed. If the answer is a verbal assurance that does not appear in the governing documents, treat the assurance as unverified.
Common mistakes that lead to a false “yes”
- Equating price parity with ownership: A token can track a stock without giving any right to shares.
- Assuming “1:1” is a redemption clause: The phrase may describe reserves or valuation, not a holder remedy.
- Confusing a sale with redemption: Selling the token for cash does not withdraw shares from custody.
- Assuming the referenced company is liable: A third-party issuer may be your only contractual counterparty.
- Ignoring the recordkeeper: On-chain movement may not update the official shareholder or entitlement record.
- Overlooking suspension and eligibility terms: A right limited to certain customers or periods may not be available to you.
- Relying on a regulatory label: Staff explanations and conditional venue relief do not approve every token or guarantee redemption.
- Checking redemption but not other rights: Dividends, voting, transfers, and corporate actions can reveal that the product is exposure rather than share ownership.
A practical decision rule
Classify the token, identify the legal record, and locate the operative redemption clause. You can reasonably describe a token as redeemable for underlying shares only when the current documents connect all four elements: an eligible holder, a defined request procedure, a named obligor, and delivery of shares or a clearly defined security entitlement. If any element is missing, describe the product more narrowly—as stock-linked exposure, a custodial interest, or an unresolved arrangement—until the issuer supplies controlling terms.
