How to Check Whether a Company Filed Its Regulation 74(5) Certificate

To check whether a company filed its Regulation 74(5) certificate, search the company’s stock-exchange disclosures and investor-relations page for “Regulation 74(5),” “certificate,” and the reporting month or quarter. Open the filing and verify the company, its registrar and transfer agent (RTA), and the period covered. If no result appears, check every exchange where the company is listed and ask the company secretary or RTA; a missing search result does not establish that no filing was made.

Where to look for the filing

Regulation 74(5) is part of the SEBI (Depositories and Participants) Regulations, 2018. SEBI’s regulations page shows the regulations as last amended on November 22, 2025. For exact legal wording or advice, consult the live regulation text.

The public record to find is generally the listed company’s exchange disclosure attaching the RTA-issued certificate. Start with the company’s investor-relations or disclosures page, then use the relevant exchange’s corporate filings or announcements search. SEBI’s corporate-filings directory provides exchange-filing navigation, and NSE has a listing-compliance information page.

How to check, step by step

  1. Identify the company and period. Use its listed name and, if available, exchange symbol. Decide which month or quarter you need: a certificate for one period does not answer whether a certificate was filed for another.
  2. Search the company and exchange disclosures. Try “Regulation 74(5),” “certificate,” “dematerialisation,” and the relevant month, quarter, or year. Check the company’s own disclosure page as well as the exchange search.
  3. Open the attached document. Do not rely only on the search-result title. Look for the company’s cover letter and the RTA’s certificate, then confirm the company, RTA name, certificate date, and reporting period.
  4. Match the certificate to your question. Check that the period is the one you are investigating and that the issuer and securities are the ones you mean. Keep the exchange-hosted document and its filing date if you need a record of the check.
  5. If you find no result, broaden the search and ask. Search every exchange where the company is listed and its own disclosure page. If the filing is still unavailable, contact the company secretary or compliance officer, or the RTA, and request the certificate and the exchange submission date.

What to verify in the document

A useful example is the NSE-hosted filing by Quality Foils (India) Limited for the quarter ended December 31, 2025. The company’s cover letter encloses a certificate issued by its RTA, Bigshare Services Private Limited. In that certificate, the RTA says securities received from depository participants for dematerialisation during the stated period were confirmed—accepted or rejected—to the depositories. It also refers to listing the securities and substituting the depositories’ names in the register of members. See the NSE-hosted filing example.

Use the document as evidence that a submission was made and as a record of what the certificate asserts for its stated period. It is not independent verification of every underlying transaction, and it says nothing about a different period.

What a missing search result does—and does not—mean

An empty search is not proof of non-filing. Search results may be incomplete, and filings can be late: an NSE-hosted secretarial compliance report for RMC Switchgears records a delayed submission of an RTA certificate. If you cannot locate the document, seek confirmation from the company or RTA rather than treating the absence of a result as a finding that no filing exists. See the NSE-hosted report.

Is SEBI SCORES a filing lookup?

SEBI’s SCORES entity-status page says its information is based on data collected from stock exchanges or the Ministry of Corporate Affairs and warns that shortcomings or inaccuracies may occur. It is not presented as a dedicated Regulation 74(5) filing register. For this document, use the issuer’s exchange disclosure or request confirmation from the company or RTA.
