Use three records together: NSE’s Corporate Filings Pledged Data dashboard for a current snapshot, the company’s quarter-end Shareholding Pattern under Regulation 31 for the issuer’s reported position, and NSE’s Regulation 31 Event Based dashboard for creations, releases and invocations. Record the date, source and denominator beside every number. These screens do not necessarily describe the same population of shares or the same observation time.

What promoter pledge data tells you

A promoter pledge is an encumbrance over shares held by a company’s promoter or promoter group, commonly used as security for borrowing or another obligation. “Encumbrance” is broader than pledge. The SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 state: “For the purposes of this Chapter, the term ‘encumbrance’ shall include a pledge, lien or any such transaction, by whatever name called.” Therefore, a filing can report pledged, liened or similarly encumbered shares rather than only conventional loan pledges.

The data helps you answer factual questions: how many promoter-held shares are encumbered, what proportion that represents of promoter holdings or total equity, and whether an encumbrance was created, released or invoked. It does not, by itself, establish the promoter’s debt balance, the lender’s collateral haircut, the company’s solvency or the probability of a default.

The three official records to use

Record What it shows Timing and scope
NSE Corporate Filings Pledged Data Total issued shares, promoter shares and percentage, public holding, encumbered promoter shares, two percentage measures, a rupee value, promoter disclosure data and a separate depository-system pledge count. A dashboard snapshot. NSE labels the shareholding/encumbrance columns separately from the depository-sourced count, which is updated daily.
Quarterly Shareholding Pattern under Regulation 31 The issuer’s promoter/promoter-group holding, shares pledged or otherwise encumbered, related percentages and the filing declaration. Applies to the stated quarter-end and has a separate submission or filing date.
NSE Regulation 31 Event Based Event rows for creation, release and invocation, with before-and-after share counts and percentages plus reason and counterparty fields when supplied. Event-based disclosures tied to an event date and a broadcast date/time; fields can be blank.

Use the records as complementary evidence, not as interchangeable screens. NSE’s notes say its pledged-data columns 2–5 derive from listing-agreement filings and another column from SEBI Regulation 31 filings, while the depository pledge column is updated daily. That difference in source and cadence is why a dashboard count can differ from a quarter-end filing.

Step 1: Search NSE’s Corporate Filings Pledged Data dashboard

Start with NSE India’s Corporate Filings Pledged Data page for Equity or SME securities. Search by the company name or trading symbol.

  1. Enter the exact company name or symbol.
  2. Confirm the returned company name, security and exchange segment before copying any figure. Similar names and multiple securities can lead to the wrong row.
  3. Read the headings and notes above the result, not just the large numbers.
  4. Save the dashboard’s observation date or caption with your notes. A live dashboard is a date-specific snapshot, not a permanent historical series.
  5. Record each field separately: total issued shares; promoter shares and promoter percentage; public holding; encumbered promoter shares as of the last quarter; encumbered shares as a percentage of promoter shares; encumbered shares as a percentage of total shares; the displayed rupee value; promoter disclosure data; and the separate shares-pledged-in-the-depository-system figure.

The two percentage columns answer different questions. “Encumbered shares as a percentage of promoter shares” measures how much of the promoters’ own holding is encumbered. “Encumbered shares as a percentage of total shares” measures the same count against the company’s entire equity base. Never compare one denominator with the other as though they were the same risk measure.

Read the rupee value correctly

NSE describes the rupee value as the number of encumbered shares multiplied by the last available closing price. It is a market-price-based estimate of the shares’ value at that price. It is not the borrower’s outstanding debt, the amount originally borrowed, the lender’s haircut-adjusted collateral value or the amount recoverable in a default.

Capture the source labels

The dashboard mixes figures with different source descriptions. NSE’s column note identifies columns 2–5 as coming from listing-agreement filings, identifies another disclosure column with SEBI Regulation 31 filings, and says the depository pledge column is updated daily. Put the source label and observed date in your spreadsheet beside the number. If the page changes later, you should still be able to tell what you actually observed.

Step 2: Open the issuer’s quarterly Shareholding Pattern

Next, find the company’s latest exchange filing titled Shareholding Pattern under Regulation 31 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. Use the exchange’s filing page or the issuer’s filing archive, then check both the quarter-ending date and the filing or submission date.

  1. Confirm that the security and issuer match the row you searched on NSE.
  2. Write down the quarter-end date. This is the reporting period for the holdings table.
  3. Write down the date on which the filing was submitted or disseminated. It is not automatically the same as the quarter-end date.
  4. Read the declaration asking whether promoter-held shares are pledged or otherwise encumbered.
  5. Inspect the promoter and promoter-group table for the number of encumbered shares and every associated percentage field.
  6. Compare the table’s denominator with the dashboard’s denominator before calculating a change.

The declaration and table must be read together. In the NSE example format, when the issuer declares “No,” applicable encumbrance columns may not be shown in exchange dissemination and the submitted values are treated as zero for that filing. That is a statement for that filing period, not a guarantee that no later event occurred. Check event-based records when you need to understand what happened after the quarter-end.

Do not turn a blank into zero

A missing or empty field means the source did not populate or disclose that field in the displayed record. Treat it as undisclosed or not populated unless the filing explicitly states a value. The special “No” declaration treatment described in the filing format is different from an unexplained blank cell.

Step 3: Check Regulation 31 event disclosures

Use NSE’s Corporate Filings Regulation 31 Event Based dashboard to locate changes between reporting dates. Filter for the company and a date range that covers the period you are investigating.

  1. Search the exact company or symbol and set the start and end dates.
  2. Look for event types describing creation, release or invocation.
  3. For each row, copy the promoter or person name, number and percentage of shares before the event, number and percentage after the event, event date, reason, beneficiary, ultimate lender or debenture issuer, and broadcast date/time when populated.
  4. Open the attachment whenever the row provides one. Use it to verify the event details and the wording of the disclosure.
  5. Mark fields that are blank as not supplied. Do not infer a reason, lender or beneficiary from an empty field.

NSE says these displayed disclosures are based on depository information under the cited system-driven disclosure circulars. The event dashboard therefore provides a different evidence layer from a quarter-end shareholding table. A creation increases the encumbered position, a release reduces it, and an invocation records enforcement of the encumbrance; the before-and-after fields show the reported movement when those fields are populated.

Step 4: Check the legal deadline and coverage

Regulation 31(3) of the SEBI SAST Regulations, 2011 requires disclosure within seven working days from the creation, invocation or release of an encumbrance. The promoter must disclose to every stock exchange where the shares are listed and to the target company at its registered office. The regulation covers shares encumbered by the promoter or persons acting in concert.

Regulations and circulars can be amended. For a time-sensitive compliance conclusion, read the current consolidated SEBI text and any applicable amendments rather than relying on an old copied deadline. In an article or investment note, state the regulation version and the date you checked it.

1. Compare the dates

A quarter-end filing describes a reporting date. An event row has an event date and a broadcast date/time. The pledged-data dashboard can show a current snapshot, while its depository count is updated daily. Write all dates down before deciding that two counts conflict.

2. Compare the source and scope

NSE labels the quarterly or listing-filing measures separately from the depository-system pledge count. The measures may use different source systems, definitions or refresh schedules. Say “the dashboard shows” or “the quarter-end filing reports” rather than presenting them as a single consolidated number.

3. Compare the denominator

Check whether the percentage is based on promoter shares or total issued shares. A fall in promoter percentage can occur because the promoter holding changed even when the encumbered share count did not. Conversely, a constant percentage can conceal a change in absolute shares if the denominator moved.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

4. Check for an intervening event

Search the event dashboard between the quarter-end date and the dashboard observation date. A creation, release or invocation can explain a later count without implying that the earlier filing was wrong.

5. Check corporate-action effects

Changes in issued shares, promoter transfers or other capital-structure events can alter percentages. Use the relevant shareholding table and event attachment to determine whether the denominator changed.

6. Preserve unresolved differences

If the records still differ, report both values with their dates and source labels. Do not manufacture a reconciliation or silently select the larger or newer number.

Build a reproducible comparison worksheet

A worksheet prevents the most common mistake: comparing numbers stripped of their dates and denominators. Use one row per company and reporting period, with these columns:

Column What to enter
Company and security Exact issuer name, symbol and security or segment.
Filing quarter-end The period-end date printed on the Shareholding Pattern.
Filing or submission date When the issuer submitted or the exchange disseminated the filing.
Promoter holding Absolute shares and the percentage shown in the filing or dashboard.
Encumbered shares Absolute count, with the record and date that supplied it.
Percent of promoter holding Keep this separate from the total-equity percentage.
Percent of total equity Record the stated denominator and issued-share count.
Event date and type Creation, release or invocation, if an event is found.
Reason and counterparty Copy the stated reason, beneficiary, lender or debenture issuer; mark blank fields as not supplied.
Depository count and observed date The separate dashboard count and the date you viewed it.
Source and notes Filing title, attachment availability and an explanation of any unresolved difference.

For a percentage you calculate yourself, show the formula and denominator. For example, encumbered shares divided by promoter shares answers a different question from encumbered shares divided by total issued shares. Keep calculated values visually distinct from figures printed by the exchange.

Common mistakes and how to fix them

  • Using only one dashboard: A single screen can miss an event or a different reporting date. Use the pledged-data snapshot, quarter-end filing and event dashboard together.
  • Calling all encumbrances “pledges”: Regulation 31 includes pledge, lien and similar transactions. Use “encumbered” when the filing does not specify the legal form.
  • Comparing unlike dates: Label quarter-end, event and observation dates in every note.
  • Mixing denominators: Keep promoter-percentage and total-equity-percentage columns separate.
  • Treating the rupee estimate as debt: It is encumbered shares multiplied by a last available closing price, not a loan balance.
  • Reading a “No” declaration as permanent: It applies to that filing period. Search later event records.
  • Turning blanks into zero: An empty field is not proof of no encumbrance or no counterparty.
  • Inferring from an event omission: If the reason or lender field is blank, report it as not supplied rather than guessing.
  • Ignoring the attachment: The row is an index; the attachment can contain the details needed to explain the change.
  • Using a stale regulation: Confirm the current consolidated SEBI text and amendments before quoting a deadline.

What you can and cannot conclude

Reasonable conclusions

  • The number of shares the issuer or exchange record identifies as encumbered for a stated date.
  • The proportion of promoter holdings or total equity represented by that count.
  • Whether a disclosed event created, released or invoked an encumbrance.
  • The stated reason or named beneficiary, lender or debenture issuer when the source supplies it.
  • Whether two records differ in date, source, denominator or reported scope.

Conclusions the filings do not establish on their own

  • The promoter’s outstanding borrowing or total liabilities.
  • The collateral haircut, margin call terms or lender’s recovery value.
  • Whether an invocation will occur, or whether the company will default.
  • Investment merit, future share performance or the company’s overall solvency.
  • That a blank field means no event, no lender or zero shares.

A compact repeatable checklist

  1. Search the exact company and security on NSE’s pledged-data dashboard.
  2. Copy every relevant count, percentage, rupee estimate and source/date label.
  3. Retrieve the latest Regulation 31 Shareholding Pattern and record its quarter-end and filing dates.
  4. Read the promoter declaration and the promoter/promoter-group encumbrance table together.
  5. Search the Regulation 31 Event Based dashboard for creation, release and invocation rows.
  6. Open available attachments and preserve blank fields as not supplied.
  7. Check the current Regulation 31(3) deadline if your conclusion concerns compliance timing.
  8. Compare dates, source systems, denominators and intervening events before describing a change.
  9. Report unresolved differences instead of forcing a single number.

This method produces a dated audit trail rather than a misleading headline percentage. It is suitable for checking one issuer, comparing several companies or building a historical series, provided every observation retains its source, date and denominator.
