Repair common Windows errors and clear accumulated junk for a smoother, more stable PC - no reinstall needed.Free scan · no reinstallFor a U.S. public company, start with its SEC EDGAR company page, then compare the latest proxy statement, Schedule 13D and 13G filings and amendments, institutional Form 13F-HR reports, and insider Forms 3 and 4. These filings cover different holders and dates, so there is no single live, complete ranking of every shareholder. Label any comparison with its filing type, security class, and reporting date.
1. Find the correct issuer on SEC EDGAR
Search EDGAR by company name or ticker, then confirm that the result is the legal issuer you intend to research. Start from the SEC’s EDGAR search rather than relying on a search-engine snippet. The company filing page lists form types, descriptions, filing dates, and reporting dates; filters and document text search can help narrow the results.

Keep the filing date separate from the reporting or “as of” date. A filing may be submitted after the ownership snapshot it describes.
2. Read the latest proxy statement for the company’s ownership table
Open the latest DEF 14A, the company’s definitive proxy statement, and find its beneficial-ownership table. This is a practical company-prepared starting point for directors, named executive officers, and holders included under the proxy’s disclosure thresholds. The SEC lists proxy and information statements as a distinct filing category; see its EDGAR filing search.

Record the table’s stated as-of date and the denominator used for each percentage. The table is not automatically a current register: its scope and date belong to that particular proxy filing.
3. Check Schedule 13D and Schedule 13G filings and amendments
Search the issuer’s filings for Schedule 13D and Schedule 13G, including amendments identified as 13D/A or 13G/A. These reports are the direct place to check reportable beneficial ownership by holders above five percent. The threshold describes a filing requirement, not a statistic about the company’s ownership overall.
Rank #2
For each relevant filing, note the reporting person, security class, reported shares and percentage, filing date, and any stated reporting or event date. Read later amendments before using a figure: an amendment may update or supersede an earlier report. The SEC’s EDGAR search lets you locate the filing documents and their filing history.

4. Use Form 13F-HR as a separate institutional snapshot
Form 13F-HR reports holdings of institutional investment managers, not a comprehensive list of all beneficial owners. Compare its quarter-end reporting date with the filing date shown in EDGAR. The portfolio snapshot describes holdings for an earlier date; do not present it as live ownership. See the SEC’s EDGAR filing search to find a manager’s reports.

A 13F position and a 13D/G beneficial-ownership position answer different questions and may not be directly comparable. Preserve the filing’s stated basis and security class instead of combining figures as if they were one consistent shareholder register.
5. Check Forms 3 and 4 for insiders
Form 3 is an initial ownership statement for an insider; Form 4 reports changes. These filings help you examine insider positions and reported transactions, but they are not a ranking of all shareholders. EDGAR separates insider transaction filings from 13D/G beneficial-ownership reports. Find them through the issuer’s EDGAR company filings.

6. Compare filings without creating a false ranking
Before describing a holder as the “largest,” define the population and basis being ranked. A proxy table, a 13D/G report, a 13F portfolio, and insider forms represent different groups, measurement bases, and dates. A defensible comparison preserves those distinctions.

| Filing | What it helps you check | What to capture | Key limitation |
|---|---|---|---|
| DEF 14A proxy | Company-prepared beneficial-ownership table, including directors, named executive officers, and other holders within the proxy’s disclosure scope | Holder, shares, percentage, security class, table as-of date, and denominator | Limited to the proxy’s scope and as-of date |
| Schedule 13D or 13G and amendments | Reportable beneficial owners above five percent | Reporting person, class, shares, percentage, filing date, relevant reporting or event date, and amendment status | Not a full census; later amendments can change an earlier figure |
| Form 13F-HR | Institutional investment manager holdings | Manager, reported positions, reporting date, and filing date | A dated institutional portfolio snapshot, not live ownership or a complete shareholder list |
| Forms 3 and 4 | Insider ownership statements and reported changes | Insider, position or transaction, security class, and filing date | Insider disclosures, not a ranking of all holders |
For every number you plan to cite, keep a working record with these fields:
Best Value
- Used Book in Good Condition
- Holder or reporting person
- Filing type and whether it is initial or amended
- Reported shares and percentage
- Security class and the percentage denominator
- Reporting or as-of date and filing date
- The filing’s stated ownership basis
If two filings appear to disagree, check whether they refer to the same share class, date, and denominator. Also distinguish beneficial ownership from investment-discretionary holdings, and check whether one figure comes from a later amendment. Explain any remaining difference in terms of the filings’ distinct scopes rather than forcing them into one ranking.
What EDGAR can—and cannot—tell you
EDGAR is the primary public filing source for U.S. issuers’ ownership disclosures, but these filings do not provide a single, comprehensive, real-time shareholder register. Use the filing type that matches your question, and make the date and population visible whenever you report a figure. This workflow concerns U.S. SEC filings; it does not establish ownership-disclosure requirements for companies in other jurisdictions.
