To estimate how much Bitcoin a public-company share represents, divide the company’s Bitcoin holdings by the relevant shares outstanding on the same date:
Bitcoin per share = Bitcoin held ÷ shares outstanding
Satoshis per share = Bitcoin per share × 100,000,000

The result is an asset-backing estimate, not a promise that you can redeem shares for Bitcoin and not a complete valuation of the company. Use the security class, filing date, share count, debt, preferred claims and Bitcoin-management policy to interpret it correctly.
What “Bitcoin per share” actually measures
Bitcoin per share (BPS) estimates the portion of a company’s reported Bitcoin treasury associated with one share. If a company reports 10,000 BTC and 100 million common shares, the simple ratio is 0.0001 BTC per share, or 10,000 satoshis per share.

BitcoinPS describes this as “the simplest honest measure of per-share bitcoin exposure.” Its methodology was updated August 4, 2026. The word exposure matters: the calculation describes asset backing at a stated date. It does not establish a shareholder’s liquidation proceeds, a guaranteed redemption right, or the value of the company’s operating business.
A share can trade above or below the market value of the Bitcoin attributed to it. Debt, preferred securities, taxes, custody arrangements, lending, operating assets and liabilities all affect what common shareholders ultimately own economically.
The three calculations you need
Bitcoin per share
Use the company’s reported Bitcoin balance and the share count that applies to the security you are analyzing:
BTC/share = BTC held ÷ shares outstanding
Keep the unit in Bitcoin until the division is complete. For example, 43,515 BTC divided by 346,548,153 shares equals approximately 0.00012557 BTC per share.
Satoshis per share
One Bitcoin contains 100,000,000 satoshis. Convert the result so it is easier to read:
Sats/share = BTC/share × 100,000,000
In the example above, 0.00012557 BTC per share becomes approximately 12,557 sats per share.
Bitcoin value per share in dollars
To compare the Bitcoin backing with a stock quote, multiply BPS by a Bitcoin spot price captured at a specific time:
Recommended Free Tools
BTC value/share = BTC/share × BTC spot price
Label the spot-price timestamp and exchange or index used. Bitcoin trades continuously, so a comparison without a time is not reproducible.
Gather inputs from dated company disclosures
Every input needs an “as of” date. A Bitcoin balance from December 31 divided by a share count from a later financing date is not the same claim as a ratio calculated entirely at December 31. If matching dates are unavailable, disclose the mismatch instead of presenting the result as a precise current figure.
Identify the issuer and security class
Start with the legal issuer and the exact security: Class A common stock, another common class, preferred stock, depositary interests or a different instrument. Ticker symbols can conceal multiple classes with different voting rights, conversion terms or economic claims.

For a broad common-equity estimate, the default approach is to sum basic shares outstanding across common classes. If you are calculating exposure for only one class, use that class’s share count and state the choice beside the answer. Do not divide a company-wide Bitcoin balance by one class while implying that every class receives identical exposure.
Find the Bitcoin balance
Pull the latest dated number from a Form 10-K, Form 10-Q, Form 8-K or a dated investor-relations treasury disclosure. Record whether the filing reports Bitcoin held directly, Bitcoin held through a subsidiary, or another form of exposure. Also record the reporting date, not merely the filing date.
Strategy’s 2025 Form 10-K illustrates why the surrounding balance sheet matters: it describes Bitcoin as a treasury reserve asset while discussing capital raising, debt and preferred securities. The BTC figure is an essential input, but it is not the whole common-shareholder claim.
Find shares outstanding
Use the shares outstanding reported for the same date as the Bitcoin balance whenever possible. A balance-sheet date and a later cover-page share count can differ after an offering, conversion, repurchase or merger.
Determine whether the filing gives basic shares outstanding, diluted weighted-average shares or both. The simple BPS method uses basic shares outstanding. Weighted-average shares are designed for earnings-per-share reporting over a period and are not interchangeable with an end-of-period ownership count.

Adjust for stock splits and corporate actions
Restate the share count and any per-share figure to the same split basis. A two-for-one split doubles the number of shares and halves BTC per share even though the company’s total Bitcoin has not changed. Reverse splits work in the opposite direction. Check the filing’s share-count footnotes and corporate-action dates before comparing periods.
A repeatable filing workflow
- Name the security. Write the issuer, ticker, exchange, class and the question you are answering (for example, “Bitcoin represented by one Class A common share”).
- Capture the Bitcoin number. Record the BTC amount, the reporting date, the filing type and any statement about custody, lending, collateral or sales.
- Capture shares. Record basic shares outstanding for the same date. Sum common classes only when the claim is for common equity as a whole; otherwise keep classes separate.
- Normalize units. Convert Bitcoin to BTC and shares to individual shares. Confirm that a filing has not presented BTC in a rounded table while a footnote gives a more exact amount.
- Check split history. Put both the BTC balance and share count on the same post-split or pre-split basis.
- Calculate BTC per share. Divide BTC held by shares outstanding and retain enough decimal places for later conversions.
- Calculate sats per share. Multiply BTC per share by 100,000,000. Round only for display, not during the calculation.
- Optional dollar comparison. Multiply unrounded BTC per share by a timestamped Bitcoin spot price, then compare that result with the stock’s price at a matching or clearly stated time.
- Write the qualification. Put the BTC date, share-count date, class and formulas beside the result. State any date mismatch or material corporate action.
Worked example: Twenty One Capital
Twenty One Capital’s 2025 Form 10-K reported 43,515 Bitcoin and 346,548,153 Class A common shares outstanding at December 31, 2025. The filing disclosed approximately 12,557 satoshis per share.
| Input or result | Value | Qualification |
|---|---|---|
| Bitcoin held | 43,515 BTC | Twenty One Capital, 2025 Form 10-K; as of December 31, 2025 |
| Shares outstanding | 346,548,153 Class A shares | Same issuer and date |
| BTC per share | Approximately 0.00012557 BTC | 43,515 ÷ 346,548,153 |
| Satoshis per share | Approximately 12,557 sats | 0.00012557 × 100,000,000 |
The calculation is:
43,515 ÷ 346,548,153 = 0.00012557 BTC per share0.00012557 × 100,000,000 = 12,557 sats per share
This is a Class A figure based on the stated reporting date. It should not be presented as a live October 2026 exposure without incorporating subsequent Bitcoin purchases or sales, issuances, conversions, repurchases and other changes.

0.00012557 × $100,000 = $12.557 per share
If the stock trades at $18 at that same comparison time, the stock is trading at approximately 1.43 times the simple Bitcoin value per share. If it trades at $9, it is approximately 0.72 times that value.
These ratios are market-to-Bitcoin comparisons, not audited net asset values. The comparison uses only the reported Bitcoin balance and a spot price; it does not subtract debt, preferred claims, taxes, operating costs or other liabilities.

Why BTC per share is not NAV
Net asset value requires a broader balance-sheet analysis. BTC per share omits or does not resolve:
- Debt: principal, interest, maturities, covenants and collateral can reduce the value available to common shareholders.
- Preferred securities: preferred dividends, liquidation preferences and conversion rights can rank ahead of common stock.
- Operating assets and liabilities: mining equipment, software, property, leases, payables, taxes and working capital are not represented by the BTC balance.
- Custody and restrictions: coins may be held with custodians, pledged, locked or otherwise unavailable for immediate sale.
- Trading and lending activity: a company may lend Bitcoin, trade it or use it as collateral rather than hold every coin unencumbered.
- Taxes and transaction costs: selling Bitcoin can create tax liabilities, fees and price impact.
- Future dilution: convertibles, warrants, options, employee awards and planned equity raises can increase the share count.
Calling the ratio “NAV” without these adjustments overstates what the calculation proves. A more accurate label is “reported Bitcoin value per share” or “Bitcoin backing per share.”
Capital structure can change the economic exposure
Bitcoin holdings can rise while common-shareholder exposure falls. An equity issuance adds shares; a convertible conversion can add shares; a debt-financed purchase can add BTC while also adding a senior claim. Preferred stock may receive dividends or liquidation proceeds before common stock.
When reviewing a company, create separate lines for common shares, preferred classes, debt and instruments that could become common shares. Decide whether your calculation is a basic-share snapshot or a scenario that includes potential dilution. Do not mix a basic BTC-per-share result with a fully diluted share count unless you label the result accordingly.
Operational policy matters as much as the snapshot
MARA’s 2025 filing demonstrates why two companies with similar BPS can have different practical exposure. It retained most Bitcoin as a treasury asset for long-term exposure and liquidity, while also disclosing lending, trading and policies that allowed sales.

Read the policy language for answers to these questions:
- Can the company sell Bitcoin to fund operations, acquisitions or debt service?
- Can it lend coins or pledge them as collateral?
- Are there stated minimum or maximum treasury levels?
- Who approves sales, lending or transfers?
- Does the company disclose counterparty, custody or rehypothecation risk?
A static BPS figure is backward-looking. A policy that permits lending, collateralization or sales can change the assets supporting each share before the next filing.
How to compare two public companies
Do not rank companies on BPS alone. Compare the following measures using matching dates and consistent share-count conventions:
| Comparison axis | What to calculate or inspect | Why it matters |
|---|---|---|
| Bitcoin backing | BTC per share and sats per share | Shows the reported Bitcoin amount associated with one share. |
| Senior claims | Net debt and preferred claims per share | Shows obligations that may rank ahead of common equity. |
| Dilution | Basic shares versus potential shares from convertibles, warrants and options | Shows how future issuance could reduce exposure per share. |
| Operating business | Cash flow, profitability, mining performance or technology execution | Explains value and cash needs outside the Bitcoin treasury. |
| Treasury policy | Custody, lending, collateral and sale permissions | Indicates whether reported BTC is freely available and likely to remain held. |
| Market relationship | Stock price versus timestamped Bitcoin value per share | Shows a simple premium or discount, not complete NAV. |
Use the same Bitcoin spot-price source, currency, market-price convention and date for both companies. Otherwise the apparent difference may come from measurement choices rather than economics.

Scenario analysis
For a forward-looking illustration, create separate rows for additional shares, BTC purchases or sales and debt. For example, a hypothetical issuance row can increase shares while leaving BTC unchanged; a purchase row can increase BTC while leaving shares unchanged. Label every row as a scenario rather than a reported fact.
Do not infer shareholder return from BPS growth alone. BPS can increase because the company acquired Bitcoin, because it repurchased shares or because the share count changed. Stock price, financing costs, preferred claims and operating results can move in the opposite direction.
Common mistakes and how to correct them
Mixing dates
Symptom: You divide a year-end BTC balance by a current share count. Fix: calculate a historical ratio using matching year-end inputs, or clearly label the result as a mixed-date estimate and explain the limitation.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minuteUsing weighted-average shares
Symptom: You copy the earnings-per-share denominator. Fix: use basic shares outstanding at the BTC reporting date for a per-share ownership snapshot.

Ignoring share classes
Symptom: You use Class A shares while describing all common equity. Fix: sum common classes for a company-wide common estimate or name the specific class in the result.
Forgetting splits
Symptom: An older BPS figure appears exactly twice or half the newer figure after a split. Fix: restate both periods to one split basis before comparing them.
Calling BPS NAV
Symptom: The result is presented as liquidation value. Fix: call it Bitcoin backing and separately analyze debt, preferred securities, operating assets and liabilities.

Symptom: Your sats or dollar result differs from the filing because BTC per share was rounded first. Fix: retain full precision internally and round only the displayed answer.
How often to update the number
Update BPS when a new dated treasury disclosure, quarterly filing, annual filing or material event changes Bitcoin holdings or shares. Recalculate after:
- Bitcoin purchases or sales;
- common-stock offerings, repurchases or splits;
- convertible conversions, warrant exercises or option exercises;
- preferred issuance or conversion;
- mergers, acquisitions or dispositions involving the treasury; and
- new debt or collateral arrangements that alter senior claims or access to the coins.
Keep prior snapshots instead of overwriting them. A time series can show whether BPS changed through treasury growth, share-count changes or both, but it still does not measure total shareholder return.
Optional tools for repeated calculations
A spreadsheet handles the BTC-per-share formula, date log and sensitivity table. For repeated finance scenarios involving cash flows, net present value or internal rate of return, a Texas Instruments BA II PLUS Professional financial calculator provides cash-flow, NPV and IRR functions documented by Texas Instruments. Those functions are optional; they do not replace the filing-based BTC and share inputs.
A publication-ready checklist
- Issuer and exact security class named.
- Bitcoin amount copied from a dated disclosure.
- Shares outstanding taken from the same date where possible.
- Common classes summed only when the stated claim covers common equity as a whole.
- Stock splits and corporate actions checked.
- BTC per share calculated as BTC divided by shares.
- Sats per share calculated by multiplying BTC per share by 100,000,000.
- BTC price and stock price timestamped for any dollar comparison.
- Debt, preferred claims and dilution discussed separately.
- Custody, lending, collateral and sale policy reviewed.
- Result labeled as asset backing, not guaranteed redemption or complete NAV.
- Historical dates preserved so the figure is not mistaken for current exposure.
The defensible answer to “How much Bitcoin do I get per share?” is therefore a dated ratio: reported BTC held divided by the shares representing the claim, converted to satoshis if useful, and accompanied by the capital-structure and treasury-policy details that the ratio alone cannot capture.
