To estimate an insider’s ordinary common-stock holdings on a particular date, multiply the number of shares reported as beneficially owned by the share price on that date. The result is a dated estimate, not a permanent valuation or a measure of all the insider’s wealth. The share count comes from ownership filings; the price is a separate, time-sensitive input.
Use this formula for ordinary shares
Estimated value = reported beneficially owned shares × share price on the valuation date

For a useful, reproducible estimate, identify the company, security class, reported share count, price source and valuation date. For example, if a filing reports 1,000 shares and the chosen closing price on the valuation date is $20, the estimate is $20,000. That example illustrates the arithmetic only; it is not a current quote or a valuation of a particular insider’s holdings.

A calculation using a different date or price basis can produce a different result even when the reported share count is unchanged.

Find the ownership record in SEC EDGAR
Search the company’s SEC EDGAR filings for Forms 3, 4 and 5. They capture different parts of the ownership record, so review them in sequence rather than treating one filing as a complete lifetime total.
- Form 3: the initial ownership statement.
- Form 4: reports changes in ownership. The SEC says it generally must be filed within two business days after the transaction date. It can report common stock and derivative securities, and generally makes transaction amounts and prices per share public.
- Form 5: an annual statement covering certain holdings or transactions. The SEC’s 2021 Investor Bulletin says it is generally due no later than 45 days after the issuer’s fiscal year ends.
The SEC’s 2021 Investor Bulletin gives purchases below $10,000 in a six-month period as an example of certain exempt transactions that may later be reportable on Form 5. This is an example, not a universal exemption or threshold for every transaction.

Read the holding figure and its context
In Form 4, “amount beneficially owned following reported transaction(s)” is the reported post-transaction holding for that class. It is not necessarily the amount held today: check later filings for subsequent changes. Read the footnotes and ownership fields before using the number, and confirm whether it refers to direct or indirect ownership and to shares or a derivative instrument.

Forms report both direct and indirect beneficial ownership, but those labels describe different holding arrangements. A reported beneficial ownership figure does not necessarily mean the shares are registered in the insider’s own name. Investor.gov describes a registered owner as holding shares directly with the company, while a beneficial owner may hold them indirectly through a bank or broker-dealer.
Use the filing’s own ownership fields and footnotes to understand the reported interest. “Beneficial ownership” has detailed rules in SEC reporting, and the term should not be assumed to mean the same thing in every regulatory context.
Keep derivative securities out of the ordinary-share total
Form 4 separates non-derivative securities in Table I from derivative securities in Table II. Options, warrants, puts, calls and convertible securities are not interchangeable with ordinary shares for this calculation. Do not multiply an unexercised option’s underlying share count by the stock price and call the result the insider’s cash-equivalent wealth.

Economic value depends on instrument terms, including exercise price, expiration and vesting. SEC staff guidance also treats options with different exercise prices or expiration dates as different classes for Form 4 reporting. If you choose to estimate a derivative’s value, show the instrument and assumptions separately; otherwise report its count and terms without adding it to the common-stock estimate.

Before comparing two reported holdings, align the details that can change the result:
Best Value
- Company and security class.
- Valuation date and share-price basis.
- Direct versus indirect ownership.
- Ordinary shares versus derivative securities.
For a comparison over time, distinguish transaction dates from filing dates and account for intervening grants, sales, exercises, gifts or transfers shown in the forms. A Form 4 filed later reports a transaction; its filing date is not necessarily the date on which the transaction occurred.
What the estimate does—and does not—show
The calculation estimates the market value of reported ordinary shares using a specified share price and date. It does not establish a person’s complete economic exposure, predict future performance or guarantee that the reported amount remains unchanged. Forms disclose reported ownership and transactions; they are not a forecast of the stock.
The SEC’s 2021 Investor Bulletin notes that insider research may help investors consider the extent of insiders’ economic stake, including outright ownership and transactions such as equity swaps that may hedge that ownership’s economic risk. That context is one reason a share-count-times-price estimate should not be treated as a full account of an insider’s incentives or exposure.
