For a privately held employer, the answer is the fair market value of the specific employer security on the applicable valuation date and for the particular plan or transaction purpose. A qualified valuation adviser analyzes the company and its securities; the ESOP trustee or other fiduciary must then make a prudent, documented decision about whether the analysis is complete, current and reasonable.
That is different from using book cost, an informal internal estimate or a startup 409A option valuation. The steps below show what must be defined, what evidence the adviser and fiduciary should examine, and how annual account valuations differ from transactions.

What “value” means in a private-company ESOP
An ESOP holds employer securities for participants. The relevant value is generally fair market value (FMV), not the amount the company originally paid, the accounting carrying value or a rule-of-thumb multiple selected without supporting evidence. IRS guidance says plan assets must be valued at fair market value rather than cost.

- the exact class or type of security being valued;
- the valuation purpose, such as a purchase, sale, annual participant-account valuation or contribution;
- the valuation date;
- the company’s financial condition, forecasts, debt and cash;
- the rights attached to the shares; and
- facts that could affect a buyer’s or seller’s economic expectations at that date.
An enterprise-level estimate by itself may not establish the value of each share. The report must connect the business analysis to the actual security, capital structure and share rights involved.

When an independent appraisal is required
IRS examination guidance describes an independent-appraiser requirement for certain nonpublic employer securities acquired by an ESOP after December 31, 1986 when those securities are not readily tradable on an established securities market. The precise application depends on the governing statute and regulations, so the plan’s tax and ERISA professionals should confirm that the requirement applies to the proposed transaction.
An appraiser’s independence does not transfer the fiduciary’s responsibility. The IRS examination manual states: “The independent appraisal will not in itself be a good faith determination.” The appraisal is evidence for the fiduciary’s decision, not an automatic safe harbor.
Step 1: Define the assignment before collecting numbers
Write a short valuation assignment that answers five questions. Ambiguity at this stage can produce a technically polished report that answers the wrong question.
Identify the security
Specify the class, series or other employer security held or to be acquired. Record voting rights, dividend or distribution rights, conversion provisions, redemption terms, restrictions on transfer and any differences from other classes. A value for common shares cannot automatically be applied to preferred or specially restricted shares.
State the purpose
Say whether the work supports an ESOP purchase from a selling shareholder, a sale by the ESOP, a contribution, an annual defined-contribution-plan account valuation or another plan event. A transaction appraisal and an annual account valuation can involve different dates, facts and review questions.
Fix the valuation date
The value must correspond to a stated date. IRS examination guidance identifies the transaction date for specified transactions involving a disqualified person. For other purposes, it points to the plan’s most recent valuation date. Defined contribution plan trust investments are valued at least annually on a specified date using a method that is consistently followed and uniformly applied.
Describe the marketability context
State whether the security is publicly traded. A private-company security lacks an established trading market, but that fact alone does not dictate a particular discount or percentage adjustment. Any marketability or ownership adjustment must be supported by the facts and the adviser’s analysis.

List the parties and potential conflicts
Identify the ESOP trustee or named fiduciary, the company, selling shareholders, lenders, management, the valuation adviser and any other professional involved. Ask who selected and pays each adviser, whether an adviser has other engagements with the company, and whether any relationship could affect judgment.
Step 2: Assemble complete, current company information
A valuation adviser cannot produce a defensible conclusion from a revenue figure and a guessed multiple. The information package should ordinarily cover the company’s operations, finances, ownership and proposed transaction. The exact list varies by assignment, but these categories are material.
Historical performance
- Recent financial statements and the periods they cover.
- Revenue, margins, earnings, cash flow and working-capital trends.
- One-time items, owner compensation, unusual expenses and other proposed adjustments.
- Changes in customers, products, pricing, capacity and competition.
Forecasts and operating plans
- Management’s projections, their preparation date and the people who prepared them.
- Assumptions for sales, pricing, margins, capital spending, taxes, working capital and headcount.
- Evidence supporting major changes from historical results.
- Downside or sensitivity information when a key assumption is uncertain.
The Department of Labor’s process materials emphasize asking who prepared projections, whether conflicts exist, why the projections are reasonable and how projected performance compares with historical results and selected comparable companies.
Capital structure and obligations
- All classes of equity and their ownership percentages.
- Outstanding debt, interest rates, maturities, covenants, guarantees and required amortization.
- Cash, investments, leases, contingent obligations and other claims on enterprise value.
- Existing options, warrants, conversion rights or repurchase obligations.
Transaction terms
- Price and form of consideration.
- Seller-financing terms, lender financing, interest, amortization and subordination.
- Representations, indemnities, escrow, earn-outs or other contingent payments.
- Whether the ESOP will own a minority or controlling interest after closing.
Keep the information current through the valuation date. A report based on stale forecasts or an outdated debt schedule may not describe the security’s value when the transaction occurs.

Step 3: Analyze the business and the valuation evidence
Professional valuation practice uses different approaches and combinations of evidence. The official ESOP materials do not prescribe a universal three-method formula or require one approach for every company. Instead, they focus on whether the selected evidence and assumptions are appropriate and documented.
Test the projections
Compare forecasts with the company’s historical results and with the performance of relevant comparable companies. Investigate abrupt changes in growth, margins or capital needs. Ask whether management has achieved similar targets before and whether customer, industry or economic conditions support the assumptions.
Choose comparables for a reason
If guideline public companies or transaction evidence is used, the DOL process materials call for a written explanation of comparability. Relevant considerations include company size, customer concentration when information is available and earnings volatility. A list of familiar companies is not enough; the report should explain why each selected company illuminates this employer’s economics.

Examine financing and debt service
ESOP financing can change the economic risk borne by the company and the ESOP. Review the amount and terms of acquisition debt, required principal and interest payments, covenants, refinancing assumptions and the sponsor’s ability to service the obligations under the projections. DOL materials specifically identify transaction financing and debt-service capacity as process considerations.
Consider security rights and ownership level
The same company can have different values for securities with different voting, distribution, conversion or redemption rights. Determine whether the ESOP is buying control, a minority position or a position with contractual protections. Do not apply a minority-ownership or lack-of-marketability discount merely because it appears in a template; the IRS examination manual treats those discounts as matters to examine, not automatic percentages.
Review subsequent and foreseeable events
The IRS examination manual flags subsequent events and asks whether events foreseeable at the valuation date affect value. A later event is not automatically backdated into the valuation, but information that was knowable or reasonably foreseeable on the valuation date may require analysis. Document what was known, when it became known and how the adviser treated it.
Step 4: Translate the company analysis into the security’s value
The valuation report should show how the business-level conclusion becomes the value of the actual employer security. That connection normally requires a clear discussion of the capital structure, debt and cash, equity classes, share rights, ownership level and any justified adjustments.
The official sources establish the FMV and fiduciary-process requirements, but they do not prescribe one universal enterprise-to-equity bridge or numerical inputs. Therefore, a reader cannot honestly calculate a per-share answer from the title alone. Company financial statements, capitalization data, forecasts, transaction terms and share provisions are required.
Recommended Free Tools
At minimum, the report should let a reviewer trace:
- the value indication for the operating business or enterprise;
- claims and assets that affect the value attributable to equity;
- the rights and obligations of the specific class being valued;
- any ownership or marketability adjustment and its evidence; and
- the resulting value for the relevant block or share, as of the stated date.
If a material assumption changes before closing, ask the adviser whether the conclusion remains applicable or must be updated.

Step 5: Have the fiduciary test the appraisal
The trustee or named fiduciary must act prudently and loyally for participants and beneficiaries. That means investigating the work rather than accepting a signed report without questions.
Questions about the adviser
- Does the adviser have appropriate private-company and ESOP experience?
- Is the adviser independent from the company, sellers, lenders and management?
- Were conflicts disclosed and evaluated?
- Did the adviser receive complete information, and is the information current?
Questions about the analysis
- Is the valuation date the one required for this plan event?
- Is the method consistently applied and explained?
- Are projections reasonable in light of historical performance and comparable-company evidence?
- Why were the selected comparable companies considered similar in size, customer concentration and earnings volatility?
- Were debt service, financing terms and the sponsor’s ability to pay considered?
- Are discounts, premiums and security-rights adjustments supported rather than copied from a prior report?
- Did any foreseeable or subsequent event require additional analysis?
Record the questions asked, information reviewed, answers received and reasons for accepting or rejecting the conclusion. A fiduciary may rely on experts, but reliance must be reasonable and informed.

Keep a valuation file that allows another fiduciary or examiner to understand the decision without reconstructing it from memory. Include:
- the assignment, security and valuation purpose;
- the valuation date and the rule used to select it;
- financial statements, forecasts, capitalization information and transaction documents supplied to the adviser;
- the adviser’s qualifications, independence disclosures and report;
- comparable-company and financing analyses;
- the fiduciary’s review questions and responses;
- assumptions that could materially affect value; and
- the final decision and its rationale.
For annual defined-contribution-plan valuations, use the plan’s specified date and a method applied consistently and uniformly. Revisit the work when material new information arises, especially around a transaction. Annual does not mean that an obviously obsolete conclusion can be used without scrutiny.
Annual account valuation versus transaction valuation
| Situation | What is being determined | Date and process focus |
|---|---|---|
| Annual participant-account valuation | Fair market value of the plan’s employer securities for account reporting and allocation purposes. | At least annually on a specified date, using a consistently followed and uniformly applied method; confirm that company information remains current. |
| ESOP purchase or sale involving a disqualified person | Fair market value for the particular transaction and security. | IRS examination guidance identifies the transaction date; examine financing, terms, projections and foreseeable events at that date. |
| Other plan valuation purpose | Value matching the specific plan event and security. | IRS examination guidance points to the plan’s most recent valuation date for other purposes; confirm the governing plan and legal requirements. |
Do not substitute an annual account value for a transaction appraisal, or a transaction value for every later annual statement, without confirming that the purpose and date are appropriate.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.What the calculation is not
It is not the company’s cost basis
IRS materials require fair market value rather than cost for plan assets. A low historical purchase price does not prove that the shares are still worth that amount, and a high prior appraisal does not guarantee the current value.
It is not automatically a 409A valuation
A 409A valuation prepared for stock-option tax purposes addresses a different legal and tax context. It may contain useful information, but the materials covered here do not establish that it can be substituted for an ESOP transaction appraisal or annual plan valuation.
Best Value
- Brand New in box; The product ships with all relevant accessories
- Dedicated keys allow easy access to common financial and statistics functions
- Easy-to-use design provides business, finance and statistical calculations fast
- Specially designed to meet the mathematical needs
It is not a generic spreadsheet output
A calculator can organize assumptions, but it cannot establish fair market value without reliable company data, security terms, a defensible valuation date and professional judgment. A spreadsheet result should not be presented as an appraisal merely because it produces a per-share number.
Special issue for S corporation ESOPs: section 409(p)
S corporation status creates a separate compliance question under section 409(p). IRS materials describe restrictions for situations in which ownership is concentrated among 10-percent owners holding at least 50 percent or more of the corporation’s interests. These are statutory concentration and allocation rules, not valuation multiples or a method for setting share price.
Have qualified tax and ERISA professionals review 409(p) separately from the FMV analysis. A valuation can be reasonable while the plan still has a prohibited concentration problem, and compliance with 409(p) does not determine the company’s FMV.
Common failure modes and fixes
| Failure mode | Why it is a problem | Better practice |
|---|---|---|
| Using book value or original cost | Those figures do not necessarily represent current FMV. | Obtain a valuation tied to the security, purpose and date. |
| Using an old appraisal without checking assumptions | Results, debt, forecasts or market conditions may have changed. | Ask the adviser to update or confirm the conclusion and document the review. |
| Accepting management projections at face value | Unsupported growth or margin assumptions can overstate value. | Compare projections with historical results and comparable-company metrics. |
| Choosing comparables by industry label alone | Industry similarity does not establish economic comparability. | Explain size, customer concentration, earnings volatility and other relevant differences. |
| Applying a template discount | Discounts for marketability or minority ownership are fact-specific. | Require evidence and a written explanation for each adjustment. |
| Ignoring financing capacity | Debt service can affect cash available to the business and transaction risk. | Analyze interest, amortization, covenants, refinancing and downside capacity. |
| Assuming the independent appraisal ends the inquiry | The fiduciary remains responsible for a prudent determination. | Review qualifications, conflicts, data, methods, assumptions and changes through the valuation date. |
| Confusing 409A and ESOP valuations | They serve different legal and tax purposes. | Obtain advice specific to the ESOP transaction or plan valuation. |
Practical fiduciary checklist
- State the security, purpose, valuation date and marketability context in writing.
- Confirm whether an independent appraiser is required for the proposed acquisition or transaction.
- Collect current financial statements, forecasts, debt schedules, capitalization data, security rights and transaction terms.
- Investigate who prepared the projections, potential conflicts and the support for major assumptions.
- Require a written explanation for comparable-company selection and any discounts or premiums.
- Test debt service, financing terms and the sponsor’s ability to meet obligations under the projections.
- Ask whether events known or foreseeable at the valuation date affect the conclusion.
- Trace the business analysis to the actual class or block of shares being valued.
- Document the fiduciary’s questions, answers, judgment and final decision.
- Set the next required valuation date and a process for reviewing material changes.
Regulatory timing and professional help
The Department of Labor announced a proposed valuation rule on January 16, 2025. A proposal is not a final regulation. Before relying on it, confirm its current status and any final text, while continuing to follow the applicable statutes, regulations and current agency guidance.
Because the calculation combines valuation, ERISA fiduciary duties, tax rules and transaction financing, a typical process involves an independent ESOP valuation adviser plus ERISA and tax counsel. The adviser analyzes value; counsel helps interpret plan, fiduciary and tax requirements; the fiduciary makes and documents the decision.
This is general information, not individualized legal, tax or valuation advice. The correct value cannot be calculated without the company’s financial, capitalization, security-rights and transaction facts.
