Net revenue after a cloud marketplace fee is the amount attributable to your offer after the marketplace’s fee, refunds or credits, applicable tax or withholding, and any channel deductions. Use this formula:
Marketplace seller net revenue = offer receipts − marketplace fee − refunds/credits − applicable transaction taxes or withholding − channel/wholesale deductions
As an Amazon Associate I earn from qualifying purchases.
Keep that result separate from profit. To calculate contribution after delivering the software, subtract your own hosting, infrastructure, support, and other delivery costs in a second calculation. AWS Marketplace and Microsoft Marketplace use different fee structures and reporting terms, so a universal “cloud partner fee” percentage is unsafe.
Define which “net revenue” you need
Cloud marketplace reports use several amounts that can sound interchangeable but answer different questions. Label your calculation before entering numbers.

- Marketplace seller net revenue: receipts attributable to the offer after marketplace fees and the adjustments shown in the transaction statement.
- Collected net revenue: the portion the marketplace has actually collected from the buyer.
- Disbursed net revenue: the portion paid to the publisher. It can be lower than seller net revenue when collection or payout is still pending.
- Contribution after cloud delivery costs: marketplace seller net revenue minus publisher-paid hosting, infrastructure, support, and other delivery costs.
- Bank deposit: the cash received in a payout. This may combine transactions, currencies, withholding, timing adjustments, and prior-period corrections.
AWS defines seller net revenue as “The total amount billed for the transaction, net of AWS Marketplace fees, refunds, and US sales and use tax” in its Collections and disbursement dashboard documentation. That is a platform field definition, not a universal accounting definition for every marketplace.
The calculation framework
Start with the amount actually attributable to the software offer, then apply only deductions supported by the transaction’s terms and report fields:
Marketplace seller net revenue = offer receipts − marketplace fee − refunds/credits − applicable transaction taxes or withholding − channel/wholesale deductions

For a profitability view, continue separately:
Contribution after cloud delivery costs = marketplace seller net revenue − seller-paid hosting, infrastructure, support, and other delivery costs
Do not put customer-paid cloud consumption into the publisher’s cost line unless the publisher actually pays it. Likewise, do not subtract the same infrastructure charge once from marketplace receipts and again from contribution margin.
What belongs in offer receipts
Use the gross amount for the software offer shown on the marketplace statement: for example, a monthly SaaS license, an agreed private-offer installment, or usage charges that belong to your product. Exclude unrelated services, separately invoiced professional work, and customer cloud consumption unless your contract and report treat them as part of the offer.
What belongs in deductions
- Marketplace fee: the rate and base defined for that marketplace and offer type.
- Refunds and credits: current-period and prior-period adjustments shown in refund or credit fields.
- Tax or withholding: amounts the marketplace withholds or charges according to the transaction’s seller-of-record and tax-remittance model.
- Channel or wholesale deduction: a reseller or channel amount when the offer uses that structure.
Currency conversion and rounding can make a manually calculated amount differ slightly from a payout. Preserve the transaction currency and the marketplace’s precision in your worksheet.

| Marketplace and offer | Published fee information | Fee basis or qualification |
|---|---|---|
| AWS Marketplace public SaaS offer | 3% | AWS schedule effective January 5, 2024; standard public-offer listing fee. |
| AWS Marketplace public server, AMI, container, or machine-learning offer | 20% | Standard public-offer listing fee in the cited AWS schedule. |
| AWS Data Exchange public offer | 3% | Standard public-offer listing fee. |
| AWS private offer, total contract value below $1 million | 3% | Rate based on total contract value. |
| AWS private offer, total contract value from $1 million to below $10 million | 2% | Rate based on total contract value. |
| AWS private offer, total contract value of $10 million or more | 1.5% | Rate based on total contract value. |
| AWS private-offer renewal | 1.5% | Listed renewal rate; verify the applicable agreement. |
| AWS channel-partner private offer | Base listing fee plus 0.5 percentage points | AWS says the fee is based on the discounted price offered by the ISV to the channel partner. |
| Microsoft Marketplace transactable offer | 3% store service fee | Microsoft’s standard example pays the publisher 97% of a $100 monthly SaaS license. |
See the AWS Marketplace fee schedule for the offer and effective-date details. Microsoft’s current payout documentation, accessed October 13, 2026, describes the 3% standard store service fee and a 97% effective earnings rate; the transaction’s actual Earning Rate field controls reconciliation.
Step-by-step calculation
- Identify the marketplace and offer type. Record the provider, public or private status, SaaS or other product category, channel structure, geography, currency, and contract date.
- Extract offer receipts. Pull the billed software amount from the marketplace earnings, billing, or transaction export. Do not substitute the bank deposit.
- Find the fee base and rate. Determine whether the fee applies to a list price, discounted price, total contract value, or another defined base. Use the transaction’s actual rate where the report supplies one.
- Calculate the marketplace fee. Multiply the documented fee base by the applicable rate, retaining the transaction currency and platform rounding.
- Post refunds and credits. Include gross refunds, fee refunds, tax refunds, credits, and prior-period adjustments in the fields where the marketplace reports them.
- Apply tax or withholding. Use the transaction tax report and agreement. Separate buyer tax collected by the platform from tax charged on the platform fee or amounts withheld from your payout.
- Apply channel or wholesale deductions. Enter only amounts that belong to the reseller or channel arrangement. For an AWS channel private offer, check whether the 0.5-percentage-point uplift and discounted channel price apply.
- Reconcile collection and payout status. Mark the result as earned, collected, disbursed, or undisbursed rather than treating all four as cash.
- Calculate contribution separately. Subtract publisher-paid delivery costs only after marketplace seller net revenue is established.
Worked AWS Marketplace examples
Public SaaS offer
Assume an AWS public SaaS transaction bills $10,000 for the software in one month. Using the published 3% public SaaS listing fee:
| Line | Calculation | Amount |
|---|---|---|
| Offer receipts | Given | $10,000.00 |
| AWS listing fee | $10,000 × 3% | −$300.00 |
| Refunds or credits | None in this illustration | $0.00 |
| Marketplace seller net revenue before other applicable deductions | $10,000 − $300 | $9,700.00 |
If the publisher pays $2,400 for hosting and support attributable to that month, contribution after cloud delivery costs is $7,300. That $2,400 is not part of the AWS listing-fee calculation.
Quick wins for a faster PC:
Repair Windows errors before they cause bigger problemsFix Now →Scan for outdated or missing drivers - takes under a minuteDriver Scan →Public server or AMI offer
With the same $10,000 of offer receipts and the published 20% AWS fee for a server, AMI, container, or machine-learning offer, the fee is $2,000 and marketplace seller net revenue before other deductions is $8,000. The product category must be confirmed from the actual listing; do not use the SaaS rate simply because the product is delivered through the cloud.
Private offer using total contract value
Suppose a private offer has a total contract value of $2 million and falls in AWS’s $1 million-to-below-$10 million band. A 2% fee would be $40,000 if the full TCV is the documented fee base. The monthly cash received may not equal the TCV, so allocate the fee according to the marketplace statement and contract schedule rather than multiplying every monthly deposit by 2% without checking the base.
Channel-partner private offer
For a channel private offer, AWS lists a 0.5-percentage-point uplift to the applicable listing fee and says the fee is based on the discounted price offered by the ISV to the channel partner. If a qualifying base rate is 2%, the uplifted rate is 2.5%; if the documented discounted fee base is $400,000, the fee would be $10,000. The channel partner’s own economics may be a separate deduction, so read the offer and partner statement instead of assuming the uplift replaces the wholesale amount.
Worked Microsoft Marketplace example
Microsoft’s example uses a $100 monthly SaaS license and a 3% store service fee:
| Line | Calculation | Amount |
|---|---|---|
| Publisher net receipts before the store fee | Given | $100.00 |
| Microsoft store service fee | $100 × 3% | −$3.00 |
| Publisher earnings after the fee | $100 − $3 | $97.00 |
Microsoft separately shows Azure usage cost billed to the publisher in its transaction example. If that usage cost is $18, contribution after cloud delivery costs is $79, but the marketplace service fee remains $3. Do not call $79 “marketplace net revenue”; it is a contribution measure after delivery cost.

For a live Microsoft transaction, use the earnings report’s Earning Rate field. Microsoft’s payout FAQ describes the standard 3% fee, while the September 2025 Publisher Agreement states that publisher net revenue is based on publisher net receipts minus the applicable Store Service Fee and any tax on that fee, if applicable, for offers purchased directly through Microsoft Marketplace.
Taxes, refunds, credits, and withholding
Buyer taxes versus deductions from your payout
A marketplace may collect sales or use tax from the buyer and remit it, meaning that tax should not be treated as publisher revenue. A tax charged on the marketplace fee, or withholding imposed on your payment, can reduce the amount deposited to you. The correct treatment depends on the seller-of-record model, buyer location, publisher location, and agreement.
Use the tax report and transaction statement for the specific jurisdiction. A generic “subtract 10% tax” rule can misstate both revenue and tax liability.
Recommended Free Tools
Refund timing
A refund can reverse part of the offer receipt and may also reverse the related marketplace fee or tax. AWS reports gross refund, fee refund, and tax refund fields separately. Post each field to the period and transaction reference indicated by the export, especially when a refund relates to an earlier month.
Credits and promotional adjustments
Customer credits may reduce what the buyer pays without reducing the contractual list price in the same way as a cash refund. Follow the marketplace’s line-item treatment and preserve the credit reference. Do not silently net credits against unrelated transactions.
How to reconcile marketplace reports to a payout
A calculated net amount and a bank deposit often differ without indicating a fee error. Reconcile in this order:
- Export the earnings or transaction report for the relevant period.
- Group rows by transaction reference, order, asset, usage line, and currency.
- Recalculate the fee from the documented base and compare it with the report’s fee amount and rate.
- Match refund, credit, tax, and withholding fields to the same transaction or adjustment reference.
- Check whether the amount is collected, uncollected, disbursed, or undisbursed.
- Compare the resulting disbursed amount with the payout statement, allowing for payout timing, currency conversion, and rounding.
AWS report fields
AWS distinguishes gross revenue, listing-fee amount and percentage, refund fields, seller net revenue, collected and uncollected net revenue, and disbursed and undisbursed net revenue. Currency and transaction reference ID support matching. A transaction can have seller net revenue while remaining uncollected, or be collected while awaiting disbursement.
AWS’s Insights documentation notes typical Marketplace payment terms of Net 30–60 days from invoice date. Treat that as documented typical timing, not a guarantee for every buyer, offer, or payout.

Microsoft report mappings
Microsoft recommends reconciling earnings with order and usage reports through identifiers such as AssetID, OrderID, and line-item or UsageReferenceID values. The earnings report’s actual Earning Rate is more reliable for a transaction than applying the standard rate to every row.
Use Microsoft’s payout FAQ alongside the earnings and order exports. If a payout is lower than calculated earnings, investigate collection status, payout timing, fee tax, refunds, withholding, and currency before changing the fee percentage.

How to compare a new marketplace offer
Before signing or forecasting, compare the same transaction scenario across providers using these axes:
- Marketplace and offer type.
- Fee basis: gross receipts, discounted price, total contract value, or another defined base.
- Public, private, reseller, and channel structure.
- Refund, credit, and cancellation treatment.
- Tax collection, tax on the fee, and withholding responsibility by geography.
- Currency conversion and rounding rules.
- Publisher-paid hosting, infrastructure, support, and service obligations.
- Collection and payout timing.
Present two outputs in every comparison: marketplace net receipts and contribution after seller delivery costs. A percentage-only comparison hides the economics that determine cash and margin.
When the calculation does not tie out
If your worksheet differs from the marketplace report, check the fee base first, then look for a refund or credit posted in another period. Next verify tax or withholding, channel deductions, currency, rounding, and whether you compared seller net revenue with disbursed net revenue. Finally, match identifiers and invoice dates; a payout may combine multiple reporting periods while your calculation covers only one.
Do not “solve” a difference by changing the published rate until the transaction-level fields and agreement have been checked. Platform terms and fee schedules can change, so retain the effective date and the version of the offer terms used for the calculation.
