Before buying a token linked to a U.S. stock, identify the legal instrument behind it. You might hold a security recorded on-chain, an indirect entitlement to shares held by a custodian, or a separate product that tracks a stock’s price. Those structures can provide very different rights; a token’s name or “backed by shares” label does not establish that you are a shareholder.
What can a tokenized U.S. stock represent?
The SEC’s investor guidance describes several ways securities may be tokenized. The key question is not whether a product uses blockchain, but what legal interest its documents say the token represents.

| Structure | What the holder may own | Rights to check |
|---|---|---|
| Issuer-sponsored tokenized security | The issuer or its agent integrates the ledger into its official securityholder records. In some arrangements, transferring the token updates the official ownership record. The token may still represent a different class of security from conventional-format shares. | Confirm the class of security, whether the token is the official ownership record, and the rights attached to that class. |
| Custodial token | An indirect interest, such as a security entitlement associated with shares held through a custodian. This is similar in concept to holding securities through a conventional intermediary, rather than having the token itself recorded as the share. | Check the entitlement terms, the custodian’s role, how underlying shares and assets are held, and what happens if an intermediary fails. |
| Synthetic or linked token | A separate instrument, such as a linked security or security-based swap issued by a third party, that may track a stock’s value without conveying ownership of that company’s shares. | Read the contract for price-tracking mechanics, counterparty exposure, and any rights against the issuer. The holder may have no voting, information, or other rights against the referenced company. |
The SEC staff’s January 28, 2026 statement says tokenization models vary in structure and in the rights they afford holders. That statement expresses staff views; it is not a Commission rule, regulation, or binding guidance. For a specific product, its offering documents and terms are the essential evidence of what the holder receives.
How to evaluate a token before buying
Use this sequence to establish what the product is, whether you can access it, and what its costs and restrictions are. A token’s trading symbol or marketing description is not a substitute for the legal terms.
#1 Best Overall
- Find the issuer and legal instrument. Read the offering documents and product terms to identify who issues the token and whether it is a share or other security, a custodial entitlement, or a separate linked instrument or swap.
- Establish the ownership record. Determine whether the token itself is entered in the issuer’s official securityholder records, represents an entitlement to shares held in custody, or is only a contractual claim against a third party.
- Read the rights provisions. Look for voting rights, information rights, corporate actions, and the treatment of dividends. Check whether dividends are paid in cash, reflected through a token rebasing or another contractual adjustment, or not passed through. Identify any claims in insolvency or liquidation.
- Map custody and failure risk. Find out who holds any underlying shares and other assets, which entities stand between you and them, and what the documents say if the issuer, platform, or custodian becomes insolvent. Do not assume that assets described as backing a token are available to tokenholders in a failure.
- Check access and exit routes. Confirm that the exact token and venue accept investors in your country and investor category. Review whether you can redeem, transfer, or withdraw the token, and what restrictions apply. Eligibility and venue access can change.
- Compare the trading terms. Check fees, spreads, trading hours, settlement, transfer restrictions, and tax treatment against the terms for the conventional shares. A token’s price or trading availability need not match ordinary shares in every circumstance.
These checks do not establish that a particular tokenized-stock route is available to every U.S. retail investor. Confirm current terms with the issuer and venue before placing an order.
How tokenized exposure compares with shares in a conventional brokerage account
A conventional brokerage account is a useful comparison if your priority is exposure through the ordinary shares. A token product may offer a different recordkeeping or trading arrangement, but that does not tell you whether you receive the same legal rights. Compare the actual documents on each side rather than treating “tokenized” and “traditional” as complete descriptions of ownership.

The Federal Reserve’s capital FAQ addresses tokens with identical legal rights to the underlying security. It should not be read as a general endorsement of tokenized securities or as a guarantee of investor protection.
What Kraken’s xStocks example does—and does not—show
Kraken’s September 18, 2026 FAQ describes xStocks as backed 1:1 by underlying equity held in regulated custody. The same FAQ says holders do not receive shareholder rights, cash dividends, or legal claims to the underlying shares or residual assets in a company’s liquidation; the dividend value is reflected through a token rebasing process. Kraken’s documentation also says xStocks are unavailable to U.S. persons.
This example shows why backing and shareholder status are different questions: a product can describe underlying shares in custody while its terms deny tokenholders rights in those shares. These are Kraken-specific terms and access restrictions, not a description of every tokenized security.

On September 17, 2026, the SEC announced temporary, conditional exemptive relief for certain tokenized securities venues and liquidity providers. The Commission described the measure as an interim step to observe market development and inform durable rules. It is not blanket approval of existing tokens, proof that a given venue is active or accessible to you, or a guarantee that an investment is safe.
Rank #4
For tokens traded under the framework, SEC Chair Paul Atkins’ statement says a tokenized NMS stock must carry the same rights and privileges as the traditional security, including dividends and voting, and issuers must have an opportunity to object. Commissioner Hester Peirce described the venues as involving automated market-maker liquidity pools and said the exemption is an interim step toward permanent rules. The framework does not make every token or venue eligible; verify whether the specific product and venue qualify and what terms apply.
