There is no confirmed, currently available Constellation Brands ADR established by the materials reviewed. Constellation Brands’ November 7, 2025 shelf prospectus describes a possible depositary-share arrangement for fractional interests in a series of preferred stock. It says the specific preferred series, depositary, ratio, distributions and other terms would appear in a later prospectus supplement, term sheet and deposit agreement.
That means you should not search for a generic “Constellation ADR” and assume the first similarly named security is the right one. Confirm a live offering in the company’s latest SEC filings and with your broker before placing an order. The process below shows what to verify, how these receipts can work, and which fees and risks require attention.

Does Constellation Brands have ADRs?
Not on the evidence available here. An American depositary receipt (ADR), in the SEC’s terminology, is a security representing shares of a non-U.S. company held by a U.S. depositary bank. Constellation Brands is a U.S. issuer, and its prospectus discusses depositary shares linked to preferred stock. Those are not automatically ADRs.

The distinction matters. A generic shelf registration gives an issuer a framework for offering securities in the future; it does not prove that a particular series has been issued, that a market is open, or that a broker can accept an order. Constellation’s prospectus expressly leaves the important commercial terms to a related supplement or term sheet. Unless a current filing identifies a specific security, calling it a Constellation ADR would be misleading.

Use the word “ADR” only if the current offering documents establish an ADR program, identify a depositary bank and provide the corresponding registration and deposit-agreement documents. Otherwise, describe the instrument by its actual legal name, such as depositary shares representing fractional interests in a named preferred-stock series.
What Constellation’s shelf prospectus actually establishes
The prospectus filed on November 7, 2025 describes a possible issuance of depositary shares. Each depositary share could represent a fractional interest in a specified series of preferred stock. The prospectus does not, by itself, identify a currently trading series or supply final economic terms.
| Question | What is established | What still must be confirmed |
|---|---|---|
| Underlying security | A series of Constellation Brands preferred stock may be placed behind depositary shares. | The exact series, stated value and fractional-interest ratio. |
| Depositary | A depositary arrangement is contemplated. | The named depositary institution and its final agreement. |
| Distributions | Holders may receive their proportional share of distributions on the underlying preferred stock. | Rate, payment dates, cumulative or non-cumulative status, withholding and payment currency. |
| Voting | Rights generally flow through the depositary from the underlying preferred stock. | How notices, voting instructions, deadlines and unexercised votes will be handled. |
| Conversion or exchange | These provisions may exist if the preferred series provides them. | Whether conversion or exchange exists and every condition, ratio and adjustment. |
| Redemption and liquidation | These rights depend on the preferred series and its supplement. | Price, dates, triggers, priority and treatment on liquidation. |
| Trading availability | Not established by the shelf prospectus. | A ticker or identifier, listing venue, settlement details and broker availability. |
The company’s May 4, 2026 prospectus supplement also warns that later SEC filings can update or supersede incorporated information. Treat an older shelf prospectus as background, not as proof that an offering remains open.

How to buy a Constellation depositary receipt: a verification-first process
Do not begin with an order ticket. Begin by proving which security exists.
- Search the latest issuer and SEC filings. Look for a current prospectus supplement, term sheet, pricing supplement, or other filing that names the depositary-share series. Record the filing date and confirm that it has not been superseded.
- Write down the legal identity. Capture the preferred-stock series, the depositary-share ratio, stated value, ticker or other identifier, exchange or quotation venue, and settlement information. If a field is absent, treat it as unresolved rather than guessing.
- Read the series-specific documents. The shelf prospectus is expressly incomplete without the applicable supplement and deposit agreement. Read the distribution, voting, conversion, exchange, redemption, liquidation, transfer and termination provisions.
- Ask your broker to match the instrument. Give the broker the exact legal name and identifier from the filing. Ask whether its system offers that security, whether purchases are restricted by your country or account type, and how the order would settle. Do not rely on a third-party page that labels a product “ADR” without matching issuer documents.
- Request a complete fee schedule. Ask for commissions, spread or trading charges, depositary fees, custody charges, distribution-collection fees, foreign-exchange charges if relevant, transfer fees, taxes and any broker pass-through. Ask which charges recur and which apply only to a corporate action.
- Check the tax treatment. Determine whether distributions can be reduced by withholding and whether your broker will provide the forms or statements needed for your jurisdiction. The deposit agreement, not a generic online description, controls the operational detail.
- Confirm the order mechanics. Verify minimum order size, order types, trading hours, settlement cycle and whether the security is held in street name. If the broker cannot identify the instrument unambiguously, stop and resolve the discrepancy before funding an order.
- Save the documents. Keep the supplement, deposit agreement, fee schedule and trade confirmation. Terms can change through later filings or corporate actions.
How to read the offering documents efficiently
Start with the supplement or term sheet, then use the shelf prospectus for background definitions. The supplement should identify the series, depositary, issue date, number of receipts, ratio and price or distribution method. Next, locate the deposit agreement and the certificate of designation or other document that created the preferred series. Those documents work together: the supplement describes the particular transaction, the preferred-stock document establishes the underlying rights, and the deposit agreement explains how those rights are administered for receipt holders.
Make a one-page record before you invest. Include the document titles and dates, the exact legal name, identifier, ratio, distribution rate and payment schedule, whether distributions are cumulative, any conversion or exchange formula, redemption dates and prices, liquidation preference, voting deadlines, transfer or cancellation charges, and the procedure if the arrangement terminates. If a question cannot be answered from the documents, mark it “not stated” and ask the issuer or broker rather than filling the gap with a website description.
Check for incorporation by reference and amendments. The May 4, 2026 supplement explains that subsequent SEC filings can update or supersede information incorporated into an earlier prospectus. A term that appears in a November 2025 shelf document may therefore be modified by a later filing. Use the newest effective filing and confirm that the supplement still covers the security you are considering.
How depositary shares work
A depositary share is a unit issued by a depositary institution against preferred-stock shares held for the arrangement. The ratio determines the slice of one preferred share represented by each receipt. For example, a ratio could be one preferred share for several depositary shares, but the Constellation prospectus does not state a ratio for a currently offered series. Never infer one from a price chart or a similarly named security.

The depositary receives distributions or other property on the underlying preferred stock and passes the proportional amount to receipt holders, normally after deducting permitted charges and any required tax withholding. A receipt holder generally does not hold the underlying preferred share directly. The holder’s rights are contractual and pass through the depositary’s procedures.
Voting is also indirect. When the preferred stock carries a vote, the depositary sends notice and seeks instructions under the deposit agreement. Deadlines, fractional votes, unreturned instructions and actions that require a class vote are governed by that agreement. Read the actual procedure rather than assuming that a receipt holder can vote in the same way as a registered preferred shareholder.
A depositary agreement can include transfer, cancellation and termination provisions. If the arrangement is terminated, transfers may stop and distributions may be suspended or handled through a wind-down process described in the documents. The consequences depend on the specific agreement.

Ask how the receipt will be held after purchase. Most brokerage accounts record a beneficial interest in street name, while the depositary or its nominee appears on the issuer’s records. That structure affects how notices, tax forms, tenders and voting instructions reach you. Confirm whether the broker forwards all communications, how much time you receive to respond, and what happens if the broker does not pass an instruction through by the depositary’s deadline.
Confirm settlement and transferability separately from the existence of a quote. A displayed price does not establish that a trade can settle or that the security can be moved to another broker. Ask whether the identifier is eligible for electronic settlement, whether certificates can be surrendered or issued, and which party handles a transfer or cancellation request. Obtain the broker’s written answer if the instrument is unusual or thinly traded.
Rights to compare before buying
Compare the receipt with the issuer’s common stock only after identifying both instruments. A depositary share tied to preferred stock can have a different economic priority and a different set of rights from common stock. The following checklist shows the comparisons that must be made from the final documents.
| Comparison | Questions for the depositary receipt | Why it matters |
|---|---|---|
| Income | What is the distribution rate? Is it cumulative? Is it fixed, floating or adjustable? What happens if a payment is missed? | A stated rate does not by itself guarantee payment; the series terms control priority and arrears. |
| Priority | Where does the preferred series rank relative to debt and common equity? | Priority affects distributions and recovery if the issuer is liquidated. |
| Voting | When can holders vote, how are instructions collected, and what happens when no instruction is returned? | Depositary procedures can differ from direct share ownership. |
| Conversion or exchange | Can the preferred stock convert or exchange, at whose option, at what ratio and subject to which adjustments? | These features can materially change exposure to the issuer’s common equity. |
| Redemption | Can the issuer redeem? Is redemption optional, mandatory or triggered by an event? What price and notice apply? | Redemption can end the investment earlier than expected. |
| Liquidation | What amount is payable and what restrictions apply before common holders receive anything? | Liquidation preference is not the same as a guarantee of recovery. |
| Transfer and cancellation | Can receipts be surrendered for the underlying preferred shares, and what charges or limits apply? | Restrictions can affect exit choices and costs. |
Fees, withholding and other costs
Constellation’s generic depositary-share terms allow charges specified in the deposit agreement and certain taxes or governmental charges to be borne by holders. The exact amounts and collection method are series-specific. A broker may debit an account, deduct an amount from a distribution or pass through a charge associated with a corporate action.
If the security is ultimately documented as an ADR, the SEC’s general guidance adds another layer of questions. Depositaries may collect custody and other fees, including charges connected with issuing or cancelling receipts, distributing cash, converting currency, voting, or providing services. The fee may be deducted from a dividend or passed through by the broker. The SEC’s Investor Bulletin dated August 17, 2012 states: “Prior to investing in an ADR, investors should ask their broker-dealer what fees are charged to them as ADR investors.”

That guidance is general. It does not establish that any particular ADR fee applies to a Constellation depositary share. Ask for an instrument-specific schedule and request an example showing how a distribution would be reduced after depositary, broker and tax deductions.
Tax and cash-flow checks
Do not assume that a distribution’s stated amount is the amount credited to your account. Required withholding, depositary charges and broker fees can reduce the cash you receive. Ask which entity withholds, the rate or method used under the applicable documents, and what statement or form reports the payment. Tax treatment depends on your jurisdiction and account type, so obtain advice appropriate to your circumstances rather than relying on the security’s label.
Also ask what happens to non-cash distributions, stock dividends or proceeds from a redemption. The depositary may sell property and remit cash, or it may follow another process in the agreement. Confirm the timing, currency and any conversion spread before treating a projected payment as available income.

Availability and identity risk
A shelf prospectus can describe securities that may never be issued. A search result, quote screen or symbol that resembles the issuer’s name may refer to another company, a different preferred series, a fund or an inactive security. Match the broker record to a current issuer filing before trading.
Rights risk
The generic prospectus does not supply the final distribution, voting, conversion, redemption or liquidation terms. Buying before reading the supplement can leave you with rights very different from those you expected.
Intermediary risk
The depositary and broker stand between you and the underlying preferred stock. Notices, votes, payments, tax forms and corporate actions pass through their systems. Delays, missed instruction deadlines or account restrictions can affect what you receive or when you receive it.
Cost risk
Charges can reduce income and sale proceeds. This includes agreement-based fees, taxes, withholding, custody costs, currency conversion and broker pass-throughs. A low quoted price does not reveal the total cost of ownership.

The reviewed materials do not establish that a particular receipt is listed or actively traded. If your broker cannot confirm a functioning market, you may face a wide spread, limited order execution or difficulty selling. Verify the venue and trading status rather than assuming that a shelf-registered security is liquid.

Disclosure and timing risk
Issuer filings speak as of their filing dates and can be updated or superseded. Forward-looking statements are subject to uncertainties. Recheck the latest filing before investing and after any material corporate announcement.
Termination risk
The deposit agreement may permit termination. Termination can stop transfers and alter how distributions or surrender rights are handled. Read the termination section before purchasing and keep a copy for later reference.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. If the filing really identifies an ADR
If a current filing confirms an ADR program rather than a preferred-stock depositary-share issuance, locate the ADR’s Form F-6 and deposit agreement. Confirm the underlying non-U.S. issuer, depositary bank, share ratio, listing venue, cancellation and issuance process, voting procedures, distribution currency and fee schedule.
Do not transfer the SEC’s general ADR fee guidance to a Constellation instrument unless the applicable documents use that structure. A Form F-6 and deposit agreement are the evidence that the ADR label and its mechanics apply.
A broker checklist you can copy
- “What is the exact legal name and identifier of this Constellation security?”
- “Which current SEC filing and prospectus supplement describe it?”
- “What preferred-stock series and depositary-share ratio does it represent?”
- “Is it currently offered and tradable through this account?”
- “What are the distribution, voting, conversion, redemption and liquidation terms?”
- “Which depositary, broker, custody, tax, currency and corporate-action fees can be charged?”
- “How are withholding and tax documents handled?”
- “What happens if the depositary agreement is terminated?”
Ask the broker to answer in writing or point to the relevant document sections. If the answers conflict with the filing, do not place the order until the discrepancy is resolved.
When to walk away
Do not buy when the seller cannot provide a current offering document, the identifier does not match an issuer filing, the broker cannot explain the depositary arrangement, or the fee and tax treatment is unclear. A missing ticker, unverified market, or unexplained “ADR” label is a reason to pause, not a reason to guess.
The practical decision is binary: either a current filing identifies a specific, tradable Constellation depositary security and you understand its rights and costs, or you do not yet have enough information to buy it safely.

Frequently Asked Questions
Can I buy a Constellation Brands ADR today?
The cited filings do not establish a currently available Constellation ADR. Verify a specific offering in the latest SEC filing and ask your broker to match the exact identifier before placing an order.
Best Value
What is the difference between an ADR and a depositary share?
An ADR represents shares of a non-U.S. company held by a U.S. depositary bank. Constellation’s prospectus describes possible depositary shares representing fractional interests in preferred stock, which is a different structure unless later documents establish an ADR program.
What documents should I read before buying?
Read the latest prospectus supplement or term sheet, the preferred-stock designation, and the deposit agreement. Together they should explain the ratio, distributions, voting, conversion, redemption, liquidation, transfer and termination terms.
What fees can reduce my return?
Depending on the instrument, charges may include depositary, custody, distribution-collection, currency-conversion, transfer, corporate-action, broker and tax-related fees. Ask for an instrument-specific schedule and how each charge is collected.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitchesCan depositary-share distributions be withheld?
Yes. The generic terms allow required tax withholding and specified charges to reduce distributions. Ask your broker how withholding is calculated and which tax documents you will receive.
What if the depositary agreement is terminated?
The agreement may stop transfers and change how distributions, cancellations or surrender rights are handled. Read the termination section and ask the broker what process applies before investing.
How do I compare a receipt with Constellation common stock?
First confirm both securities. Then compare distribution priority, voting, conversion or exchange rights, redemption, liquidation preference, fees, liquidity and the ability to transfer or cancel the receipt.
The Bottom Line
Constellation Brands’ shelf prospectus describes a possible preferred-stock depositary-share structure, not a confirmed ADR that you can safely assume is trading. Buy only after a current filing identifies the exact security, its depositary and complete terms, and your broker confirms availability, settlement, fees and taxes. If any of those facts remain unclear, wait.
