How to Build an AI Vendor Risk Assessment for Your Company

An effective AI vendor risk assessment is a documented, use-case-specific decision process—not a generic security questionnaire. Inventory the proposed system, map its data and actions, evaluate the vendor with evidence, convert material findings into contract terms, approve the residual risk by name, and monitor the arrangement for incidents and material changes.

What an AI vendor risk assessment must answer

The assessment should let your company answer five practical questions before procurement or deployment:

As an Amazon Associate I earn from qualifying purchases.

  • What exactly will the AI system do, and who could be affected if it fails or is misused?
  • What information, systems, credentials, and business processes can the vendor or its subcontractors access?
  • What evidence shows that the service is secure, reliable, appropriately governed, and suitable for this use case?
  • Which risks can be reduced through configuration, human review, technical controls, or contract terms?
  • Who accepts any remaining risk, and how will the arrangement be monitored after approval?

The National Institute of Standards and Technology (NIST) AI Risk Management Framework (AI RMF) provides a useful organizing structure: Govern, Map, Measure, and Manage. NIST describes the framework as voluntary and intended to improve the incorporation of trustworthiness considerations into the design, development, use, and evaluation of AI products, services, and systems. The AI RMF was released on January 26, 2023, and NIST says its current framework page is being revised, so check the current status when you establish your internal policy. A framework mapping is not a certification, legal opinion, or proof that a vendor is safe for every use case.

1. Start with an intake record and an AI inventory

Do not allow a purchase order, pilot, or production integration to bypass intake. Require the business sponsor to create one record for each AI-enabled product, feature, model, agent, or embedded service. Include sanctioned and known unsanctioned uses where your organization can identify them. NIST’s Generative AI Profile (NIST AI 600-1, July 2024) recommends inventorying third parties that have access to organizational content and maintaining approved AI technology and service-provider lists.

Minimum fields for the intake record

  • Vendor, product, edition, model or service identifier, and proposed start date.
  • Business purpose, process being changed, accountable business owner, technical owner, and procurement contact.
  • Users, administrators, affected customers, employees, applicants, patients, students, or other people.
  • Whether the system produces recommendations, rankings, classifications, generated content, automated decisions, or actions in another system.
  • Input data classes, expected output data, special-category or regulated information, confidential information, credentials, and retention requirements.
  • Integrations, APIs, plug-ins, retrieval sources, internal systems, payment or financial permissions, and network access.
  • Hosting and processing locations that the vendor has stated, locations that remain to be verified, and cross-border transfers that may occur.
  • Vendor-developed components, foundation-model providers, hosting providers, subprocessors, resellers, and other supply-chain participants.
  • Human review, override, rollback, disablement, fallback process, and business-continuity requirements.
  • Proposed risk tier, review deadline, and the person authorized to accept residual risk.

Record what is known and what is still unverified. “The vendor uses a cloud service” is not a sufficient deployment description; identify each material party and the point at which it receives data or can affect an action.

2. Triage the use case into a documented risk tier

Use a simple, explainable triage model to determine review depth. The sources do not prescribe a universal numerical score, so define your own criteria and apply them consistently. Consider the consequence of an incorrect or unavailable service, sensitivity and volume of data, number and vulnerability of affected people, level of automation, access to systems or money, and dependence on the service.

Illustrative tier Typical characteristics Required treatment
Low Internal productivity or drafting use; no sensitive data; no consequential decision or system action; easy manual fallback. Short-form review, accountable owner, documented data settings, and an approval record.
Medium Confidential business data, broad workforce use, customer-facing output, material workflow dependence, or limited integration. Full evidence review for relevant domains, privacy and security sign-off, contract controls, and scheduled reassessment.
High Sensitive or regulated information; decisions affecting access, employment, credit, health, safety, or rights; large populations; privileged integrations; or difficult recovery. Cross-functional review, deeper testing and evidence, stronger contract and audit terms, named residual-risk acceptance, contingency exercises, and frequent monitoring.

A low tier does not mean “no risk.” It means the consequences and exposure justify a proportionate process. Increase the tier when the use changes, new permissions are added, the vendor changes a material model or subprocessor, or performance and impacts shift.

3. Map the system, data, actions, and parties

Before reviewing controls, draw the actual flow. Start with the user or source system and follow information through prompts, files, retrieval indexes, model providers, hosting environments, logs, support channels, outputs, and downstream actions.

Questions for a data-and-action map

  • What enters the service, in which formats, and through which account or API?
  • Where is each input stored, cached, logged, backed up, or sent for abuse monitoring?
  • Is the input used to train, fine-tune, evaluate, or otherwise improve a shared or dedicated model?
  • Which vendors and subprocessors can see the data, metadata, prompts, outputs, or diagnostic logs?
  • What leaves the service, and can an output trigger a message, transaction, access change, code deployment, or other consequential action?
  • Where is a human required to review, approve, correct, or reverse an output?
  • How are prompt injection, malicious files, data exfiltration, unsafe output, and tool misuse contained?
  • How can administrators limit permissions, revoke tokens, disable the feature, export data, and switch to a fallback?

Map the vendor’s role accurately. A product may be an application provider while relying on a separate model provider and hosting company; an integrator may pass data to several APIs; an agent may have more practical authority than its user interface suggests. NIST’s AI RMF and Generative AI Profile emphasize trustworthiness across design, development, deployment, use, evaluation, and the wider value chain.

4. Assess AI-specific and conventional risk domains

Send questions that match the use case and request evidence that answers them. A completed questionnaire is a lead, not proof. For every document, record its scope, date, exclusions, service covered, deployment covered, and whether an independent party produced it.

Governance and accountability

  • Who owns the service, model changes, incident decisions, and customer escalations?
  • How does the vendor document intended use, prohibited use, known limitations, and material changes?
  • What internal review, independent assessment, or board-level oversight applies to the service?
  • How are customer complaints, suspected harmful outputs, and requests for human review handled?

Ask for named functions and escalation paths rather than a statement that the vendor “takes responsible AI seriously.” Verify that the governance described applies to the purchased product, not only to a corporate program.

Security, resilience, and privileged access

  • How are identity, least privilege, administrator access, service accounts, secrets, encryption, vulnerability management, and secure development handled?
  • What security events are logged, how long are logs retained, and can your organization obtain relevant records?
  • How are backups, regional outages, model-provider outages, capacity limits, and recovery objectives addressed?
  • What permissions can the model or agent exercise, and can high-impact actions require approval, rate limits, segregation of duties, or reversibility?
  • How are malicious prompts, poisoned retrieval content, unsafe files, and attempts to extract another customer’s data detected and contained?

Request independent testing or assurance where available, but check the boundaries. A report covering a corporate data center may not cover the AI feature, an external model API, or your chosen region.

Privacy and data protection

Obtain a precise description of collection, retention, disclosure, use, and deletion. Ask:

  • Are prompts, uploads, outputs, embeddings, feedback, and telemetry retained? For how long, and where?
  • Are customer inputs or outputs used for training, fine-tuning, evaluation, product improvement, abuse detection, or advertising?
  • Can those uses be disabled by default or by contract, and does the setting apply to all subprocessors?
  • Who can access content for support, quality review, safety investigations, or legal compliance?
  • How do access, correction, deletion, export, and legal-hold requests work, including in backups?
  • What incident-notification process, timing, cooperation, and evidence preservation apply?
  • What transfer, residency, and onward-processing arrangements apply to your locations and data?

U.S. Federal Trade Commission small-business cybersecurity guidance recommends putting vendor security and data-handling expectations in writing, being specific about desired standards, verifying compliance, and keeping vendor security current. That guidance is general business advice, not a complete AI regulation or a substitute for jurisdiction-specific privacy analysis.

Intellectual property, provenance, and content rights

  • What rights does your company retain in inputs, outputs, retrieval data, fine-tuning data, and feedback?
  • May the vendor or a model provider use your material to improve a shared service?
  • How are third-party training, retrieval, or generated-content rights represented and managed?
  • Can the system identify sources, preserve provenance metadata, or distinguish generated material from retrieved material?
  • What happens when an output resembles protected or confidential material, and what assistance is available for a claim?

Do not assume that “you own your data” resolves every issue. Separate rights in your input, the vendor’s service, model weights, generated output, and third-party content, and have counsel assess the law and contract for the intended use.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Validity, reliability, safety, explainability, and fairness

Evaluate the AI characteristics that matter to the use case. NIST identifies validity and reliability; safety; security and resilience; accountability and transparency; explainability and interpretability; privacy enhancement; and fairness with harmful bias managed as trustworthiness considerations.

  • What task is the system intended to perform, and what tasks is it not designed to perform?
  • What evaluations, benchmarks, red-team exercises, or customer-specific tests support the claimed performance?
  • What error patterns, confidence limitations, drift indicators, language or demographic limitations, and known failure modes are documented?
  • How can a user understand the basis for an output, challenge it, obtain human review, and correct an error?
  • What safeguards address unsafe, discriminatory, manipulative, or privacy-invasive output?
  • What level of human oversight is required, and what must a reviewer check before acting?

Evaluate the complete workflow, not just the model. A highly capable model can still be unsuitable when retrieval data are stale, prompts are poorly designed, permissions are excessive, or the business process gives no meaningful opportunity to correct an error.

Supply-chain and foreign-influence due diligence

For information and communications technology suppliers, NIST SP 1326, finalized July 8, 2026, identifies due-diligence components including provenance, resilience, foundational cyber practices, supply-chain tiers, and foreign ownership, control, or influence. Ask for a current component and subprocessor inventory, ownership and control information relevant to your policy, locations of development and operation, dependency concentration, and notification of material changes. Treat an incomplete answer as an uncertainty to manage, not as evidence that no risk exists.

Testing, evaluation, validation, and verification

Ask what the vendor tests before release and after material changes, how it defines a material change, and what customer-facing evidence is available. NIST’s Manage guidance discusses testing, evaluation, validation, and verification for third-party AI systems. You do not need disclosure of proprietary algorithms to perform useful assurance: define representative scenarios, prohibited actions, acceptance thresholds, review samples, logging requirements, and a right to investigate material failures.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

5. Review evidence and record residual risk

Use an evidence register rather than attaching documents without analysis. For every material control or claim, record:

  • The question or requirement being tested.
  • The evidence received, issuer, date, scope, product and region covered, and exclusions.
  • Whether the evidence is independent, vendor self-attested, contractual, technical, or observational.
  • Conflicts between the evidence and questionnaire answers.
  • Gap, likelihood, impact, affected people or systems, and existing compensating controls.
  • Remediation, responsible owner, due date, and whether remediation is a condition of approval.

Distinguish organization-wide statements from controls that apply to the exact service and deployment. A current report may still omit the model provider, support personnel, customer-managed integration, or the data flow that matters to your use case.

Use your established likelihood-and-impact method, but do not present an internally chosen score as a universal industry rating. The approval record should identify unresolved findings and the authority permitted to accept them. Frameworks organize work; they do not certify a vendor or eliminate the company’s legal and operational responsibility.

6. Turn findings into contracts and approval conditions

Translate material requirements into enforceable terms before production use. Depending on the tier and use case, address:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Permitted data, prohibited data, training and product-improvement restrictions, sharing, retention, and deletion, including backups.
  • Security controls, access management, encryption, vulnerability remediation, logging, business continuity, and recovery commitments.
  • Incident notice, investigation cooperation, containment, evidence preservation, customer communications, and regulatory support.
  • Subprocessor disclosure, approval or objection rights, locations, ownership changes, and material model or service changes.
  • Testing, assessment, audit, or evidence rights proportionate to the risk, including the ability to evaluate third-party AI processes and standards.
  • Performance commitments, human-review obligations, prohibited automated actions, remediation, service credits where appropriate, and termination rights.
  • Data export, deletion certification, transition assistance, and a practical exit path if the service becomes unsafe, unavailable, or unsuitable.

NIST’s Generative AI Profile recommends contract clauses that allow evaluation of third-party generative-AI processes and standards. FTC guidance likewise advises written vendor-security provisions, specificity about desired standards, verification, and ongoing maintenance. Counsel should tailor language to applicable law, bargaining position, service architecture, and data.

Make approval conditional when a gap can be closed by configuration or a dated remediation. State exactly what must happen, who verifies it, and what blocks launch. Do not treat a vendor’s willingness to answer questions as a substitute for an obligation.

7. Create a decision record with a named risk owner

The final approval should be reproducible months later by someone who was not in the negotiation. Record:

  • Use case, product and version or service identifier, deployment architecture, and risk tier.
  • Data classes, affected people, integrations, permissions, and fallback process.
  • Evidence reviewed, test results, material gaps, compensating controls, and contract conditions.
  • Decision: approve, approve with conditions, defer, or reject.
  • Decision-maker, residual-risk owner, control owners, due dates, and next review date.
  • Stop or escalation triggers, such as an incident, unsafe output pattern, material model change, new data category, new integration, or missed remediation.

The business owner should not silently inherit security, privacy, legal, or safety risk. Require each function to state its conclusion within its authority, then name one accountable person for the residual risk and operational decision.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

8. Monitor the vendor after approval

Approval starts monitoring. Set a cadence based on tier and define event-driven reassessment. Monitoring can combine vendor evidence, internal telemetry, user reports, sample testing, contract reviews, and incident exercises.

Routine monitoring inputs

  • Updated assurance reports, penetration-test summaries, vulnerability notices, and security attestations.
  • Subprocessor, hosting-region, ownership, model, feature, and data-processing changes.
  • Access reviews, logs, output-quality samples, safety incidents, bias or error complaints, and privacy requests.
  • Service availability, recovery performance, support responsiveness, and unresolved corrective actions.
  • Confirmation that training, retention, deletion, and human-review settings still match the approved design.

Event-driven triggers

  • Security incident, suspected data exposure, material privacy complaint, or regulatory inquiry.
  • Material model, prompt, retrieval, safety-filter, pricing, or data-processing change.
  • New integration, credential, permission, use case, geography, or affected population.
  • Evidence that accuracy, reliability, fairness, explainability, or safety has materially shifted.
  • Subprocessor change, ownership or control change, service degradation, insolvency concern, or loss of a critical dependency.

Maintain a contingency plan for interruption, unsafe or unreliable output, data exposure, and vendor failure. NIST’s Generative AI Profile explicitly calls for contingency processes for failures or incidents involving high-risk third-party data or AI systems. Test the plan: identify who disables access, preserves evidence, informs affected teams, switches to a manual process, and decides when service may resume.

Compare vendors and deployment options on the same evidence

When procurement is comparing alternatives, hold the use case, evaluation period, and evidence standard constant. A single certificate or self-reported questionnaire score is not a meaningful ranking without scope and context.

Comparison axis What to examine Decision question
Data use Collection, retention, training, sharing, deletion, residency, and backup handling. Does the option support the approved data boundary and deletion requirement?
Security and resilience Access controls, encryption, testing, logging, recovery, outage history, and concentration risk. Can the company detect, contain, and recover from a failure?
AI performance and limits Use-case evaluations, error patterns, safeguards, explainability, fairness considerations, and change process. Is performance adequate for the consequence of error?
Human control Review points, permission limits, reversibility, disablement, and fallback. Can a person prevent or undo a consequential action?
Supply chain Model and hosting providers, subprocessors, provenance, ownership, locations, and tier visibility. Are dependencies known and acceptable to the organization?
Contract and exit Incident cooperation, assessment rights, change notice, remediation, deletion, export, and transition. Can the company enforce requirements and leave safely?
Operational burden Configuration, testing, monitoring, training, integration effort, and fallback cost. Does the option fit the risk tier and available control capacity?

Common failure modes and corrections

Using one questionnaire for every AI service

A drafting assistant and an agent that can change customer records do not need identical review. Use the tier and system map to select relevant questions, then document why a domain was out of scope.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Accepting a corporate assurance statement as product evidence

Ask whether the evidence covers the purchased feature, model provider, region, subprocessors, support path, and customer configuration. Record exclusions and obtain compensating controls where coverage is incomplete.

Ignoring embedded or unsanctioned AI

Inventory tools with access to organizational content, review integrations and browser extensions through normal technology governance, and maintain an approved service-provider list. Employees should have a route to disclose a tool without being encouraged to conceal it.

Leaving data use to informal settings

Confirm training, retention, logging, support access, deletion, and subprocessor behavior in both configuration and contract. Recheck the settings after upgrades and administrative changes.

Approving without a tested fallback

Document how the service is disabled, how work continues manually or through an alternate system, and who communicates during an incident. Exercise the procedure for high-tier services.

Confusing a framework with compliance

NIST AI RMF is voluntary guidance. Applicable laws, sector rules, customer commitments, employment obligations, privacy requirements, and product-safety duties depend on jurisdiction, industry, data, and use. Have the appropriate legal and compliance specialists determine what applies.

A practical implementation checklist

  1. Publish an intake form and require an accountable business owner.
  2. Inventory approved AI services, known embedded components, and third parties with access to organizational content.
  3. Assign a documented tier using consequence, data, scale, automation, access, and dependency criteria.
  4. Map data flows, model and hosting parties, permissions, outputs, human review, and disablement.
  5. Select risk-domain questions and request dated, scoped evidence for the actual service.
  6. Test representative outputs, failure modes, permissions, logging, and fallback controls appropriate to the tier.
  7. Record gaps, compensating controls, owners, due dates, and residual-risk authority.
  8. Negotiate data, security, incident, subprocessor, change, assessment, continuity, and exit terms.
  9. Issue a written approve, conditional-approve, defer, or reject decision.
  10. Set routine evidence refreshes, event triggers, monitoring measures, and a contingency exercise.

This process scales from a short review for a low-impact internal tool to a cross-functional assessment for a high-impact, deeply integrated AI system. Its value comes from connecting the proposed use to evidence, enforceable obligations, an accountable decision, and continuing oversight.

Frequently Asked Questions

Is an AI vendor risk assessment required by NIST?

No. NIST’s AI RMF is voluntary guidance. Whether an assessment or a particular impact assessment is legally required depends on the company’s jurisdiction, industry, data, affected people, and use case.

How often should an approved AI vendor be reassessed?

Set the cadence by risk tier and reassess sooner after an incident, material model or data-processing change, new integration or permission, subprocessor change, new use case, or evidence of changed performance or impacts.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

What if a vendor will not disclose its model or training data?

Document the limitation, request alternative evidence such as scoped testing, assurance reports, technical controls, and contractual commitments, then decide whether the residual uncertainty is acceptable for the use case. A high-impact use may need a different deployment or vendor.

Who should accept residual AI vendor risk?

Name an accountable person with authority over the business use and require security, privacy, legal, compliance, and other relevant functions to record their conclusions within their responsibilities. The approval record should identify the residual-risk owner and escalation triggers.
