How to Build an AI Investment Due-Diligence Checklist

An AI investment is not legitimate merely because a pitch uses the words “artificial intelligence.” A defensible decision requires you to identify the security and the people behind it, test the business and financial case, verify what the AI actually does, examine data and operational risks, and screen the pitch for fraud. Use the checklist below to separate claims from evidence. It is a research and risk-control framework, not a guarantee of returns or a personal investment recommendation.

1. Define exactly what you are being offered

Start with the investment itself, not the technology story. Record the legal name of the issuer, the security or vehicle (for example, common stock, private shares, a fund, a note, a token, or a managed account), the jurisdiction, the promoter, and every intermediary involved. Save the offering document, terms, fee schedule, risk factors, and payment instructions in their original form.

Classify the AI exposure

  • AI developer: The company sells models, software, infrastructure, data products, or services whose value depends directly on its own AI technology.
  • AI-enabled business: The company uses AI in a product or process, but revenue may come from a broader business such as healthcare, finance, manufacturing, or retail.
  • AI-dependent operator: The company relies on third-party models, cloud platforms, or data suppliers for important operations. Its AI exposure may be a cost, dependency, or efficiency claim rather than a proprietary advantage.

Ask which category actually drives the investment thesis. Marketing language does not establish material AI revenue, a durable technical advantage, or a valuation that depends on AI. Require the issuer to identify the products, customers, revenue lines, and operating metrics affected by AI. If it cannot separate AI-related activity from the rest of the business, treat the claimed exposure as unverified.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

2. Verify the issuer, intermediary, and jurisdiction

Confirm that the issuer exists in the stated jurisdiction and that the security can legally be offered to you there. Check the regulator’s company records, offering filings where available, corporate address, directors, and contact details independently. Do not use only a link, email address, or telephone number supplied in an unsolicited pitch.

Check registration and disciplinary history

Investor.gov advises checking whether an investment professional or firm is registered and warns that an unregistered person or platform warrants additional investigation. Use the official search and disciplinary-history tools described in the Investor.gov Red Flags of Investment Fraud Checklist. Confirm the exact legal entity, registration status, permitted activities, and any disclosed complaints, sanctions, or bans. A registration check is evidence about authorization, not proof that the investment is sound.

Map the money and ownership

  • Identify who receives your money and whether funds are held by a regulated custodian, escrow agent, broker, or the issuer itself.
  • Record subscription minimums, lockups, redemption limits, transfer restrictions, dilution provisions, fees, carried interest, and conflicts of interest.
  • For a private company, identify the share class, voting and liquidation rights, valuation date, and the information rights you receive.
  • Confirm the governing law, dispute forum, tax documents, and what happens if the platform, adviser, or issuer fails.

3. Test the business and financial case

A credible AI product still may be a poor investment. Examine whether customers pay for a problem the product solves repeatedly, whether the economics improve with scale, and whether the company can finance operations long enough to reach its plan.

Product, customer, and use case

  1. Describe the product in one sentence without using “AI” as the explanation. State the task, user, output, and business consequence.
  2. List paying customers separately from trials, pilots, signed letters of intent, free users, and partners. Ask for the period covered and the definition of each category.
  3. Determine why a customer continues paying: measurable savings, increased revenue, regulatory need, workflow dependence, or another documented benefit.
  4. Review contract length, renewal terms, usage-based pricing, service-level commitments, refunds, and the cost of implementation and support.

Customer concentration matters. One large contract can make revenue look strong while leaving the company exposed to a single cancellation or renegotiation. Ask for retention, expansion, churn, backlog, and the share of revenue from the largest customers, with dates and definitions.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Revenue quality and unit economics

Separate recurring subscription revenue from one-time licenses, consulting, customization, grants, and related-party transactions. Check gross margin after model-inference, cloud, data-licensing, and human-review costs. For usage-priced products, test whether a surge in customer activity increases profit or merely increases the company’s compute bill. Examine customer-acquisition cost, payback period, contribution margin, and implementation labor where those figures are disclosed.

Cash, funding, and capitalization

  • Review cash on hand, monthly cash consumption, operating expenses, debt maturities, and committed funding.
  • Build a runway estimate using the disclosed figures and note the date of every input. A runway calculation changes when hiring, compute prices, or revenue changes.
  • Inspect prior financing rounds, liquidation preferences, option pools, warrants, convertible instruments, and potential dilution.
  • For a private issuer, list which figures are audited, reviewed, management-prepared, or unavailable. Do not treat an unverifiable projection as a historical result.

A 2026 SEC-filed example of a pre-IPO AI investment process considers business and revenue analysis, competitive positioning, management, financial analysis, and regulatory risk. It is a description of one adviser’s process, not a universal rule or a required weighting system. Read the example at the SEC filing and use its topics as questions for your own investigation.

4. Assess competitive durability, data rights, and intellectual property

AI markets can change quickly. A product that is useful today may become a thin layer over a cheaper model, or a new model may make its core feature obsolete. Compare the company with direct competitors, internal tools customers could build, open-source alternatives, and the underlying model providers on which it depends.

Questions that reveal a real advantage

  • What switching cost, workflow integration, distribution relationship, or regulated approval makes replacement difficult?
  • Is the company’s data proprietary, lawfully licensed, high quality, and difficult for competitors to obtain?
  • Does performance remain superior on the customer’s real tasks, not only on a selected benchmark?
  • Who owns model weights, prompts, fine-tuning work, generated outputs, and customer data after termination?
  • Can a competing model deliver similar results at lower price or latency?
  • What patents, copyrights, trade secrets, contracts, or other rights support the product, and what challenges or indemnities exist?

“Proprietary data” is not automatically an asset. Data may be stale, biased, restricted by contract, or unusable for a particular purpose. Ask for the permission basis, retention policy, provenance controls, and process for removing data that the company cannot lawfully use.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

5. Verify what the AI system actually does

Translate every technical claim into a testable statement. “Enterprise-grade,” “autonomous,” and “human-level” are descriptions, not evidence.

Define the task and success measure

Ask what input the system receives, what output it produces, which users rely on it, and what error means in that setting. Request the benchmark name, test population, baseline, sample size, date, and metric. A high accuracy figure can be misleading when errors are rare, classes are imbalanced, or the test data resembles the training data.

Check data quality and rights

  • Identify data sources, collection dates, labeling methods, missing-value treatment, and known bias.
  • Confirm the company has rights to train on, process, retain, and share the data in each relevant market.
  • Ask whether test data was kept separate from training and tuning data.
  • Request subgroup and edge-case results where the system affects people or consequential decisions.

Examine validation and change control

Find out how often performance is tested, who approves a release, and what happens after a model, prompt, data source, vendor, or threshold changes. Look for monitoring of drift, false positives, false negatives, hallucinations, latency, outages, and cost. Ask whether an independent reviewer can reproduce the reported result from retained code, data descriptions, and evaluation procedures.

Human review and accountability

For consequential outputs, identify the person or team who reviews them, the authority to override the system, escalation rules, and the record retained for each decision. “Human in the loop” is meaningful only if the reviewer has time, expertise, and power to reject an output rather than merely approve it.

6. Investigate security, operations, and resilience

AI risk is also business-continuity risk. Examine how a failure affects customers, revenue, safety, legal obligations, and the company’s ability to operate.

  • Data and model risk: Inaccurate, incomplete, biased, stale, or manipulated inputs can produce misleading outputs.
  • Security: Review access controls, encryption, secrets management, prompt-injection defenses, supply-chain exposure, incident history, and customer-data segregation.
  • Third-party dependence: Identify cloud, model, chip, data, and platform suppliers; contract termination rights; price changes; capacity limits; and portability of workloads.
  • Continuity: Ask for backup, disaster-recovery, outage, rollback, and manual-operation procedures, including tested recovery times.
  • Intellectual property: Examine exposure from training data, generated content, open-source licenses, employee inventions, and customer indemnities.
  • Privacy and regulation: Map the jurisdictions and sectors served, the personal or sensitive data processed, retention rules, cross-border transfers, and applicable AI, privacy, consumer-protection, and sector regulations.

SEC-filed risk discussions identify competition, resource constraints, rapid obsolescence, intellectual-property dependence, and privacy or data-protection regulation as potential concerns. See this filing’s AI risk and governance discussion and this filing’s AI-company risk discussion. These are company disclosures of possible risks, not independent findings that a particular outcome will occur.

7. If an adviser uses AI, diligence the control system too

An investment may not be in an AI company at all; an adviser or portfolio manager may use AI to research securities, generate communications, allocate portfolios, or monitor risk. In that case, investigate the process that surrounds the tool.

Questions for the adviser

  • Which tools and versions are approved, and which employees may use them?
  • What data may be entered, and how are confidential client, material nonpublic, and personal data protected?
  • How are outputs validated against authoritative data and reviewed before an order, recommendation, valuation, or client communication?
  • What are the escalation and error-correction procedures when the model is wrong, unavailable, or changed by the vendor?
  • Are prompts, inputs, outputs, approvals, edits, and client communications retained so the firm can reconstruct a decision?
  • How are conflicts, hallucinations, stale information, bias, and vendor outages tested?

SEC-filed policy examples discuss approved tools, data integrity, validation, human oversight, error handling, and records of inputs, outputs, and communications. They can help you formulate questions, but they do not establish that every detail is a general legal requirement. One example is available at the SEC-filed adviser AI policy.

8. Screen the pitch for fraud before debating valuation

Stop and independently verify the opportunity when a promoter promises guaranteed or unusually high returns, little or no risk, secret AI technology, immediate action, or access available only through a private group. Unverifiable credentials, fake testimonials, impersonation of regulators or well-known firms, cryptocurrency-only payments, and requests to bypass normal custody or documentation are additional warning signs.

The joint investor alert from the SEC Office of Investor Education and Advocacy, NASAA, and FINRA states: “Claims of high guaranteed investment returns with little or no risk are classic warning signs of fraud.” — Artificial Intelligence (AI) and Investment Fraud: Investor Alert, January 25, 2024. Read the alert at Investor.gov.

Use a verification loop

  1. Pause; do not send money or identity documents while a sales contact is applying pressure.
  2. Find the firm, person, regulator, partner, and performance claim through an independently typed official website or public filing.
  3. Call using contact details from that independent source, not the pitch.
  4. Match legal names, domains, registration numbers, addresses, and bank-account ownership.
  5. Ask for primary records: audited statements, offering documents, contracts, custody details, and dated performance records.
  6. Have an independent professional review the documents when the amount or complexity warrants it.

AI-generated analysis is not a verification source. It can rely on inaccurate, incomplete, outdated, or misleading material and can produce fabricated results. Check the underlying documents, compare more than one reliable source, and preserve the evidence you used.

9. Compare multiple candidates without pretending to have a magic score

When several investments remain after the fraud and legitimacy checks, compare them on the same evidence and date. The following framework reflects the main diligence axes identified in investment-process and risk disclosures; it supplies no universal weighting.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Axis Evidence to record Decision question
Business model and revenue quality Products, paying customers, recurring share, pricing, concentration, retention Is revenue durable and tied to a problem customers continue paying to solve?
Unit economics and financial resources Gross margin, acquisition cost, cash burn, runway, debt, dilution Can the company fund its plan without unacceptable financing risk?
Management Relevant experience, incentives, governance, related parties, disclosure quality Does leadership demonstrate competence and candid reporting?
Technology capability Task definition, benchmark method, real-world results, uptime, cost, change history Does performance matter to customers and persist outside a demo?
Data rights and quality Provenance, licenses, consent, bias testing, freshness, access controls Can the company lawfully and reliably use the data that supports its claims?
Competitive durability and IP Switching costs, alternatives, model dependence, patents, licenses, disputes What prevents substitution or margin compression?
Security and operations Controls, incidents, vendors, recovery tests, continuity plans What happens financially and operationally if the system fails?
Legal, privacy, and regulatory exposure Markets, data types, contracts, sector rules, investigations, disclosures Could a rule, lawsuit, or contract restriction impair the thesis?

Use a status such as verified, partly verified, unverified, or contradicted for each row, and attach the document, date, and owner of the check. Do not add the statuses into a single numerical score unless you can justify the weighting, uncertainty, and consequences. A checklist organizes judgment; it cannot replace it.

10. A practical decision workflow

  1. Write the thesis. State how the investment is expected to make money, which AI capability is essential, the time horizon, and what would disprove the thesis.
  2. Complete the identity and registration checks. Stop if legal identity, custody, ownership, or authorization cannot be established.
  3. Request primary evidence. Obtain filings, financial statements, contracts or representative terms, technical documentation, security materials, and dated performance records.
  4. Interview management or the adviser. Ask the same questions in writing and record answers, definitions, and follow-up commitments.
  5. Reconcile claims to numbers. Tie customer, revenue, margin, retention, model-performance, and cash statements to documents and periods.
  6. Stress-test dependencies. Model a major customer loss, higher compute costs, supplier outage, slower sales, regulatory restriction, data-rights challenge, and a competing model.
  7. Document unresolved uncertainty. Separate “not disclosed,” “not independently verified,” and “contradicted.” Do not silently convert missing information into a favorable assumption.
  8. Set a decision gate. Define the minimum evidence, maximum loss, liquidity need, position size, and review date before investing. If a critical question remains unanswered, defer or reject rather than filling the gap with enthusiasm.
  9. Monitor after purchase. Track the metrics that would change the thesis: customer retention, gross margin, cash runway, dilution, model quality, incidents, supplier changes, litigation, and regulatory developments.

11. What this checklist can—and cannot—tell you

A completed checklist can reveal whether claims are documented, whether risks are understood, and whether the opportunity fits your objectives and loss capacity. It cannot predict a stock price, guarantee market returns, establish that a private valuation is fair, or eliminate technology and regulatory uncertainty. No AI system can guarantee stock-market returns, and a sophisticated model does not turn uncertain inputs into certain outcomes.

The cited materials are primarily U.S.-oriented investor education and SEC-filed disclosures. Registration, securities, privacy, and AI obligations differ by jurisdiction, security type, and date. Filing examples are question prompts, not individualized legal, financial, or investment advice. For a regulated offering, cross-border transaction, retirement account, or material personal allocation, obtain advice from a properly authorized professional in your jurisdiction.

12. Printable evidence checklist

  • Identity: issuer, security, jurisdiction, promoter, intermediary, custody, ownership, and governing documents.
  • Authorization: registration status, permitted activity, disciplinary history, and independently verified contact details.
  • Business: product task, paying customers, use case, pricing, contracts, retention, concentration, and alternatives.
  • Financials: revenue mix, margins, cash, burn, runway, debt, funding history, dilution, and quality of accounts.
  • Technology: benchmark, baseline, sample, date, reproducibility, drift monitoring, human review, and change controls.
  • Data and IP: provenance, rights, quality, bias, licenses, ownership, indemnities, and disputes.
  • Resilience: security controls, incidents, vendors, outages, recovery, portability, and manual fallback.
  • Legal: privacy, data protection, contracts, sector rules, investigations, and market-specific obligations.
  • Fraud: guarantees, pressure, unverifiable credentials, impersonation, unusual payment routes, and independent confirmation.
