How to assess whether modernizing a legacy system with AI will pay off

AI modernization pays off only when it improves a defined mission or business outcome by more than the full cost and risk of changing the system. Treat it as an investment hypothesis, not an automatic labor-saving project. Establish a measured baseline, compare keeping the system with feasible modernization paths, test AI on representative work, and approve a wider rollout only when evidence supports the expected value.

There is no universal AI-modernization ROI percentage or payback period. AI may help with tasks such as explaining code, extracting business logic, generating tests, or supporting conversion, but the value of those outputs depends on expert validation, rework, integration, and the consequences of an error.

Start with impact, not the system’s age

A system is not “legacy” merely because it is old, written in an unfashionable language, or no longer sold by its original vendor. The Internal Revenue Service’s Infrastructure Currency policy, effective April 7, 2026, defines legacy status around measurable obstruction of mission-critical outcomes: limitations to essential functionality, increased operational risk, or degraded performance. The assessment changes with mission requirements and does not depend on age, language, or vendor-support status.

Use that impact test to frame the business case. Document which outcome is threatened, how often the problem occurs, who is affected, and what happens if nothing changes. A decades-old platform that reliably meets its obligations may be a lower priority than a newer system that creates unacceptable security or continuity risk.

Questions that establish urgency

  • Which mission, customer, regulatory, or revenue process depends on the system?
  • What measurable limitation exists today: unavailable functionality, slow performance, outage frequency, security exposure, or inability to meet a new requirement?
  • How much operational knowledge is concentrated in a few people, and how difficult is it to replace?
  • What is the consequence of delaying a decision for one, three, or five years?
  • Is the risk caused by the system itself, by its surrounding infrastructure, or by an operating process that could be changed without a major rewrite?

Build a defensible status-quo baseline

Before estimating savings, define the system boundary and a measurement period. Separate observed figures from estimates and record the source, owner, and confidence of each number. A baseline should cover more than the maintenance budget.

Operating and financial measures

  • Run costs for infrastructure, hosting, licenses, support contracts, monitoring, backups, and specialist labor.
  • Change cost and elapsed time, including analysis, coding, testing, release approval, and emergency fixes.
  • Incident count, outage minutes, recovery time, failed changes, and the cost of service interruption.
  • Security findings, unsupported components, patch delays, and the labor required to mitigate them.
  • Capacity, response time, batch windows, and other performance measures that matter to users or downstream systems.
  • Training, succession, and contractor costs needed to preserve scarce system knowledge.

Mission and user measures

Record service completion rates, processing accuracy, customer or employee wait time, accessibility, compliance performance, and any manual workaround. If the platform supports a public or safety-critical service, quantify the effect of degraded service separately from ordinary operating expense. A modernization can be worthwhile for continuity or risk reduction even when direct cash savings are small; that is a mission-value case, not a claim of positive financial ROI.

The U.S. Government Accountability Office used dimensions including age, vendor support, legacy languages, cybersecurity risk, and operating cost when selecting systems for review, while the IRS policy adds mission-function limits, operational risk, and degraded performance. Use those dimensions as prompts, then replace them with measurements from your environment.

Define the outcome before evaluating AI

Write the desired result in operational terms before discussing a model, tool, or productivity percentage. Examples include reducing avoidable incidents, shortening the time to deliver a compliant change, meeting a new transaction volume, removing a security exposure, or improving a service-level target.

Turn outcomes into acceptance measures

  • Reliability: availability, failed-change rate, mean time to detect, and mean time to restore.
  • Delivery: elapsed time from approved requirement to production, review backlog, and percentage of changes completed without rework.
  • Quality: business-rule coverage, escaped defects, reconciliation errors, and regression-test coverage.
  • Security: time to remediate findings, unsupported components retired, and control evidence produced.
  • Service: throughput, response time, completion rate, user effort, and accessibility outcomes.
  • Economics: recurring run cost, one-time transition cost, avoided cost, and the date on which a benefit becomes cash-releasing rather than merely capacity-releasing.

AI-generated code, translated lines, or an intermediate representation is not a business benefit by itself. Count it only when expert-reviewed work produces an accepted change that improves one of the defined measures.

Compare keeping the system with feasible alternatives

At minimum, model continued operation and the specific modernization approach you could actually deliver. Depending on the architecture and constraints, alternatives may include incremental replacement of a bounded capability, replatforming, refactoring, or a broader rewrite. Do not assume that a complete rewrite is the default definition of modernization.

Option What to test Typical decision question
Maintain and control Forecast run, support, security, outage, and succession costs over the chosen horizon. Can the system meet mission needs with targeted fixes and risk controls?
Incremental replacement Scope of the first capability, interface complexity, data synchronization, and ability to retire each slice. Can value arrive in stages without creating an unsafe permanent hybrid?
Replatform Compatibility, performance, licensing, infrastructure changes, and testing effort. Does a new operating environment remove a material constraint without changing business logic?
Refactor or restructure Behavior discovery, regression protection, dependency removal, and release capacity. Can internal quality improve while preserving externally required behavior?
Broad rewrite Full requirements recovery, data migration, parallel operation, cutover, rollback, and decommissioning. Is the organization capable of owning the larger delivery and change risk?

For every option, use the same time horizon, discounting convention, risk treatment, scope, and outcome definitions. The Texas Department of Information Resources’ Legacy Modernization Guide v4.0 offers a useful high-level frame of time, money, risk, and reward. A high risk of leaving the system untouched should be made explicit; it should not automatically make every modernization proposal a high priority.

Count the full transition cost

Maintenance cost alone is not a modernization business case. Build a cost model that shows when each expense occurs and whether it is one-time, recurring, or contingent.

Costs during discovery and delivery

  • Inventory, dependency mapping, architecture analysis, and recovery of undocumented business rules.
  • Engineering, AI tooling, model access, secure environments, prompt or workflow design, and expert review.
  • Data cleansing, mapping, conversion, reconciliation, interface changes, and test-environment capacity.
  • Functional, performance, security, accessibility, disaster-recovery, and user-acceptance testing.
  • Parallel operation of old and new systems, duplicate support, licensing, infrastructure, and reconciliation.
  • Training, communications, process redesign, temporary staffing, and productivity lost during the transition.
  • Contingency for defects, schedule slippage, migration rework, and functionality that must be retained longer than planned.

Costs after release

  • New platform operations, observability, security controls, support contracts, and skills development.
  • Model governance, output review, data-protection controls, and periodic evaluation if AI remains in the delivery process.
  • Decommissioning, archive access, records retention, contract termination, and removal of obsolete interfaces.
  • Ongoing dual maintenance if the old system cannot be retired when the first release goes live.

Also list functionality that will be postponed, removed, or delivered through a workaround. GAO reported that higher-than-planned migration costs and removal of planned functionality contributed to savings shortfalls in some Technology Modernization Fund projects. A lower scope can reduce cost, but it may also reduce the benefits used to justify the investment.

Test AI as a bounded, supervised hypothesis

Do not ask whether “AI modernization” works in the abstract. Identify a task, define its acceptance criteria, and compare AI-assisted work with a credible non-AI baseline on your own code and workflows.

Select representative work

Include ordinary modules and difficult cases: implicit business rules, unusual data formats, error paths, legal or policy constraints, batch interactions, concurrency behavior, and interfaces whose behavior is documented only in operations manuals or staff knowledge. A pilot made only of easy, well-commented files will overstate the opportunity.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Measure the complete task

  • Elapsed expert hours from input to accepted artifact, not time to generate a draft.
  • Correctness of recovered logic and coverage of required business rules.
  • Test quality, including edge cases and regression protection.
  • Defects found in review, defects escaping review, and rework required to make output usable.
  • Security, privacy, licensing, and data-handling effort.
  • Total cost of model use, engineering time, specialist review, and remediation.

MITRE’s June 5, 2025 report, “Legacy IT Modernization with AI,” found that large language models could generate intermediate representations from legacy code at scale. It also found that existing performance measures did not align with subject-matter experts’ judgments of quality, and that performance on the unique combination of legacy languages and complex government systems remains unproven. MITRE recommends highly supervised use for mission-critical modernization. Treat expert sign-off, secure handling, and rollback as part of the AI method, not optional overhead.

Set a pilot decision rule

Before running the pilot, specify what result would justify expansion, what result would stop it, and which evidence would trigger a narrower use. For example, you might require an agreed level of business-rule coverage with no increase in escaped defects, while accepting a smaller time saving if quality and review effort remain stable. The threshold must reflect the consequence of failure; a convenience tool and a change to a safety-critical calculation should not have the same tolerance.

Check delivery readiness before funding a transformation

A promising pilot cannot compensate for an unexecutable program. The GAO’s 2025 review of federal legacy systems says a documented modernization plan should include milestones, a description of the work, and the planned disposition of the legacy system. Of 11 systems GAO identified as most in need of modernization after reviewing 69 systems, only three had plans containing all three elements; six had partial plans and two had none. GAO associates incomplete planning with greater risk of cost overruns, schedule delays, and project failure.

Required plan contents

  1. Define the target outcomes, scope boundaries, milestones, dependencies, and measurable acceptance criteria.
  2. Name accountable business, technology, security, data, finance, and operations owners.
  3. Describe the work in enough detail to expose discovery, migration, integration, testing, and change-management effort.
  4. Specify whether each legacy component will be retained, modified, replaced, isolated, archived, or decommissioned.
  5. Document data ownership, reconciliation, cutover sequencing, rollback conditions, and how both systems operate during transition.
  6. Identify required skills, procurement lead times, funding gates, governance, and independent assurance.
  7. Set an exit plan with dates or measurable conditions for retiring old infrastructure and interfaces.

The older ACT-IAC Legacy System Modernization Report v1.1 also identifies readiness, experienced program teams, governance, financing, and the risk of sustaining the status quo as business-case topics. Published in 2017, it is historical guidance rather than a current performance benchmark.

Model return, timing, and uncertainty

Use a consistent financial model, but do not present its output as a fact independent of assumptions. A basic structure is:

ROI = (present value of benefits − present value of costs) ÷ present value of costs

Choose and document the time horizon, discount rate, inflation treatment, benefit timing, tax or funding treatment, and treatment of residual value. No single discount rate, ROI formula, payback cutoff, or AI productivity percentage is established for every organization.

Separate benefit types

  • Cash-releasing savings: an actual reduction in spending, contracts, headcount, infrastructure, or other budget requirement.
  • Capacity benefits: staff time redirected to higher-value work without a corresponding budget reduction.
  • Avoided losses: lower probability or impact of outages, breaches, compliance failure, or unsupported technology.
  • Mission and service value: improved continuity, access, accuracy, speed, or ability to deliver a required service.

Show a base case plus plausible downside and upside cases. Stress the assumptions that matter most: migration duration, parallel-running period, defect and rework rate, retirement date, adoption, benefit ramp, and the probability and impact of a serious failure. State what evidence would change the decision and what action follows if benefits arrive late or costs rise.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Use public modernization results as a caution, not a forecast

Federal program data demonstrates why projected savings need staged validation. In its 2026 report using Technology Modernization Fund data through June 2025, GAO said 68 investments totaled about $1.03 billion. Twenty-four projects expected combined savings of about $1.06 billion, while 11 had collectively realized about $13.5 million at that point. Among six completed projects that expected savings, two met or were on track to meet their expected savings within 10 percent; four did not meet or were not on track.

These figures describe federal projects and timing, not a prediction for a private organization or a named modernization. They show that benefits can be delayed, reduced by scope changes, or offset by higher migration costs. Use them to justify disciplined gates and measurement, not to apply a federal average to your business case.

Measure actual results after deployment

Assign a benefits owner before rollout and preserve the baseline so post-release results can be compared with the original expectation. The Centers for Medicare & Medicaid Services’ IT Investment Evaluation Phase guidance, last modified September 10, 2024, frames evaluation as comparing actual with expected results to assess mission performance, identify needed changes, and improve investment management.

A practical measurement cadence

  • At each release: verify acceptance criteria, defects, business-rule coverage, performance, security controls, and rollback readiness.
  • After stabilization: compare incident rates, service measures, delivery time, user outcomes, and operating cost with the baseline.
  • At funding gates: update forecast benefits, remaining transition cost, risk exposure, and retirement date using observed data.
  • At the end of the program: record which benefits were realized, delayed, abandoned, or replaced by a different value, and why.

Keep AI-specific measures alongside business measures. A model may become faster or cheaper while review burden, defect escape, or security exposure worsens. Conversely, a modest productivity gain may be valuable if it removes a bottleneck without increasing risk.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

A decision checklist for the investment gate

  • The problem is stated as a measurable mission, operational, security, or business outcome.
  • The status quo has a dated baseline with observed costs, risks, service levels, and knowledge constraints.
  • At least one feasible modernization path and continued operation are modeled on identical assumptions.
  • Discovery, migration, integration, testing, parallel operation, training, support, and decommissioning are included.
  • AI’s role is limited to named tasks with representative pilot evidence and expert acceptance criteria.
  • Human review, data protection, security, rollback, and accountability are funded for mission-critical changes.
  • Milestones, work description, owners, dependencies, and final disposition of the old system are documented.
  • Base, downside, and upside cases show when benefits arrive and what happens if they do not.
  • A benefits owner, measurement cadence, and post-release comparison with the baseline are assigned.
  • The approval states whether the rationale is financial return, mission continuity, risk reduction, service improvement, or a stated combination.

When independent specialist help is worthwhile

Bring in an independent assessor when internal teams cannot produce a reliable inventory, when business rules are concentrated in a few people, when the system is mission-critical, or when the proposed change crosses organizational, regulatory, or supplier boundaries. Ask for concrete deliverables: a verified baseline, dependency and data map, option analysis, pilot design, risk register, transition plan, benefits model, and measurement plan.

Specialist support should strengthen ownership rather than transfer it. The organization still needs accountable decision-makers who understand the mission, approve acceptance criteria, control sensitive data, and can stop or narrow the program when evidence no longer supports the original hypothesis.
