How to Assess Whether an AI Startup Can Repay Its Debt

An AI startup can repay debt only if a defensible, borrower-specific source of cash will cover every contractual interest payment, fee and principal installment through maturity. The practical test is not the company’s valuation, investor list, product story or recurring-revenue label. Build a base case from operating cash flow, reconcile it with actual results, stress realistic downside cases, and verify that enough accessible liquidity remains when each payment falls due.

The framework below adapts the Office of the Comptroller of the Currency’s venture-loan guidance to AI companies. The guidance is aimed at OCC-regulated banks in the United States, so other lenders and jurisdictions may apply different policies. It cannot determine the creditworthiness of a named startup without that company’s statements, debt documents, projections and funding evidence.

What repayment capacity actually means

Repayment capacity is the ability to service all obligations under their original contractual terms, not merely to make the next payment. That includes interest, fees, scheduled principal, maturity repayment, existing borrowings and any proposed new debt. The OCC describes this standard in its Commercial Lending: Venture Loans to Companies in an Early, Expansion, or Late Stage of Corporate Development guidance.

For an AI startup, begin with cash that the business can generate after planned operating expenses and capital expenditures. Then ask whether that cash arrives early enough, and with enough margin, to meet the debt schedule. A profitable-looking income statement may not translate into cash if customers pay slowly, model-training costs rise, or the company must keep buying computing capacity. Conversely, unrestricted cash can support near-term payments but may be needed to fund operations rather than debt.

There is no OCC-approved AI-sector debt-service ratio or universal cash-runway cutoff. A conclusion must be tied to the startup’s own contracts, burn rate, debt terms, liquidity restrictions and forecast reliability.

Classify the startup by maturity, not by its AI label

“AI startup” describes technology, not credit maturity. The OCC’s venture-borrower framework distinguishes early-stage, expansion-stage and late-stage companies. Apply those categories using operating history, cash generation, business-model proof, collateral and dependence on outside funding.

Borrower profile Typical repayment questions What stronger protection may be needed
Early stage Is there a repeatable product, paying demand and a credible path from negative cash flow to self-funding? Frequent reporting, restricted cash controls, milestone tests and a clearly documented funding backstop.
Expansion stage Are revenue growth, gross margins, customer retention and spending tracking the plan as the company scales? Covenants linked to liquidity, reporting and performance, with a maturity that matches the path to positive free cash flow.
Late stage Does established operating cash flow cover debt without relying on a new equity round or a sale of the company? Conventional cash-flow analysis, collateral controls and repayment terms sized to demonstrated capacity.

The category can change during the loan. A company that was expected to reach positive free cash flow quickly may effectively remain an early-stage credit if adoption, margins or funding conditions deteriorate. Do not let a prestigious valuation or prominent backers substitute for evidence of maturity.

Identify the primary source of repayment

Name one primary source before considering secondary support. Usually it should be cash generated by the company’s business. Map the source to the debt contract: recurring operating receipts must cover interest, fees and principal on the dates required, after essential expenses and capital investment.

Build a cash-flow bridge

  1. Start with collected customer cash, not booked revenue.
  2. Subtract payroll, cloud and model-inference costs, data licensing, sales and marketing, taxes, working-capital needs and planned capital expenditures.
  3. Subtract payments on every existing and proposed loan, including fees and balloon or maturity amounts.
  4. Compare the resulting cash balance with the minimum liquidity the business needs to keep operating.

This bridge reveals whether repayment comes from operations or from an event such as another financing, asset sale or acquisition. An attractive enterprise value, an investor’s reputation and a compelling product narrative are not repayment sources unless they produce cash under enforceable, timely arrangements.

Check timing, not just totals

Annual cash flow can conceal a shortfall in a particular month. Lay the debt schedule over a monthly liquidity model and identify the lowest cash point before maturity. Include interest-rate changes, commitment fees, amortization, prepayment premiums, warrants or other contractual charges stated in the documents. If the model shows a payment funded by a later financing, classify that financing as a separate, uncertain source rather than operating repayment capacity.

Interrogate the projections

Request historical financial statements, interim cash reporting and the forecasts used to approve the loan. Reconcile each forecast period with actual results and require an explanation for material misses. A forecast that repeatedly overstates bookings, understates compute costs or postpones hiring is evidence about forecast reliability, not just a one-time variance.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Test the assumptions behind revenue

  • Product differentiation: what feature or performance advantage supports pricing and renewals?
  • Addressable market: which customers can actually buy within the forecast period, and under what procurement constraints?
  • Market share: what competitive evidence supports the assumed share rather than a top-down percentage?
  • Time to market: are model development, regulatory review, integration and deployment schedules achievable?
  • Adoption: do signed contracts, usage data and renewal behavior support the conversion from pilots to paid production use?

Separate contracted revenue from pipeline, pilots and management targets. For usage-based AI products, model utilization, token or inference volume, pricing changes and customer concentration explicitly; a rise in usage can increase the company’s costs as well as its receipts.

Test the expense plan

Review staffing plans, compensation, cloud reservations, data and model licensing, hardware purchases, security, insurance, taxes and working capital. An expense assumption is not conservative merely because it is labeled a contingency. Compare it with signed contracts, current run rates and the timing of planned investments. A forecast that reaches positive free cash flow only in the final projection years deserves particular scrutiny, as does one that assumes rapid margin expansion without an operational explanation.

Run a base case and realistic downside cases

The base case should include planned operating expenses and capital expenditures and should extend through the loan’s maturity, not stop at the next financing date. Then create downside cases that reflect plausible execution and financing problems rather than an arbitrary percentage haircut.

Scenario Questions to model Repayment implication
Base case Do current contracts, realistic conversion and planned spending produce cash before each payment? Shows the expected primary source, but not its resilience.
Operating downside What happens if launches slip, renewals fall, prices compress or compute and personnel costs rise? Shows the month when liquidity falls below operating needs and debt service.
Funding downside What if the next equity round is delayed, smaller, more dilutive or unavailable? Tests whether repayment depends on an event outside management’s control.
Combined downside What if weaker sales coincide with higher costs and a delayed financing? Reveals whether covenants, collateral or a cash sweep provide meaningful protection.

For every case, calculate ending unrestricted cash, cumulative burn, payment coverage by date and the point at which management must take corrective action. Do not use a single optimistic forecast to justify the loan when the downside case reaches a payment shortfall well before maturity.

Measure burn and usable liquidity

Track monthly gross cash burn, net cash burn and the number of months until liquidity is exhausted. Define each measure consistently: explain whether it includes one-time research spending, capital expenditures, debt service, customer deposits and restricted cash. A falling burn rate is useful only if it results from sustainable economics rather than deferred bills, unpaid vendors or cuts that make contracted service impossible.

Distinguish cash on the balance sheet from cash available for repayment

Verify bank balances directly and identify liens, blocked accounts, minimum balances, customer funds, tax reserves and other restrictions. Cash pledged or controlled for debt repayment is stronger support than unrestricted cash that the company expects to spend on payroll, infrastructure and product development. Confirm the amount that can legally be transferred to the lender on each payment date.

Match runway to maturity

A runway covenant can signal when a cash-burning borrower may need new capital, but it does not necessarily ensure repayment of the entire loan. Compare remaining months of liquidity with the final maturity date and with every interim amortization date. If runway ends before maturity, specify the action required, who controls it and how much time remains to execute it.

Discount future fundraising unless it is truly committed

An uncommitted future equity raise is not a satisfactory primary source of repayment, as the OCC states in its venture-loan guidance. Treat fundraising as potential secondary support only after verifying four elements:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Legal enforceability: obtain executed commitments or other documents that create an obligation rather than a nonbinding indication of interest.
  2. Investor capacity and willingness: confirm that the investors can fund the stated amount and remain willing under the modeled conditions.
  3. Use of proceeds: determine how much will fund operations, repay debt or satisfy other claims; money earmarked for growth may not be available to the lender.
  4. Conditions and milestones: identify valuation, performance, regulatory, board or market conditions that could delay or cancel the financing.

Even a signed commitment can fail to arrive before a payment. Model timing, closing conditions, required notices and the consequences if the round is smaller than planned. Do not count an anticipated acquisition or public offering as a repayment source without binding documentation and a realistic closing timetable.

Analyze recurring revenue as cash economics

Recurring revenue is a favorable signal, but it is not repayment capacity by itself. The OCC’s December 5, 2025 bulletin puts the point plainly: "Recurring revenue is not, however, equivalent to sustainable repayment capacity."

Examine the quality and cash conversion of that revenue:

  • Customer concentration and the effect of losing the largest account.
  • Contract length, termination rights, refunds, service-level credits and payment terms.
  • Gross retention, net retention, renewal timing and the difference between pilots and production subscriptions.
  • Invoice collection history, annual prepayments, deferred revenue and working-capital requirements.
  • Compute, support, data and licensing costs required to deliver each contract.
  • Planned spending needed to maintain the product, meet security obligations and win renewals.

Calculate the cash left after these costs and capital expenditures, then compare that cash with debt service. A high renewal rate can coexist with negative repayment capacity if every additional customer requires expensive inference capacity or heavy implementation work.

Evaluate secondary repayment support

Secondary sources matter if operating cash flow fails, but they should not disguise a weak primary source. Review collateral, guarantees and other documented support for enforceability, value and control.

Collateral

Identify each pledged asset, lien priority, valuation basis, maintenance requirement and liquidation path. AI startups are often asset-light: code, data rights, contracts and intellectual property may be difficult to value or sell quickly, and enterprise value can disappear when growth or funding sentiment changes. A lender should not assume that a large headline valuation is recoverable collateral.

Guarantees and other support

Confirm who is legally obligated, the scope of the guarantee, exclusions, financial capacity and any subordination. A founder or parent-company promise without assets or enforceable terms may provide little practical recovery. Distinguish a binding guarantee from a comfort letter or an investor’s informal assurance.

Loan structure

Align tenor, amortization, covenants, reporting and controls with the borrower’s repayment profile. Greater business-model uncertainty and a longer path to positive free cash flow call for stronger structural protections and closer monitoring. Possible controls include minimum-liquidity tests, runway reporting, limits on additional debt, consent rights over material asset transfers and a cash sweep when excess cash is available. Each control should be tested for enforceability and for whether it acts early enough to preserve repayment capacity.

Use a lender-ready information checklist

Before reaching a conclusion, obtain a complete, current package rather than relying on a pitch deck.

  • Audited or management financial statements, with interim results through the latest month.
  • A complete debt schedule showing principal, rates, maturities, fees, security, covenants and payment dates.
  • Monthly cash reporting, bank statements, restricted-cash details and a reconciliation to the general ledger.
  • Projections through final maturity, including base and downside cases and all existing and proposed obligations.
  • A variance analysis comparing prior plans with actual revenue, margin, hiring, compute costs and capital expenditures.
  • Customer-level information covering concentration, contract terms, renewal behavior, collections and revenue-to-cash conversion.
  • Evidence for any equity commitment, including executed documents, conditions, investor capacity and intended use.
  • Collateral schedules, lien searches, guarantees, insurance and any required third-party consents.
  • Board-approved budgets, cap-table changes, planned financings and material litigation or regulatory matters.

Ask management to identify the primary and secondary repayment sources in writing. A clear answer that matches the model is more useful than a general statement that the company expects to raise capital.

Monitor after the loan closes

Repayment capacity is not fixed at origination. Set reporting intervals that match burn and risk: a rapidly cash-burning borrower may require monthly or more frequent information, while a stable late-stage company may support a different cadence. Compare actual results with the approved plan, update the maturity model and escalate variances before a missed payment.

Useful monitoring outputs include a rolling cash forecast, actual-versus-budget revenue and expense analysis, customer concentration, renewal pipeline, unrestricted cash, net burn, months of liquidity, covenant headroom and changes in the debt schedule. Require prompt notice of a lost major customer, material cloud-cost increase, delayed financing, new lien, payment default or change in control. Reporting is valuable only when the lender can act on it through enforceable covenants, reserves or other controls.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Decision framework: approve, restructure or decline

Organize the conclusion around four questions:

  1. Primary source: Does sustainable operating cash flow cover all contractual debt service through maturity in the base case?
  2. Resilience: Does it remain adequate in realistic operating and funding downside cases, with enough time to respond?
  3. Liquidity access: Is the projected cash actually unrestricted and available on the dates payments are due?
  4. Protection: If the primary source fails, are collateral, guarantees, covenants, reporting and controls specific, enforceable and proportionate to the risk?

A “yes” to the first question but “no” to resilience may justify a smaller facility, shorter availability period, additional controls or a different maturity rather than the original structure. A “no” to primary repayment with no reliable committed funding or recoverable secondary support means the debt is not supported by demonstrated capacity, regardless of the startup’s technology or valuation.

Limits of this assessment

The OCC bulletin issued December 5, 2025 is supervisory guidance for OCC-regulated banks, not a legal opinion, credit approval or guarantee of repayment. Other lenders, private-credit funds and non-U.S. regulators may use different definitions, covenants and recovery assumptions. The framework also cannot resolve company-specific issues without verified financial statements, contracts, debt documents, cash records and funding commitments.

The central discipline is simple: document how cash will reach the lender, test whether that source survives realistic setbacks, and structure monitoring and protections around the remaining uncertainty. Treat every valuation, forecast, runway figure, financing indication and recurring-revenue claim as evidence to verify—not as repayment itself.

Product prices and availability are accurate as of the date/time indicated and are subject to change. Any price and availability information displayed on Amazon at the time of purchase will apply.
