Assess the exact contracting entity, its ownership and control, the service you will buy, and every jurisdiction connected to the transaction. Screen the provider and relevant owners against the official sanctions lists that apply to your organisation, then examine whether ownership rules, service-specific restrictions, payment routes or end-user rules still apply. A provider does not have to appear by name on a list for a transaction to be prohibited or restricted.
There is no single worldwide test for “foreign government sanctions.” The result depends on your organisation, counterparties, users, staff, payment and data locations, the cloud service itself, and the laws that attach to those facts. The workflow below is a defensible way to reach — or escalate — that decision.

What you are actually trying to determine
Sanctions assessment has two separate questions. Keep them separate in your records because a “no” to one does not answer the other:
- Is the provider, an owner or a controlling person blocked or otherwise subject to a designation? This requires identifying the legal entity, tracing ownership and control, and applying the rules of each relevant sanctions regime.
- Would this particular transaction be restricted? The answer can turn on the product, software, support, customer, end user, destination, payment route or location of service delivery, even when the provider itself is not listed.
For example, the US Office of Foreign Assets Control (OFAC) says US persons and persons otherwise subject to OFAC jurisdiction must not engage in covered transactions with Specially Designated Nationals (SDNs) or entities owned by them. Its consolidated FAQ explains how to use its programmes and ownership rules: OFAC consolidated FAQs. UK rules use their own ownership-and-control analysis; the UK Government describes that approach in its ownership and control guidance. Neither framework should be treated as a universal test for every country.

Start by defining the proposed transaction
Write down the decision you are making before you search a sanctions list. “Can we use this cloud?” is too broad to screen accurately. Record the following facts:
- The exact product, edition and service tier, including any managed support, implementation or consulting.
- The legal entity that will sign the contract and issue the invoice.
- Your customer entity, affiliates, users and ultimate end users.
- Where users, administrators, support staff and subcontractors are located.
- Where data will be stored, processed, backed up and accessed.
- The type of data and software involved, including business, engineering, security or dual-use functions.
- The payment currency, banks, intermediaries and contracting route.
- The proposed start date, term, renewal and any change-of-control or relocation provisions.
Define the decision in one sentence, such as: “May our UK company purchase the named hosted service from the invoicing entity for users in three countries, with support delivered from specified locations, during the proposed contract term?” This prevents a clean result for one subsidiary, region or product from being misapplied to another.
Map every jurisdiction that could govern the transaction
Do not assume that the provider’s incorporation country is the only relevant connection. Build a jurisdiction map for your organisation and the transaction:

|---|---|---|
| Your organisation | Where are the customer, parent and paying entities incorporated and operating? | Different sanctions regimes can bind different entities in the same group. |
| Provider and owners | Where is the contracting entity incorporated, managed and ultimately owned? | Designation and ownership rules may attach to the entity or its controlling persons. |
| People and access | Where are administrators, support engineers, developers and subcontractors located? | Service delivery and personnel can create additional legal or foreign-direction exposure. |
| Infrastructure | Where are primary data centres, backups, service-control planes and remote-access systems? | Location can affect restrictions, compelled access and contractual suitability. |
| Payment | Which banks, currencies, payment processors and correspondent routes are involved? | A blocked bank or intermediary can make an otherwise permitted purchase impossible. |
| Users and destination | Who will use the service, and from which countries or territories? | Some measures depend on customer, end-user or destination geography. |
Potential connections may include US, UK, Australian, European Union, United Nations or other national rules. The applicable set depends on the facts and should be confirmed by qualified counsel or compliance staff. A provider’s statement that it “complies with sanctions” does not identify which laws bind your organisation or resolve conflicts between regimes.
Identify the legal counterparty, not just the brand
Obtain the entity shown on the contract, order form and invoice. Capture its full legal name, registration number, incorporation jurisdiction, registered address and aliases. A trading name or parent-company name may not be the entity receiving your money or delivering the service.
Request an ownership and control pack
Ask for a current corporate structure that identifies:
- Immediate and ultimate owners, including indirect holdings.
- Share percentages and voting rights.
- Rights to appoint or remove directors.
- Board, veto and reserved-matter rights.
- Shareholders’ agreements, nominee arrangements or other practical influence.
- Any person who can direct the entity’s affairs even without a majority shareholding.
Trace the chain until the natural persons, publicly owned bodies or other controlling entities are clear, or document exactly where evidence stops. Ownership can matter even when the operating company’s name does not match a sanctions-list entry.

Apply the relevant ownership test carefully
Thresholds are regime-specific. Under the UK Government’s guidance, ownership or control can arise where a designated person holds more than 50% of shares or voting rights, can appoint or remove a majority of the board, or can usually or to a significant extent ensure that the entity’s affairs are conducted according to that person’s wishes. That is a UK criterion, not an international safe harbour. Other regimes may use different aggregation, control or attribution rules.

When a potential match appears, compare registration details, addresses, directors, owners and other identifiers. Do not clear a hit because the name is merely common, and do not block a transaction solely because a similar name appears. Resolve the identity and preserve the evidence.
Screen the right lists and keep evidence
List screening is the first filter, not the conclusion. Australian Department of Foreign Affairs and Trade guidance for the information-technology sector describes screening customers against the Consolidated List as the first step in sanctions compliance and stresses ongoing monitoring.
- List every relevant legal entity, owner, director, customer, end user, bank and material subcontractor.
- Search the official list or lists for each jurisdiction in your map, using exact names and reasonable aliases.
- Save the search date, list version or page, search terms, result and reviewer.
- Investigate possible matches with registration numbers, addresses, dates of birth where lawful, ownership records and other identifiers.
- Check whether a non-listed entity is owned or controlled by a listed person under the governing regime.
- Escalate unresolved matches before signing, paying, granting access or allowing service delivery.
A screening hit is an investigation trigger. An apparent clean result is evidence of the search performed at that time, not a permanent authorisation. Sanctions lists, ownership and control can change after onboarding.

Map how the cloud service is operated
Cloud risk is not determined by the advertised region alone. Ask the provider to identify the locations and legal entities involved in normal and exceptional operations.
Locations to document
- Registered offices and principal management locations.
- Primary and disaster-recovery data centres.
- Service-delivery and network-operation locations.
- Administrative and privileged-access locations.
- Customer-support, incident-response and technical-account teams.
- Subcontractors, managed-service providers and remote-access vendors.
- Locations from which legal, security or abuse requests are handled.
Australian Signals Directorate cloud-assessment guidance says locality, ownership and potential foreign interference are crucial elements of a cloud-consumer review, while warning that no single factor establishes suitability. A foreign-owned provider operating locally may still be subject to extraterritorial direction or interference. Whether that is unacceptable depends on the data, controls and obligations involved.
Ask about compelled access and control
Request the provider’s process for government demands, secrecy orders, emergency access and conflicts between jurisdictions. Establish which entity receives a demand, who can access encryption keys, whether administrators can be compelled to act, and how customers are notified where legally permitted. Treat these answers as part of the operational and legal assessment, not as a substitute for sanctions screening.
Classify the actual service and software
Describe what you are buying in functional terms. “Cloud” can mean infrastructure hosting, a software subscription, managed security, communications, implementation, data processing or consulting. Each can raise different restrictions.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minuteSeparate delivery, support and professional services
Record whether the provider will:
- Host or process workloads.
- Deliver software or updates.
- Configure, implement or customise software.
- Provide IT support, troubleshooting or administration.
- Supply consulting, design or engineering services.
- Operate communications, monitoring or security functions.
Identify where each activity is supplied from and who performs it. A permitted licence or hosting arrangement can become restricted when implementation, support or remote administration is added.

Check software-specific rules
OFAC Russia-related FAQs illustrate why provider status alone cannot settle the question. The rules described in FAQs 1186 and 1187 cover defined IT consultancy and design services and IT support or cloud services connected with specified enterprise-management and design/manufacturing software supplied to persons in Russia, subject to the precise scope, dates, authorisations and other applicable requirements. The enterprise-management examples include enterprise-resource planning, customer-relationship management, business intelligence, supply-chain management, enterprise data warehouse, maintenance management, project management and product-lifecycle management. Design and manufacturing examples include building-information modelling, computer-aided design, computer-aided manufacturing and engineering-to-order software.
Use the current OFAC programme text, general licences and FAQs for the exact transaction. Do not infer that every SaaS product, every Russian customer or every cloud region is covered, and do not assume a general licence applies without checking its conditions.
Evaluate the customer, end user and destination
Sanctions analysis follows the actual users and beneficiaries, not just the procurement department. Identify affiliates, resellers, contractors and ultimate end users who will receive access, support or data. Pay particular attention to:
Quick wins for a faster PC:
Clear out junk files and repair common Windows errorsFree Scan →Scan for outdated or missing drivers - takes under a minuteDriver Scan →- Customers or users based in, incorporated in or operating from high-risk jurisdictions.
- Government-linked or politically exposed persons.
- Military, defence, energy, advanced manufacturing or other sensitive industries.
- Dual-use technology, restricted technical data or equipment.
- Unusual requests for anonymous accounts, third-country payment or rapid changes in delivery location.
Australian guidance identifies customers connected with Iran, Russia or North Korea, government links, sensitive industries and dual-use technology as risk indicators. It also cautions that an IP address alone does not necessarily establish a customer’s country of origin. Use corporate, payment, identity and contractual evidence rather than geolocation as a standalone decision.
Compare cloud providers using the same evidence
If more than one provider is being considered, use a common evidence sheet. A lower-risk conclusion should reflect better documented facts, not a more reassuring marketing statement.
| Assessment axis | Evidence to request | Decision question |
|---|---|---|
| Ownership and control | Current group chart, owners, voting rights, board rights and control disclosures. | Can a designated person own or direct the contracting entity? |
| Jurisdiction and foreign direction | Incorporation, management, applicable authorities and government-demand process. | Could a foreign authority compel conduct that conflicts with our obligations? |
| Operational locality | Data centres, service-delivery regions, support and admin locations, subcontractors and remote access. | Where is the service actually performed and who can reach the environment? |
| Service-specific sanctions posture | Product description, software categories, support scope, customer restrictions and licences. | Is this exact service to this exact user permitted? |
| Evidence and change management | Disclosure dates, audit rights, notification commitments and change-of-control clauses. | Can we detect and reassess a material change? |
| Customer controls | Encryption and key control, access logs, segmentation, deletion, portability and exit procedures. | Can technical controls reduce the consequence if legal or access risk changes? |
Security controls do not legalise a prohibited transaction, but they can affect whether a legally permissible provider meets your data-protection and operational risk tolerance.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Make a documented decision
For each proposed service, create a short decision record containing:
- The contracting entity, owners, control analysis and identifiers checked.
- Applicable jurisdictions and the reason each one applies.
- List names, search dates, versions and unresolved or cleared matches.
- Provider locations, personnel, subcontractors and access paths.
- Service, software, customer, end-user and destination classification.
- Licences, exceptions or authorisations relied upon, with their conditions and expiry.
- Assumptions, missing facts, risk owner and approval level.
- The conclusion: permitted, prohibited, permitted only with conditions, or escalated.
State the scope of the conclusion. “Approved for the named UK entity, product tier and users listed on 17 October 2026” is more useful than “provider approved.” An approval should not silently extend to a new affiliate, region, software module or support team.

Refresh the assessment when facts change
Sanctions compliance is ongoing. Re-screen and reassess when:
- The provider discloses a merger, acquisition, owner or board change.
- A data centre, support team, subcontractor or service-delivery country changes.
- The product adds a module, implementation service, remote administration or new software category.
- A customer, affiliate, end user, bank or payment route changes.
- A sanctions list, regulation, licence or government guidance changes.
- A security incident or legal demand reveals a new access path.
Set event-driven reviews as well as a periodic schedule. Keep the original decision and the new evidence so reviewers can see what changed. Australian guidance emphasises that measures and risks evolve; a one-time onboarding screen cannot account for later ownership, user or service changes.
Common failure modes and fixes
“The provider is not on a sanctions list, so it is safe.”
Why it fails: Ownership or control can attribute a designation to an unlisted operating entity, and a service-specific restriction can apply to an otherwise unlisted provider.
Fix: Trace owners and control, then analyse the exact service, user, destination and payment route.
“The data centre is local, so foreign exposure is irrelevant.”
Why it fails: Parent-company control, administrators, support staff, subcontractors or legal demands may be outside the data-centre country.
Fix: Map ownership, operations, privileged access and compelled-access procedures separately.
“A matching name is proof of a sanctions hit.”
Why it fails: Common names create false positives, while aliases and indirect ownership create false negatives.

Fix: Match each condition to the proposed transaction and obtain legal review where scope is uncertain.
When to stop and obtain specialist advice
Escalate before contracting or continuing service when ownership is opaque, a potential match cannot be cleared, a designated person may exercise control, the transaction involves a high-risk jurisdiction or sensitive technology, jurisdictions impose conflicting demands, or the provider cannot identify its service and access locations. Also escalate any question about a licence, export control, blocked payment or exception.
Official guidance is a starting point, not a legal opinion for an unspecified organisation. A qualified sanctions lawyer or compliance officer should determine which regimes apply and whether the documented facts support the proposed transaction. Keep the decision narrow, evidence-based and current.
The Bottom Line
A defensible cloud-sanctions assessment connects four things: the exact legal counterparty and its owners, the jurisdictions that govern your transaction, the provider’s real operating and access footprint, and the precise service delivered to each user. Screen official lists, investigate ownership and control, analyse service-specific restrictions, document the result and refresh it whenever the facts or rules change.
