How to assess the GST impact of a proposed business transaction

You cannot calculate a reliable GST amount from a transaction title alone. First identify the country (and, where relevant, state or province) whose law applies and the transaction date. Then separate what each party is actually supplying, test registration and place-of-supply rules, check GST-free or input-taxed treatment, and model the buyer’s recovery separately from the seller’s GST liability.

Australia provides a useful worked framework below, but it is only an example. Canadian and Singaporean rules show why you must substitute the law governing your deal rather than import an Australian rate or test. For a material business sale, cross-border arrangement, mixed-use acquisition or reliance on a concession, have a qualified adviser review the documents before signing.

Why the jurisdiction and date come first

GST is not a single worldwide system. Registration thresholds, taxable-supply definitions, rates, place-of-supply rules, input-tax recovery and concessions differ by country and can change over time. A transaction involving several countries may also trigger import, export, reverse-charge or intermediary rules.

Record the governing country and any relevant state or province, together with the planned completion date. For a cross-border deal, identify the rule that connects each supply to a jurisdiction. The Canada Revenue Agency’s place-of-supply guidance, for example, uses location and supply type to determine whether provincial HST applies and at what rate. Singapore’s Inland Revenue Authority separately sets conditions for claiming input tax. Neither framework can be safely inferred from an Australian analysis.

Facts to assemble before doing the calculation

Build a transaction fact sheet and attach the latest draft agreement. At minimum, collect:

  • the governing country, state or province and transaction date;
  • the legal identities and roles of supplier, buyer, agent, marketplace or other intermediary;
  • every asset, service, licence, right, property interest, liability assumed or released, and other component transferred;
  • the price, deposits, non-cash consideration, earn-outs, assumed debt and any adjustments;
  • where goods are located, delivered or used;
  • where services are performed and the recipient’s relevant addresses;
  • each party’s GST registration status, turnover and any special status such as non-profit;
  • the buyer’s intended business, private, taxable, GST-free or input-taxed use of each acquisition;
  • whether an operating enterprise continues through completion;
  • draft clauses covering GST, going-concern treatment, invoicing, price allocation, settlement adjustments and responsibility if the intended treatment fails.

If these facts are missing, the correct output is a list of information still required, not a guessed GST amount.

Step 1: map the legal supplies, not just the contract label

Break the arrangement into supplies made by each party. A single “business sale” can contain land or premises, equipment, inventory, intellectual property, customer contracts, staff arrangements, services, licences, rights, and an assumption or release of obligations. A share transfer may involve a different legal supply from an asset transfer, while transitional services can be separate supplies alongside either structure.

Describe what is actually provided, to whom, for what consideration and at what time. Labels such as “asset purchase,” “sale of shares” or “going concern” are evidence of the parties’ intention, but they do not replace the statutory analysis of the underlying supplies. Allocate the price on a defensible basis and test each component; one component’s treatment does not automatically determine another’s.

Step 2: classify each supply under the governing law

Australian worked test

For Australia, section 9-5 of the A New Tax System (Goods and Services Tax) Act 1999 states:

“You make a taxable supply if: (a) you make the supply for consideration; and (b) the supply is made in the course or furtherance of an enterprise that you carry on; and (c) the supply is connected with the indirect tax zone; and (d) you are registered, or required to be registered.”

The same provision qualifies the result: a supply is not taxable to the extent that it is GST-free or input taxed. Apply every element to every supply:

  • Consideration: identify money, non-cash consideration, debt assumed and other value exchanged.
  • Enterprise connection: establish that the supply is made in the course or furtherance of an enterprise.
  • Connection with Australia’s indirect tax zone: check the statutory connection rules, including special rules for cross-border supplies.
  • Registration: confirm that the supplier is registered or required to be registered at the relevant time.
  • Exceptions: test whether a GST-free, input-taxed or other specific provision removes or changes the taxable result.

The Australian statute is a legal framework, not a shortcut to a conclusion about an unnamed transaction. Other countries use different elements and terminology.

Step 3: check registration and collection obligations

Registration affects whether a supplier must charge and account for GST and whether a purchaser can meet the registration condition for recovery. In Australia, business.gov.au guidance gives a general compulsory-registration threshold of A$75,000 in GST turnover. It states that an entity has 21 days to register after becoming aware that it will exceed the threshold. The guidance also identifies exceptions, including taxi or limousine travel, and a higher A$150,000 threshold for non-profit organisations.

Those figures are Australian guidance and should be checked against the current rule for the entity and industry. Determine whether turnover is measured prospectively or retrospectively under the applicable law, whether a non-resident rule applies, and whether a group or other registration arrangement changes the analysis. Keep evidence of registration or a reasoned conclusion that registration is not required.

Step 4: determine place of supply and rate

Australia

Australian Government guidance describes GST as 10% on most goods, services and other items sold or consumed in Australia. That headline rate does not establish that a particular supply is taxable. You still need the connection, registration and GST-free or input-taxed tests, plus any special rule for exports, imports, real property, digital supplies or other cross-border facts.

Canada comparison

The Canada Revenue Agency’s April 2026 place-of-supply overview lists different GST/HST outcomes by province and supply type: 5% in non-participating provinces, 13% in Ontario, 14% in Nova Scotia for supplies on or after 1 April 2025, and 15% in the other participating provinces. These are Canadian GST/HST figures, not Australian rates. Confirm the province, the nature of the supply and the applicable effective date before using any rate.

Practical location questions

  • Where are goods when the relevant supply, delivery or import occurs?
  • Where is real property situated?
  • Where are services performed, and where is the recipient located under the applicable rule?
  • Is an intermediary making the supply, facilitating it or merely receiving a service?
  • Could export, import, reverse-charge or digital-supply provisions displace the domestic rule?

Step 5: model the buyer’s input-tax recovery separately

The GST a supplier must report is not the same as the amount a buyer can recover. Treat output tax and input tax as two linked but independent workstreams.

Australian creditable-acquisition conditions

Under the Australian GST Act, a purchaser generally needs an acquisition for a creditable purpose, a taxable supply to it, consideration, and registration or a requirement to be registered. “Creditable purpose” requires examining intended business use and excluding private use or use in making input-taxed supplies to the relevant extent. A buyer may therefore face an irrecoverable cost even where the seller correctly charges GST.

Canadian and other jurisdictions

Canada’s input-tax-credit guidance likewise limits recovery to eligible purchases used in commercial activities. Singapore’s Inland Revenue Authority publishes its own conditions for claiming input tax. Establish the purchaser’s status, business use, documentation and timing under the governing jurisdiction rather than assuming that paying GST creates an automatic refund.

Mixed use and apportionment

Map the intended use of each acquired input. If equipment, premises, staff services or rights support both taxable and private or input-taxed activities, document the apportionment method and identify later adjustment events. The contract should not promise a full credit unless the buyer’s facts and records support it.

Step 6: test a going-concern treatment in an Australian business sale

Australian public ruling GSTR 2002/5 explains when a “supply of a going concern” can be GST-free. A contract phrase alone is insufficient. The ruling identifies substantive and formal conditions that must be tested against the facts.

Core conditions

  • There is consideration for the supply.
  • The recipient is registered or required to be registered for GST.
  • The parties have agreed in writing that the supply is a going concern.
  • The supplier provides everything necessary for the continued operation of the enterprise, judged by the nature of that enterprise.
  • The supplier carries on the enterprise until the day of the supply.

“Everything necessary” is fact-specific. Identify the operating assets, premises or access arrangements, contracts, licences, records, staff or other elements without which the enterprise could not continue. A transfer of selected assets after the operating activity has stopped may not satisfy the test. Conversely, the required package depends on what the particular enterprise needs, not on a universal asset list.

Check the ruling’s current consolidation and applicability for the transaction date. If any condition is uncertain, quantify the cash-flow effect of treating the sale as taxable and allocate contractual risk rather than relying on an unqualified label.

Compare possible transaction structures before signing

When more than one structure is available, compare the legal supplies and GST consequences on the same axes. The table identifies the questions that must be answered; it does not decide a hypothetical deal.

Structure What to map Special-treatment question Buyer recovery focus Contract and records
Asset sale Each asset, service, right, liability and price allocation Test taxable, GST-free and input-taxed treatment component by component Purpose and use of each acquired asset; eligible taxable supply and documentation State whether price is GST-inclusive or exclusive and allocate responsibility for disputed components
Share sale The interests transferred and any separate services, licences or transitional arrangements Do not assume the treatment of related supplies from the share-transfer label Determine whether acquisition supports commercial activities and satisfies local credit rules Separate the share consideration from service fees, adjustments and invoices
Transfer of a continuing enterprise Operating assets, premises, contracts, people and rights needed to continue In Australia, test every going-concern condition and the written agreement requirement Check registration and the buyer’s intended taxable or input-taxed use Define evidence of continuity and who bears GST if the concession fails
Several separately supplied components Each supplier, recipient, time, location and consideration Apply the statutory test and rate to each component rather than averaging them Apportion credits and preserve invoices for each eligible acquisition Use a schedule linking allocations, invoices, settlement adjustments and reporting entries

Step 7: make the contract mechanics explicit

GST disputes often arise because the tax analysis and the price clause say different things. Before execution, settle the following points in plain language:

  • Adjustments: cover completion accounts, refunds, credits, bad debts, consideration changes and later reassessments.
  • Evidence: require delivery of registration evidence, written going-concern terms where relevant, tax invoices and records supporting the agreed treatment.

Do not make the buyer bear an undefined tax risk through a generic “taxes” clause. Tie the risk to a particular supply, factual assumption and remedy.

Step 8: quantify output GST, recoverable input tax and cash flow

Prepare three schedules rather than one headline number:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Output-tax schedule: list each supply, consideration, jurisdiction, rate, taxable or special status, tax amount and reporting period.
  2. Input-tax schedule: list each acquisition, supplier, invoice, creditable purpose, business-use percentage, expected recovery and claim timing.
  3. Adjustment schedule: model settlement changes, post-completion credits, private-use adjustments, mixed-use changes and the result if a concession is rejected.

Use the transaction’s actual consideration and the applicable tax-inclusive or tax-exclusive convention. Keep assumptions next to each figure: jurisdiction, effective date, supply classification, registration status and use. The available framework cannot produce a numerical answer for an unspecified deal.

A worked Australian process (without assuming a result)

Consider a seller proposing to transfer a trading operation with equipment, inventory, customer contracts, premises access and a short transition service. The buyer is registered in Australia and intends to continue the trade, but some acquired premises will later support an input-taxed activity.

  1. List the equipment, inventory, contracts, premises rights and transition service as separate legal supplies or components.
  2. Confirm both parties’ registration status and the completion date; check the seller’s turnover and any special industry rule.
  3. For each component, test consideration, enterprise connection, Australian connection and registration, then check GST-free or input-taxed provisions.
  4. For the proposed going-concern treatment, document the written agreement, identify everything necessary for continued operation and confirm that the seller operates through the day of supply.
  5. For the buyer, calculate recovery separately: equipment used in taxable trade may be creditable, while use supporting input-taxed activity may restrict the credit. Preserve the allocation and intended-use evidence.
  6. Write the price and failure-risk clauses so that a denied concession does not create an unplanned funding gap.

This process deliberately stops short of declaring the sale GST-free or assigning a tax amount. Those outcomes depend on the executed documents and the facts established at completion.

Common failure modes and how to correct them

Using the wrong country’s rate

Symptom: a spreadsheet applies 10% because the business is familiar with Australian GST, even though the supply is connected elsewhere.

What’s actually slowing this PC down?

Pick the symptom - the matching free tool is one click away.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Correction: lock the governing jurisdiction and transaction date before entering a rate; for cross-border supplies, document the place-of-supply, import, export or reverse-charge rule.

Treating the deal name as the tax answer

Symptom: the agreement calls a transfer a “going concern,” so no further analysis is performed.

Correction: map the operating enterprise, required assets and continuity conditions, and obtain written terms that match the facts.

Confusing seller liability with buyer recovery

Symptom: the buyer budgets on the assumption that every dollar charged will be refunded.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Correction: run an independent creditability and business-use analysis for each acquisition and allow for apportionment or adjustments.

Leaving price language vague

Symptom: the contract has one lump-sum price and no rule if the agreed GST treatment fails.

Correction: allocate consideration, state inclusive or exclusive treatment, specify invoicing and assign the cost of a denied concession.

Ignoring evidence and timing

Symptom: registration evidence, invoices or continuity records are requested only after settlement.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Correction: make evidence a completion deliverable and retain the classification, calculations, source version date and assumptions with the transaction file.

Documentation checklist for approval

  • Jurisdiction, state or province and transaction date confirmed.
  • Supply map completed for goods, services, rights, property and obligations.
  • Supplier and buyer registration or turnover tests documented.
  • Place-of-supply and rate analysis attached to each component.
  • GST-free, input-taxed and concession tests supported by facts.
  • Buyer input-credit purpose, use and apportionment documented.
  • Price allocation, tax-invoice process and settlement adjustments agreed.
  • Failure-risk indemnity or price mechanism reviewed.
  • Calculations separated into output tax, recoverable input tax and adjustments.
  • Current legislation, ruling and administrative guidance checked for the transaction date.

When to obtain specialist advice

Use a qualified tax adviser or lawyer when the deal is material, crosses borders, includes unusual supplies or mixed-use assets, relies on a going-concern or other concession, involves non-resident registration, or leaves a significant amount at risk if the classification changes. Give the adviser the fact sheet, draft agreement, allocation schedule and intended-use analysis. A public ruling can explain the framework, but it cannot resolve facts that the transaction documents do not establish.
