How to Assess Infrastructure Project Risks When a Major Partner Pauses New Signings

A pause on new signings does not, by itself, cancel existing commitments, establish a breach, or put a project in default. The immediate task is to define exactly what the partner has paused, separate signed obligations from prospective work, and test the effect on contracts, funding, schedule, delivery and continuity. Those conclusions depend on the executed documents, governing law and the partner’s actual conduct.

This guide gives infrastructure owners and project leaders a practical assessment sequence. It uses UK PFI guidance from the National Infrastructure and Service Transformation Authority (NISTA) as a structured example, alongside general World Bank PPP guidance. NISTA’s detailed process is aimed at PFI contracting authorities in England; it is not a universal rule for every country, sector or project.

1. Define what has actually paused

Start with evidence, not assumptions. Save the partner’s announcement, letter, investor statement, email or meeting record, including its date and the exact wording. Record whether the pause concerns all new contracts, a business unit, a geography, a type of project, a financing commitment, or only opportunities that have not reached approval. Note any stated exceptions and whether a review date or expected duration was given.

Then divide the project portfolio into legally and commercially different categories:

  • [Deep Bass with Clear Vocals] High-performance drivers produce punchy bass while keeping vocals clean and detailed for everyday listening.
  • Executed project agreements, loan documents, construction contracts, supply orders and service contracts.
  • Signed options, framework call-offs, letters of intent and conditional awards.
  • Unsigned proposals, bids, memoranda and future phases.
  • Existing work that requires a new purchase order, variation, extension or funding draw.

A new-signing freeze normally speaks first to the last two categories. It may still affect an existing project if performance requires a fresh order, approval, guarantee, shipment or financing step, but do not equate a pause in new contracts with suspension of current work unless the partner has said or done that. Establish which current projects rely on the partner for an obligation, financing, design, equipment, materials, specialist staff, approvals or market access.

For each affected project, name an accountable owner and write a one-sentence perimeter statement such as: “The partner has stopped approving new equipment orders in Region A from 1 October; the signed supply contract for Phase 1 remains in force, but Phase 2 has no purchase order.” That statement should change when new evidence arrives.

2. Map every contract and financing interface

Risk often moves through interfaces rather than appearing in one agreement. Create a one-page relationship map showing the owner or authority, project company or special-purpose vehicle (SPV), paused partner, equity sponsors, lenders, construction contractor, major suppliers, operators and key subcontractors. For every relationship, identify the operative document and whether it is signed, conditional or still being negotiated.

Use a contract register with at least these fields:

Check Why it matters
Counterparties, scope and signed status Shows whether the pause touches a binding duty, a condition precedent or only a commercial expectation.
Governing law and dispute forum Determines how notice, breach, force majeure, termination and damages are interpreted.
Conditions precedent and approval dates A missed approval can prevent funding or performance without being a general cancellation.
Notice address, form and delivery method An informal call may not be a contractual notice; a defective notice can affect cure periods.
Cure, suspension and termination provisions Shows what can happen after non-performance, how long the counterparty has to remedy it and who may suspend work.
Assignment, novation and change-of-control restrictions Can limit a replacement partner or transfer of the work.
Parent guarantees, performance bonds and other security May provide recovery or continuity support, but only within the instrument’s terms and limits.
Direct agreements and lender step-in rights May let lenders cure a default, replace a contractor or novate an agreement before termination.

Read the project agreement, financing documents, direct agreements, construction contract, supply commitments and key subcontract terms together. The World Bank’s PPP risk-allocation guidance stresses that interfaces should be aligned: an event treated as force majeure in one document may have a different effect in another. Loan repayment obligations can continue during force majeure or a change in law, so a project cannot assume that debt service pauses with operations.

The World Bank construction-contract checklist is useful for testing prolonged delay and force-majeure termination, suspension rights and cost, performance bonds and parent guarantees, payment milestones, insurance, ownership of work and materials, transfer of subcontractors, and lender direct agreements. It is a checklist, not a substitute for advice on the actual contract.

3. Reforecast funding instead of assuming support

Refresh the financial model against actual cash and committed facilities. Reconcile the forecast to bank balances, reserve accounts, debt-service dates, contractual payment milestones, expected receipts, remaining contingency and committed but undrawn funding. Identify exactly which cash inflows or equity contributions depend on the paused partner.

Run at least three cases:

  1. Short pause with catch-up: the partner resumes signing after a defined period and the schedule recovers with limited resequencing.
  2. Extended delay: procurement prices rise, supplier quotations expire, financing costs accrue and critical-path float is consumed.
  3. Non-performance and replacement: the partner does not deliver, another party must be qualified, and termination, transition and duplicate-cost exposure arise.

Add delay-related interest, standby and remobilisation costs, price escalation, payment deductions, additional advisory or legal fees, termination payments, replacement premiums, reduced revenue or service payments and any covenant effect. Show when cash headroom falls below each debt-service, reserve or covenant requirement; do not report only an end-of-project total.

NISTA explains that financial models are central to PFI projects and should be updated for relevant variations, refinancing and termination scenarios. Its guidance also notes that limited-recourse project companies may have no access to additional funding beyond the original investment if financial problems arise. Treat shareholder or lender support as available only where it is committed or contractually required.

Typical PFI structures described by NISTA use about 10% to 15% shareholder funding and 85% to 90% senior debt. Those percentages are characteristics of the PFI structures in that guidance, not a universal infrastructure financing ratio. NISTA reports 527 PFI contracts in England with more than £100 billion in expected future payments; the figures were published 10 March 2025 and updated 11 August 2026. They indicate the scale of the portfolio covered by that guidance, not the size or health of your project.

NISTA’s Part 2 guidance says: “Although project company insolvency is rare, contracting authorities should monitor the financial performance of their counterparties, especially when projects are distressed.” Apply that discipline without presuming insolvency: request permitted management information, liquidity forecasts and model updates, and document what the partner declines to provide.

4. Convert the pause into schedule and delivery exposure

Begin with the approved integrated schedule. Mark every activity that depends on the partner and identify the last decision date before each dependency affects the critical path. Typical dependencies include design approvals, technical submittals, purchase-order release, long-lead equipment, factory testing, mobilisation, land or permit coordination, interface works, commissioning and service commencement.

For each dependency, record baseline date, current forecast, available float, responsible party and consequence of missing the date. Quantify:

  • Liquidated damages or other delay remedies and the contractual cap.
  • Milestone-payment deferral and its effect on debt service and working capital.
  • Supplier quotation expiry, inflation and loss of manufacturing slots.
  • Idle labour, plant, site security and storage.
  • Rework caused by late design changes or incompatible replacement equipment.
  • Demobilisation and remobilisation costs.
  • Testing, commissioning and operations-readiness consequences.

Ask whether a phased or resequenced scope can preserve safe progress. A partial build that cannot be tested, commissioned or operated may create more risk than a controlled standstill. Any resequencing should be checked against permits, warranties, insurance, safety cases and the payment mechanism.

Schedule warning indicators

  • A partner decision date passes without a formal response.
  • Purchase orders remain unsigned while supplier prices or capacity expire.
  • Design releases are issued “for information” but not approved for construction.
  • Milestones are repeatedly re-baselined without an approved recovery plan.
  • Contractors issue notices for standby, delay, disruption or expected claims.

5. Protect continuity and prepare substitutes

List the services, safety functions, operations and maintenance activities that must continue if the partner withdraws. For each critical function, identify a workable substitute and test the practical transition, not merely the existence of another supplier.

Continuity question Evidence to obtain
Can another party perform the function? Technical capability, capacity, licences, safety record and relevant approvals.
How quickly can it be engaged? Qualification, tender, due-diligence, manufacturing and mobilisation lead times.
What must transfer? Drawings, software, data, intellectual property, tooling, materials, records and warranties.
Who pays? Available reserves, insurance, security, termination proceeds or a committed funding source.
What consents are required? Owner, lender, regulator, insurer, landlord, permitting authority and other contractual approvals.
Can the substitute integrate safely? Interface testing, commissioning, cyber controls, training and acceptance criteria.

Review direct agreements for notice and election periods, required information, lender consent and the mechanics of a step-in or novation. A step-in right is not a ready-made replacement: the proposed substitute must have capacity, approvals, funding and access to the information and assets needed to perform.

Preserve records and access now. Confirm who owns work in progress, stored materials, design files, source data, tooling and test results; check whether the contract permits their release to a replacement. Secure site, equipment and operational data so a dispute does not become a continuity failure.

6. Decide among remediation, replacement and termination

Do not jump from a signing pause to termination. Compare realistic routes against the same criteria:

Option Time to restore critical path Cost and recoverability Key legal or operational issue
Negotiated standstill or revised timetable Often quickest if the partner remains engaged. May limit immediate cost but can require compensation, security or revised milestones. Document reservations, information duties, new dates and what remains unchanged.
Phased commitment or resequencing Can preserve progress while deferring uncertain work. May add interfaces, temporary works and duplicate mobilisation. Check safety, permits, warranties, payment triggers and long-stop dates.
Alternative partner or supplier Depends on qualification, capacity and transferability. Replacement premium and transition costs may be partly recoverable or disputed. Assignment, novation, intellectual-property, security and lender-consent restrictions apply.
Lender-supported cure or step-in Potentially rapid where direct agreements are effective. Advisory and financing costs arise; lenders may require stronger controls. Follow contractual notices and election periods exactly.
Termination May stop an immediate exposure but rarely restores service instantly. Can trigger termination sums, replacement cost, asset-transfer cost and litigation. Establish a valid contractual trigger, notice, cure and valuation process first.

Compare every option on time to recover the critical path, incremental and recoverable cost, legal feasibility and consents, effect on financing and lender rights, service and safety continuity, effect on risk transfer, and dispute exposure. Record the assumptions behind each score and the date on which it must be revisited.

NISTA’s Part 4 guidance warns that termination can have serious financial and budget consequences and litigation risk. It states: “Contract termination carries jeopardy for contracting authorities and should, generally, be a last resort when attempts at constructive resolution have failed.” That statement concerns UK PFI contracting authorities; in another jurisdiction, the correct route depends on the executed documents and applicable law.

7. Use a disciplined response sequence

  1. Day 1–3: preserve evidence and establish facts. Collect the partner’s exact communication, confirm scope and date, freeze unsupported assumptions, and identify projects with a near-term decision or payment date.
  2. Week 1: complete the interface map. Assemble the contract register, financing documents, direct agreements, schedule, procurement commitments, notices and security package. Ask counsel to identify possible triggers without asserting that a breach has occurred.
  3. Week 1–2: run the financial and schedule cases. Refresh cash flow, debt service, covenant headroom, critical-path dates, delay remedies, escalation and replacement costs. State which figures are contractual, forecast or contingent.
  4. Week 2: validate continuity. Contact plausible substitutes discreetly where permitted, test qualification and lead times, preserve data and materials, and confirm lender, client and regulatory consent requirements.
  5. At each decision gate: choose a documented route. Approve a standstill, phased work, resequencing, replacement or formal notice only after comparing time, cost, control, risk transfer, continuity and dispute consequences.
  6. After implementation: monitor leading indicators. Track partner decisions, purchase orders, supplier quotation expiry, cash headroom, deductions, milestones, covenant ratios and changes in the partner’s public position.

8. Maintain a live risk register and escalation cadence

Each entry should identify the project and agreement, evidence and date, event or trigger, likelihood and impact, time and cost exposure, dependencies, mitigation, accountable owner, next decision date and escalation route. Link the entry to the relevant clause, schedule activity, model tab or correspondence so a new team member can reproduce the conclusion.

Set a cadence proportionate to volatility. A project near a long-stop date or cash shortfall may need weekly lender, owner and contractor reviews; a stable project may use a monthly cycle. At every review, ask what changed, which assumption expired, whether a notice is now due, whether the critical path moved, and whether the replacement option is still achievable. Request regular updates and financial-model revisions to the extent the contracts permit. NISTA encourages authorities to understand their information rights, question project companies and service providers, and request models and updates regularly.

Escalate immediately when a cure period starts, a payment is missed, a bond or guarantee may be called, a covenant headroom threshold is crossed, a safety-critical service is threatened, or a replacement would no longer meet the required completion date. Keep commercial discussions separate from formal reservations of rights so cooperation does not accidentally waive a notice or remedy.

What this guidance can—and cannot—establish

No conclusion about a specific partner’s solvency, intent, breach, force majeure, default or cancellation can be reached without the partner’s documents, communications, project facts and governing law. A pause may reflect capital discipline, capacity limits, internal approvals or a change in strategy; the cause and duration are not established here.

NISTA’s PFI distress guidance, including its Part 2 financial-stress guidance and Part 4 termination and direct-agreement guidance, addresses projects in England and was updated 11 August 2026. The World Bank material is general PPP reference guidance. Use both to structure questions, then have qualified legal, financial, technical and insurance advisers apply the executed instruments and local law.
