How to Assess Foreign Ownership Trends Before Investing in Samsung Electronics

Use Samsung Electronics’ dated ownership disclosures, comparing common and preferred shares separately and keeping the share denominator constant. The latest cited snapshots show foreign investors held 51.2% of common shares and 74.2% of preferred shares at FY2025-end, versus 46% and 73% at end-2Q26. That difference is a comparison of two reported snapshots—not proof of continuous foreign selling, its cause, or a forecast of returns.

What the foreign-ownership percentage actually tells you

A foreign-ownership percentage is the portion of a particular Samsung share class recorded under the company’s foreign-investor category on a specified reporting date. It answers who was classified as a registered holder at that snapshot. It does not, by itself, show how many shares foreign investors bought or sold during a day, month, or quarter.

The distinction matters because ownership percentages can change for reasons other than market transactions. Samsung states in its shareholder-information disclosure that changes in ownership ratios, other than those from on-market and off-hour trading, are due to company repurchases and cancellations. A lower foreign percentage could therefore reflect a change in the denominator or another corporate action rather than a matching amount of foreign selling.

Ownership is also not a standalone return signal. The official disclosures describe the shareholder structure at particular dates; they do not establish that a high or rising foreign share predicts Samsung’s future performance. Use the figures as context alongside valuation, earnings, cash generation, business prospects, risk and your investment horizon.

The latest Samsung snapshots

Samsung’s 2026 Annual General Meeting material reports FY2025-end ownership. Its Investor Relations ownership page reports a later end-2Q26 snapshot. Because the periods and presentation formats differ, treat the comparison as directional context rather than a continuous time series.

Share class Foreign ownership at end-FY2025 Foreign ownership at end-2Q26 Reported percentage-point difference
Common shares 51.2% 46% -5.2 percentage points
Preferred shares 74.2% 73% -1.2 percentage points

The arithmetic difference is useful for locating a change between two disclosures, but it does not identify when the change happened or whether foreign investors were net buyers or net sellers throughout the interval. The end-2Q26 percentages are rounded on Samsung’s page, so small differences should not be treated as precise transaction estimates.

Keep common and preferred shares separate

Samsung has materially different foreign ownership profiles for its two listed share classes. At FY2025-end, foreign investors held 51.2% of common shares but 74.2% of preferred shares. At end-2Q26, the corresponding figures were 46% and 73%.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Do not combine the classes into one headline percentage or use preferred-share ownership to describe the common-share trend. Each class has its own holders, price, liquidity, rights and denominator. A movement in preferred ownership can occur without an equivalent movement in common ownership.

FY2025-end ownership by category

Ownership category Common shares Preferred shares
Foreign investors 51.2% 74.2%
Domestic institutions 14.6% 3.9%
Domestic individuals 12.9% 20.1%
Major shareholders and related parties 19.8% 0.1%
Treasury shares 1.6% 1.7%

The categories are company-reported percentages and may not total exactly 100% after rounding. They show why the share classes need separate analysis: preferred shares had a much larger foreign and much smaller domestic-institutional component than common shares at the same date.

How to read the category mix

Foreign ownership is only one line in the structure. Domestic institutions can include pension funds, asset managers and other organizations, while domestic individuals represent retail holders. Major shareholders and related parties identify strategic or affiliated holdings, and treasury shares are shares held by Samsung itself. Tracking all five lines helps you see whether a reported foreign percentage changed alongside another category.

For example, a decline in the foreign line accompanied by an increase in domestic individuals would describe a different ownership shift from a decline accompanied by a rise in treasury shares. Neither pattern alone proves who traded, because the categories can also be affected by cancellations, repurchases, transfers, nominee arrangements or rounding. The mix is a diagnostic starting point, not a transaction ledger.

When copying figures into a spreadsheet, preserve Samsung’s category names. Do not silently merge major shareholders with domestic institutions or treat treasury shares as an ordinary investor position. Those substitutions make comparisons less reproducible and can obscure changes in control or voting rights.

Use the denominator, not just the percentage

At FY2025-end Samsung reported 6,735,612,586 total shares outstanding: 5,919,637,922 common shares and 815,974,664 preferred shares. It also reported 105,432,448 treasury shares, equal to 1.6% of total shares outstanding.

Percentages can move when the number of shares outstanding changes. Repurchases, cancellations, conversions or other corporate actions alter the denominator even if a foreign holder’s absolute share count does not change. Before interpreting a rise or fall, record the share count for the same date and class, then check whether Samsung disclosed repurchases, cancellations or other changes.

A practical denominator check

  1. Write down the report’s as-of date and publication date.
  2. Record the common and preferred shares outstanding separately.
  3. Record treasury shares and their percentage of total shares.
  4. Check the next disclosure for repurchases, cancellations or other corporate actions.
  5. Only then compare the foreign percentage with the previous period.

This check prevents a ratio change from being mistaken for an equal-sized change in foreign transactions. If the denominator changed materially, calculate any apparent shift as a change in reported ownership percentage, not as a number of shares bought or sold unless a separate flow disclosure supports that calculation.

Step-by-step method for assessing the trend

1. Start with the latest dated issuer disclosure

Use Samsung Investor Relations for the latest published shareholder-structure snapshot. Capture the page label, as-of period, publication date when shown, share class and whether the percentages are rounded. The latest dated snapshot in the cited materials is the end-2Q26 page; ownership can change after that date.

2. Build a like-for-like series

Create separate columns for common and preferred shares. Compare quarter-end with quarter-end or fiscal-year-end with fiscal-year-end where possible. Do not place a common-share percentage beside a preferred-share percentage and call the pair one trend.

For the two cited snapshots, the common figure moved from 51.2% at FY2025-end to 46% at end-2Q26, while the preferred figure moved from 74.2% to 73%. Label the periods exactly rather than describing the result as a daily or monthly trend.

3. Record all ownership categories

Foreign ownership is easier to interpret when you also track domestic institutions, domestic individuals, major shareholders and related parties, and treasury shares. A foreign percentage can fall while another category rises, or while treasury shares change. The category shifts help identify where the reported structure changed, even though they still do not prove trading flows.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

4. Inspect major holders

At FY2025-end, Samsung listed these major common holders:

Holder listed by Samsung Share of common shares
Samsung Life Insurance 8.6%
National Pension Service of Korea 7.8%
Samsung C&T 5.0%
Citibank N.A. 2.9%
Norges Bank 1.7%

Samsung explains that the Citibank registry holding represents GDR shareowners. Do not automatically interpret that line as one beneficial investor taking a directional position. A registered nominee and the underlying beneficial owners are not interchangeable concepts.

5. Check subsequent filings

Samsung’s 2026 first-quarter interim report presents major-shareholder and related-party ownership as of March 31, 2026, and directs readers to Korean DART filings for changes after that date. The Korea Exchange KIND disclosure list is another route to dated Samsung filings. Use those records to investigate events between the larger ownership snapshots.

6. Separate ownership from trading flow

To claim that foreign investors were net buyers or net sellers, obtain a separate, dated foreign-investor trading-flow series. Match its period and share class to the ownership disclosure, then cross-check corporate actions. A registered ownership snapshot alone cannot supply the timing, direction or size of transactions.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

7. Put the result into an investment decision

Use the trend as one input. A falling percentage may matter if it coincides with deteriorating fundamentals and sustained, independently measured foreign outflows, but the ownership figure alone does not establish that relationship. Review earnings, margins, balance-sheet strength, semiconductor-cycle exposure, valuation, governance, currency risk and the time horizon for your investment before deciding.

Ownership, beneficial ownership and voting power are different

The category on a shareholder register may identify a nominee, custodian or institutional account rather than the ultimate beneficial owner. Samsung’s Citibank explanation is a concrete example: the listed position represents GDR shareowners, not necessarily one investor.

Ownership percentage also does not equal voting power. Samsung reports that treasury common shares have no voting rights, preferred shares do not carry voting rights, and affiliated-company shares have limited voting rights under applicable law. When assessing control or influence, examine the rights attached to the specific class and the legal treatment of each category rather than multiplying an ownership percentage by total votes.

How to interpret the two-period change

The cited figures show a lower reported foreign share in both classes at end-2Q26 than at FY2025-end: 5.2 percentage points lower for common shares and 1.2 points lower for preferred shares. Three limits should accompany that observation.

  • The periods are different: one is fiscal-year-end and the other is a second-quarter snapshot.
  • The figures do not reveal the path between the dates.
  • The disclosures do not establish whether the change came from foreign trading, other holder movements, repurchases, cancellations or denominator effects.

That makes the comparison useful for monitoring, but insufficient for a claim such as foreign investors sold a specific number of shares or are abandoning Samsung.

Use a confidence framework for each conclusion

Separate what the disclosure establishes from what requires additional evidence. You can state with high confidence that Samsung classified 51.2% of common shares and 74.2% of preferred shares as foreign-held at FY2025-end, because those are dated company figures. You can also state that the later end-2Q26 page showed 46% and 73%, subject to its rounding.

Confidence should be lower when describing direction between the dates. The two snapshots indicate a lower reported percentage later, but they do not show whether the change was gradual, concentrated in one week, or offset by periods of buying. Confidence is lowest for causal claims, such as saying a particular foreign fund sold, that GDR holders drove the move, or that the change predicts a decline in Samsung’s share price. Those claims require separate holder-level or flow evidence that these disclosures do not provide.

A monitoring worksheet you can reuse

For each new disclosure, keep one row per share class and preserve the source wording. A useful worksheet contains:

Calculate percentage-point change as the later reported percentage minus the earlier percentage. Keep the unit as percentage points; a move from 51.2% to 46% is a 5.2-percentage-point decline, not a 5.2% decline in the number of shares.

Add a notes column for definitions and exceptions. Record that the end-2Q26 page rounds percentages, that Citibank represents GDR shareowners, and that preferred shares do not carry voting rights. These notes prevent a future reader—or your future self—from treating a rounded nominee entry as directly comparable with a beneficial-owner or voting-share figure.

What a useful chart should show

If you graph the series, use separate lines for common and preferred shares and put the as-of date beside every point. Do not interpolate monthly values between FY2025-end and end-2Q26; the sources provide no such observations. A shaded note can identify repurchases or cancellations, but only when Samsung disclosed them for that interval.

Keep the vertical axis labeled “reported foreign ownership percentage,” not “foreign buying.” If you add a trading-flow chart, use a second axis or a separate panel and state whether it measures purchases, net purchases, value or shares. Different units and periods can make two visually similar lines appear more closely related than the evidence supports.

Common interpretation mistakes

Mixing share classes

Using the 74.2% preferred figure as evidence that foreign ownership of common shares is high produces the wrong conclusion. Always label the class beside every number.

Calling a snapshot a flow

A quarter-end percentage does not show what happened during the quarter. Use transaction data for claims about buying or selling.

Ignoring rounding

The end-2Q26 page rounds its percentages. Small apparent changes may reflect rounding, so avoid false precision.

Ignoring corporate actions

Repurchases and cancellations can alter the ratio. Review the denominator and Samsung’s shareholder-information notes before attributing the move to investors.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Treating a nominee as one investor

Citibank’s 2.9% common-share entry represents GDR shareowners according to Samsung. It should not be read automatically as a single fund or bank making one directional bet.

Turning foreign ownership into a buy signal

The disclosures are descriptive. They do not prove that a high, low, rising or falling foreign share predicts Samsung’s future return.

Comparing unlike reporting dates

Calling an FY2025-end figure a “2026 figure” without naming the as-of date can mislead readers. Always distinguish the year of publication from the period measured. The AGM material was published in 2026 but reports ownership at the end of FY2025; the IR page identifies end-2Q26.

What to verify before placing an order

  1. Confirm that the ownership page or filing is the latest available dated disclosure.
  2. Check whether your analysis concerns common or preferred shares.
  3. Copy the exact as-of date and share denominator.
  4. Look for repurchases, cancellations and other corporate actions.
  5. Review major-holder notes, including nominee or GDR explanations.
  6. Use an independent, dated trading-flow series if you need to discuss net buying or selling.
  7. Assess valuation, financial results, business risks, currency exposure and intended holding period separately.
  8. Recheck Samsung Investor Relations, Korean DART and KIND for updates before making a decision.

Bottom line

Samsung’s cited disclosures show foreign ownership of 51.2% of common shares and 74.2% of preferred shares at FY2025-end, compared with 46% and 73% at end-2Q26. The correct reading is that the reported snapshots were lower later, not that a continuous foreign-selling trend or a future return outcome has been proved. A sound assessment keeps share classes, dates, denominators, registered-versus-beneficial ownership, voting rights and trading flows separate, then treats foreign ownership as context within a broader investment analysis.

Frequently Asked Questions

How much of Samsung Electronics is owned by foreign investors?

Samsung’s 2026 AGM material reports 51.2% of common shares and 74.2% of preferred shares held by foreign investors at FY2025-end. Its end-2Q26 Investor Relations snapshot shows 46% of common shares and 73% of preferred shares. These are dated snapshots, not live ownership figures.

Did foreign investors sell Samsung shares between FY2025-end and end-2Q26?

The reported percentages are lower later, but the disclosures do not establish the timing, size or cause of the change. Foreign trading-flow data and corporate-action records are needed to claim net selling.

Why is foreign ownership higher in preferred shares?

The two classes have different holders, prices, liquidity, rights and denominators. The disclosure shows a different ownership mix, but it does not by itself explain why the profiles differ.

Do Samsung’s foreign-ownership percentages predict the stock’s return?

No predictive relationship is established by these disclosures. Treat ownership as context and evaluate valuation, results, business prospects, risks and your investment horizon separately.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

What share counts should I use?

At FY2025-end, Samsung reported 5,919,637,922 common shares, 815,974,664 preferred shares and 6,735,612,586 total shares outstanding. It also reported 105,432,448 treasury shares, or 1.6% of total shares.

Is Citibank’s 2.9% position one foreign investor?

Not necessarily. Samsung says the Citibank registry holding represents GDR shareowners, so it is a registered-holder entry rather than proof of one bank or fund’s directional position.

Do foreign ownership percentages equal voting power?

No. Samsung reports that treasury common shares lack voting rights, preferred shares do not carry voting rights, and affiliated-company shares have limited voting rights under applicable law.

Where can I check for changes after a reported snapshot?

Use Samsung Investor Relations, Korean DART filings and the Korea Exchange KIND disclosure list. Samsung’s 2026 first-quarter interim report directs readers to DART for changes after March 31, 2026.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The Bottom Line

Read Samsung’s foreign ownership by share class, as-of date and denominator. The FY2025-end and end-2Q26 figures show lower later snapshots, not proven foreign selling or a return forecast. Verify corporate actions and separate trading-flow data before treating the figures as an investment signal.
