Assess dilution in two separate passes. First calculate how the new issue changes each holder’s economic and voting percentage. Then test whether the investor’s stake, agreements or relationship with other investors create bank-control, filing, approval or capital-treatment consequences. A 10%, 25% or 5% figure is never a universal answer: the applicable rule depends on the bank’s jurisdiction, charter, holding-company structure, share class, instrument and the investor’s rights.
Start with the post-issue ownership math
For a straightforward new issue, divide each holder’s post-transaction shares by the total post-transaction shares of the relevant class. Do not use the old share count as the denominator. Calculate voting power separately when classes have different votes, and calculate economic participation separately when dividends, liquidation preferences or conversion terms differ.

Basic dilution formula
Post-issue percentage = holder’s post-issue shares ÷ total post-issue shares of that class.
Suppose an existing holder owns 40 of 100 equal-vote shares. If the bank issues 20 new equal-vote shares to another investor, the holder owns 40 of 120 shares, or 33⅓%, rather than 40%. The arithmetic shows a lower relative position; it does not by itself prove an economic loss. The issue price, valuation, rights attached to the new securities and what the capital enables all affect value.

Ownership is not the same as voting or value
- Share percentage: the holder’s proportion of issued shares in the relevant class.
- Voting percentage: the holder’s proportion of votes actually exercisable, including multiple-vote or non-voting classes.
- Economic percentage: the holder’s entitlement to dividends, distributions or residual value under the instrument terms.
- Fully diluted percentage: the result after including options, warrants, conversion rights or other contingent interests when the documents require that treatment.
A bank can issue securities that reduce one percentage while leaving another unchanged. For example, non-voting securities may dilute economic participation without changing ordinary voting power, while a convertible security may have little current voting effect but become significant after conversion.
Build a before-and-after capitalization table
Do not begin with a headline percentage from a term sheet. Assemble the bank’s actual capitalization by class and record the rights that determine the denominator and the investor’s influence.
| Field | Before the transaction | After the transaction | Why it matters |
|---|---|---|---|
| Issued shares by class | Number outstanding in each class | Existing shares plus newly issued shares | Sets the basic ownership denominator |
| Fully diluted shares | Options, warrants and conversion interests supported by the documents | Post-issue total including applicable contingent interests | Shows potential ownership after exercise or conversion |
| Votes per share | Class voting rights and any limits | Rights of the new instrument and continuing classes | Prevents share count from being mistaken for voting control |
| Economic rights | Dividends, liquidation and distribution terms | Priority and participation of the new security | Identifies economic effects that a percentage alone misses |
| Existing holder position | Shares, votes and economic rights for each holder | Residual position after the issue | Allows holder-by-holder dilution analysis |
Prepare a row for every material holder, not just the largest shareholder. Include direct and indirect ownership, entities under common control and any investors that may be acting in concert. Keep separate columns for issued shares, fully diluted shares, votes and economic rights.

Use the actual subscription and allocation assumptions. If the investor receives 15 million shares, use 15 million; do not substitute a target percentage. If the issue is conditional on approvals, show the ownership both before and after the condition is satisfied.
- List the securities being issued. Identify class, number, price, voting rights, dividend rights, maturity and transfer restrictions.
- Identify who receives them. Record the investor’s direct subscription, entities it controls, beneficial owners and any coordinated investors.
- Apply documented conversion or exercise terms. Include contingent shares only when the subscription agreement, articles or other governing document supports doing so. State the trigger and timing.
- Recalculate each holder. Use the post-issue denominator for the relevant class and a separate denominator for votes where necessary.
- Run sensitivity cases. Model full conversion, partial conversion, exercise of rights and any permitted over-allocation. Label each case rather than presenting one blended number.
- Record assumptions. Note whether treasury shares, cancelled shares, employee awards or other instruments are included and why.
A useful worksheet has one line per holder and columns for pre-issue shares, new shares, post-issue shares, post-issue percentage, votes, voting percentage and economic rights. Add a notes column linking each unusual item to the governing document.
Read the rights that can create influence below a headline threshold
A percentage can understate control risk. Review the bank’s charter, shareholder agreements, subscription terms, side agreements and any preemptive or anti-dilution provisions before drawing a conclusion.

Governance rights
- Board appointment, nomination or removal rights.
- Vetoes or consent rights over budgets, capital raises, mergers, acquisitions, dividends or senior management.
- Quorum, reserved-matter or committee rights that let an investor block action.
- Management contracts or arrangements that give an investor practical influence.
Security and coordination rights
- Conversion, warrants or other rights that can increase voting ownership later.
- Restrictions on other shareholders’ voting or transfers.
- Voting agreements, irrevocable proxies or side letters.
- Contemporaneous investments by multiple investors that may be treated as coordinated conduct.
The Federal Reserve’s equity-investment policy statement specifically identifies management contracts, restrictions on voting shares, convertible securities and contemporaneous investments by multiple investors as factors in a controlling-influence analysis. A minority percentage is therefore not automatically safe.

Check the regulatory route before relying on a percentage
Bank ownership rules differ by jurisdiction and by the entity being acquired. Identify the regulator, the bank’s charter and any holding company before applying a threshold. The following guideposts are not substitutes for current local advice.
United States: several different tests can apply
Federal Reserve Regulation O defines control, for its purposes, to include owning, controlling or having power to vote 25% or more of a class of voting securities; controlling the election of a majority of directors; or exercising a controlling influence over management or policies. Regulation O also contains rebuttable presumptions in certain circumstances involving ownership above 10%. These are definitions under a particular rule, not one universal threshold for every U.S. bank-ownership question.
Under Regulation Y, certain bank-holding-company acquisitions require prior Federal Reserve approval. One listed category is an acquisition of voting securities that results in control of more than 5% of a class of a bank or bank holding company’s voting securities, subject to exceptions and other provisions. This approval route is distinct from Change in Bank Control notice procedures.
The Federal Reserve’s Regulation Y summary says that a person or persons acting in concert acquiring power to vote 25% or more of a class of voting securities of a state member bank or bank holding company generally must provide prior notice under Change in Bank Control procedures unless an exemption applies. The same summary describes a controlling-influence analysis. The applicable Regulation Y compilation identified by the Federal Reserve was amended effective October 1, 2025, so confirm the current text for the transaction date.

United Kingdom: controller status starts at a lower guidepost
The Bank of England describes a UK controller as including a person with a direct or indirect holding of 10% or more of shares or voting rights, or a holding that makes significant influence possible. The 10% figure is therefore not the only route to controller treatment: significant influence can matter even below it.
For a proposed Common Equity Tier 1 or other capital instrument, the Bank of England encourages review of the instrument terms, side agreements, compliance material and legal opinion. Ownership arithmetic does not establish capital eligibility. The instrument must be assessed under the applicable prudential rules and the bank’s documentation.
European Union: qualifying holdings and stepped thresholds
The European Banking Authority describes an EU qualifying holding as a direct or indirect holding representing 10% or more of capital or voting rights, or one that enables significant influence over management. The EBA’s description of the framework identifies further notification thresholds at 20%, 30% and 50%, or when the credit institution would become the acquirer’s subsidiary.

Assessment can include the acquirer’s reputation and financial soundness, the reputation and experience of proposed managers, the effect on the target and effective supervision, and money-laundering or terrorist-financing risk. Confirm the current EU rule and the member state’s implementation before using these thresholds in a live matter.
| Jurisdiction or rule | Guidepost | Important qualification |
|---|---|---|
| U.S. Regulation O | 25% of a class of voting securities; majority-director election; or controlling influence | Definitions apply for that rule; certain presumptions can arise above 10% |
| U.S. Regulation Y acquisition approval | More than 5% of a class in certain bank-holding-company acquisitions | Exceptions and transaction-specific provisions apply; distinct from Change in Bank Control |
| U.S. Change in Bank Control | Generally 25% voting power for a state member bank or bank holding company | Prior notice generally required unless an exemption applies; concerted action matters |
| United Kingdom | 10% or more of shares or voting rights, or significant influence | Bank of England controller assessment and current UK rules apply |
| European Union | 10% qualifying holding; further thresholds at 20%, 30% and 50% | Indirect holdings, significant influence, subsidiary status and national implementation matter |
Separate ownership dilution from regulatory-capital treatment
A security can be acceptable from an ownership perspective yet fail to qualify as the intended regulatory capital, or qualify as capital while carrying rights that create influence concerns. Analyze those questions separately.
For a proposed CET1 instrument, review permanence, loss absorbency, subordination, distributions, redemption, conversion and voting terms as applicable to the instrument. Then examine side agreements, compliance materials and the legal opinion. The Bank of England’s expectations make clear that documentation review is part of the assessment; a label such as “CET1” is not enough.

Record three independent conclusions in the transaction file: the post-issue ownership result, the control and filing analysis, and the prudential-capital analysis. Do not let a favorable answer in one column substitute for the others.
Consider preemptive and anti-dilution rights carefully
Preemptive rights can let existing shareholders subscribe for their proportionate share of a new issue, but their protection depends on the bank’s governing law and documents. Check whether the right is statutory, contractual or absent; which class receives it; what notice and deadline apply; whether it covers all securities or only ordinary shares; and whether exceptions permit strategic or employee issuances.
An anti-dilution clause may adjust conversion prices or issue terms rather than preserve a holder’s percentage. It may protect against a down-round, a particular issuance or a defined change in control. Read the formula and trigger instead of assuming that “anti-dilution” means no ownership reduction.
Model the holder’s position in two cases: exercising the available right and declining it. The first shows the capital required to maintain a percentage; the second shows the actual dilution if the holder does not participate.
Use a decision framework for the proposed investor
| Question | Evidence to collect | Decision impact |
|---|---|---|
| How much dilution occurs? | Class-by-class cap table and allocation schedule | Shows each holder’s residual share, votes and economic rights |
| Can the investor influence management? | Board rights, vetoes, agreements, management arrangements and coordinated-investor analysis | May create control or filing obligations below a numerical threshold |
| Which filing path applies? | Charter, bank type, holding-company structure, investor identity and jurisdiction | Determines whether approval, notice or an exemption must be evaluated |
| Will the instrument count as intended capital? | Term sheet, final terms, side agreements, compliance analysis and legal opinion | Separates prudential-capital eligibility from ownership math |
| Is the investor suitable? | Reputation, financial soundness, management experience and AML information | May affect regulatory review and transaction timing |
| Does the transaction improve the institution? | Business plan, capital need, financial and managerial resources and future prospects | Supports the regulator’s substantive assessment |
Compare proposed structures using the same six categories: dilution to existing holders; voting and governance rights; capital treatment; filing path and timing; investor suitability; and the bank’s financial and managerial prospects. A structure that minimizes percentage dilution may still create stronger veto rights or a more difficult approval route.
A practical review sequence for the bank board or adviser
- Define the perimeter. Identify the chartering authority, bank holding company, relevant subsidiaries, investor entities, beneficial owners and transaction date.
- Freeze the cap table. Obtain the latest register, class rights, outstanding awards, conversion instruments and shareholder agreements.
- Calculate base-case dilution. Show pre-issue and post-issue ownership, votes and economic rights for every material holder.
- Run fully diluted cases. Add only documented conversion or exercise possibilities, with separate scenarios for each trigger.
- Map influence. List board, veto, consent, management, voting and transfer rights, including side letters and coordinated investors.
- Identify the regulator and route. Test U.S. Regulation O and Regulation Y concepts where relevant, Change in Bank Control rules, UK controller treatment or EU qualifying-holding rules.
- Review the instrument. For a capital instrument, test prudential eligibility and documentation independently of ownership percentages.
- Prepare the filing record. Preserve calculations, assumptions, ownership charts, agreements, investor suitability information and the legal analysis supporting any exemption.
- Set monitoring triggers. Track later purchases, conversions, board changes and coordinated action that could move the investor across a threshold or create significant influence.
Common mistakes and how to correct them
Using the old denominator
Mistake: treating a holder’s 40 shares as 40% after 20 new shares are issued. Correction: divide by the 120 post-issue shares.
Best Value
Assuming economic and voting dilution are identical
Mistake: applying one percentage to multiple classes. Correction: calculate votes and economic rights in separate schedules.
Stopping at the investor’s percentage
Mistake: concluding that a 12% investor cannot control the bank. Correction: inspect significant-influence, board, veto, management and concert-party facts.
Combining U.S. thresholds into one rule
Mistake: saying that approval is always required at 25% or never required below 25%. Correction: distinguish Regulation Y’s specified more-than-5% acquisition provision, Regulation O’s control definitions and Change in Bank Control notice procedures.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errorsCalling a security qualifying capital without reviewing terms
Mistake: relying on the instrument’s marketing label. Correction: review final terms, side agreements, compliance material and legal opinion under the applicable prudential regime.
Ignoring indirect or coordinated ownership
Mistake: analyzing only the shares registered in the investor’s name. Correction: trace controlled entities, beneficial interests and investors acting in concert.
What the percentages do—and do not—tell you
The arithmetic can tell you how a new issue changes relative ownership under stated assumptions. It cannot tell you whether the issue is fair, whether the bank’s value will rise or fall, whether a regulator will approve it, or whether an investor has control. Those conclusions require the instrument terms, governance documents, investor facts, institution prospects and the applicable jurisdiction.
No official source identified an empirical average loss, typical dilution cost or frequency of dilution outcomes. The 5%, 10%, 20%, 25%, 30% and 50% figures discussed above are legal or supervisory guideposts, not measurements of financial performance.
Final assessment
A defensible dilution review has three outputs: a class-by-class before-and-after cap table, a rights-and-influence analysis, and a jurisdiction-specific regulatory and capital-treatment memo. Start with post-issue shares, then test votes, economic rights, contingencies, indirect ownership and concerted action. Only after those steps can the bank determine whether the new investor merely changes percentages or also triggers a filing, approval, controller assessment or prudential-capital issue.
