A private placement is worth considering only after you can explain four things in numbers: what security you are buying and why its price is supportable, how many shares and votes the financing can create, exactly where the cash will go, and which approvals and legal conditions are required. Treat the transaction as a package of economics, control rights, disclosure quality and liquidity risk—not as a headline price per share.
The U.S. Securities and Exchange Commission (SEC) warns that private-placement investors may receive less information than public-market investors. Use the framework below to build a before-and-after capitalization model, test the issuer’s valuation assumptions, tie proceeds to measurable milestones, and confirm approvals for the issuer’s jurisdiction, security and exchange.

What a private placement is—and why the label is not enough
A private placement is a sale of securities to selected investors without the same registered-offering process used for a public offering. The security might be common stock, preferred stock, a note, a bond, an LLC or partnership interest, or a package that includes warrants or conversion rights. “Private placement” therefore describes a method of offering, not a single investment product or a universal legal standard.

Build a transaction fact sheet first
Before judging value, obtain one document that states:
- Issuer name, legal entity, jurisdiction and listing venue, if any.
- Security type, number of securities, issue price, aggregate proceeds and expected closing date.
- All conversion, exercise, reset, anti-dilution, redemption, maturity, interest, dividend, liquidation-preference and voting provisions.
- Warrants, options, contingent shares and other instruments that could increase the common-share count.
- Investor eligibility rules, offering exemption, transfer restrictions and resale conditions.
- Board, shareholder, exchange, lender, regulator and other conditions precedent.
If the issuer cannot provide a complete term sheet and capitalization schedule, you do not yet have enough information to assess the placement.
How to test whether the price is fair
There is no reliable price test that works without understanding the security’s rights and the issuer’s financial condition. The SEC’s Private Placements under Regulation D – Updated Investor Bulletin, updated September 21, 2026, cautions that limited disclosure can leave investors without the information needed to determine whether a requested price is fair. Start with the security, then value the business and the associated risks.

Compare rights before comparing prices
Two securities with the same stated price can have radically different economics. Record the following terms side by side:
| Term | Questions to answer | Why it changes value |
|---|---|---|
| Seniority | Does the security rank ahead of common stock or other debt in a liquidation? | Higher priority can improve recovery if the company fails. |
| Conversion | Is conversion optional, mandatory, fixed-price, variable-price or subject to a reset? | Conversion mechanics determine future share creation and upside. |
| Warrants and options | What are the exercise price, term, adjustment provisions and cashless-exercise rights? | These rights can make the effective price lower than the headline amount. |
| Dividends or interest | Is the return fixed, cumulative, participating or payable in additional securities? | Payment priority and compounding affect total investor return and issuer obligations. |
| Anti-dilution | What happens if the company later issues securities at a lower price? | Broad protection can shift dilution to existing holders. |
| Redemption and maturity | Can the investor demand repayment, and when? | Mandatory repayment may create a near-term cash burden. |
| Voting and consent | Does the investor vote now or after conversion, and can it veto specified actions? | Control rights can be valuable even when the ownership percentage is small. |
| Transferability | Can the security be sold, and are there contractual or legal resale limits? | Illiquidity generally requires a risk adjustment to the price. |
Ask how the issuer set the price
Request the valuation method, the market or transaction comparables used, the date of any market-price reference, and the assumptions for revenue, margins, capital needs, financing costs and exit value. Match each assumption to historical financial statements and current operating evidence. If forecasts depend on a product launch, regulatory approval, customer contract or acquisition, ask what happens if that event is delayed or fails.

Obtain the latest financial statements, notes, debt schedule, cash balance, accounts payable, related-party transactions and material contracts. Determine whether an independent auditor has examined or reviewed the statements and identify any qualification, going-concern language or subsequent-event disclosure. An unaudited forecast is not a substitute for evidence of current cash generation.
Use a disciplined price bridge
Calculate an implied enterprise value or equity value from the proposed price, then reconcile it to the company’s existing valuation. Adjust for debt, cash, preferred preferences, warrants and other claims. If the security has a liquidation preference or guaranteed return, compare the value of that protection with the common-equity price rather than treating both as identical ownership.
Recommended Free Tools
For a public-company placement, write down the exact market-price reference date and venue. A discount should be measured against the correct reference price, not an arbitrary recent quote. A discount may compensate for transfer restrictions, subordination, financing risk or a large block; it is not automatically evidence of a bargain.
Nasdaq’s Minimum Price is a rule test, not a valuation opinion
For Nasdaq-listed issuers, Rule 5635(d) defines “Minimum Price” using the lower of the specified closing-price measure immediately before the binding agreement and the average closing price over the preceding five trading days. Apply the rule’s current wording and any staff interpretations to the actual transaction. This calculation is a listing-compliance reference; it does not establish that the security is fairly valued, financially attractive or suitable for every investor. Other exchanges can use different tests.
How to calculate dilution and control effects
Model dilution in two layers: the number of shares and the power attached to them. A financing can leave the basic share count apparently modest while creating substantial future dilution through conversion, warrants or reset provisions. Conversely, a non-voting security may have economic dilution without immediately changing votes.

Create a before-and-after capitalization table
Use fully specified numbers, not rounded marketing percentages. Your table should include:
| Line item | Before closing | At closing | Maximum or fully diluted |
|---|---|---|---|
| Common shares outstanding | Issuer’s current figure | Current figure | Current figure plus all potential common shares |
| New common shares | None | Shares issued at closing | Same, unless subject to later adjustment |
| Convertible securities | Existing convertibles | New convertibles | Shares at the maximum conversion amount |
| Warrants and options | Existing instruments | New instruments | All shares issuable on exercise |
| Voting securities | Current votes | Votes immediately after closing | Votes after every instrument that can vote is converted or exercised |
| Investor ownership | Not applicable or existing stake | New investor’s percentage | Percentage under the fully diluted case |
Then calculate:
- Post-closing shares = pre-transaction shares + shares issued at closing.
- Fully diluted shares = post-closing shares + every share issuable on conversion, exercise, reset or other contingent feature.
- Existing-holder ownership = existing-holder shares divided by the relevant post-closing or fully diluted total.
- New-investor ownership = shares held or issuable to the investor divided by that same total.
Illustrative calculation
Suppose a company has 10 million common shares before a placement and issues 2 million common shares. The closing share count is 12 million, so a holder who owned 1 million shares falls from 10% to 8.33% before considering any other instruments. If the placement also includes warrants for 1 million shares and a convertible note that can become 3 million shares, the fully diluted total becomes 16 million. The original 1-million-share holder then represents 6.25% in that maximum case. These figures are an illustration of the method, not a forecast of any company’s outcome.
Look for control changes and aggregation
Identify investors, directors, officers and substantial holders who already own securities or may buy in the same financing. Calculate voting power before and after the transaction, including any voting agreements, board-designation rights, vetoes and protective provisions. Check whether multiple closings, related issuances or securities sold to insiders must be considered together under the applicable rules. A listing threshold is a compliance trigger; it is not a complete measure of economic dilution or control risk.
How to assess the use of proceeds
Do not accept “general corporate purposes” as the entire explanation when the company can provide a more specific plan. The SEC’s investor guidance asks investors to examine how the issuer plans to use the money raised. The Texas State Securities Board’s offering guidance states: “The use of the funds to be received from the offering should be set forth with a high degree of specificity.”
Request a proceeds schedule
| Required field | What to request |
|---|---|
| Category | Debt repayment, working capital, capital expenditure, research, product development, acquisition, hiring or another defined use. |
| Amount or range | Dollar amount, percentage or range, with fees and expenses separated. |
| Timing | Expected spending period and dependencies. |
| Milestone | Deliverable, launch, filing, customer target, capacity increase or other measurable result. |
| Owner | Executive or business unit responsible for execution. |
| Contingency | How the plan changes if the offering is undersubscribed, delayed or more expensive than expected. |
Reconcile the plan with the cash position
Compare the proposed allocation with cash on hand, monthly operating burn, debt maturities, required capital spending and historical spending by category. If most proceeds repay debt, determine whether the financing merely postpones a liquidity problem. If proceeds fund an acquisition, review the purchase price, funding gap and integration obligations. If proceeds benefit a related party, demand the relationship, amount, approval process and conflict controls.

Translate each use into a runway or milestone calculation. For example, a stated working-capital amount should be consistent with accounts receivable, inventory and payable needs; a product-development budget should identify the stage it is expected to reach. Treat an allocation that has no timing, owner or measurable outcome as a warning that management may retain broad discretion.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Which approvals are required?
There is no universal shareholder-vote rule for every private placement. Build an issuer-specific checklist covering corporate authority, contracts, securities law and listing requirements.
Corporate and contractual authority
- Confirm that the board approved the transaction under the required quorum and voting standard.
- Read the charter, bylaws, shareholder agreement and existing preferred-security documents for limits on issuing shares, senior securities or instruments with superior rights.
- Check pre-emption, anti-dilution, participation, consent, information and change-of-control rights held by existing investors or lenders.
- Verify any required shareholder vote under the issuer’s corporate law and governing documents.
Securities-law and offering conditions
Identify the exemption, investor eligibility requirements, resale restrictions, disclosure obligations and required filings. For Regulation D issuers, the SEC says Form D must be filed no later than 15 days after the first sale. Form D is a notice filing; it is not SEC approval, registration or an endorsement of the investment. A missing or late filing can signal compliance problems, but a filed Form D does not validate the issuer’s claims.
Exchange rules: the Nasdaq example
Nasdaq Rule 5635(d) is a specific example, not a global standard. It generally requires shareholder approval before certain non-public transactions priced below Nasdaq’s Minimum Price when the common stock issued or potentially issuable, alone or together with specified sales by insiders or substantial holders, equals 20% or more of the pre-issuance common stock or voting power. Review the current rule text, definitions, exceptions and staff interpretations for the transaction under review.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsOther Nasdaq provisions can address change of control, equity compensation and related issuance structures. Nasdaq also evaluates whether an offering is a “public offering” through a multi-factor analysis that can include the type of offering, marketing, distribution, price and issuer control. Do not infer that a private label automatically avoids a public-offering analysis or a shareholder vote. A company listed elsewhere, or a private company, may be subject to entirely different requirements.
Best Value
When to obtain a transaction-specific opinion
Seek securities counsel when the issuer’s jurisdiction, listing venue, security terms, insider participation, potential change of control or aggregation of multiple financings could alter the approval result. The relevant question is not simply whether management says a vote is unnecessary; it is whether the governing documents, corporate law, exchange rules and exemption conditions support that conclusion.
Disclosure, liquidity and downside risk
Regulation D private placements are not subject to some protections and comprehensive disclosure requirements that apply to registered offerings. A private-placement memorandum may be supplied, but it is not mandatory, and offering documents are generally not reviewed by a regulator for completeness or balance. Obtain the information needed to evaluate the company, management, competitors, financial statements, claims, material risks and the security’s terms.
Plan for restricted resale
Restricted securities can be difficult to resell, and an indefinite holding period is possible. Ask what legend, contractual lock-up, holding-period, affiliate or broker-dealer conditions apply and whether a realistic secondary market exists. A theoretical conversion or redemption right does not create liquidity if the company lacks cash or the security cannot be transferred.
Stress-test loss and delay
Model scenarios in which the company raises less than planned, misses its milestones, needs another financing, breaches a covenant or becomes insolvent. Determine where the placement sits in the capital structure and what recovery a holder could expect after senior debt and liquidation preferences. Invest only an amount you can afford to lose and hold for an indefinite period.
The SEC’s Office of Investor Education and Assistance states in its updated bulletin: “If an issuer fails to adequately answer your questions, consider this a warning against making the investment.” Treat evasive answers, unexplained inconsistencies and pressure to commit before receiving documents as reasons to pause.
Comparing two proposed private placements
When an issuer offers alternatives, compare the complete packages rather than selecting the highest cash amount or lowest stated discount.
| Comparison axis | Questions |
|---|---|
| Price basis | What reference date, discount, valuation method and market-price rule are used? |
| Security rights | Which proposal has stronger seniority, conversion, warrant, dividend, redemption or anti-dilution rights? |
| Dilution and control | What are the basic and fully diluted shares, votes, board rights and change-of-control effects? |
| Proceeds and execution | How much cash remains after fees, and which proposal funds the most important milestones? |
| Closing certainty | Are funds committed, escrowed or subject to conditions that could delay closing? |
| Approvals and exemption | Which board, shareholder, exchange, lender or regulator consents are needed? |
| Liquidity and downside | What transfer restrictions, maturity obligations and loss scenarios apply? |
A proposal that raises more money can still be inferior if it carries punitive conversion terms, excessive warrants, a near-term redemption obligation or a control transfer. Include fees and the probability of closing in the comparison.
A practical diligence sequence
- Collect documents. Obtain the term sheet, definitive agreement, capitalization table, charter and bylaws, existing securities agreements, financial statements, debt schedule, use-of-proceeds budget and board materials.
- Define the security. List every economic, voting, conversion, exercise, redemption, preference, adjustment and transfer term.
- Rebuild capitalization. Calculate closing and fully diluted shares, ownership percentages, votes and any concentrated positions.
- Test price assumptions. Reconcile forecasts and comparables to historical results, cash needs, debt and the correct market-price reference.
- Trace the cash. Tie each proceeds category to an amount, timing, responsible party and measurable milestone, then model an undersubscribed offering.
- Verify approvals. Check board authority, organizational documents, corporate law, exemption conditions, exchange rules and required filings.
- Assess liquidity. Confirm resale restrictions, holding periods, market depth, redemption funding and the possibility of total loss.
- Document unanswered questions. Do not proceed while material pricing, dilution, proceeds or approval questions remain unresolved.
Red flags that should stop the review
- The issuer will not provide financial statements, a complete capitalization table or definitive security terms.
- The price is justified only by an unsupported forecast or an unexplained discount to a market quote.
- Conversion, reset or warrant provisions have no stated maximum share count.
- “General corporate purposes” replaces a quantified proceeds plan despite a short cash runway.
- Management cannot identify the required vote, exchange rule, exemption or filing deadline.
- Insiders receive special terms or control rights that are not disclosed to other investors.
- Documents describe liquidity as likely without explaining resale restrictions or a buyer.
- The issuer pressures investors to wire funds before they can review the agreements and risk factors.
Decision framework
Proceed to a transaction-specific legal and financial review only when the price can be explained, the maximum dilution is modeled, proceeds are tied to credible milestones, and approvals are documented. Pause when any of those four pillars depends on an unverified assumption. Decline when the issuer cannot answer material questions, because limited disclosure, restricted resale and the possibility of total loss leave the investor carrying risks that a headline discount cannot measure.
