A fundraising can reduce an existing shareholder’s percentage ownership without reducing the value of that investment. Assess the transaction by rebuilding the post-financing share count, identifying every security and right being issued, comparing the price with the company’s prospects, and checking how the proceeds, participation rules and resale restrictions affect shareholders. A headline dollar amount or valuation is not enough.
Start with the distinction that prevents most mistakes
Fundraising affects shareholders through at least two separate channels:
As an Amazon Associate I earn from qualifying purchases.
- Percentage ownership: your stake as a fraction of all outstanding shares or share equivalents.
- Economic value: what your stake may be worth after the company receives capital, takes on obligations and changes its prospects.
If a company issues new shares, the denominator in the ownership calculation grows. Your percentage can fall even if the company becomes more valuable because the new capital funds productive growth. Conversely, a financing can preserve a percentage temporarily while destroying value if it is priced too cheaply, adds expensive senior claims or funds an unsuccessful plan.

Those are starting questions, not a complete analysis. You must inspect the security, terms, cap table, documents and use of proceeds together.

Use this six-step assessment sequence
1. Identify exactly what the company is doing
Determine whether the transaction is a primary issuance, a sale by existing holders, a debt financing, or a combination. In a primary issuance, the company creates and sells securities and receives the proceeds. In a secondary sale, existing holders sell securities and receive the money; the company may receive little or none of it. A round can include both new shares for the company and shares sold by early investors.
Classify every instrument:
- Common shares or another immediately outstanding equity class.
- Preferred shares with liquidation, dividend, voting or conversion rights.
- Convertible notes, debentures or other debt that can become equity.
- Warrants, options and rights to buy shares later.
- Employee equity awards or an expanded equity-compensation pool.
Ask for the number of securities, issue price, maturity, interest, conversion triggers, exercise price, expiration and any conditions. “Series A” or “private round” is a label, not a legal description of the instrument or offering pathway.
2. Rebuild the share count and ownership percentages
Obtain the current basic share count and the fully diluted count. The fully diluted figure includes shares that could be issued when options and warrants are exercised, notes or preferred securities convert, and promised employee awards are granted. Then model the post-transaction count under clearly stated assumptions.
For an existing holder, the basic calculation is:
Post-financing ownership percentage = your shares after the transaction ÷ post-financing fully diluted shares.
If you own 100,000 common shares and the company has 10 million fully diluted shares before a round, your starting percentage is 1%. If the company issues 2 million new common shares and nothing else changes, your percentage becomes 100,000 ÷ 12,000,000, or 0.833%. That is a 16.7% reduction in your percentage ownership. The example does not predict value: the company might use the capital to increase its overall value, or it might not.
Model more than one case when conversion or exercise is conditional. Show at least:
- Basic shares outstanding immediately after closing.
- Full conversion of convertible securities.
- Exercise of in-the-money options and warrants.
- Any increase in the employee option pool required by the financing.
- Different conversion prices or valuation caps if the documents allow them.
Do not publish a single dilution percentage when the conversion assumptions are unknown. State the assumptions beside every result.

3. Compare price, valuation and rights
Price per share is only one term. Compare the new security with the securities you already own on these dimensions:
| Term | What to check | Why it matters |
|---|---|---|
| Issue or conversion price | Cash price, discount, valuation cap, conversion formula and any reset | A low price transfers more of the company to new investors; a high price may reduce the amount of ownership sold but can make the round harder to complete. |
| Voting | Votes per share, class votes, protective provisions and consent rights | Economic ownership and control can diverge when one class has superior voting rights or vetoes. |
| Board rights | Board seats, observer rights, appointment and removal provisions | New investors may gain influence greater than their percentage stake. |
| Seniority and preferences | Liquidation preference, participation, dividends and ranking in a sale or liquidation | Senior claims are paid before common holders and can change the proceeds left for existing shareholders. |
| Conversion and redemption | Optional or mandatory conversion, redemption dates and events | These terms determine when a preferred or debt security becomes common stock or demands repayment. |
| Anti-dilution | Broad-based or narrow-based weighted average, full-ratchet protection and carve-outs | Future down rounds can shift dilution toward unprotected holders. |
A stated post-money valuation does not show how proceeds will be divided among classes. Read the charter, certificate of designation, purchase agreement, investor-rights agreement and any side letters that create these rights.
4. Examine what the proceeds are meant to fund
Read the issuer’s stated use of proceeds in the offering document or current filing. Separate specific commitments, such as equipment purchases or debt repayment, from broad purposes such as “general corporate activities.” Then test whether the amount raised covers the company’s expected cash needs and whether milestones are measurable.
The SEC materials establish that offering terms can have long-term effects, but they do not establish that any particular company’s plan will succeed. For a company-specific assessment, compare the stated plan with cash burn, existing debt maturities, hiring plans, regulatory obligations and the company’s history of meeting milestones. Treat management forecasts as assumptions, not guarantees.

Find out whether existing holders have pre-emptive, subscription or pro-rata rights. If they do, read the notice period, minimum commitment, price, oversubscription procedure and whether the right applies to all classes. A right that exists in the charter may be waived or limited by the financing documents.
Identify current shareholders selling in the round. Their sale can provide liquidity without putting equivalent capital into the company, and a large secondary sale can signal a different objective from a growth-financing round.
Check transfer restrictions, lockups, registration rights and the conditions for resale. Investor.gov’s September 21, 2026 bulletin warns that “Unlike an investment purchased on a stock exchange, an investment in a private placement is highly illiquid.” Private-placement holders may have limited disclosure, difficulty finding buyers and no practical exit for an extended period.

6. Confirm the offering pathway and disclosure record
Under US federal securities law, an offering generally must be registered or qualify for an exemption. Identify the pathway in issuer materials rather than inferring it from informal language. Common pathways discussed by the SEC include registered offerings, Regulation D, Regulation Crowdfunding and Regulation A.
Check the relevant filing, offering statement, subscription agreement and ongoing reports. Confirm whether the company has filed a Form D when required, and whether the security is restricted. Missing or outdated information is itself a risk factor: it limits your ability to verify the cap table, use of proceeds and rights.
How different securities create dilution
New common shares
New common shares usually create the most transparent immediate dilution: the share count rises when the transaction closes. Your percentage falls unless you buy enough of the new issue to maintain it. Price and use of proceeds determine whether the company’s total value could offset that percentage reduction.
Preferred shares
Preferred shares can convert into common shares, often at the holder’s option or automatically when specified conditions occur. Before conversion, preferences, dividends and voting rights may give preferred holders priority over common shareholders. Model both the as-issued and as-converted cases, including a sale or liquidation scenario.
Convertible debt and notes
Convertible debt may not appear in the current share count. Include principal, accrued interest, discount, valuation cap and any qualified-financing trigger in the conversion model. Until conversion, the company also owes repayment or interest, which can reduce cash available to common holders.
Options, warrants and employee plans
Options and warrants create potential dilution when exercised. The exercise price affects whether holders are likely to exercise, but a fully diluted analysis should show the contractual maximum where that is the relevant comparison. An expanded employee equity pool can dilute existing holders before new investors’ shares are issued; the financing documents may allocate that dilution differently between old and new shareholders.
Anti-dilution and future rounds
Anti-dilution provisions can adjust a preferred investor’s conversion price after a later financing at a lower price. Broad-based weighted-average formulas usually produce a different result from narrow-based formulas, while full-ratchet provisions can create a larger transfer. Read the definition of an excluded issuance and calculate who bears the adjustment.

Compare common financing routes
| Route | Capital for the company | Existing-holder liquidity | Typical issues to examine |
|---|---|---|---|
| Traditional IPO | Usually raises new capital through newly issued shares, although selling shareholders may also be included. | Public trading can provide liquidity after lockups and listing requirements. | SEC registration, underwriting costs, dilution, lockups, ongoing reporting and pricing risk. SEC guidance describes IPOs as potentially costly and time-consuming. |
| SPAC transaction | Can combine SPAC proceeds with a private investment in public equity or other financing. | Public-market liquidity may follow closing, subject to lockups and trading conditions. | Sponsor shares, warrants, redemption levels, transaction costs and dilution from the combined securities. The SEC describes sponsor and private-financing dilution as possible features, not guaranteed outcomes. |
| Direct listing | Typically does not raise new funds for the company when only existing shares are listed. | Existing shareholders can generally sell directly into the market, subject to applicable rules. | Price discovery, available trading volume, eligibility and the fact that liquidity does not equal new company capital. |
| Private placement | Raises capital under an exemption, often with negotiated terms. | Usually limited by transfer restrictions and a small buyer pool. | Less disclosure, restricted securities, investor eligibility, rights negotiated with new investors and the possibility of indefinite holding periods. |
| Regulation A or Regulation Crowdfunding | Can raise capital under specific SEC exemption conditions. | Resale rules and platform or regulatory restrictions apply. | Offering limits, disclosure obligations, investor limits and the exact security terms stated in the offering materials. |
These are general route characteristics from SEC guidance, not predictions for a particular issuer. A transaction can combine routes or include secondary sales.

| Exemption or tier | Limit stated by the SEC | Important qualification |
|---|---|---|
| Rule 504 | Up to $10 million in a rolling 12-month period | Other conditions and state-law requirements apply. |
| Regulation Crowdfunding | Up to $5 million in a rolling 12-month period | Intermediary, disclosure and investor-limit rules apply. |
| Regulation A Tier 1 | Up to $20 million in a 12-month period | Tier-specific qualification and disclosure requirements apply. |
| Regulation A Tier 2 | Up to $75 million in a 12-month period | Tier-specific qualification and ongoing reporting requirements apply. |
| Rule 506(b) | Up to 35 non-accredited investors in a 90-calendar-day period, subject to additional requirements | The rule has accredited-investor and information requirements that must be checked in the offering documents. |
For a Rule 506 offering, the SEC’s SmallBiz Essentials page dated March 25, 2025 says Form D is generally due within 15 days after the first sale. Regulation Crowdfunding investor limits depend on income and net worth; the same SEC material describes thresholds using $124,000 annual income or net worth, but the applicable investment-limit formula is not a universal personal limit. Verify the current rule and the issuer’s filing before relying on any threshold.
Documents to request before deciding what the financing means
- Current capitalization table: basic and fully diluted shares by holder and class.
- Term sheet and definitive purchase agreement: price, size, closing conditions, representations and investor rights.
- Charter and preferred-stock designations: voting, conversion, dividends, liquidation preference and protective provisions.
- Convertible-note or debt documents: principal, interest, maturity, discounts, valuation caps, covenants and conversion triggers.
- Option and warrant schedules: grants, exercise prices, vesting, expiration and repricing provisions.
- Equity-plan documents: current reserve and any pool increase required by the financing.
- Use-of-proceeds statement and financial reports: cash balance, burn rate, debt maturities and management assumptions.
- Offering and resale documents: registration statement, offering circular, Form D, crowdfunding filing or other applicable record.
- Investor-rights and side agreements: board seats, information rights, registration rights, pro-rata rights and anti-dilution terms.
Common analytical mistakes and how to correct them
Using the headline amount as the answer
A $50 million round says nothing by itself about dilution. Replace it with the security count, price, conversion terms and post-transaction cap table.
Confusing valuation with shareholder return
A post-money valuation is a negotiated reference point, not a guarantee of future value. Check senior claims, preferences, debt and the company’s execution plan before treating the valuation as evidence of benefit.
Ignoring contingent shares
Options, warrants, convertibles and employee-pool increases can materially change the denominator. Show basic and fully diluted cases rather than relying on the basic share count.

Best Value
Assuming a private security can be sold when needed
Read transfer restrictions and registration rights. Investor.gov specifically characterizes private placements as highly illiquid; a paper valuation may not provide a market or an exit.
Treating an exemption as a quality signal
Regulation D, Regulation A and Regulation Crowdfunding describe legal pathways, not investment quality. Review disclosure and terms independently.
Calculating dilution without stating assumptions
Identify whether your denominator includes conversions, exercises and the employee pool. If a term is unknown, present a range or label the result as conditional instead of presenting false precision.
A practical decision framework for an existing shareholder
- Map the transaction: list every new and secondary security, seller, buyer and source of company capital.
- Build three cap tables: current, immediately post-close and fully diluted after all stated conversion and exercise events.
- Rank rights: place each class in order of voting power, board influence and payment priority.
- Stress-test value: model the company meeting its milestones, raising a lower-priced future round and entering a sale or liquidation.
- Check your participation rights: calculate the cash required to maintain your percentage and verify deadlines and allocation rules.
- Assess liquidity: identify resale restrictions, lockups, registration rights and realistic buyers.
- Verify the record: reconcile the cap table to filings, charters, agreements and the stated use of proceeds.
- Document uncertainties: list missing terms, unresolved conversions and assumptions that could change the result.
If the documents do not provide enough information to complete those steps, the appropriate conclusion is that the impact is undetermined—not that dilution is zero or that the financing is automatically favorable.
Questions to put to management or the issuer
- How many basic and fully diluted shares will exist immediately after closing?
- Which securities can convert or be exercised, at what price and under what trigger?
- Will the employee equity pool increase, and who bears that dilution?
- What voting, board, veto, dividend and liquidation rights do the new investors receive?
- Are there anti-dilution, redemption, pay-to-play or seniority provisions?
- How much of the round is primary capital and how much is a secondary sale?
- What specific milestones will the proceeds fund, and how long will the cash last?
- Can existing holders participate pro rata, and what are the notice and payment deadlines?
- What restrictions apply to resale, and when could registration rights be used?
- Which federal exemption or registration statement covers the offering, and where are the complete documents?
What this analysis cannot establish by itself
US federal guidance cannot determine your pre-emptive rights, voting rights, class protections, remedies or ability to participate without the company’s charter, bylaws, contracts, security documents and applicable state or non-US law. A company-specific valuation or investment conclusion also requires current issuer information that is not provided by general financing rules.
Use this framework as financial education, not as a recommendation to buy, sell or participate in a security. For a live transaction, a securities lawyer or qualified financial professional can interpret the governing documents and jurisdiction-specific rights.
