A blockchain token does not create a new balance-sheet category by itself. Account for the legal rights and obligations the token represents, then apply the reporting entity’s framework—such as IFRS or U.S. GAAP—to the issuer, investor, custodian or employer involved. The same-looking token can therefore be equity, a financial asset, a liability-linked instrument, a memorandum record or no balance-sheet item at all.

Before booking anything, establish whether the token is the company’s own share, another company’s share, a custodial security entitlement, a synthetic exposure, a treasury share or a share-based payment award. The token’s technical format is evidence about recordkeeping; it is not the accounting conclusion.

What a tokenized share means for accounting

Tokenization can change how ownership records are maintained without changing the underlying legal instrument. In an issuer-sponsored model, the issuer or its transfer agent may connect a distributed-ledger record with the master securityholder file. In a custodial model, a token may represent an indirect security entitlement to shares held by a custodian. Other structures provide contractual exposure linked to a share without transferring the share itself.

The accounting follows the enforceable rights, obligations and settlement mechanics. Review the governing documents, offering terms, custody agreement, corporate law and the actual transfer process. Determine whether the holder can vote, receive dividends, demand redemption, claim delivery of shares or cash, or enforce rights only against an intermediary. A wallet balance or token label is not sufficient evidence.

The SEC staff’s January 28, 2026 statement on tokenized securities says that the format in which a security is issued, or the method by which holders are recorded, does not affect application of federal securities laws. The statement expresses staff views; it is not a Commission rule and does not prescribe general-purpose financial-statement accounting.

Start with five questions

  1. What is the legal instrument? Identify whether the token itself is the share, evidence of a security entitlement, a linked or synthetic instrument, or merely a technical record tied to an off-chain share register.
  2. Whose balance sheet is being prepared? The answer differs for an issuer, an investor, a custodian acting as agent, a parent evaluating a subsidiary instrument and an employer granting compensation.
  3. Which framework and reporting date apply? Establish IFRS or U.S. GAAP, the jurisdiction, whether the entity is a public-company registrant or regulated bank, and the standards effective for the period being reported.
  4. What rights and obligations arise from the contract? Document voting, dividends, redemption, repurchase, cash settlement, fixed or variable share delivery, transfer restrictions and any claim against a custodian.
  5. Is this a reacquisition or an award? A company buying back its own shares generally follows treasury-share requirements, while an employee or service-provider award may fall under share-based payment guidance.

Identify the token’s legal form

Issuer-sponsored tokenized shares

An issuer-sponsored arrangement integrates ledger records into the system used to maintain the issuer’s securityholder file. The issuer or its agent may link a wallet address and quantity to an identified holder, with off-chain records continuing to support identity, restrictions and corporate actions.

For the issuer, an ordinary share represented by a token is normally analyzed as an equity issuance under the applicable framework. The amount received, issue costs, class rights, redemption clauses and local corporate law still determine presentation. If the terms require the issuer to deliver cash or another financial asset, analyze liability-versus-equity classification under the relevant standard. Do not create a new asset simply because the share register uses a blockchain.

Tokenized shares of another company

When a company holds a token representing another entity’s shares, the instrument is not the reporting company’s own equity. Determine whether the token conveys direct ownership, an indirect entitlement through a custodian or only contractual price exposure. Then assess control, significant influence and the applicable financial-asset requirements.

For an IFRS reporter, IAS 32 addresses presentation, IFRS 9 (or IAS 39 where still applicable to the entity’s reporting requirements) addresses recognition and measurement, and IFRS 7 addresses disclosures. Blockchain use does not automatically place the holding into a crypto-asset category. The contractual rights control the analysis.

Custodial security entitlements

A custodial token may evidence an entitlement to underlying shares held by a broker, bank or other custodian. The holder might have a property interest in pooled securities, a claim to a specified number of shares, or only a contractual claim against the intermediary. Read the custody and settlement terms to determine what the company controls and what happens if the custodian defaults.

The accounting can differ from direct share ownership because the reporting company may recognize a financial asset representing its entitlement rather than the underlying shares themselves. Legal enforceability, segregation of assets, transfer mechanics and the custodian’s role are essential facts. The SEC staff’s tokenization examples assume compliance with applicable law; do not generalize those assumptions to every platform.

Linked or synthetic structures

Some tokens track a share price or promise delivery of shares without transferring ownership. A cash-settled token, a derivative, a note or another contract can create different recognition, measurement and disclosure outcomes from an equity share. Look for variable share delivery, net cash settlement, margin, leverage, redemption and counterparty-credit terms.

Determine the reporting entity’s role

Role Primary accounting question Typical standards or guidance to evaluate
Issuer Does the issued instrument meet equity criteria, or does a redemption or cash obligation create a liability? IAS 32 for IFRS presentation; applicable recognition and measurement guidance; governing corporate law; U.S. GAAP Codification and SEC requirements for U.S. registrants.
Investor Does the token represent a direct share, a custodial entitlement, a derivative or another financial asset? IAS 32, IFRS 9 or IAS 39 and IFRS 7 under IFRS; authoritative U.S. GAAP for the instrument and investment classification.
Custodian or agent Is the entity acting for customers, with no beneficial ownership of the customers’ shares? Agency, control and presentation analysis; client-asset and regulatory requirements.
Employer Is the token a method of delivering an equity-settled or cash-settled award? IFRS 2 under IFRS; ASC 718 for U.S. GAAP reporters.
Banking organization How does an eligible tokenized security affect regulatory capital? Separate banking-capital rules and the March 5, 2026 Federal Reserve, FDIC and OCC FAQ; this does not replace financial-statement accounting.

Choose the reporting framework and effective requirements

IFRS reporters

IAS 32 is the starting point for presentation of financial instruments. It distinguishes equity from a financial liability by examining whether the issuer has an obligation to deliver cash or another financial asset and whether settlement features create a contractual obligation. IFRS 9 generally covers recognition and measurement of financial assets and liabilities, while IFRS 7 covers disclosures about significance and risk. Confirm which editions and amendments are effective for the company’s reporting date.

IAS 32’s substance-based approach means that a token’s name, blockchain, wallet format or marketing description cannot override the contractual terms. A tokenized ordinary share with no issuer obligation to pay cash is analyzed as the underlying share. A token with mandatory cash redemption may require liability classification even if it is described as a share token.

U.S. GAAP reporters

Use the FASB Accounting Standards Codification as the authoritative source of nongovernmental U.S. GAAP, together with applicable SEC requirements for registrants. Do not import IFRS paragraph numbers or conclusions into U.S. GAAP without analyzing the relevant Codification topics. The correct U.S. GAAP answer depends on whether the arrangement is an equity issuance, investment security, derivative, custodial entitlement, treasury stock transaction or share-based payment.

For a public company, coordinate the accounting conclusion with legal and securities-reporting analysis. The SEC’s 2026 staff statement discusses tokenized securities and recordkeeping; it is not a substitute for the accounting literature governing recognition, measurement or presentation.

Fact-pattern accounting analysis

1. The company issues its own tokenized shares

Begin with the ordinary share terms, not the ledger. Record the consideration received and present the issued instrument according to its equity or liability classification under the applicable framework. Analyze transaction costs under the relevant issuance guidance. Confirm whether the token holder receives the same voting, dividend, transfer and liquidation rights as a non-tokenized holder.

If the issuer can be required to repurchase the token for cash, or if the holder can demand cash settlement, test whether that obligation changes equity classification. A restriction on transferring the token may affect legal mechanics and disclosure but does not by itself determine whether the instrument is equity.

2. The company invests in another entity’s tokenized shares

Identify the rights the company controls. A direct ownership interest may be a financial asset measured under the applicable model. An entitlement against a custodian may be recognized as a separate financial asset whose credit and custody risks require evaluation. A price-linked contract may fall under derivative or other financial-instrument guidance.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Assess whether the investment gives control or significant influence. Tokenization does not remove consolidation or equity-method considerations when the underlying rights produce those relationships. Document how dividends, voting, corporate actions and settlement are delivered and who bears loss if the platform or custodian fails.

3. The entity holds its own reacquired shares

Under IFRS, IAS 32 paragraph 33 states: “If an entity reacquires its own equity instruments, those instruments (‘treasury shares’) shall be deducted from equity.” The purchase, sale, issue or cancellation of an entity’s own equity instruments does not create a gain or loss in profit or loss; consideration is recognized directly in equity. IAS 32 paragraph 34 requires the amount of treasury shares held to be disclosed separately in the statement of financial position or in the notes.

IAS 32 application guidance says an entity’s own equity instruments are not recognized as a financial asset, regardless of why they were reacquired. Therefore, putting treasury shares on a blockchain does not turn them into an asset. Confirm the legal holder, the repurchase terms and whether the company is acting for itself or for customers.

Paragraph 33A contains a narrow exception for specified treasury shares held in certain funds or as underlying items for insurance contracts. It requires an irrevocable instrument-by-instrument election and fair-value-through-profit-or-loss accounting described in that paragraph. Treat it as a fact-specific exception, not a general policy choice.

4. The entity holds its own shares for customers

When a financial institution holds an entity’s own equity on behalf of clients, IAS 32 guidance describes an agency relationship. Those client holdings are not included in the institution’s statement of financial position because the institution does not own the shares beneficially. Reconcile the token ledger to client records and custody statements, and assess whether any proprietary position is held separately.

5. The token records an employee or contractor award

A token can be the delivery or recordkeeping method for a share-based payment. Under IFRS 2, determine whether the arrangement is equity-settled or cash-settled from its terms, including vesting conditions, settlement alternatives, forfeiture provisions and whether the employer can choose cash. IFRS 2 addresses transactions settled in cash, other assets or the entity’s equity instruments and recognizes the resulting effects, including compensation expense where applicable.

U.S. GAAP reporters should analyze the corresponding authoritative guidance in ASC 718. A token label does not settle the classification question. Measure and recognize the award under the applicable share-based payment model, then account for the token or custody mechanics separately.

6. A bank evaluates regulatory capital

The Federal Reserve, FDIC and OCC FAQ dated March 5, 2026 says an eligible tokenized security that confers legal rights identical to its non-tokenized form should generally receive the same treatment under the banking capital rule. That is a regulatory-capital conclusion for banking organizations. It does not determine recognition, measurement or presentation in general-purpose financial statements, and it does not eliminate the need to test the instrument’s contractual terms.

A practical workflow for closing the balance sheet

  1. Obtain the complete legal package. Collect the token terms, share-class documents, offering memorandum, custody agreement, smart-contract specification, transfer-agent procedures, repurchase clauses and corporate approvals.
  2. Map the rights to a conventional instrument. Write a plain-language description of what the holder can demand, receive, transfer and enforce. State whether the token is the share, evidence of an entitlement or a separate contract.
  3. Identify the entity’s role. Mark the company as issuer, investor, custodian, agent, employer or regulated bank for this transaction. A group may occupy more than one role in different ledgers.
  4. Determine control and settlement. Establish who controls the underlying shares, who bears price and custody risk, whether settlement is physical or cash, and whether delivery is fixed or variable.
  5. Select the literature. For IFRS, begin with IAS 32 and then apply IFRS 9 or IAS 39, IFRS 7, IFRS 2 or other relevant standards. For U.S. GAAP, locate the applicable FASB Codification topics and SEC requirements.
  6. Assess classification before measurement. Decide whether the company has equity, a financial liability, a financial asset, treasury shares, an agency position or a share-based payment. Do not measure an instrument before its classification is supported.
  7. Record the transaction using the selected model. The amount received or paid, issue costs, fair value, impairment, dividends and compensation expense depend on the instrument and framework. There is no universal tokenized-share journal entry.
  8. Reconcile on-chain and off-chain records. Compare token quantities, wallet addresses, registered holders, custody statements, corporate actions and the general ledger. Investigate burned, frozen, duplicated or stranded tokens before reporting.
  9. Prepare disclosures. Explain significant judgments, risks, restrictions, treasury shares, fair values, liquidity, custody arrangements and share-based payment terms required by the applicable standards.
  10. Obtain specialist review where rights are unusual. Ask legal counsel to confirm enforceability and the accounting team to document the framework, effective date and conclusion. Revisit the assessment when terms, custody or law changes.

Illustrative outcomes by structure

Structure Likely balance-sheet starting point Critical fact that can change the answer
Issuer’s ordinary share recorded on a ledger Analyze as the issuer’s ordinary equity instrument; tokenization alone adds no asset. Cash redemption, mandatory repurchase or other issuer obligation.
Investor’s direct ownership of another company’s share Analyze as an investment in another entity’s equity under the applicable financial-asset model. Control, significant influence, quoted-market status and measurement requirements.
Token backed by shares held by a custodian Analyze the holder’s enforceable security entitlement or claim against the custodian. Segregation, insolvency rights, pooling and whether the token is merely contractual exposure.
Token linked to a share price with cash settlement Analyze as a separate financial contract, potentially a derivative or liability. Net settlement, leverage, redemption and counterparty terms.
Company’s reacquired own shares Under IFRS, generally deduct from equity as treasury shares; do not recognize as a financial asset. Agency holdings and the narrow IAS 32 paragraph 33A exception.
Employee token award Apply share-based payment guidance and recognize the required compensation effects. Equity versus cash settlement and the detailed vesting and settlement terms.

Records and controls auditors will expect

  • Legal-rights memo: identify the instrument, holder rights, issuer obligations and governing law.
  • Role matrix: show which group entity issued, holds, safeguards or administers each token.
  • Ledger reconciliation: tie wallet quantities and token events to the official register, custody reports and the general ledger at each reporting date.
  • Corporate-action controls: document how dividends, splits, voting, redemptions, burns, freezes and transfers are authorized and recorded.
  • Valuation evidence: retain pricing sources, models, liquidity assessments and fair-value hierarchy judgments where measurement requires fair value.
  • Access and key management: record who controls private keys, multisignature approvals, recovery procedures and segregation of client assets.
  • Change monitoring: track amendments to token terms, custody contracts, applicable standards, securities law and bank-capital rules.

Common mistakes and how to correct them

Calling every token a crypto asset

Correction: describe the rights first. A token representing a share, an entitlement or a derivative is analyzed under the literature for that instrument, not by its blockchain label.

Recording treasury shares as an asset

Correction: for IFRS, apply IAS 32’s deduction-from-equity requirement and separate disclosure. Investigate whether the entity is actually an agent holding customers’ shares instead.

Assuming the SEC statement supplies an accounting rule

Correction: use the statement for the securities-law and recordkeeping context it addresses. Apply the company’s financial-reporting framework for recognition, measurement and presentation.

Using IFRS conclusions for a U.S. GAAP filing

Correction: locate the authoritative FASB Codification guidance and SEC requirements applicable to the fact pattern and reporting date.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Ignoring cash-settlement features

Correction: inspect redemption, repurchase, variable-share and net-cash clauses before concluding that a token is equity.

Assuming custody equals ownership

Correction: determine whether the holder has a direct property interest, a security entitlement or only a claim against an intermediary, including in insolvency.

Reconciling only the blockchain

Correction: reconcile the ledger with identity records, legal registers, custody statements, corporate actions and the general ledger. An on-chain balance can be technically correct yet legally incomplete.

Disclosure questions to answer

The exact disclosures depend on the framework and instrument, but the accounting file should support clear answers to these questions:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • What does the token legally represent, and which entity is the issuer or obligor?
  • Are holders entitled to voting, dividends, redemption, physical shares or cash?
  • Is the arrangement direct ownership, a custodial entitlement, a derivative or synthetic exposure?
  • How are the token and underlying records reconciled, and who controls the keys or custody account?
  • What judgments determined equity, liability, financial-asset, treasury-share, agency or share-based-payment classification?
  • What market, liquidity, custody, counterparty, technology and legal-enforceability risks affect the reported amounts?
  • For treasury shares, is the amount separately disclosed as required, and for awards, are the required compensation disclosures complete?

When the conclusion must be revisited

Reassess the accounting when the issuer changes redemption rights, a custodian changes the legal arrangement, tokens become transferable on a new venue, a smart contract is upgraded, a share class is amended, a company moves between IFRS and U.S. GAAP, or a new standard or amendment becomes effective. Also reassess after a restructuring, insolvency event, loss of key control or change in whether settlement is cash or shares.

The relevant publication dates include the SEC staff tokenized-securities statement of January 28, 2026, the federal banking agencies’ FAQ of March 5, 2026, and the IASB Update issued in September 2026. Those dates identify the materials discussed here; they do not replace checking the authoritative text effective for the company’s reporting period.

Bottom line for preparers

Account for what the token legally conveys, not for the blockchain format. Classify the instrument from the reporting entity’s role, contractual rights and settlement obligations; then apply the correct IFRS or U.S. GAAP guidance. Under IFRS, own reacquired shares generally reduce equity, third-party holdings follow financial-asset analysis, employee tokens follow share-based payment guidance and bank-capital treatment remains a separate regulatory question. Without the jurisdiction, terms, legal enforceability and reporting date, no single journal entry or universal account classification is supportable.
